海运代理合同-中英文对照(范本)本海运代理协议（以下简称“本协议”）于[生效日期]由以下双方签署：ThisMaritimeShippingAgencyAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoasof[EffectiveDate]byandbetweenthefollowingparties:1.委托人（以下简称“甲方”）：统一社会信用代码/身份证号：[]，注册/住址：[]，法定代表人/负责人：[]，联系方式：[]。1.1ThePrincipal(hereinafterreferredtoas"PartyA"):UnifiedSocialCreditCode/IDCardNo.:[],Registered/ResidentialAddress:[],LegalRepresentative/ResponsiblePerson:[],ContactInformation:[].2.海运代理人（以下简称“乙方”）：统一社会信用代码：[]，注册/住址：[]，法定代表人/负责人：[]，联系方式：[]，具备合法从事国际/国内海运代理业务的资质。2.1TheMaritimeShippingAgent(hereinafterreferredtoas"PartyB"):UnifiedSocialCreditCode:[],Registered/ResidentialAddress:[],LegalRepresentative/ResponsiblePerson:[],ContactInformation:[],andholdsvalidqualificationsforengagingininternational/domesticmaritimeshippingagencybusiness.3.甲方委托乙方作为其指定的海运代理人，代为办理以下与国际/国内海运货物运输相关的全部或部分事宜：（1）订舱、提箱、还箱；（2）货物报关、报检及相关单证办理；（3）货物装卸、仓储及短途运输；（4）海运提单/运单签发、更正及补签；（5）运费及相关费用的结算；（6）其他与本次海运货物运输相关的配套服务。3.1PartyAherebyappointsPartyBasitsdesignatedmaritimeshippingagenttohandleallorpartofthefollowingmattersrelatedtointernational/domesticmaritimecargotransportation:(1)Bookingshippingspace,pickingupandreturningcontainers;(2)Handlingcustomsdeclaration,commodityinspectionandrelevantdocumentsforthecargo;(3)Loading,unloading,warehousingandshort-distancetransportationofthecargo;(4)Issuing,amendingandreissuingseawaybills/billsoflading;(5)Settlementoffreightandrelevantcharges;(6)Othersupportingservicesrelatedtothecurrentmaritimecargotransportation.4.甲方的权利与义务4.1甲方有权要求乙方按照本协议约定的标准和时限完成委托事项，有权查阅乙方办理委托事务的相关单证及费用明细。4.1.1PartyAshallhavetherighttorequirePartyBtocompletetheentrustedmattersinaccordancewiththestandardsandtimelimitsspecifiedherein,andshallhavetherighttoinspecttherelevantdocumentsandexpensedetailshandledbyPartyBfortheentrustedaffairs.4.2甲方应于本协议签订后[]个工作日内，向乙方提供完整、真实、准确的货物信息、运输要求及全套报关报检所需单证，确保所提供信息不存在任何隐瞒、虚假或误导性内容。4.2.1Within[]workingdaysafterthesigningofthisAgreement,PartyAshallprovidePartyBwithcomplete,trueandaccuratecargoinformation,transportationrequirementsandalldocumentsrequiredforcustomsdeclarationandcommodityinspection,andensurethattheinformationprovideddoesnotcontainanyconcealed,falseormisleadingcontent.4.3甲方应按照本协议约定的时间、方式和金额向乙方支付委托服务费用及实际产生的代垫费用。4.3.1PartyAshallpaytheentrustedservicefeesandtheadvancedactualexpensestoPartyBinaccordancewiththetime,methodandamountspecifiedherein.4.4甲方应承担因货物本身瑕疵、申报信息不实或违反法律法规所导致的一切损失、责任及费用。4.4.1PartyAshallbearalllosses,liabilitiesandexpensescausedbythedefectsofthecargoitself,falsedeclarationinformationorviolationoflawsandregulations.5.乙方的权利与义务5.1乙方有权按照本协议约定收取委托服务费用及代垫费用，有权要求甲方提供办理委托事项所需的全部必要信息和单证。5.1.1PartyBshallhavetherighttocollecttheentrustedservicefeesandadvancedexpensesinaccordancewiththisAgreement,andshallhavetherighttorequirePartyAtoprovideallnecessaryinformationanddocumentsrequiredforhandlingtheentrustedmatters.5.2乙方应具备相应的从业资质，指派专业人员办理委托事项，严格按照甲方的要求及相关法律法规的规定完成委托事务，及时向甲方反馈业务进展情况。5.2.1PartyBshallholdcorrespondingbusinessqualifications,assignprofessionalpersonneltohandletheentrustedmatters,completetheentrustedaffairsstrictlyinaccordancewithPartyA'srequirementsandrelevantlawsandregulations,andtimelyprovidefeedbackonthebusinessprogresstoPartyA.5.3乙方应妥善保管甲方提供的货物单证、信息及交付的货物，因乙方过错导致单证遗失、损坏或货物灭失、损坏的，乙方应承担相应赔偿责任。5.3.1PartyBshallproperlykeepthecargodocuments,informationanddeliveredcargoprovidedbyPartyA.Incaseofdocumentloss,damageorcargolossordamagecausedbyPartyB'sfault,PartyBshallbearcorrespondingcompensationliability.5.4乙方应按照甲方的要求及时签发、更正或补签海运提单/运单，确保单证内容真实准确。5.4.1PartyBshalltimelyissue,amendorreissueseawaybills/billsofladingasrequiredbyPartyA,andensurethatthecontentsofthedocumentsaretrueandaccurate.5.5乙方不得泄露甲方的商业秘密、货物信息及其他未公开的经营信息，除非法律法规要求或经甲方书面同意。5.5.1PartyBshallnotdisclosePartyA'stradesecrets,cargoinformationandotherundisclosedbusinessinformation,unlessrequiredbylawsandregulationsorwiththewrittenconsentofPartyA.6.费用及支付方式6.1委托服务费用及代垫费用的明细由双方另行书面确认，甲方应于乙方提交费用结算清单及合法有效票据后[]个工作日内，通过银行转账方式支付至乙方指定账户：账户名：[]，开户行：[]，账号：[]。6.1.1Thedetailsoftheentrustedservicefeesandadvancedexpensesshallbeconfirmedinwritingbybothpartiesseparately.PartyAshallpaythefeestothedesignatedaccountofPartyBviabanktransferwithin[]workingdaysafterPartyBsubmitsthefeesettlementlistandvalidlegalinvoices:AccountName:[],BankofDeposit:[],AccountNumber:[].6.2若甲方逾期支付费用，每逾期一日应按照未付金额的[]‰向乙方支付逾期违约金，逾期超过[]日的，乙方有权暂停办理委托事项直至费用结清。6.2.1IfPartyAfailstopaythefeeswithintheprescribedtimelimit,itshallpayalatepaymentpenaltyatarateof[]‰oftheunpaidamountperday.Iftheoverdueperiodexceeds[]days,PartyBshallhavetherighttosuspendhandlingtheentrustedmattersuntilthefeesaresettled.6.3乙方应向甲方提供合法有效的税务发票，否则甲方有权暂缓支付对应费用，且不承担逾期违约责任。6.3.1PartyBshallprovidePartyAwithvalidlegaltaxinvoices.Otherwise,PartyAshallhavetherighttodeferpaymentofthecorrespondingfeesandshallnotbearthelatepaymentliability.7.保密条款7.1双方应对在本协议签订及履行过程中获悉的对方的商业秘密、技术信息、经营数据及其他未公开信息承担保密义务，未经对方书面同意，不得向任何第三方泄露，法律法规另有规定的除外。7.1.1Bothpartiesshallbeartheobligationofconfidentialityfortheotherparty'stradesecrets,technicalinformation,businessdataandotherundisclosedinformationacquiredduringthesigningandperformanceofthisAgreement,andshallnotdisclosethemtoanythirdpartywithouttheotherparty'swrittenconsent,exceptasotherwiserequiredbylawsandregulations.7.2本保密义务在本协议终止后[]年内持续有效。7.2.1Thisconfidentialityobligationshallremainvalidfor[]yearsaftertheterminationofthisAgreement.8.协议期限8.1本协议自双方签字盖章之日起生效，有效期至[]年[]月[]日。期满前[]日，若双方均未以书面形式提出终止本协议，则本协议自动续期[]年，续期次数不限。8.1.1ThisAgreementshallcomeintoeffectasofthedatewhenbothpartiessignandaffixtheirseals,andshallbevaliduntil[][Month][Day],[Year].IfneitherpartygiveswrittennoticeofterminatingthisAgreement[]daysbeforetheexpiration,thisAgreementshallautomaticallyrenewfor[]years,andthenumberofrenewalsisunlimited.9.违约责任9.1若乙方未按照本协议约定完成委托事项，或因乙方过错导致甲方遭受损失的，乙方应赔偿甲方因此遭受的直接经济损失。9.1.1IfPartyBfailstocompletetheentrustedmattersinaccordancewiththisAgreement,orcauseslossestoPartyAduetoPartyB'sfault,PartyBshallcompensatePartyAforthedirecteconomiclossesthusincurred.9.2若甲方违反本协议约定，拒绝支付费用或提供虚假信息导致乙方遭受损失的，甲方应赔偿乙方因此遭受的直接经济损失。9.2.1IfPartyAviolatesthisAgreementbyrefusingtopaythefeesorprovidingfalseinformation,causinglossestoPartyB,PartyAshallcompensatePartyBforthedirecteconomiclossesthusincurred.9.3因不可抗力导致本协议无法履行的，双方均不承担违约责任，但应及时通知对方并在合理期限内提供相关证明文件。9.3.1NeitherpartyshallbeartheliabilityforbreachofcontractiftheperformanceofthisAgreementisimpossibleduetoforcemajeure,butshalltimelynotifytheotherpartyandproviderelevantsupportingdocumentswithinareasonableperiod.10.争议解决10.1因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交至[]所在地有管辖权的人民法院诉讼解决，或提交[]仲裁委员会按照其届时有效的仲裁规则进行仲裁。10.1.1AnydisputearisingfromorrelatedtothisAgreementshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties.Iftheconsultationfails,eitherpartyshallhavetherighttosubmitthedisputetothepeople'scourtwithjurisdictionattheplaceof[]forlitigation,orsubmititto[]ArbitrationCommissionforarbitrationinaccordancewithitsthenvalidarbitrationrules.10.2争议解决期间，除争议事项外，双方应继续履行本协议的其他条款。10.2.1Duringthedisputeresolutionperiod,bothpartiesshallcontinuetoperformtheotherclausesofthisAgreementexceptforthedisputedmatters.11.
