海运代理合同-中英文对照(范本)甲方（委托人）：[公司名称]，注册地址：[地址]，统一社会信用代码：[代码]，联系人：[姓名]，联系电话：[电话]PartyA(Principal)：[CompanyName],RegisteredAddress:[Address],UnifiedSocialCreditCode:[Code],ContactPerson:[Name],ContactTelephone:[Telephone]乙方（海运代理人）：[公司名称]，注册地址：[地址]，统一社会信用代码：[代码]，联系人：[姓名]，联系电话：[电话]PartyB(OceanFreightForwardingAgent)：[CompanyName],RegisteredAddress:[Address],UnifiedSocialCreditCode:[Code],ContactPerson:[Name],ContactTelephone:[Telephone]鉴于甲方有货物需通过海运方式运输至指定目的地，乙方具备合法的海运代理经营资质，双方经友好协商，就乙方为甲方提供海运代理服务事宜达成如下协议，以资共同遵守。WhereasPartyAhasgoodstobetransportedtothedesignateddestinationbyoceanfreight,andPartyBholdslegalqualificationforoceanfreightforwardingbusiness,throughfriendlynegotiation,bothpartiesherebyreachthefollowingagreementregardingPartyB’sprovisionofoceanfreightforwardingservicestoPartyA,whichshallbeabidedbybothparties.1.委托事项1.1甲方委托乙方作为其海运代理人，代为办理以下全部或部分海运相关事宜：（1）订舱及舱位确认；（2）安排货物装箱、仓储、装卸、中转；（3）代为办理报关、报检、报验及相关单证手续；（4）代为联系承运人、港口作业方及其他相关服务方；（5）代为收取、传递海运提单及其他运输单证；（6）其他甲方委托的与海运运输相关的事宜。1.1PartyAherebyauthorizesPartyBasitsoceanfreightforwardingagenttohandleallorpartofthefollowingoceanfreight-relatedmattersonitsbehalf:(1)Bookingcargospaceandconfirmingthespace;(2)Arrangingcargopacking,storage,loading/unloadingandtransshipment;(3)Handlingcustomsdeclaration,inspection,quarantineandrelateddocumentproceduresonbehalfofPartyA;(4)Contactingcarriers,portoperatorsandotherrelevantserviceprovidersonbehalfofPartyA;(5)CollectingandtransmittingoceanbillsofladingandothertransportationdocumentsonbehalfofPartyA;(6)Otheroceanfreight-relatedmattersentrustedbyPartyA.1.2委托运输的货物信息：货物名称：[货物名称]，数量：[数量]，重量：[重量]，体积：[体积]，起运港：[起运港]，目的港：[目的港]，预计出运日期：[日期]。1.2Informationoftheentrustedcargo:CargoName:[CargoName],Quantity:[Quantity],Weight:[Weight],Volume:[Volume],PortofLoading:[PortofLoading],PortofDestination:[PortofDestination],EstimatedShipmentDate:[Date].2.乙方的权利义务2.1乙方应严格按照甲方的委托要求及国家相关法律法规、行业规范办理各项海运代理事宜，确保服务质量及运输安全。2.1PartyBshallhandlealloceanfreightforwardingmattersinstrictaccordancewithPartyA’sentrustedrequirements,relevantnationallaws,regulationsandindustrynorms,soastoensureservicequalityandtransportationsafety.2.2乙方应及时向甲方反馈货物运输进展情况，包括订舱结果、货物到港、装船、卸船及交付等信息。2.2PartyBshallpromptlyfeedbacktheprogressofcargotransportationtoPartyA,includinginformationsuchasbookingresults,cargoarrivalatport,loading,unloadinganddelivery.2.3乙方应妥善保管甲方提供的全部单证资料，不得泄露甲方的商业秘密。2.3PartyBshallproperlykeepalldocumentmaterialsprovidedbyPartyAandshallnotdisclosePartyA’stradesecrets.2.4乙方有权按照本协议约定向甲方收取代理服务费用。2.4PartyBhastherighttocollectagencyservicefeesfromPartyAinaccordancewiththeprovisionsofthisAgreement.2.5因乙方故意或重大过失导致甲方货物损坏、灭失或单证丢失的，乙方应承担相应的赔偿责任。2.5IncasePartyA’scargoisdamaged,lostordocumentsarelostduetoPartyB’sintentionalactorgrossnegligence,PartyBshallbearcorrespondingcompensationliability.3.甲方的权利义务3.1甲方应向乙方提供准确、完整的货物信息、单证资料及委托要求，确保所提供资料符合国家法律法规及运输要求。3.1PartyAshallprovidePartyBwithaccurateandcompletecargoinformation,documentmaterialsandentrustedrequirements,ensuringthattheprovidedmaterialscomplywithnationallaws,regulationsandtransportationrequirements.3.2甲方应按照本协议约定及时足额支付代理服务费用及其他相关费用。3.2PartyAshallpaytheagencyservicefeesandotherrelatedfeesinfullandontimeinaccordancewiththeprovisionsofthisAgreement.3.3甲方有权了解货物运输的实时进展情况，要求乙方及时提供相关单证及信息。3.3PartyAhastherighttoknowthereal-timeprogressofcargotransportationandrequirePartyBtoproviderelevantdocumentsandinformationinatimelymanner.3.4因甲方提供的信息或资料错误、不全导致的损失及相关费用，由甲方自行承担。3.4LossesandrelatedcostscausedbyincorrectorincompleteinformationormaterialsprovidedbyPartyAshallbebornebyPartyAitself.4.费用及支付方式4.1双方约定，本次代理服务费用总计为：[人民币金额]（大写：[大写金额]），或等值外币。费用明细包括：[明细列表，如订舱费、报关费、仓储费等]。4.1Bothpartiesagreethatthetotalagencyservicefeeforthistimeis:[AmountinRMB](inwords:[AmountinWords]),orequivalentforeigncurrency.Thefeedetailsinclude:[ListofDetails,suchasbookingfee,customsdeclarationfee,storagefee,etc.].4.2甲方应在[具体时间，如货物装船后3个工作日内]将上述费用支付至乙方指定账户：账户名称：[乙方账户名称]开户行：[开户行名称]账号：[账号]4.2PartyAshallpaytheabovefeestoPartyB’sdesignatedaccountwithin[SpecificTime,suchas3workingdaysaftercargoloading]:AccountName:[PartyB’sAccountName]BankName:[BankName]AccountNumber:[AccountNumber]4.3如因甲方原因产生额外费用，乙方应及时告知甲方，经甲方确认后，由甲方承担并支付。4.3IfadditionalfeesareincurredduetoPartyA’sreasons,PartyBshallpromptlyinformPartyA,andafterPartyA’sconfirmation,suchfeesshallbeborneandpaidbyPartyA.5.违约责任5.1若甲方未按照本协议约定支付费用，每逾期一日，应按照未支付金额的[0.5‰]向乙方支付违约金；逾期超过[15]日的，乙方有权暂停后续服务，并追究甲方的违约责任。5.1IfPartyAfailstopaythefeesinaccordancewiththeprovisionsofthisAgreement,itshallpayaliquidateddamagesof[0.5‰]oftheunpaidamounttoPartyBforeachdayofdelay;ifthedelayexceeds[15]days,PartyBhastherighttosuspendsubsequentservicesandpursuePartyA’sliabilityforbreachofcontract.5.2若乙方未按照本协议约定履行代理义务，给甲方造成损失的，乙方应赔偿甲方的直接经济损失；若因乙方违约导致货物运输延误的，乙方应按照协议总金额的[0.3‰]每日向甲方支付违约金。5.2IfPartyBfailstoperformagencyobligationsinaccordancewiththeprovisionsofthisAgreementandcauseslossestoPartyA,PartyBshallcompensatePartyAfordirecteconomiclosses;ifcargotransportationisdelayedduetoPartyB’sbreachofcontract,PartyBshallpayaliquidateddamagesof[0.3‰]ofthetotalagreementamounttoPartyAperday.5.3除本协议另有约定外，任何一方违反本协议的其他约定，应向守约方支付协议总金额的[5%]作为违约金，并赔偿守约方因此遭受的全部损失。5.3UnlessotherwiseagreedinthisAgreement,ifeitherpartyviolatesotherprovisionsofthisAgreement,itshallpay[5%]ofthetotalagreementamountasliquidateddamagestotheobservantpartyandcompensatetheobservantpartyforalllossessufferedtherefrom.6.争议解决6.1因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决。6.1AnydisputearisingfromorrelatedtothisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenbothparties.6.2若协商不成，任何一方均有权向[甲方所在地/乙方所在地/合同签订地]有管辖权的人民法院提起诉讼。6.2Ifnegotiationfails,eitherpartyhastherighttofilealawsuitwiththepeople’scourthavingjurisdictionin[PlaceofPartyA/PlaceofPartyB/PlaceofSigningoftheAgreement].7.合同生效及其他7.1本协议自双方签字盖章之日起生效，有效期至[具体日期/本次货物运输完成并结清全部费用之日]。7.1ThisAgreementshallcomeintoeffectonthedatewhenbothpartiessignandsealit,andshallremainvaliduntil[SpecificDate/Thedatewhenthiscargotransportationiscompletedandallfeesaresettled].7.
