Howlongagraphicsprocessingunit(GPU)isassumedtolastshapesbothreported

earningsandthecollateralvaluebehindGPU-backeddebt.Severalhyperscalershavelengthenedtheseassumptionsinrecentyears;boostingnear-termprofit.Whilstthisisalegitimateaccountingjudgementandnotfraud,itconcentratesriskinthe

earningsmultiplesandresidual-valueguarantees,shouldtheassumptionsprovetobetoogenerous.

1.1.4DemandforAIInfrastructureIsReal

Unlikethefibreopticsbuild-outofthelate1990s,datacentrevacancyhasstayednearzero,andalargeshareofnewcapacityispreleasedbeforecompletion.

Contractedrevenuebacklogsatthelargestcloudprovidersareconvertinginto

collectedcash,ratherthansittingasunpaidreceivables,whichistheclearestevidenceseparatingthiscyclefrompreviousinfrastructurebusts.

1.1.5AICapitalExpenditureOutpacingtheFreeCashflowthatitSupports

Freecashflowamongtheleadinghyperscalersisthinning,butspendingremainsdiscretionary,andislargelyunderwrittenbyprofitablecorebusinessessuchasadvertising,retail,andenterprisesoftware,whichcontinuegeneratingcash

ThelargestAI-linkedcompaniesnowaccountforahistoricallyhighshareofmajor

equityindices,andagrowingshareofAIfinancingrunsthroughprivatecredit,ratherthanbanks.Eachchannelmeansthatordinarysavers-throughpensionsandindex-trackingretirementproducts-carryindirectexposuretoasector-specificriskthey

didnotchoosetotake.TheInternationalMonetaryFund(IMF),BankforInternationalSettlements(BIS),andtheFederalReserveBankofNewYork(NewYorkFed)have

eachflaggedthisconvergenceasagenuinesystemicconcern.

Acrossthesekeytakeawaysaretwomainrisksrunninginparallel.Thefirstis

structural,andcentresaroundoff-balance-sheetfinancing,circularfunding,and

lengtheneddepreciationassumptions–eachobscuringthetrueleverageand

earningsqualitybehindthebuild-out.Thesecondistransmissionrisk:concentratedequityexposureandthegrowingroleofprivatecreditcantransmitrisksbeyondthesectoritself,intopensionsandindex-trackingproductsheldbysaverswhodidnot

choosetheexposure.Genuinedemandandcash-convertingrevenuebackthebullcase,butpiecesofthestoryarestillmissing-howmuchofthefinancingand

Thebuild-outofAIhasbecomethelargestconcentratedcapitalinvestment

programmeinthehistoryoftechnology.ThefourlargestUS-basedhyperscalersareexpectedtospendupto$725billionin2026incapitalexpenditure;up77%from

2025’sfigureof$410billion.Theoverwhelmingmajorityofthisexpenditureservesasingleobjectiveofbuildingandoperatingthecomputationalcapacityrequiredto

trainandrunAImodelsatscale.

Theaggressiveinvestmentcycleisduetotherapidriseoflargelanguagemodels

(LLMs),bothinusageandcapability,Thesemodelsaresystemstrainedonvast

datasetstoproducetext,code,andotheroutputsbypredictinglikelysequences.

Trainingandservingthesemodelsiscomputeintensive,anditisthissamedemandforcomputationthatconvertsdirectlyintodemandforphysicalinfrastructure.

ThemodernwaveofAIandLLMstracestoasingleproductmoment.WhenOpenAIreleasedChatGPTinlate2022,aconversationalAIchatbotpoweredbyitsGPT-3.5

model,itdemonstratedthatLLMshadcrossedthelinefromresearchtomass-

marketutility.TheAIchatbotquicklyfoundproductmarketfit;serving100million

monthlyactiveusersinJanuary2023.ByJuly2025,OpenAI’sresearchpaper

mentioned700millionweeklyusers,andbyMarch2026,thecompanysaidChatGPThadcrossed900millionweeklyusers.

Belowaretermsthatreoccurthroughoutthereport:

•Neocloud:AspecialisedcloudproviderdedicatedtoAIworkloads.

•Specialpurposevehicles(SPVs):Thisreferstoalegallydistinctsubsidiarycreatedbyaparentcompanytofulfilanarrow,specificobjective.

WhilsttheinvestmentcaseforAIpresentsitself,thefinancialarchitectureisfarlesswellunderstood.ThiswhitepaperexamineshowtheAIinfrastructurebuild-outis

committedtobuildingorbuyingfrontierAIcapability,withcompaniessuchas

DeepMind,anAIresearchlaboratoryandsubsidiaryofAlphabet,andnowfieldstheGeminiline,Google’ssuiteofgenerativeAImodels.Similarly,MetaopensourceditsLlamafamily,acollectionofopen-weightAImodels,andMicrosoftpartneredwith

OpenAI;essentiallydrivingapushofAIintoitsentiresoftwareestatewithCopilot,anAI-powereddigitalassistantdevelopedbyMicrosoft.

Understandingwherethecapitalgoesrequiresunderstandinghowafrontiermodelisbuilt.Theprocessfollowsapipeline.Firstly,developersassembleandcleanvast

quantitiesoftrainingdata.Thisdataincludesscrapedwebsites,licensedand

proprietarycontent,books,papers,code,domain-specificcurateddata,synthetic

data,enterprisedata,andmore.Theythenpre-trainabasemodel,whichisthemostcomputationallyintensivestageinwhichthemodellearnsgeneralpatternsfromthatdataacrossweeksormonthsofcontinuousprocessing.Themodelisthenfine-tunedandalignedtofollowinstructionsandbehavewithinitslimitsthroughsafetyand

capabilitytesting–uponwhichthemodelisreleasedtousers,activelymonitored,anditerateduponasreal-worlduseexposesitsweaknesses.

Ofallstages,pre-trainingdominatesthecoststructureofanAImodel.Itdemands

enormous,purpose-builtinfrastructure,suchasdatacentresfilledwithspecialised

chipssuchasGPUsorTensorProcessingUnits(TPUs),tiedtogetherwiththe

significantelectricalpowertorunthem,aswellasthesubsequentcoolingsystemstokeepthemstable.Ingeneral,asinglefrontiertrainingruncanutilisetensof

thousandsofchipsformonthsatatime.Consequently,pre-trainingcancreateveryhighcapitalbarriers;requiringgigawatts(GW)ofpowerandbillionsofdollarsof

hardware.

IntheearlystagesofthemodernAIboom,theleadingfirmslargelypaidfortheinfrastructurethemselves;utilisingsubstantialfreecashflow,thecashabusiness

retainsafteroperatingcostsandroutinereinvestment,anddirectingitintoAIbuild-out.Capitalexpenditure(CapEx)waslargeandgrowing,butcomfortablycoveredbyfreecashflow.However,between2025and2026thisrelationshipshifted.CapExwasacceleratingfasterthancashgeneration,andplannedspendingamongsttheleadingfirmsbegantooutrunavailable.Thisledtheindustrytoreachbeyonditsown

balancesheetforcapital.

TherearetwodominanttrendsacceleratingthepaceofAIdevelopmentand

infrastructurespending.Firstly,thepursuitofartificialgeneralintelligence(AGI),ahypotheticaltypeofAIthatcanmatchorexceedhumancognitiveabilitiesacross

manytasks.Secondly,theincreasedcompetitionfromChina,whereChineseAI

laboratoriesreleasegenuinelycompetitiveopen-weightmodels,suchasDeepSeek,Alibaba’sQwen,andZhipu’sGLM,atafractionofthepriceoftheirWestern

counterparts.Forinstance,inearly2025,DeepSeek’sR1modelwasreleasedand

matchednear-frontierperformanceatsignificantlylowercost,whichbrieflyerasedhundredsofbillionsofdollarsinUSchipmakervaluations.Similarly,by2026,

Alibaba’sQwenfamilyhadovertakenMeta’sLlamaasthemostdownloadedopenmodelecosystemintheworld.

Theunderlyingdynamicisthatefficientthatchallengersarequicklyclosingthe

capabilitygap,andremainingstagnantisnotanoption.Asaresult,theleading

developersandlabsintheWesternhemisphereareturningtoincreasinglycreativemethodsoffinancingtheirexpansion.Inthiswhitepaper,ourresearchwillcoverthemechanismsthatarecurrentlypresentinthemarket,andtherisksthose

mechanismscarry.

1.5ShadowBorrowingandOff-balance-sheetDebt

Thecapitaldemandsfromthebuild-outofAIinfrastructurehasoutrunthecashflowavailabletomeetthem.Across2025and2026,thefivelargesthyperscalersareon

coursetocommitmorethanatrilliondollarstoAIinfrastructure.Thisfigureexceedstheircombinedearningsandfreecashflow.Theshortfallmustbefundedsomehow,andraisingconventionaldebtagainstitcarriesacostbeyondinterest.Similarly,

risingleveragethreatensthecreditratingsandbalance-sheetstrengththatunderpinthesecompanies’premiumvaluations.

Asaresult,off-balance-sheetfinancinghasbecomeaprimarymeansofresolving

thistension.Ratherthanborrowdirectly,ahyperscalerroutesaprojectthroughanSPVwhichisastandalonelegalentitycreatedtoownasingleassetandcarryits

debt.Thevehicleraisesthefinancing,buildsorholdsthedatacentre,andleasesit

backtothehyperscalerunderalong-termcontract.Thetenantbookspredictable

leasepaymentsasanoperatingexpense,andthedebtsitswiththeSPV–outsideoftheparent’sconsolidatedaccounts.

Thisblueprintisalreadybeingcopied.Forexample,Oracle’sOpenAIfacilityin

Abilene,TexasisheldinacomparablevehiclebackedbyBlueOwlCapitaland

JPMorgan,whilstCoreWeavehasraisedmorethan$8billionthroughabankruptcy-remoteSPVthatownsitsGPUsandborrowsagainsttake-or-paycontractswith

investment-gradetenants.Onestimate,Oracle,Meta,xAI,andCoreWeavehave

movedaround$120billionofAI-relateddebtofftheirbalancesheetswiththis

method.BIScalledthis“shadowborrowing”initsMarch2026QuarterlyReview–otherwisereferringtoitascommitmentsthatareeconomicallyequivalenttodebtwhichlargelyresidesoutsidethecorporatebalancesheet.

Withthesestructures,theconcernisnotabouttheirlegalityorwhethertheyare

improper-mostaredisclosed,rated,andlegallyrobust.Theissueariseswhen

stakeholderswhorelyonmetricsfrombalancesheetsarenottrulyunderstanding

theriskssurroundingtheentity.Inthissetup,thetrueleverageorriskis

understated,asthedebtsitsinsideoftheSPVandnotofthetenantcompany.Asa

result,ahyperscalerassessedonreporteddebtalonecanlookconsiderablystrongerthanthesamefirmassessedonthefulleconomicobligationsunderpinningits

infrastructureandbuild-out.Thisstructureisoftencomparedtosimilardebt-

manoeuvringtechniquesasthoseofthelate1990s,whereEnronsimilarlyparkeditsobligationsinoff-balance-sheetvehicles.However,thedistinctionhereisthatAI

structuresaredisclosedandlawful,whereasEnron’swereconcealedandfraudulent.Theunderlyingfactorsharedbetweenthetwoisthatthebalancesheetcan

understatetheriskanenterpriseactuallycarries.

Anotherelementtothisstoryishowthedebtisbeingratedbyratingagencies.

Investment-graderatingsondatacentreSPVsrestlargelyonthecreditworthinessofthetenantandthedurabilityofitslease,ratherthanthestandaloneeconomicsof

theasset.Therefore,aweakertenantwouldpricemateriallyhigherthanastrongerone.Thislogicisdefensibleforaslongasthetenantcankeeppayingdownonthe

debt.Itislessreassuringwhenfactoringinthatthecollateralunderlyingthedebtarepurpose-builtfacilitieswithlimitedalternativeuse,andGPUswithashorter

economiclifethanthedebtwrittenagainstthem.

1.6CircularFinancing–theInfiniteMoneyGlitch

Thetermcircularfinancinghasbeenmakingheadlinesasoflate.However,the

actualdetailsbehindthedealsareoftenmisunderstood;leadingtoa

misrepresentationofthesituation,whetherforbetterorworse.Typically,circular

financingreferstowhencorporateentitiesfunnelcapitalintoeachotherthrough

variousmechanismssuchasequityinvestments,debtobligations,options,etcto

createcontinuousgrowth.Atitssimplest,asupplierinvestsinacompanyonthe

explicitorimplicitunderstandingthattherecipientwillspendthosefundsbuyingthesupplier’sproducts–returningthecapitaltoitsorigin;creatingtheappearanceof

strongdemandwhiletheinvestorindirectlyfundsitsownsale.

IntheAIspace,thisrunsasaloopthroughasmallcohortofentitiescomprising

investors,suppliers,andcustomers.Capitalleavesthebalancesheetofoneentity

andthenreturns;havingbeenrecognisedasrevenueatdifferentstagesoftheloop.Forexample,achipmakerinvestsinanAIlab;thelabthencommitshundredsof

billionstocloudproviders;thoseprovidersbuyGPUstofulfilthecontracts.Ateachlegofthetransaction,revenueorcontractualobligationsarebookedfromthesameunderlyingspend.

Thefinancingstructureinfigure5madeheadlineswhen,inFebruary2026,

chipmakerNVIDIAannounceda$30billiondirectequitystakeinOpenAI’s$110billionround,alongsidebindingcommitmentsfor3GWofinferenceand2GWof

trainingcapacityonNVIDIA’sVeraRubin,anext-generationAIsupercomputing

platform.Inparallel,OpenAIcontractedOracleforcomputeinapartnershipdeal

exceeding$300billionoverfiveyears;coveringupto4.5GWofStargatecapacity.It

alsoenteredaseven-yearagreementwithAWSamountingto$38billion,which

expanded,inFebruary2026,byafurther$100billionovereightyears,withAmazonseparatelyinvesting$50billioninOpenAI.Additionally,itsecuredongoingAzure

consumptionthroughadefinitiveagreementsignedwithMicrosoftinOctober2025,whichcontractsOpenAItopurchaseanincremental$250billionofAzureservices.Toservicethesecitedcontracts,Oracle,AWS,andneocloudproviderssuchas

CoreWeavemustbuyNVIDIAGPUs–thuscompletingtheloop.Capital,initially

departedfromNVIDIAasinvestment,returnsasrevenue,whilstbeingbookedasdemandateachintermediatestage.

Variantsofthistypeofstructureproliferatedthrough2025andthefirsthalfof2026;eachaddressingadifferentconstraint.Theequity-for-cashvariantillustratedbelowmadeheadlinesinOctober2025,where:

•AMDissuedOpenAIawarrantforupto160millionshares,roughlyatenthofthecompany,atanexercisepriceofonecent.Thiswasvestingintranchestiedto

purchasesofAMDInstinctGPUsscalingto6GW,furtherconditionedonAMD’ssharepricereaching$600forthefinaltranche.

•AMDrepeatedthesamestructurewithMetainFebruary2026;withanidentical

160millionshareperformancewarrant,alongsideachipcommitmentreportedatupto$100billionandthesame6GWtarget.

•Inbothdeals,thetwowarrantsarethesameinstrument;eachvestingintranchesagainstpurchasesscalingto6GWofAMDGPUs.Underthissetup,wehavea

suppliercompensatingthecustomerwithitsownstock,fortheactofbuyingfromthatsamesupplier.

Anothertypeof‘circular’fundingistheguarantee.InSeptember2025,CoreWeave

andNVIDIAenteredintoanorderagreementwithaninitialvalueof$6.3billion,

underanexistingMasterServiceAgreement(MSA)datingfromApril2023.AnMSAisafoundationalcontractbetweentwopartiesthatoutlinesthegenerallegaland

operationaltermsfortheirongoingbusinessrelationship.ThedealoutlinesthescenariowhereCoreWeave’sdatacentrecapacityisunderutilisedbyitsown

financedthroughanSPVestablishedbyValorEquityPartners;raisingroughly$20

billion.Approximately,$7.5billionisequityand$12.5billionisdebtarrangedwith

ApolloGlobalManagementandDiameterCapitalPartners,andcollateralisedbytheGPUsthemselves,ratherthanbyxAI.TheentitywillacquireNVIDIAchipsandleasethembacktoxAIoverfiveyears.ThedebtwillbecollateralisedbytheGPUs,ratherthanbyxAI’sbroaderassets,andxAIholdsanoption–notanobligation–toacquirethehardwarewhentheleaseends.

Undertheagreement,ifNVIDIAchipsareworthlessin2030thanthelenders

assumed,thelosswillsitwithValor,Apollo,andDiameter.Intheeventof

bankruptcy,creditorrecoursethereforefallsuponthehardware,nottothe

operatingcompanyonwhichitdepends.ThechipsneverappearonxAI’sbalancesheet,andthe$12.5billionneverappearsasdebt.Thisstructurealsorelocates

billioninAzurecomputecapacityandtocontractforuptoafurtherGW.Amazon

followedinApril2026;investing$5billionimmediately,withupto$20billionmoretofollow.Asaresult,Anthropiccommittedmorethan$100billionover10yearstoAWS’technologies;securingupto5GWofnewcapacityspanningGraviton,afamilyof

customARM-basedprocessorsdesignedbyAWSspecificallyforcloudcomputing,
