17、ls with first class workmanship，brand new and unused，and complies in a11 respects with the quality and specification stipulated in this ContractThe guarantee period for the total system shall be l2months counting from the equipment shipping to the site. 12迟交货及罚金Late Delivery and Penalty：除不可抗力的因素外由卖方

18、造成的未按期交货买方有权要求迟交货罚金. 罚金按每七天0.5%计算, 最多不超过合同价的5为限。Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure, the Buyers have the right to charge late delivery penalty at 0.5 for every seven days，the total penalty will not exceed 5 of the total cont

19、ract value13. 检验和索赔Inspection and Claim:（1） 发货前，制造厂应对货物的质量，规格，性能和数量/重量做精密全面的检验，出具检验证明书，并说明检验的技术数据和结论。The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods in regard to the quality specification, performance and quantity/weight, and issue inspection certif

20、icates certifying the technical data and conclusion of the inspection.（2） 货到项目地后，买方将申请中国出入境检验检疫局（以下简称商检局）对货物的规格和数量/重量进行复检，如发现货物残损或规格，或/和数量与合同规定不符，除保险公司或轮船公司的责任外，买方在货物到达项目地后60日内凭商检局出具的检验证明书向卖方索赔或拒收该货物。After arrival of the goods at the site the Buyers shall apply to the China Inspection & Quarantine B

21、ureau (hereinafter referred to as CIQ) for a further inspection in respect of the specifications and quantity/weight of the goods. If damages of the goods are found, or the specification and /or quantity are not in conformity with the stipulations of this Contract, except when the responsibilities l

22、ie with Insurance Company or Shipping Company, the Buyers shall within 90 days after arrival of the gods at the site, claim against the Sellers, or reject the goods according to the inspection certificates issued by CIQ.（3） 在保证期限内，如货物由于设计或制造上的缺陷而发生损坏或/和品质，性能与合同规定不符时，买方将委托中国出入境检验检疫局进行检验，并凭其检验证明书向卖方提出

23、索赔（包括换货），由此产生的全部费用应由卖方承担。In case of damages of the goods incurred due to the design or manufacture defects and / or the quality and performance are not in conformity with the Contract, the Buyers shall, during the guarantee period, request CIQ to make a survey and shall make a claim against the Sell

24、ers (including replacement of the goods) and all the expenses incurred, therefrom shall be borne by the Sellers.（4） 若卖方收到上述索赔后三十天内未予答复，则认为卖方已接受上述索赔。 The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after the Sellers receive the Buyers claim.1

25、4不可抗力Force Majeure：由于人力不可抗拒事故，卖方交货推迟或不能交货时责任不在卖方。 但卖方应将事故立即通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的证明书航空邮寄交给买方为凭，并取得买方认可。在上述情况下卖方仍有责任采取一切必要措施加快交货。The Sellers will not be held responsible for any delay in delivery of the goods due to force majeure. However，the Sellers shall advise the Buyers immediately of su

26、ch occurrence and within fourteen days thereafter，shall send by airmail to the Buyers for their acceptance a certificate issued by the competent government authorities of the place where the accident occurs as evidence thereof.
