US$ and Cents ”指以美元作为国际货币单位15. “Stevedore” shall mean an indiv

12、idual or firm that employs longshoremen who Contract to load or unload a Mother Vessel. “Stevedore”指搬运工16. “Deadweight” shall mean a common measure of ship carrying capacity, being the maximum number of tons of the Coal that a Mother Vessel can transport.“Deadweight”指舰船所装载印尼蒸汽煤（原煤）的吨量及设施装备17. “P&I”

13、shall mean protection and indemnity as stipulated in an insurance term.“P&I ”指保护和损失赔偿可以作为规定保险18. “GT” shall mean gross tonnage applied to vessels.“GT” 指舰船的总吨位19. “NT” shall mean net tonnage, which is equal to the gross tonnage minus deduction for space occupied by crew accommodations, machinery, nav

19、 85% Min mmADB =空干基 ； ARB=收到基ARTICLE 3第三条款PURCHASE PRICE购买价格The purchase for the Coal to be delivered pursuant to this Contract shall be the USD 95 /MT Cargo and freight (CFR) to major ports of South China. 90% payment on loading and the remaining 10% payment upon testing in China by CIQ standards d

20、elivery is to be fully secured on a monthly basis by via irrevocable revolving L/C at sight at loading port. 依照合同显示，买方购买卖方印度尼西亚蒸汽煤（原煤）的价格是每吨 95美元 (CFR)到母航船的抛锚地点, 为中国南部的主要港口。90%的货款将在装船完成后支付，其余的10%货款将在货物到达港口，通过中国CIQ检测后支付。需要按月在装船港口用不可撤销信用证做付款保证。The Buyer shall commence a trial order of 35,000MT. If the

21、 trial is successful and delivered in the provisions of the contract the contract will automatically roll into a supply contract of 70,000 MT per month (2 shipments of 35,000) for 36 months as per the shipping schedule in annexure A. The Sale Price shall be renegotiated every 3 or 6 monthly. Once co

22、nfirmed by both parties the contract will resume. The contract is completed once the 36 months are fulfilled and can be extended by mutual consent.买方将开始购买3.5万吨作为试用. 试单顺利完成之后，双方将自动进入一个每月供应7万吨（2船，每船3.5万吨）的长期供货合同为期36个月，供货安排参见附录A。销售价每3或 6个月由买卖双方协商决定，经双方同意后继续生效合。，合同为期36个月，如双方无异议，合同可续延。ARTICLE 4第四条款WEIGHT

23、, IMPURITIES, QUALITY, SAMPLING, AND ANALYSIS称重、杂质、质量、抽样及分析1. Survey on quality and quantity of the Coal shall be carried out by PT SUCOFINDO (ATSM Standards) at the Loading Port.煤的质量和数量的调查是由印尼的SUCOFINDO国际质量鉴定员在装载港实行检验。2. The Survey Reports (Certificate of Sampling and Analysis Report and Certificat

24、e of Weight Survey) costs at the Loading Port shall be borne by Seller. Such reports shall be used as the basis for the B/L weight. 从装载煤到达港口后的调查报告(质量和数量)费用将由卖方承担。 这份报告将被用于确定煤炭的运单重量。3. The final weight shall be determined according to the Draft Survey performed by PT SUCOFINDO at the Loading Port.煤炭的

Quality as per quality certificate issued by PT SUCIOFINDO (ATSM Standards) appointed by the Seller at their own charge at loading port shall includes date, place, Total Moisture, Internal Moisture, Ash Content, Total Sulphur, and Gross Calorific Value.

26、PT SUCIOFINDO (ATSM Standards) will issue the quality certificate, which cannot be changed. 印尼 SUCIOFINDO出具的煤的质量鉴定是在交货点上货港装载港口执行，费用由卖方承担。 其质量调查包括日期，地点，数量，全水的优质参数，内水，灰分，硫，挥发酚，总的热值。鉴定结束后由印尼SUCIOFINDO的国际质量鉴定员颁发质量认证，最终不可以更改鉴定报告。5. Buyer shall have the right to be present during the sampling for surveyor

27、 report or to appoint another independent surveyor like INTERTECK (ATSM Standards) at their own cost to supervise the sampling procedure to obtain a fair and mutually acceptable sampling买方有权在场煤的质量鉴定执行过程, 或安排其他检验公司如INTERTEK 质量鉴定成员监督采样过程或进行联合采样为了获取公平,合理,双方的都能接受的抽样做测试. 买方应承担这额外的成本.Sampling and Weight (

28、China)抽样及称重（中国）(a)The Buyer shall cause a representative sample to be taken for each shipment, and cause such sample to be analyzed by the Independent Inspection Authority, INTERTEK, appointed by the Buyer and approved by the Seller.买方可以指定一个独立的检测机构 如INTERTEK，对每船的样品进行单独的检测，该检测机构由买方来指定并且需要得到卖方的认可。(b)

29、Seller shall have the right to be present during the sampling for surveyor report or to appoint another independent surveyor like CCIC at their own cost to supervise or to jointly conduct a the sampling procedure to obtain a fair and mutually acceptable sampling卖方有权在场煤的质量鉴定执行过程, 或安排其他检验公司如CCIC 质量鉴定成

30、员监督采样过程或进行联合采样为了获取公平,合理,双方的都能接受的抽样做测试. 卖方应承担这额外的成本.(c)The Buyer shall provide the Seller with a Certificate of Analysis from such inspection authority showing the result of such analysis for each item specified in Article 2.买方应该将上述检测的每项结果提供给卖方。(c)The cost of such analysis shall be for the account of

31、 the Buyer and such Certificate of Analysis shall, subject to manifest error, be conclusive and final for final invoice purposes. 买方将承担上述检测的费用，如果无误的话，该检测结果将作为最终断定品质的标准。(d)The Buyer shall provide the Seller with a Certificate of Weight confirming the Weight determined at the Destination Port. The Cer

32、tificate of Weight shall, subject to manifest error, be conclusive and shall be the basis of payment of the final invoice for the shipment of Coal. The weight is to be determined by a draught survey of the Vessel, such survey shall be performed by a licensed marine surveyor utilizing immersion scale

33、 weights (“Weight”). The cost of such weighing shall be for the account of the Buyer.买方应该给卖方提供在指定港口测算的实际重量的证书。如果无误的话，该重量证书将作为最终结算的依据。煤炭的实际重量将由有资质的验船师根据在卸港地点检测船舶水尺来计算。实际载重检测费用由买方来承担。(e) The Buyer shall take all reasonable measures to ensure the certificate of analysis available and ready within 10 ca

34、lendar days from discharge.买方将在卸货开始后的 10日内提供检测报告。(f) The Seller shall have the right at any time to cause its designated personnel to attend and observe the determination of the quality and Weight in China at the expense of the Seller. In such event, the Buyer shall reasonably cooperate with such at

35、tendance and observation. 买方有权派指定的代表到现场参与煤炭数量及质量验收，买方将给予配合。(g) The “Final Invoice” shall be calculated on the basis of CIQ at the destination port.“最终发票额”将根据在卸货港口的CIQ检测的结果来计算。(h) If the CIQ (China) certificate of analysis is not provided 10 calendar days following Notice of Readiness, the testing ce

36、rtificate supplied at the loading port by PT SUCIOFINDO shall be deemed as the final quality and weight determination for the purposes of the remaining outstanding payment and shall be considered final.如果买方不能在通知准备的 10 日内提供CIQ（中国）的检测结果，煤炭在装货港口通过印尼CCIC检测的结果和测量的重量将会作为最终结果被并被用来计算最终的付款额。(i) Upon the said

37、 CIQ(China) certificate of analysis becoming available, the “Final Invoice” shall be calculated as per the above method and any difference between this amount and the actual amount paid will be reconciled through a one-off invoice payable by direct TT to the party owed. 一旦CIQ（中国）的检测报出来后，根据计算出的“最终发票额

38、”对实际应付货款进行调整，差额将通过TT支付给应收款方。 ARTICLE 5第五条款PENALTIES / BONUSES ON COAL QUALITY基于煤炭质量的奖/罚Penalties / Bonuses for quality will be based on results of Certificate of Sampling and Analysis issued by PT SUCOFINDO at the Loading Port. This Penalty and Bonus amount shall be settled within LC and sellers inv

39、oice. However, if the LC amount is not sufficient to cover the bonus amount due to the seller, then the buyer shall remit the balance by way of telegraphic transfer to the sellers bank account within 7 days after the issuance of the Certificate of Sampling and Analysis by CIQ. 核算煤质量的高低程度是按照质量鉴定员鉴定在卸

44、s after all parties have properly executed this contract, the seller shall issue a 2% contract value operative performance bond (PB) to the buyer. Within This PB can be encashed for non-performance on the sellers side. 当甲乙双方将合同妥善签署后的7个工作日内，卖方出具合同价值2%的有效保证金给买方。如卖方不执行合同，买方可兑现保函。2) Within four (4) work

48、emaining 10% will be drawn upon discharge and test by CIQ China This is to be supplied within 10 calendar days of discharge. If it is not provided it will be deemed as delivered and the loading testing certificate will be used to calculate payment.剩余的10%货款将在卸货后并通过中国CIQ根据标准检测后支付。如果该检测结果在卸货后的10日后没有提供，

49、将用装货时的检测结果作为最终应付货款的标准。 The above L/C shall have a validity of Ninety (90) days. All bank charges at Sellers counter end shall be borne and paid by the Seller. All bank charges at Buyers counter end shall be borne and paid by Buyer.国际银行信用证有效期为90天，各自的银行费用由买卖双方各自承担。ARTICLE 7第七条款DELIVERY AND TITLE货物分流1.

50、 The Seller shall load the Coal to the Buyer within thirty (30) days from the receiving date of original L/C. 卖方在收到国际银行信用证的原件后的30天内将合同内全部数量的煤送出给买方2. The Coal will be delivered to the Buyer, Cargo and Freight at the agreed discharge port.煤会送到双方同意的装载舰船抛锚地点3. All additional charges such as penalty, det

51、ention, demurrage charges of the vessel at the discharge port will be under buyers account.在卸货港所以的额外费用，如罚款、扣押、滞期费等将有买家负责4. Title of the cargo shall pass from seller to buyer upon receipt of full payment for the coal loaded.当收到全额付款后，煤炭的所有权归买方所有。5. Seller shall provide a vessel that can be acceptable

The Seller shall provide the Buyer with the details of the nominated vessel a minimum of ten days prior to the estimated time of arrival at the discharge port.卖方应提供允许进入履行煤炭卸货港的船只。卖方应该至少在船只预计抵达卸货港前10天通知买方其指定船只的细节，及预计抵达卸货港的时间。 6. The nominated vessel shall be a single deck

53、 vessel, with a maximum age of twenty (20) years unless otherwise agreed and having fully workable hatches and holds with sufficient cranes of minimum 25 MT safe working load and a minimum out reach of 8 meters from shipside. Buyer shall provide grabs at the discharge port sufficient for meeting the

54、 minimum discharge rate of 10,000 metric tons per twenty-four hour working day.除非另有约定，被提名的船舶应为单层船只并不超过20岁，该船配有最低承重为25吨的吊车，臂长不低于8米。在卸货港，买家需提供抓斗，其卸货率不低于一万吨每24小时。7. Seller shall arrange for the master or agent of the vessel to advise Buyer of the vessels sailing date, exact quantity loaded and the vess

Coal is to be loaded and shipped in accordance with IMO Code of Safe Practice for Solid Bulk Cargoes.煤炭的发运将遵照国际海事组织制定的固体散装货物安全的规定。9. Buyer to provide one safe berth at agreed destination Port, for t

56、he discharge of the vessel with guaranteed discharge rate of10, 000 metric tons per twenty-four (24) hour working day SHINC.在卸货港买方应提供一个现成的泊位足与保证卸货率一万吨每24小时10. Notice of Readiness (NOR) to discharge is to be tendered and accepted at the berth. If berth is not available on arrival the master may tender NOR at anchorage at any time of day or night provided that the vessel is in all respects ready to discharge.
