At the process of the gold spot transaction, because the gold price mechanism will be influenced by many uncertain worldwide factors, the profit and the loss may happen. 2、在簽署本合同前，請仔細閱讀本合同及其附件的內容，特別是權利義務的相關約定、免責條款等。乙方之簽署即表明乙方已詳細閱讀、理解並認可本合同及其附件的全部內容。 2. Before signing this contract, please read this contract and content of appendix carefully, specially related agreement of rights and obligations, disclosure and so on. If Party B signed, which means Party B read, understood and approved all contents of this contract and the appendix. 3本合同之簽署是依據中金資本有限公司之授權，旨在進行黃金現貨延期交易，並由甲方操作開戶結算。 3. Signature of this contract is at the basis authorization of HK GOLDSPLENDOR CAPITAL LIMITED, which is for the purpose of carrying on the gold spot transaction settled by party A. 一、買賣標的品種及質量Variety and quality of transaction 1買賣品種及質量品級是指純度為9999%（Au99.99）的，同時符合國內、國際黃金流通市場銷售標準的金條或相同品質的黃金製品。 1) Variety and quality grade of transaction refer that the purity is 99.99% (Au99.99), simultaneously conforms the domestic, international standard gold bar in gold circulation sale market or the same quality gold product. 2合同術語的解釋：A，買入金條：是指乙方依據國際黃金市場適時價格，買入黃金現貨，同時持有可交割現貨的權利倉單。 2) Explanations of contract terms: A, buy gold bar: according to international gold market price, Party B buys the gold on-hand merchandise, simultaneously ,and has on-hand merchandise right warehouse receipt which can finalize on-hand merchandise。 B，賣出金條：是指乙方依據國際黃金市場適時價格，賣出持有的現貨權利倉單。 B, sell gold bar: according to international gold market price, he second party sells the gold on-hand merchandise right warehouse receipt. C，交割現貨：是指乙方可依據持有的倉單，提取黃金製品現貨，或者客戶賣出黃金現貨後交回標準金條兌現的行為。 C, finalize on-hand merchandise: Party B may withdraw the gold product on-hand merchandise according warehouse receipt who has, or the customer sells the gold on-hand merchandise , returns the standard gold bar and exchange cash. 二、買賣計價單位Valuation unit of transaction買賣是以國際標準黃金計量單位：美元/盎司計價。 Transaction is valued by the international standard gold measurement unit: US dollar/ounce. 一盎司31.1035克An ounce =31.1035 gram 為了避免承擔客戶的匯率風險，折算人民幣計價時，客戶確認固定換匯率人民幣/美元為1：7。 In order to avoid undertaking the exchange rate risk, when conversion Reminbi valuation, customer confirms that foreign currency exchange rate CNY/US is fixed as 1:7. 三、買賣數量限制Quantity limitation of transaction 本合同所指的黃金現貨交易延期交收數量為每個交易單位5盎司。單筆最大交易為800盎司。This contract refers to the gold spot transaction quantity that unit of transaction each is 5 ounces. The big transaction is 800 ounces each. 四、買賣價格確定Determination of transaction price買賣時以國際黃金市場適時價格為依據，並依據國際同步的電子商務平台進行交易，在報價時美元/盎司是交易數據。 When transaction is based on the price of the international gold market, and carries on the transaction based on the international synchronizations electronic commerce platform, US dollar/ounce is data of trading. 五、買賣方式選擇 Mode choice of transaction1、客戶可自行選擇通過現場或遠程方式進行買賣，或遠程訂貨。 1. The customer may choose voluntarily the deal pattern, through the scene or the remote mode, or long-distance ordering. 2、現場買賣是指乙方在甲方指定的或雙方約定的場所依據國際黃金市場適時價格進行買賣。 2. The scene business means that Party B carries on business at the place which is agreed by both sides, according the price of international gold market. 遠程買賣或訂貨是指乙方在自行選定的場所通過通訊、網絡的電子商務平台等進行買賣，具體為： The long-distance business or ordering means that Party B carries on business at the place which is designated voluntarily through the communication, the network electronic commerce platform and so on ,as follows： （1）電話報單買賣：乙方通過拔打專線報單電話，以當時工作人員的報價作為買賣的依據，並確定自己的買賣意向及數量，工作人員根據乙方的指令進行操作； (1)Telephone declaration: Party B dials the hotline declaration phone number, took businesss basis by staffs quoted price at that time and determined that their business intention and quantity, the staff carries on the operation according to second partys instruction. （2）電子報單買賣：乙方通過互聯網自助報單系統憑買賣帳號和買賣密碼登錄，以國際黃金市場的電子商務平台進行買賣。 (2)Electronic declaration: Party B registers through the Internet self-service declaration form system depending on business account number and business password carries on business by the international gold markets electronic commerce platform. 3、乙方可自行選擇下列方式進行交貨3.Party B may choose the following way to carry on the delivery voluntarily （1）即期交貨：指乙方要求的實物交收期在下單后買賣合同成立之日起五日內（包括五日）。 (1) Spot delivery: Party B requests the delivery date that is in five days of contract establishment (including fifth). （2）預期交貨：指乙方要求的實物交收期在下單后買賣合同成立之日起五日以後（不含五日）具體交收日期由乙方另行指定，甲方根據乙方的指令操作。 (2) Anticipated delivery: Party B requests the delivery date that is after five days of contract establishment (not including fifth); Concrete delivery date is determined by Party B, Party A will act according to second partys instruction. 4、乙方通過遠程買賣方式進行延期交貨買賣的具體規則詳見附件一；乙方通過現場買賣方式進行延期交貨買賣的，參照附件一執行。乙方指定交收日期進行實物交收時，實物交收的程序及規則按照本合同第七條執行。 4.Party B carries on the deferred delivery business according to detailed rule of Appendix One; Party B carries on the scene delayed delivery business according to the rule of “appendix one” ; When Party B wants to delivery at the anticipated delivery date, the procedure of material delivery is based on the seventh rule of contract. 六、買賣規則Rules of transaction1、定金：乙方的延期交貨買賣以定金的形式進行，定金買賣細則詳見附件一。 1. Deposit: Party Bs delayed delivery business is conducted by deposit, the deposit business regulation for details sees Appendix One. 2、買賣程序Procedure of business： （1）乙方的買賣都應訂立書面合同，買賣合同包括書面訂立合同、保存在電子商務平台的電腦原始記錄資料等。 (1)Party Bs business should sign the written contract, the contract of sales including written contract, historic record material in the electronic commerce platform computer, and so on. （2）乙方通過現場買賣的，乙方應當在進行買賣時簽訂書面買賣合同。 (2)If Party B conducts scene business, Party B must sign a written contract of sales. （3）乙方通過遠程買賣的，確認電子商務平台的原始保存資料與書面買賣合同具有同等法律效力，即為每次買賣成立的依據；乙方也可要求到營業場所另行簽訂書面買賣合同作為補充。 (3)If Party B conducts the long-distance business, party B must confirm that the primitive preserved material of the electronic commerce platform has the same legal effect with a written contract of sales, which is regarded as the basis of business establishment; Party B may also request to go to business place to sign a written contract of sales as Supplement. （4）乙方可直接下達買賣指令、定金調撥指令、亦可授權委託他人下達買賣指令、定金調撥指令、簽署書面買賣合同。但不可委託甲方工作人員下達買賣指令、定金調撥指令及簽署買賣合同。 (4)Party B may issue business instruction, deposit appropriation instruction, or directly authorize other people to issue business instruction, deposit appropriation instruction, to sign the written contract of sales; But Party B cannot entrust Party A staff to issue business instruction, deposit appropriation instruction and to sign the contract of sales. （5）乙方如授權委託他人簽署書面買賣合同，應當出具授權委託書，委託書應寫明委託期限及授權範圍等。委託書經甲方審查確認，方可由其授權代理人進行相關行為。乙方的授權代理人的行為產生的法律後果由乙方自行承擔。 (5)If Party B authorizes to entrust other people to sign a written contract of sales, Party B must write up the certificate of authority, the warrant should write the request deadline and the scope of authority and so on. After the warrant is examined and confirmed by the first party, the agent who is authorized has rights to conduct business. The legal consequences, Party Bs authorized agents behavior produce, are undertook voluntarily by Party B. （6）乙方委託的授權代理人均可在授權範圍內代為操作乙方開設的買賣賬戶。但授權代理人向乙方作出的任何聲明或保證，不構成甲方的任何聲明或保證：乙方明確統一甲方無須對此類授權代理人的任何行為負責。 (6)Agent, who is authorized by Party B, can operate the business account of Party B in the scope of authorization. But any statement or the guarantee, which is made by the authorized agent to Party B, does not constitute Party As any statement or the guarantee. Party B must understand Party A doesnt need to be responsible for he authorized agents any behavior. 4、結算：在交易時間內電子商務系統將按照國際市場價格的變化對乙方的訂單情況進行即時結算。 4. Settlement: The electronic commerce system will carry on the immediate settlement to second partys order, according to the change of the world market price in the trading hours. 5、代理費：乙方根據以下條款向甲方支付代理費。 5. Commission fees: Party B pays the commission fees to Party A according to the following rules. （1）乙方申請實物交收的，按本合同第七條第3款第（3）項支付相關費用。 (1)When Party B applies for the material delivery, Party B must pay related expenses according to the seventh article seventh section of third item. （2）乙方未申請實物交收的，買入或賣出應當支付一定比例的手續費。 （單邊）155元人民幣/100盎司(2)If Party B has not applied for the material delivery, Party B who buys up or sells, must pay the commission fees;(unilateral) 155 Yuan /100 ounces. （3）隔夜倉息：乙方買入黃金的，如黃金持有時間超出買入黃金次日凌晨6：00的，則乙方需支付甲方隔夜補償金每100盎司80元人民幣；乙方賣出黃金的，則甲方需向乙方支付隔夜補償金每100盎司50元人民幣。 (3)Overnight interest :Party B buys up the gold, if Party B has the gold until next day dawn 6:00, then Party B must pay overnight compensatory payment (80 Yuan per 100 ounces )to Party A;. If Party B sells the gold, Party B must pay overnight compensatory payment (50 Yuan per 100 ounces) to Party A.七、實物交收Material delivery 根據乙方的申請，實物交收按以下細則執行。 According to second party Bs application, the material delivery is executed according to following regulation. 1、貨款：乙方應當按約定足額付清貨款後，方能申請提取實物。 1. Payment: only when Party B pays up the full amount, Party B could apply to withdraw gold. 提貨申請：乙方可在成交當日填寫提貨申請單，亦可根據需要擇期填寫，擇期填寫申請單Application of delivery: Party B may fill in the application at the date of deal ,also can choose the date of delivery according own need. 2、時間：為甲方的正常工作日白天上班時間。 2.Date: For Party As daytime work hours of normal working day 3、提貨: Take delivery of goods 乙方提出提貨申請並在三個工作日內付清所購買的全部貸款並支付加工流通費每100盎司310元人民幣，方可提貨。 Party B proposed and paid in full amount, including the processing circulation (310 Yuan per 100 ounces) in three working days, then could take goods. 具體要求如下表：As follows in detail : 提取金條數量（Q）付款後的提貨時間1盎司Q10盎司5-10個工作日10盎司Q100盎司10-15個工作日100盎司以上15-30個工作日 盎司可換算為克。Quantity of delivery The date of delivery after payment1 0unces Q10 0unces5-10 working days10 ouncesQ10 ounces10-15 working days100 ounces 15-30 working daysOunces can be converted into grams. 4、交貨Delivery 客戶賣出金條後可選擇國泰輝立金條進行交割。 Customer can choose GUO TAI HUI LI LIMITED COMPANY to delivery, if customer sells the gold bar. 交割地：香港中金資本有限公司或授權經營機構。 The place of delivery: HK GOLDSPLENDOR CAPITAL LIMITED or authorized organization 香港中金資本有限公司收到客戶的實物金條後需進行質量、重量檢驗。 HK GOLDSPLENDOR CAPITAL LIMITED needs to examine the quality, weight of gold bar, after receiving gold bar. 實物交收費：100盎司310元及檢驗費每克2元由客戶支付，檢驗合格後由中金資本有限公司於二個工作日內結清全部貨款。 Fee of material delivery：310 Yuan per 100 ounces and inspection fee 2 Yuan /gram ,which must be paid by customer payment, after the examination qualified, HK GOLDSPLENDOR CAPITAL LIMITED will settle all money in two working days . 八、免責條款Terms of dismissal. 1、由於地震、火災、戰爭等不可抗力因素導致的買賣中斷、延誤等風險，甲方不承擔責任，但應在條件允許的範圍內採取必要的補救措施以減少因不可抗力時間造成的損失。 1. Party A does not undertake the responsibility of interrupt, which is caused by force majeure factors, such as earthquake, fire, war and so on, but should take the essential measures to the loss which is caused by those factors. 2、由於國家有關法律、法規、規章及政策的變更、緊急措施出台等導致乙方損失的，甲方不承擔責任。 2. Party A does not undertake the responsibility of Party Bs loss, which is caused by the change of relevant law, regulations, the rules, the policy and releasing of emergency measures. 3、由於通訊設施中斷、互聯網故障、電力中斷等原因發生故障導致指令傳達、執行延誤，從而導致乙方損失的，甲方不承擔責任。 3. Party A does not undertake the responsibility of Party Bs loss, which is caused by the delay of the instruction transmission, the execution, the delay is caused by the interruption caused by communication facility interrupt, internet breakdown, electric power interrupt and so on. 九、其他事項Other terms 1、爭議解決：合同雙方就本合同的履行發生爭議的，應當友好協商解決。 1. Solution of dispute: when both sides of contract have the disputation on this contract performance, both sides must friendly negotiate to settle. 2、合同終止：甲乙雙方均可在任何時候，以書面形式通知對方終止合同；合同自通知到達對方之日起終止。乙方所有應付甲方款項應於合同終止之日付清，該應付款包括但不限於以下內容： 2. Termination of contract: both sides may inform opposite party by the written form to terminate the contract at any time; the contract will be terminated, once the contract arrives. All fee, that Party B should pay to Party A, should be paid up at the date of termination of contract, that fees include, but not limited to following content: （1）所有應付費用和手續費； (1) All payable fees and handing charge; （2）所有因終止合同而產生的費用(2) Fees caused by the termination of contract； （3）所有因交收而發生的費用合同終止後，在雙方就上述應付款結清之前，本合同對雙方仍具有約束力。上述應付款結清後，甲方將買賣定金的餘款退還乙方。 (3)Fee caused by delivery after the termination of the contract, but before settling all payable fees, both sides still are restricted by the contract. After settling, first party must return deposit to Party B. 3、合同附件：本合同的附件包括：附件一遠程買賣規則；附件二風險提示書；附件三授權委託書；附件四補充資料。附件為本合同的組成部分，與本合同具有同等法律效力。 3. Appendix of contract: appendix of this contract includes: appendix one “rule of long-distance business”; appendix two “warning of risk”; appendix three “letter of authority”; appendix four “ Supplementary information”. These appendices are the component of contract, and have same law effect. 4、合同生效：本合同一式二份，經雙方簽章後生效，雙方在合同有效期內的買賣，均按本合同執行。 4. Contract effect: This contract typed two, after bilateral signature, becomes effective; bilateral business in this contract must be executed according to this contract. 甲方： 乙方： Party A Party B 簽章Signature 簽章Signature： 簽署日期：The date of signature 附件一Appendix one：電子商務遠程買賣細則Business conditions of long distance electronic Commerce鑑於黃金現貨遠程買賣方式的特殊性，現對遠程買賣遞延交貨涉及的有關規則制定本附件一，本附件一作為合同的組成部分，與合同具有同等法律效力，雙方共同遵照執行。 In view of the fact that the spot gold long-distance buy/sell patterns particularity, we formulate the related rule, which involves to the long-distance business delivery, in this appendix one; this appendix is considered as the Constituent of the contract, which has the same legal effect with Contract, both sides must obey all regulations together. 第一條 定義Definition 1、本細則所稱的遠程買賣是指乙方在自行選定的場所通過通訊、網絡等進行的買賣，其主要形式為：1. This condition called the long-distance business ,which refers to Party B designated voluntarily the place to go on the business through the communication, the network and so on, its main forms are as follows： （1）乙方通過局域網進行的電腦自助買賣； (1)Party B carries on computer self-service business（2）乙方通過國際互聯網進行電子商務平台自助買賣； (2)Party B carries on the electronic commerce platform through the internet; （3）電話報單買賣：Telephone declaration form business： 1、買賣記錄單：指電子商務平台保存的原始買賣資料，以及根據上述原始資料形成的書面資料；1. Business label: means the electronic commerce platform preserves the primitive business material, as well as written material formed according to the above primitive information; 2、風險率=淨值/佔用預付定金100% 。2. The risk rate = net worth/takes the deposit 100%. 第二條 買賣時間Transaction time 北京時間星期一上午06：00至星期六凌晨05：00（如有節假日等交易時間變更，以通知為準）。 Beijing standard time Monday 06:00 am to Saturday 05:00 am (If transaction time is changed by holiday, transaction time takes informs as the standard).第三條 買賣單位及基礎定金Transaction unit and deposit 1、每壹買賣單位為5盎司。單筆合同買賣量為5盎司，買賣數量為5盎司或10盎司的倍數。 1. Every business unit is 5 ounces. The single contract business quantity is 5 ounces, business quantity is 5 ounces or 10 ounce multiples. 2、即時交易時按規定需支付其所買進或賣出價值的一定比例的基礎定金作為履行交易的財力擔保，只有收到客戶的基礎定金之後客戶才能進行交易，根據市場情況基礎定金可進行調整。 2. When immediate transaction must pay certain proportion deposit as fulfillment guarantee according to the value of buying up or selling, only then after receiving the customer the deposit, the customer can carry on the transaction, deposit may make the adjustment according to the market conditions. 第四條 基礎定金的支付The payment of deposit 1、乙方應當於合同簽署後，向交易託管帳戶存入相應數額的定金，最低定金為壹萬元。 1. Party B must store Corresponding deposit after signing the contract; the lowest deposit is 10000 Yuan. 2、乙方定金可用現金、本票、支票和匯票等方式支付，以本票、支票和匯票等方式支付的，以確認乙方定金到帳後方可開始買賣。 2. Party Bs deposit can be paid by available cash, promissory note, check and bank draft and so on; Party B can carry on the business after receiving
