三方贸易合同英文【篇一：中英文对照三方合同】 租赁合同 lease contract 出租方 (甲方)： land lord (party a)： 承租方（乙方）： tenant (party b)： 中介方 (丙方)： intermediary(party c)： 根据国家有关法律、法规和本市有关规定，甲、乙双方在平等自愿的基础上，经友好协商，就甲方将其合法拥有的房屋出租给乙方使用，乙方承租使用甲方房屋事宜，订立本合同。 party a and b have reached an agreement through friendly consultation to conclude the following contract. 1、房屋地址location of the premises 甲方将其所有的位于的房屋及其附属设施在良好状态下出租给乙方作_使用。 party a will lease to party b the premises and attached facilities owned by itself, which is located at_on for _ 2、房屋面积size of the premises 出租房屋的登记面积为平方米（建筑面积）。 the registered size of the leased premises is_quare meters (gross size). 3、租赁期限lease term 租赁期限自_年_月_日起至_年_月_日止，甲方应于_年_月_日前将房屋交付乙方使用 the lease term will be from (month)(day)(year) to_(month)_(day) _(year). party a will provide it to party b for use before_(month)_(day)_(year) 4、租金rental 1)、金额：双方商定月租金为 ，付费方式为 ，提前_天支付下一期租金。 amount：the rental will be rmb per month. payment of rental will be one installment every_month(s), each successive installment will be paid_days before the starting date of successive period. 5、押金deposit 1)、为确保房屋及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于_年_月日前支付给甲方押金 元整，甲方在收到押金后予以书面签收。2)、guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party b will pay_ to party a as a deposit before_(month)_ (day)_ (year). party a will issue a written receipt after receiving the deposit. 2)、除合同另有约定外，甲方应于租赁关系解除或者在合同解除日且乙方点清并付清所有应付费用后搬出的当天将押金全额无息退还乙方。 unless otherwise provided for by this contract, party a will return full amount of the deposit without interest on the day when this contract expires or on the day when this contract is cancelled.and party b clears the premises and has paid all due rental and other expenses. 3)、因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在押金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。 in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit. in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a. 4)、因甲方原因导致乙方无法在租赁期内正常租用该物业，甲方应立即全额无息退还押金给乙方，且乙方有权追究甲方的违约责任。并且甲方需要适当的支付乙方必要的损失。 if party b cant normally use the apartment because of party a , party a should return the deposit to party b at once. and,party a should pay the reasonable compensation required by party b. 6、甲方义务obligations of party a .1)、甲方须按时将房屋及附属设施（详见附件）交付乙方使用。 party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using. 2)、房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏，甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物，以致乙方无法正常使用房屋设施，乙方有权终止该合约，并要求退还押金。 in case the premise and attached facilities are damaged by quality problems, natural damages or accidents, party a will be responsible to repair and pay the relevant expenses. if party a cant repair the damaged facilities in two weeks so that party b cant use the facilities normally, party b has the right to terminate the contract and party a must return the deposit. 3)、甲方应确保出租的房屋享有出租的权利，如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件，甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款，反之如乙方权益因此遭受损害，甲方应负赔偿责任。 party a will guarantee the lease right of the premises. in case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party b, party a shall guarantee that the new owner and other associated, third parties shall be bound by the terms of thiscontract. otherwise, party a will be responsible to compensate party bs losses. 7、乙方义务obligations of party b 1)、乙方应按合同的规定按时支付租金及押金。 party b will pay the rental and the deposit on time. 2)、乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。 party b may add new facilities with party as approval. when this contract expires, party b may take away the added facilities without changing the good conditions of the premises for normal use. 3)、未经甲方同意，乙方不得将承租的房屋转租或分租。 party b will not transfer the lease of the premises or sub without party as approval. 4)、乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。 party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it. 5)、乙方应承担租赁期内的水、电、煤气、电话费、宽带费、物业管理费和电视费等一切因实际使用而产生的费用，并按单如期缴纳。 party b will bear the cost of utilities such as telephone communications, water, electricity, gas,management fees,internet and cable television on time during the lease term. 6）、乙方应爱护租用的房屋及其设备，严格按专门的使用要求使用，如因乙方人为使用不当而导致损坏，乙方负责赔偿及修复费用，乙方必须做到： party b must take care of the property and its contents, and use them exactly according to the specific instructions; otherwise party b should pay for the compensation and repairing fees to party a for its improper use of the property. party b must do as follows: 6.1 足够经常清洁房屋，复合地板、木地板、地毯、瓷砖地面要按不同要求清洁； do regularly clean the house. clean the laminate floor, the parquet floor, the carpet, and the tile correctly according to the specific instructions. 6.2足够经常通风、开足空调（特别是在雨季、冬天）以避免冷凝水损坏房屋，导致霉变； do regularly open the window and ventilate with the air conditioner (especially in rainy season and winter) in the house, in order to prevent the condensation water from damaging the house and going mouldy. 6.3 足够经常清洁厨房、炉灶等电器； keep the kitchen clean, such as electric apparatuses. 6.4 浴缸、冲淋房、洗菜盆的排水口必须使用专门的滤网阻止头发、硬物等进入排污管，抽水马桶内不能倒其它杂物进入,疏通下水道的费用由乙方承担。 the outlet of bathtub, the shower, and the basin must be added special network to prevent the hair, hard things, etc. from getting into the pipeline. mess and other things cannot be poured into the toilet bout. the fee for unchoking the sewer will be borne by party b. 6.5 日常损耗物品及维修由乙方承担更换费用（比如挂取窗帘、疏通下水道、换灯泡等） the normal wear tear fees of the property shall be borne by party b (such as hanging and fetching curtains, unchoking the sewer, changing the bulb etc). 7）、乙方如长期或经常不在，乙方必须安排人员看管房屋，刮风下雨时关好门窗，经常通风、开足空调，还必须保证甲方及代理人能及时实施紧急和必要的维修修复工作，否则，造成的损失由乙方负责。 if party b is out regularly or for a long time, party b must arrange someone to look after the leased property. make sure the doors and the windows are closed when blowing and raining, often ventilate the house, run the air conditioner, and guarantee for party a and the agent to make implement urgent and essential maintenance. otherwise, the losses caused should be borne by party b. 8.中介方义务：obligations of intermediary 1）督促双方提供必要的证明文件，对出租方而言，需提供房产证（或者相关的证明性文件）及身份证复印件；对承租方而言，需提供身份证复印件或公司营业执照复印件。 supervision both sides provide the essential proof document, speaking of hires the side, must provide the real estate property card (or correlation certificate document) and the status card duplicate press work; the goods shall be unpacked with the presence of the staffs of the buyer, the seller and the cciq. should the quality and /or quantity be found not in conformity with the contract or invoice, except those for which the insurance company or the shipping company are liable, the buyer shall, on the strength of the inspection certificate issued by cciq, have the right to lodge claims with the seller, within 60 days after discharge of the goods at the port of destination. 12.2 在规定的质保期内，若合同货物在运行时因为其本身不良的质量、工艺或材料而发生损坏，买 方应立即书面通知卖方，并有权凭cciq出具的检验证书向卖方提出索赔。 within the guarantee period stipulated in clause 13 hereof, should damages occur in the course of operation by reason of inferior quality or bad workmanship or the use of inferior materials, the 3buyer shall immediately notify the seller in writing and put forward a claim supported by an inspection certificate issued by cciq. 12.3 索赔应以cciq出具的检验证书为依据。卖方收到买方上述索赔通知后，如果在一个月内不予答 复，则视为卖方同意买方提出的一切索赔要求。 the certificate so issued hall be accepted as the base of a claim. if the seller fails to answer the buyer within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the seller. 13 不可抗力：在制造、运输或装卸过程中由于发生不可抗力事故，使卖方不能在合同规定的期限内交货 或不能交货，责任不在卖方，但卖方必须立即将事故通知买方，并在事故发生后14天内将事故发生 地官方或商会出具的证书空邮寄交买方为证。如不可抗力持续十周以上，买方有权以书面形式撤销合 同。 force majeure: in case of force majeure, which might occur in the process of manufacturing or in the course of loading or transit, the seller shall not be held responsible for late delivery or non-delivery of the goods but shall advise the buyer immediately of the occurrence mentioned above and within 14 days thereafter, deliver to the buyer by airmail a certificate issued by the competent government authorities or chamber of commerce where the accident occurs as evidence thereof. in case the accident lasts for more than 10 weeks, the buyer shall have the right to cancel this contract in written. 14 卖方的违约责任：除本合同14条款规定的不可抗力事故外，如卖方不能在合同规定的期限内交货， 买方将在卖方同意支付罚金的条件下同意延迟交货。但罚金总额不得超过迟交货物总价值的1%，罚 款比率按每天迟交货物总价值的0.05%计算。如卖方延迟交货超过合同规定时间十周，则买方有权撤 销合同，但卖方仍需支付以上罚金，不得推诿或迟延。 the sellers liability for breach of contract: shall the seller fail to effect delivery on time as stipulated in this contract, with exception of force majeure stipulated in clause 15 of this contract, and then the buyer shall agree to postpone the delivery on condition that the seller agrees to pay a penalty. the penalty, however, shall not exceed 1% of the total value of the goods involved in late delivery. the penalty shall be calculated at a rate of 0.05% of the total value of the goods involved in late delivery per day. in case the seller fail to make delivery ten weeks later than stipulated in this contract, the buyer shall have the right to cancel this contract and the seller, in spite of the cancellation, shall still pay the aforesaid penalty to the buyer without delay. 15 买方的违约责任：若买方未按合同约定的期限支付价款，应向卖方支付迟付款项的利息，利息按每天 迟付款项的0.05%计算。 the buyers liability for breach of contract: should the buyer fail to make payment on time as stipulated in this contract, the buyer shall agree to pay the delay interest to the seller at a rate of 0.05% of the overdue payment per day. 16 卖方应承担因进口货物夹带、少报、瞒报、走私、货物估价、产品侵犯中国知识产权等原因致使海关 追加税款、追究责任、处以罚款等后果。 the seller should take the responsibility for the punishment from the customs, because of the entrainment, less declaration, cheating, smuggling, anything violating the law 17 仲裁：一切因执行本合同或与本合同有关的争议，应由双方通过友好协商的方式解决。如经协商仍未 能达成协议，则应提交中国国际经济贸易仲裁委员会广州分会在广州或上海分会在上海（由申诉人选 择），按该会的仲裁规则和程序进行仲裁。仲裁裁决是终局的，对双方均有约束力，任何一方不得上 诉法院或其他机构申请更改。仲裁费除仲裁委员会另有裁决外，由败诉一方承担。 4arbitration: all disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. in case no settlement can be reached, the case under dispute shall be submitted to the china international economic and trade arbitratio
