ServiceAgreement 1.definition. abcshallmeanabc(china)electronics,ltd.customershallmeanthecustomernamedintheagreement;andproductshallcollectivelymeantheequipmentandsoftwarewhichabcandcustomeragreetobeservicedpursuanttothisserviceagreement.suchproductislistedonthefirstpageofthisagreement. 2.acceptance. thetermsandconditionssetforthonalltwelvepagesofthisagreementisanoffertopurchaseservicebycustomerwhichshallbeeaserviceagreementwhenacknowledgedinwritingbyabcsservicedepartment;andthebanking,negotiationorotheruseofanypaymentshallnotconstituteanacceptancebyabc.itisagreedthatserviceshallbeprovidedonlyonthetermsandconditionscontainedinthisagreement.abcshallnotbeboundbytermsandconditionsincustomerspurchaseorderorelsewhereunlessexpresslyagreedtoinwriting.bothpartiestothisagreementagreethatuponacceptancebyabcsservicedepartment,abcsinterestintheagreementisassignedtoabc,inc.(minc). 3.servicedefined abcagreestoprovideserviceforthecustomerfortheproductlistedonthefirstpageofthisagreement.suchproductsshallbeservicedaccordingtothetermsandconditionsonalltwelvepagesofthisagreement(service).theserviceshallbeginandendonthedatessetforthonthefirstpageofthisagreement.abcshallalsoserviceotherproductmanufacturedbyminc.ormincssubsidiariesandpurchasedbycustomerduringthetermofthisagreementonthesametermsandconditionssetforthinthisagreementatthethencurrentservicefeesforsuchproduct.upondeliveryofsuchotherproducttocustomer,heeventofloss,damage,theftorremovalfromserviceofanyproduct,customershallimmediatelyreporttheloss,damage,hisevent,customersobligationtopayservicefeeswithrespecttoanysuchproductshallterminateattheendofthemonthinwhichabcreceivessuchwrittenreport. mobileproductshallberemovedandreinstalledindifferentvehiclesatcustomersrequestfortheservicefeeineffectatthetimeofcustomersrequest. thisagreementdoesnotincludeserviceofanytransmissionline,antenna,towerortowerlighting,unlesssuchworkisdescribedonthefirstpageofthisagreement.serviceshallincludethelaborandpartsrequiredtorepairproductwhichhasbeedefectivethroughnormalwearandusage.thisdoesnotincludeconsumableandtheirinstallation.servicedoesnotincludetherepairorreplacementofproductwhichhasotherwisebeedefective,including,butnotlimitedto,damagecausedbyaccidents,physicalorelectronicabuseormisuse,actsofgod,ductundercontractmustbemaintainedinenvironmentalconditionsassetforthintheproductspecificationsanddamageresultingfromenvironmentalconditionsnotconformingtothespecificationsisnotcoveredbythisagreement. wheretelephonelinesandproductareusedinconjunctionwithabcmaintainedproduct,abcshallhavenoobligationorresponsibilityforsuchtelephonelinesorproductbutshall,uponrequest,assistthetelephonepanyinrepairingsuchuponpaymentattheappropriateabovecontractrate. customershallindicateonthefirstpageofthisagreementanyproductwhichisintrinsicallysafesothatappropriatepartsandproceduresmaybeusedtomaintainsuchstatus. attheexpirationoftwelve(12)monthsafterthemencementofservicehereunder(oranytimethereafter),ifproductcannotinabcsopinionbeproperlyoreconomicallyrepaired,because(butnotlimitedto)excessivewear,deteriorationorunavailabilityofparts,abcatitssoleoption,uponthirty(30)dayspriorwrittennoticetocustomersentbycertifiedmail,mayeither:(1)removesuchproductfromthisagreement;or(2)mayincreasethepricetoservicesuchproduct.customershallhavethirty(30)daysfromreceiptofnoticeofpriceincreasetoobjecttosuchincrease.ifcustomerproperlyobjectstosuchincrease,abcshallthenhavetheoptiontoremovesuchproductfromcoveragebythisagreement.customersobligationtopayservicefeeswithrespecttoproductremovedfromthisagreementshallterminateattheendofthemonthduringwhichsuchproductisremoved. theproductshallbeservicedbyabcinaccordancewiththefollowingstandards:(i)abcpartsorpartsequalqualityshallbeused;(ii)theproductshallbeservicedatlevelssetforthinabcsproductmanuals;and(iii)routineserviceproceduresprescribedfromtimetotimebyabcforitsproductshallbefollowed. 5.timeandplaceofservice. serviceshallbedoneatthelocationspecifiedonthefirstpageofthisagreement.whereserviceistobeperformedatthelocationoftheproduct,customershallfurnishshelter,heat,lightandpowerattheselocations,customershallnotifyabcimmediatelyofproductfailure,allowabcfullandfreeaccesstotheproduct,andcooperatefullywithabcinabcsservicingoftheproduct.waiverofliabilitybyabcagainstcustomerorotherrestrictionsshallnotbeimposedbycustomerasasiteaccessrequirement.customershallallowabcfullandfreeaccesstotheproduct.customershallallowabctousenecessarymachines,munications,facilities,featuresandotherproduct(exceptasnormallysuppliedbyabc)atnocharge.mobilesandremovableproductshallbedeliveredbycustomertotheabcservicecenterindicatedonthefirstpageofthisagreement. hoursofserviceunderthisagreementshallbethenormalworkinghours,excludingholidays,ofabcsservicecenterunlessotherwiseindicatedonthefirstpageofthisagreement. 6.payment/taxes. eachpaymentisdueonorbeforethedatesetforthonthefirstpageofthisagreement.abcmayterminatethisagreementbygivingcustomerten(10)daysnoticebycertifiedmailifcustomerdefaultsinitspaymenttoabc.customershallreimburseabcforallpropertytaxes,salesandusetaxes,excisetaxes,andthetaxesorassessmentsnoworhereafterimposedbyauthorityofanynationalorlocallaw,ruleorregulationwithrespecttotheserviceoftheproductexceptinetaxesorotherlegallyreimbursabletaxesofabc. 7.righttosubcontract. abcshallhavetherighttosubcontractinwholeorinparttheservicecalledforbythisagreement.abcshallnotifycustomerofthenameandaddressofeachsubcontractor. 8.revisionoffees. priortoananniversaryoftheexpirationdateindicatedonthefirstpageofthisagreement,abcmayrevisetheservicefeessetforthonthefirstpageofthisagreementbygivingcustomerwrittennoticeoftheamountoftheincreaseatleastsixty(60)daysinadvanceofthatanniversarydate.uponreceiptofanysuchnotice,customermayterminatethisagreementontheexpirationdateoranyanniversaryofituponthirty(30)dayspriorwrittennoticetoabcsentbycertifiedmailtotheaddressindicatedinthisagreement;heeventofsuchtermination,allaccruedandunpaidchargesshallbedueandpayableimmediatelyupontermination. 9.automaticrenewal. aftertheexpirationdateindicatedonthefirstpageofthisagreement,thisagreementshallcontinueforsuccessiveadditionalperiodsofoneyear,providedthateitherabcorcustomermayterminatethisagreementontheexpirationdateoranyanniversaryofituponthirty(30)dayspriorwrittennoticetotheotherpartysentbycertifiedmailtotheaddressindicatedinthisagreement. 10.interruptionofservice. customershallnotifytheservicingagencyintheeventofthefailureofanyproduct.iftheservicingagencyfailstorepairtheproductwithinareasonabletime,customershallnotifytheabcofficedesignatedbyabc.aftersaidnoticefromcustomertotheservicingagencyandtotheabcofficedesignatedbyabc,abcshallbeliableforanyinterruptionorinterferenceaffectingtheuseortransmissionthroughtheproductmaintainedtotheextentofaprorataallowancebasedonthemonthlyservicefeeforthetimesuchinterruptionorinterferenceisattributabletothefaultofabcoritssubcontractor.abcdoesnotassumeandshallhavenoabilityunderthisagreementforfailuretoprovideordelayinprovidingservicefortheproductduedirectlyorindirectlytocausesbeyondthecontrolofabc,including,butnotrestrictedto,actsofgod,actsofthepublicenemy,actsoftheprc,theunitedstates,anystate,territoryoftheunitedstates,oranypoliticalsubdivisionoftheforegoing,orthedistrictofcolumbia,actsoffailuretoactofthecustomer,itsagents,employeesorsubcontractors,fires,floods,casualty,epidemics,quarantinerestrictions,strikes,freightembargoes,andunusuallysevereweatherconditionsordefaultsofabcsubcontractorsduetoanysuchcauses. 11.warrantylimitations. exceptasspecifiedinthisagreement.abcdisclaimsallwarranties,expressorimplied,including,withoutlimitation,theimpliedwarrantiesofmerchantabilityandfitnessforaparticularpurpose.innoeventshallabcbeliableforincidentalorconsequentialdamagestothefullextentsuchmaybedisclaimedbylaw. 12.srrcormptandothergovernmentmatters. althoughabcmayassistinpreparationofthesrrcormptlicenseapplication,customerissolelyresponsibleforobtaininganylicensesorotherauthorizationsrequiredbythestateradioregulatorymission(srrc)orministryofpostandtelemunication,oranyothernationaland/orlocalgovernmentalagency.customerissolelyresponsibleforplyingwithapplicablesrrcormptrulesandregulationsandtheapplicablerulesandregulationsofanyothernationaland/orlocalgovernmentalagency.neitherabcnoranyofitsemployeesisanagentofcustomerinsrrcormptorothergovernmentalmatters.abc,however,mayassistinpreparationofthesrrcormptlicenseapplicationatnochargetocustomer. 13.entireagreement. customeracknowledgesthatithasreadandunderstandsthetermsandconditionsoftheagreementandagreestobeboundbythem,thatitisthepleteandconclusivestatementoftheagreementbetweenthepartiesandthatthisagreementsetsforththeentireagreementandunderstandingbetweenthepartiesrelatingtothesubjectmatterhereofandallunderstandingsandagreements,oralandwritten,heretoforemadebetweenabcandcustomer,aremergedinthisagreementwhichalonefullyandpletelyexpressestheiragreement. 14.amendment. nomodificationoforadditionstothisagreementshallbebindinguponabcunlesssuchmodificationisinwritingandsignedbytheabcdivisionservicevicepresidentauthorizedtomakesuchrevisionsandanauthorizedagentofcustomer. 15.validity. ifanytermorprovisionofthisagreementshalltoanyextentbeheldbyacourtorothertribunaltobeinvalid,voidorunenforceable,thenthattermorprovisionshallbeinoperativeandvoidinsofarasitisinconflictwithlaw,buttheremainingtermsandprovisionsofthisagreementshallneverthelessco
