c r i p t i v 4 8 5 1 摘要 经过十多年的发展，我国的资本市场已经成为国民经济的重要组成部分。由 于当初证券市场规模有限和企业自身的原因，我国大部分上市公司都是集团公司 从其经营性资产中剥离一块盈利性高且发展前景好的资产进行上市，筹集发展资 金。这种做法为上市公司的赢得了宝贵的发展机会，但也为上市公司的规范运作 留下了不少隐患。为解决此历史遗留问题，就要求证券市场进行彻底的制度创新。 这是中国资本市场不断发展的内在需求。整体上市作为当前制度创新的一个热 点，正越来越受到企业和投资者的青睐，一度成为市场的热点题材。然而，整体 上市真的能够完全解决历史遗留问题吗? 从我国整体上市实施几年里，的确出现 了不少成功的典范，但同时也产生了不少新的问题，如资产质量问题、资产评估 定价问题等。从理论上来说，我国整体上市尚无形成一套行之有效的理论，而且 在不少问题上存在较大的争论。完全有必要在理论上对整体上市作进一步的研 究。从现实意义看，整体上市有助于减少由于分拆上市造成的上市公司与母公司 之间的关联交易，提升产业整合功能和市场的资源配置功能，充分发挥集团公司 的产业优势，促进上市公司不断做大做强。因此，研究我国集团公司整体上市有 较强的理论意义和现实意义。 在研究思路上，从整体上市的有关理论着手，结合我国整体上市的现状进行 分析，从中找出其存在的问题及问题的原因，并引入鞍钢集团成功经验，在此基 础上提出有利于改善我国整体上市的可行性对策与建议。在研究方法上，本文运 用了文献资料分析法、比较分析法和综合归纳法。在写作过程中检索和借鉴了大 量的文献，积累了不少前人研究的成果；通过对整体上市各种模式的比较分析， 得出各种模式的优劣；通过对整体上市的全面分析，本文最后综合归纳了整体上 市的策略。 本文一共分为五部分，主要从以下几方面讨论了我国企业集团整体上市的问 题。首先，由于国外证券市场起步较早，发展时间较长，证券市场比国内要规范 得多，像股份不流通、股权分割等问题在西方市场是不存在的。因此，国外学者 专门针对企业整体上市模式进行理论研究并不多。整体上市实质上是资产的重 组，本文借鉴了国外对于并购的研究情况，并吸取我国众多学者对整体上市的研 究成果。接下来本文以企业横向边界理论和纵向边界理论为依据，分析了企业并 购和重合的真正源动力为规模经济效应，进而发掘整体上市的内涵及意义，同时 对整体上市的各种模式的特征进行了比较分析。其次，本文从我国整体上市的现 状着手，分析我国集团公司整体上市的内外动因，继而得出我国整体上市中主要 存在以下几方面的问题：一是资产质量的问题：二是收购估价的问题；三是损害 投者利益的问题；四是产业核心竞争力深度整合的问题；五是加剧母公司“一股 独大 的问题。并对以上问题进行了较为深入的分析。最后，本文借鉴了鞍钢集 团整体上市的经验，深入分析鞍钢集团整体上市成功的方案与程序，找出其成功 的原因，从中借鉴经验和吸取教训：并以整体上市中存在的问题及其原因为切入 点，结合鞍钢集团现实例子，主要从以下几方面提出整体上市中的建议和策略： 一是加强对资产质量的评估管理：二是制定合理的收购定价模式；三是完善关联 交易管理制度；四是加大对母公司内幕交易的监管力度；五是突出主营业务，建 立有效的公司治理模式；六是完善相关法律法规和配套政策。 我国证券市场仍处在初级发展阶段，尚有不少需要金融创新来提升的地方。
