公司成立合同3篇第一章总?则为加快宁波保税区的开发建设，促进保税区经济繁荣，保证社会效益和投资各方利益，通过友好协商，订立本合同。第二章?合同各方第一条本合同投资各方：甲方：_公司名称：_法定地址：_法定代表人：_乙方：_公司名称：_地址：_法定代表人：_第三章合同公司第二条合同各方根据国家有关法规，建立有限责任公司。名称为：_有限公司（以下简称公司）第三条公司法定地址设在宁波保税区东区第四条公司为独立法人，遵守国家法律、法规及宁波保税区有关条例规定，维护国家利益和社会公共利益。第五条公司的组织形式为有限责任公司。合同各方以各自认缴的出资额对公司的债务承担有限责任，各方按其出资额在注册资本中的比例分享利润和分担风险及亏损。第六条公司不得成为其他经济组织的无限股东。第四章经营宗旨和范围第七条公司以加快宁波保税区开发建设，促进保税区经济繁荣，保证社会效益和投资各方经济效益同步增长为经营宗旨。第八条公司经营范围：国际贸易、转口贸易、出口加工、保仓储；铂金、铂金镶嵌首饰和工艺品（除金银珠宝）的生产加工。第五章投资总额和注册资本第九条公司投资总额_万美元。第十条公司注册资本为_万美元。各投资方出资情况如下：甲方：_万美元，占_%，在注册之日起三个月内到_%，其余在两年内到位，以现金和设备到位。乙方：_万美元，占_%，在注册之日起三个月内到_%，其余在两年内到位，以美元现汇投入。第十一条各投资方缴付出资额后，经注册会计师验证，由公司发给出资证明书。第十二条经营期内，投资方不得提前抽回投资，公司增加注册资本由董事会作出决议，各投资方对新增注册资本额享受优先认购权。第十三条各投资方转让投资，需经董事会讨论通过，在同等备件下，其他投资方对转让投资有优先购买权。第六章合同各方的权利和义务第十四条合同各方享有下列权利：（一）按分配的董事会名额委派董事参加董事会；（二）了解公司经营状况和财务状况；（三）依照法律、法规及投资比例获取盈利；（四）优先购买其它投资方转让的股本；（五）优先认购公司新增的注册资本；（六）公司终止后，依法分得公司的剩余财产。第十五条合同各方的义务（一）按期缴纳认缴的股本；（二）依其所认缴的股本额承担公司责务；（三）对公司投资缺口，按股本比例分别承担。第七章董事会第十六条董事会是公司的最高权力机构，确定公司的一切重大决策。对公司章程的修改需经董事会议一致通过。对下列重大事宜，应经三分之二以上董事同意通过；（一）公司年度财务预决算和利润分配方案；（二）公司增加注册资本、分立、合并、终止和清算；（三）聘免公司总经理、副总经理和其他高级管理人员。第十七条董事会由五名董事组成，其中中方委派三名，外方委派两名，董事任期叁年。董事长由中方委派，副董事长由外方委派。第十八条董事会议每年至少召开一次，由董事长或受董事长委托的其他董事召集并主持。经三分之一以上董事或公司总经理提议，可召开临时董事会议。第八章经营管理机构第十九条公司设经营管理机构，负责公司的日常管理工作。经营管理机构设总经理一人，由董事会聘任，设副总经理若干名，由总经理提名，经董事会聘任。第二十条总经理的职责是执行董事会议的各项决议，组织领导公司的日常经营管理工作，副总经理协助总经理工作，经营管理机构可根据需要设立若干部门和分支机构。第二十一条总经理、副总经理有营私舞弊、严重失职或不能完成董事会确定的经营目标，董事会可随时解聘撤换。第九章劳动管理第二十二条公司职工的招聘、解雇、辞职、工资、福利、劳动保护、劳动纪律等规章，由董事会按国家有关政策制订。第二十三条对董事会聘请的高级管理人员的工资待遇，社会保险福利等，由董事会议讨论决定。第十章财税、审计第二十四条公司享受宁波保税区的税收优惠待遇，并按国家规定缴纳税金。第二十五条公司职工按照中华人民共和国个人所得税法缴纳个人所得税。第二十六条公司按国家有关规定，提取法定公积金和公益金，每年提取比例，由董事会根据公司经营状况讨论决定。第二十七条公司的财务审计聘请注册会计师审查、稽核，并将结果报告董事会。第十一章经营期限第二十八条公司的经营期限为年，公司成立日期为公司营业执照签发之日。经董事会一致通过，可以在经营期届满个月前向中国政府有关部门申请延长合营期限。第十二章合同的修改、变更与解除第二十九条对本合同的修改，必须经股东各方签署书面协议才能生效。第三十条由于不可抗力，致使合同无法履行，或章程规定的其他终止事由，经董事会一致通过，可以解除。第三十一条股东一方或几方不履行合同、章程规定的义务，或严重违反合同、章程，都视作违约方片面终止合同，守约各方有权向违约各方索赔。第十三章违约责任第三十二条股东任何方未按本合同第五章的规定依期按数缴纳出资额时，从逾期之日起，每逾期一个月，违约方应缴纳付应出资额的违约金给公司，再由公司返还给守允方。如逾期三个月作未提交，除累计缴付应出资额的百分之三的违约金外，守约方有权要求违约方赔偿损失。第十四章其它第三十三条本协议正本陆份，由协议中方签盖章；外方法定代表人签后有效，股东各方各执壹份，公司存档壹份。第三十四条本协议未尽事宜，由董事会讨论决定。合同各方：_中方：_法定代表人签：_外方：_法定代表人签：_年_月国际有限责任公司成立合同（中英文对照）公司成立合同（2）第一章总则chapter as his shares in joint venture and assisting party b with the transport of such equipment within the boundaries of china；协助合营公司在中国境内购置或租赁设备、材料、原料、办公用具、交通工具、通讯设施等；assisting joint venture to purchase or lease equipment，raw and processed materials，office and transportationunication facilities，etcwithin the boundaries of china；协助合营公司联系落实水、电、交通等基础设施；assisting joint venture to get water supply，electricity，transport services and other necessities required；协助合营公司招聘当地的中国籍的经营管理人员、技术人员、工人和所需的其他人员；assisting joint venture to employ local chinese management personnel，technicians，workers and other needed persons：协助外籍工作人员办理所需的人境签证、工作许可证和旅行手续等；assisting foreign employees to get entrance visas，work licenses and travel permits，etc；负责办理合营公司委托的其他事宜。undertaking other matters trusted by joint examination；培训合营公司的经营管理人员以及技术人员和工人及其他人员。training managerial and technical personnel，workers and other employees for joint venture；如乙方同时又是技术转让方，则应负责合营公司在规定的期限内按设计能力稳定地生产合格产品；where party b is transferor of technology，he shall assure joint ventureto turn out qualified products in accordance with the designed capacity within the period herein provided；协助合营企业工作人员及其他相关人员办理进人外国合营者所在国家或地区的签证；assisting the equipment shall be good and shall meet the demand of technological process and practical usage；（3）乙方对技术转让协议中规定的各阶段提供的技术和技术服务，应开列详细清单作为该协议的附件，并保证实施；cas for technology and technical service provided by party b in all stages according to the agreement of assignment of technology，party b shall make out detailed lists as appendices to the agreement to guarantee the enforcement of the agreement；（4）图纸、技术条件和其他详细资料是所转让的技术的组成部分，保证如期提交；ddiagrams, technical conditions and other minute information are integral parts of the transfer of technology and shall be supplied duly；(5)在技术转让协议有效期内，乙方对该项技术的改进，以及改进的情报和技术资料，应及时提供合营公司，不另收费用；eat all time during the term of the agreement of assignment of technology，party b shall report and supply information to joint venture duly
