MEMORANDUMOFAGREEMENT thisagreementisenteredintothis(day,monthyear)byandbetween(nameandpleteaddressofsponsor)(hereinafterreferredtoassponsor)andkansasstateuniversity,2fairchildhall,manhattan,ks,665061103(hereinafterreferredtoastheuniversity).?workwillbeperformedatkansasstateuniversityinthedepartmentof(). whereas,theprojectcontemplatedbythisagreementisofmutualinterestandbenefittouniversityandtosponsorandwillfurtherinstructionalandresearchprojectobjectivesofuniversityinamannerconsistentwithitsstatusasanonprofit,taxexempteducationalinstitution. now,therefore,thepartiesheretoagreeasfollows: 1.statementofwork.? theuniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinappendixahereof. 2.principalinvestigator/projectdirector.? theprojectwillbedirectedby(pi/pdname).?if,foranyreason,(s)heisunabletocontinuetoserveasprincipalinvestigator/projectdirectorandamutuallyacceptablesuccessorisnotavailable,universityand/orsponsorshallhavetheoptiontoterminatesaidprograminaccordancewithclause15termination. 3.periodofperformance.? theprojectshallbeconductedduringtheperiodof(startdateandenddate)andwillbesubjecttorenewalonlybymutualagreementoftheparties. 4.projectcostsandpayment.? inconsiderationoftheforegoing,sponsorwillpayuniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccounting.paymentshallnotexceedthetotalestimatedcostof(enteramount).?sponsorshallmakepayment(withinthirty(30)daysofthereceiptofaninvoicefromuniversity)or(shallpay$uponthefullexecutionofthisagreementand$onoraboutdate). 5.reports.? universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyuniversity.?theuniversityhasnoliabilityinsurancepolicyassuchthatcanextendprotectiontoanyotherperson. 10.backgroundintellectualproperty.? backgroundintellectualpropertymeanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisagreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembodyingproprietarydatasuchastechnicaldataandputersoftware. bothpartiesagreetoprovidethebackgroundintellectualpropertynecessarytopletetheobjectivesoftheproject.?bothpartiesshallretainallrightstotheirrespectivebackgroundintellectualpropertyprovidedforthispurpose.?neitherpartyshallassumeanyrightsintheotherpartysbackgroundintellectualpropertyprovidedforthisprojectotherthantherighttousesaidbackgroundintellectualpropertytoachievetheobjectivesofthisproject. 11.projectintellectualproperty.? projectintellectualpropertymeansthelegalrightsrelatingtoinventions(includingsubjectinventionsasdefinedin37cfr401),patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingputersoftware,firstmadeorgeneratedduringtheperformanceofthisagreement. ownershipofprojectintellectualpropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursuedreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense.?jointlymadeorgeneratedprojectintellectualpropertyshallbejointlyownedbythepartiesunlessotherwiseagreedinwriting.thepartiesagreetodisclosetoeachother,inwriting,eachandeveryinventionwhichmaybepatentableorotherwiseprotectableundertheunitedstatespatentlawsintitle35,unitedstatescode.thepartiesacknowledgethattheywilldiscloseinventionstoeachotherandtheawardingagencywithintwo(2)monthsaftertheirrespectiveinventor(s)firstdisclosetheinventioninwritingtotheperson(s)responsibleforpatentmattersofthedisclosingparty.?allwrittendisclosuresofsuchinventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35u.s.c.205. sponsorshallreceivethefirstoptiontonegotiateforalicensetomercializetheprojectintellectualpropertyofuniversity,subjecttoanyrightsofthegovernmenttherein.?sponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoprojectintellectualpropertyofuniversity,foraninitialoptionperiodofthree(3)monthsaftersuchinventionhasbeenreportedtosponsor.? thetermsofsubsequentlicensingagreementsforuniversityownedand/orjointlyownedintellectualpropertywillbenegotiatedingoodfaithandbymutualagreementbythepartiestothisagreement. 12.confidentiality/publications.?
