辽宁省抚顺市*总承包工程咨询服务合同书THE FINANCE STREET NO.1 PROJECT IN FUSHUN, LIAONING PROVINCE,QUANTITY SURVEY CONSULTANCY CONTRACT 业主: TESCO 地产北京市朝阳区*大厦一号楼11层 The Client: TESCO Property 11 Floors, Building 1, China Central Place Chao Yang District, Beijing, PRC咨询工程师: 北京*房地产顾问有限公司北京市西城区*街2号*大厦215、216室The Consultant: BEIJING RECHE WIDNELL CONSULTANTS CO LTD.Room 215-216, Tonggang Tower, No 2 North Huayuan Street, Xicheng District, Beijing 日期 2008年6月2日 DATE Jun 2ed, 2008协议书AGREEMENT协议书于 2008 年 6 月 2 日由 TESCO 地产 (以下简称“业主”)为一方与 北京*房地产顾问有限公司 (以下简称“咨询工程师”)为另一方签订。鉴于业主欲请咨询工程师履行某些服务,即 编制辽宁省抚顺市*工程总承包工程含清单的标底文件,并与本项目之总承包商就清单进行核对,商讨总承包工程合同预算价 ,并已接受咨询工程师为履行该类服务所提出的建议书。This Agreement made the Jun 2ed, 2008, between TESCO Property (hereinafter called the Client) of the one part and BEIJING RECHE WIDNELL CONSULTANTS CO LTD. (hereinafter called the Consultant) of the other part.WHEREAS the Client desires that certain Services should be performed by the Consultant, namely edit Main Tendering bottom-line with bill of quantity of the Finance Street No.1 Project in the city of Fushun,Liaoning province ,and reconciling and verifying the budge price with the main Contractor, and has accepted a proposal by the Consultant for the performance of such Services.兹就以下事项达成本协议:NOW THIS AGREEMENT WITNESSETH AS FOLLOWS1.本协议书中的措词和用语应与下文提及的“业主/咨询工程师标准服务协议书条件”中分别赋予它们的含义相同。1. In this Agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of the Client/Consultant Model Services Agreement hereinafter referred to.2.下列文件应被认为是组成本协议书的一部分,并应被作为其一部分进行阅读和理解,即:2. The following documents shall be deemed to form and be read and construed as part of this Agreement, namely:(1)中标函;The Letter of Acceptance;(2)业主/咨询工程师标准服务协议书条件(第1部分标准条件和第2部分特殊应用条件);The Conditions of the Client/Consultant Model Services Agreement (General Conditions and Particular Conditions)(3)附件,即The Appendices, namely:附件A服务范围Appendix A -Scope of Services附件B业主提供的职员、设备、设施和其他人员的服务Appendix B -Personnel, Equipment, Facilities and Services of Others to be Provided by the Client附件C报酬和支付Appendix C -Remuneration and Payment3.考虑到下文提及的业主对咨询工程师的支付,咨询工程师在此答应业主遵照本协议书的规定履行服务。3. In consideration of the payments to be made by the Client to the Consultant as hereinafter mentioned the Consultant hereby agrees with the Client to perform the Services in conformity with the provisions of the Agreement.4.业主在此同意按本协议书注明的期限和方式,向咨询工程师支付根据协议书规定应付的款项似此作为履行服务的报酬。4. The Client hereby agrees to pay the Consultant in consideration of the performance of the Services such amounts as may become payable under the provisions of the Agreement at the times and in the manner prescribed by the Agreement.本协议书谨于前文所载明之年月日,由立约双方根据其有关的法律签署并开始执行。whereof the parties hereto have caused this Agreement to be executed the day and year first before written in accordance with their respective laws 特此证明。In Witness由 在场的情况下 由 在场的情况下In the presence of In the presence of 业主的具有约束力的签名 咨询工程师的具有约束力的签名Authorized signature(s) of Client Authorized signature(s) of Consultant 姓名Name: 姓名Name:签字Signature: 签字Signature:地址Address: 地址Address:第一部分 标准条件GENERAL CONDITIONS定义及解释DEFINITIONS AND INTERPRETATION1.定义DEFINITIONS下列名词和用语,除上下文另有要求者外,应具有所赋予它们的涵义:The following words and expressions shall have the meanings assigned to them except where the context otherwise requires:(1)“项目”是指第二部分中指定的并为之建造工程的项目。(i) “Project” means the project named in the Particular Conditions for which the Works are to be provided.(2)“服务”是指咨询工程师根据协议书所履行的服务,含正常的服务、附加的服务和额外的服务。(ii) “Services” means the services to be performed by the Consultant in accordance with the Agreement and comprise Normal Services, Additional Services and Exceptional Services.(3)“工程”是指为完成项目所实施的永久工程(包括提供给业主的物品和设备)。(iii)“Works” means the permanent works to be executed (including the goods and equipment to be supplied to the Client) for the achievement of the Project.(4)“业主”是指本协议书所指的雇用咨询工程师的一方以及业主的合法继承人和允许的受让人。(iv)“Client” means the party named in the Agreement, who employs the Consultant, and legal successors to the Client and permitted assignees.(5)“咨询工程师”是指本协议书中所指的,作为一个独立的专业公司接受业主雇用履行服务的一方以及咨询工程师的合法继承人和允许的受让人。(v)“Consultant” means the party named in the Agreement, who is employed as an independent professional firm by the Client to perform the Services, and legal successors to the Consultant and permitted assignees.(6)“一方”和“各方”是指业主和咨询工程师。“第三方”是指上下文要求的任何其他当事人或实体。(vi)“party” and “parties” means the Client and the Consultant and “third party” means any other person or entity as the context requires.(7)“协议书”是指包括业主/咨询工程师标准服务协议书第一、二部分的条件以及附件A(服务范围),附件B(业主提供的职员、设备、设施和其他人员的服务),附件C(报酬和支付),中标函和正式协议书(如果已签订),或第二部分中的其他规定。(vii)“Agreement” means the Conditions comprising the Conditions of the Client/Consultant Model Services Agreement (General Conditions and Particular Conditions) together with Appendix A (Scope of Services), Appendix B (Personnel, Equipment, Facilities and Services of Others to be Provided by the Client), Appendix C (Remuneration and Payment), Letter of Acceptance and Formal Agreement if completed, or otherwise as specified in the Particular Conditions.(8)“日”是指任何一个午夜至下一个午夜间的时间段。(viii)“day” means the period between any one midnight and the next(9)“月”是指根据阳历从一个月份中任何一天开始的一个月的时间段。(ix)“month” means a period of one month according to the Gregorian calendar commencing with any day of the month.(10)“当地货币”(LC)是指项目所在国的货币,“外币”(FC)是指任何其他的货币。(x)“Local Currency” (LC) means the currency of the country where the Project is located and “Foreign Currency” (FC) means any other currency.(11)“商定的补偿”是指第二部分中规定的根据协议书应支付的额外款项。(xi)“Agreed compensation” means additional sums as defined in the Particular Conditions which are payable under the Agreement.2.解释INTERPRETATION(1)本协议书中的标题不应在其解释中使用。(i)The headings in the Agreement shall not be used in its interpretation.(2)单数包含复数含义,阳性包含阴性含义。视上下文需要而定,反之亦然。(ii)The singular includes the plural, the masculine includes the feminine, and vice-versa where the context requires.(3)如果协议书中的规定之间产生矛盾,按年月顺序以最后编写的为准。咨询工程师的义务(iii)If there is conflict between provisions of the Agreement, the last to be written chronologically shall prevail, unless otherwise specified in the Particular Conditions.3.服务范围SCOPE OF SERVICES咨询工程师应履行与项目有关的服务。服务的范围在附件A中规定。The Consultant shall perform Services relating to the Project. The Scope of the Services is stated in Appendix A.4.正常的、附加的和额外的服务NORMAL, ADDITIONAL AND EXCEPTIONAL SERVICES(1)正常的服务是指附件A中所述的那类服务。(i)Normal Services are those described as such in Articles A.2 and A.3 of Appendix A.(2)附加的服务是指附件A中所述的那类或通过双方的书面协议另外附加于正常服务的那类服务。(ii)Additional Services are those described as such in Appendix A or which by written agreement of the parties are otherwise additional to Normal Services.(3)额外的服务是指那些既不是正常的也不是附加的,但根据第28条咨询工程师必须履行的那类服务。(iii)Exceptional Services are those which are not Normal or Additional Services but which are necessarily performed by the Consultant in accordance with Clause 28.5.认真地尽职和行使职权DUTY OF CARE AND EXERCISE OF AUTHORITY(1)咨询工程师在根据本协议书履行其义务时,应运用合理的技能、谨慎而勤奋地工作。(i)The Consultant shall exercise reasonable skill, care and diligence in the performance of his obligations under the Agreement.(2)当服务包括行使权力或履行授权的职责或当业主与任何第三方签订的合同条款需要时,咨询工程师应:(ii)Where the Services include the exercise of powers or performance of duties authorized or required by the terms of a contract between the Client and any third party, the Consultant shall 根据合同进行工作,如果未在附件A中对该权力和职责的详细规定加以说明,则这些详细规定必须是他可以接受的。(a)act in accordance with the contract provided that the details of such powers and duties are acceptable to him where they are not described in Appendix A.在业主和第三方之间公正地证明、决定或行使自己的处理权,如有此授权的话。但不作为仲裁人而是根据自己的职能和判断,作为一名独立的专业人员进行工作。(b)if authorized to certify, decide or exercise discretion, do so fairly between the Client and third party not as an arbitrator but as an independent professional acts by his skill and judgment.可变更任何第三方的义务,如有此授权的话。但对于可能对费用或质量或时间产生重大影响的任何变更,须从业主处得到事先批准(除非发生任何紧急情况,此时咨询工程师应尽快通知业主)。(c)if so authorized vary the obligations of any third party, subject to obtaining the prior approval of the Client to any variation which can have an important effect on costs or quality or time (except in any emergency when the Consultant shall inform the Client as soon as practicable).6.业主的财产CLIENTS PROPERTY任何由业主提供或支付费用的供咨询工程师使用的物品都属于业主的财产,并在实际可行时应如此标明。当服务完成或终止时,咨询工程师应将履行服务中未使用的物品的库存清单提交给业主,并按业主的指示移交此类物品。此类移交应被视为附加的服务。Anything supplied by or paid for by the Client for the use of the Consultant shall be the property of the Client and where practicable shall be so marked. When the Services are completed or terminated, the Consultant shall furnish inventories to the Client of what has not been consumed in the performance of the Services and shall deliver it as directed by the Client. Such delivery shall be regarded as an Additional Service.业主的义务OBLIGATIONS OF THE CLIENT7.资料INFORMATION为了不耽搁服务,业主应在一个合理的时间内免费向咨询工程师提供她能够获取的并与服务有关的一切资料。The Client shall so as not to delay the Services and within a reasonable time give to the Consultant free of cost all information in his power to obtain which may pertain to the Services.8.决定DECISIONS为了不耽搁服务,业主应在一个合理的时间内就咨询工程师以书面形式提交给他的一切事宜做出书面决定。On all matters properly referred to him in writing by the Consultant the Client shall give his decision in writing so as not to delay the Services and within a reasonable time9.协助ASSISTANCE在项目所在国,业主应尽一切力量对咨询工程师和他的职员以及他的下属按照具体情况提供如下协助:In the country of the Project and in respect of the Consultant, his personnel and dependents, as the case may be, the Client shall do all in his power to assist in:(1)提供入境、居留、工作以及出境所需的文件; (i)the provision of documents necessary for entry, residence, work and exit;(2)提供服务所需要的畅通无阻的通道;(ii)providing unobstructed access wherever it is required for the Services;(3)个人财产和服务所需物品的进出口,以及海关结关;(iii)import, export and custom clearance of personal effects and of goods required for the Services;(4)发生意外事件时的遣返;(iv)their repatriation in emergencies;(5)提供如下权力,即允许咨询工程师因服务目的和他的职员因个人使用将外币带入该国;允许将履行服务中所赚外币带出该国;(v)the provision of the authorities necessary to permit the import of foreign currency by the Consultant for the Services and by his personnel for their personal use and to permit the export of money earned in the performance of the Services;(6)提供与其他组织相联系的渠道,以便咨询工程师收集他要获取的信息。(vi)providing access to other organizations for collection of information which is to be obtained by the Consultant.10.设备和设施EQUIPMENT AND FACILITIES业主应为服务之目的,免费向咨询工程师提供附件B中所规定的设备和设施。The Client shall make available, free of cost, to the Consultant for the purpose of the Services the equipment and facilities described in Appendix B11.业主的职员CLIENTS PERSONNEL在与咨询工程师协商后,业主应按照附件B的规定,自费从其雇员中为咨询工程师挑选并提供职员。凡涉及服务时,此类职员只应从咨询工程师处接受指示。In consultation with the Consultant, the Client shall at his cost arrange for the selection and provision of personnel in his employment to the Consultant in accordance with Appendix B. In connection with the Services such personnel shall take instructions only from the Consultant12.其他人员的服务SERVICES OF OTHERS业主应按照附件B的说明,自费安排其他人员提供服务。咨询工程师应与此类服务的提供者合作,但不对此类人员及其行为负责。The Client shall at his cost arrange for the provision of services from others as described in Appendix B, and the Consultant shall co-operate with the suppliers of such services but shall not be responsible for them or their performance. 职员PERSONNEL13.职员的提供SUPPLY OF PERSONNEL由咨询工程师派往项目所在国工作的职员,应接受体格检查并应能适应本职工作,同时他们的资格应得到业主的认可。The personnel who are sent by the Consultant to work in the country of the Project shall have been physically examined and found fit for their assignments, and their qualifications shall be acceptable to the Client.业主按照第11条提供的职员应得到咨询工程师的认可。The personnel to be supplied by the Client in accordance with Clause 11 shall be acceptable to the Consultant.如果业主未能提供他应负责提供的业主的职员或其他人员的服务,而双方均认为此类提供对于圆满地履行服务是必须时,咨询工程师可安排此类提供,以作为附加的服务。If the Client cannot supply Clients personnel or services of others for which he is responsible and it is agreed to be necessary for the satisfactory performance of the Services, the Consultant shall arrange for its supply as an Additional Service.14.代表REPRESENTATIVES为了执行本协议书,每一方应指定一位高级职员或个人作为本方代表。For the administration of the Agreement, each party shall designate the official or individual to be his representative. 如果业主要求的话,咨询工程师应指定一人与项目所在国内的业主代表建立联络关系。If required by the Client, the Consultant shall designate an individual to liaise with the Clients representative in the country of the Project15.职员的更换CHANGES IN PERSONNEL如果有必要更换任何人员,则任命方应立即安排,代之以一位具有同等能力的人员。If it is necessary to replace any person, the party responsible for the appointment shall immediately arrange for replacement by a person of comparable competence. 此类更换的费用应由任命方承担,除非更换是由另一方提出的。The cost of such replacement shall be borne by the party responsible for the appointment except that if the replacement is requested by the other party,(1)此类更换要求应以书面形式提出,且须阐明更换理由;(i)such request shall be in writing stating the reason for it, and(2)如果渎职或不能圆满地执行任务不能作为理由成立的话,则提出要求方应承担更换费用。(ii) the party making the request shall bear the cost of replacement unless misconduct or inability to perform satisfactorily is established as the reason.责任和保险LIABILITY AND INSURANCE16.双方之间的责任LIABILITY BETWEEN THE PARTIES16.1咨询工程师的责任Liability of the Consultant.如果确认咨询工程师违反了第5条(1)段,则他应仅对由本协议书引起的或与之有关的事宜负责向业主赔偿。The Consultant shall only be liable to pay compensation to the Client arising out of or in connection with the Agreement if a breach of Article 5.1 is established against him.16.2业主的责任Liability of the Client.如果确认业主违反了他对咨询工程师的责任,则业主应负责向咨询工程师赔偿。The Client shall be liable to the Consultant if a breach of his duty to the Consultant is established against the Client.16.3赔偿Compensation.如果认为任何一方对另一方负有责任时,则应仅在下列条件下支付赔偿:If it is established that either party is liable to the other, compensation shall be payable only on the following terms:(1)此类赔偿应限于由此违约所造成的可合理预见的损失或损害的数额,而不是其他;Such compensation shall be limited to the amount of reasonably foreseeable loss and damage suffered as a result of such breaches, but not otherwise.(2)在任何情况下,此类赔偿的数额应限于第18.1款规定的数额;In any event, the amount of such compensation will be limited to the amount specified in Clause 18.1.(3)如果认为任何一方与第三方共同对另一方负有责任时,责任方所支付的赔偿比例应限于由于其违约所应负责的那部分比例。If either party is considered to be liable jointly with third parties to the other, the proportion of compensation payable by him shall be limited to that proportion of liability which is attributable to his breach.17.责任的期限DURATION OF LIABILITY除非第二部分规定的相应时间段终止之前或法律可能规定的更早日期之前,已正式向业主或咨询工程师提出索赔,否则无论业主还是咨询工程师均不应对由任何事件所引起的任何损失或损害负责。Neither the Client nor the Consultant shall be considered liable for any loss or damage resulting from any occurrence unless a claim is formally made on him before the expiry of the relevant period stated in the Particular Conditions, or such earlier date as may be prescribed by law18.赔偿的限额和保障LIMIT OF COMPENSATION AND INDEMNITY18.1赔偿的限额Limit of Compensation.根据第16条有关责任方面的规定,任何一方向另一方支付赔偿的最大数额应限于第二部分中规定的数额。此限额不影响根据第31条(2)规定的、或本协议书另外规定的任何商定的补偿。The maximum amount of compensation payable by either party to the other in respect of liability under Clause 16 is limited to the amount stated in the Particular Conditions. This limit is without prejudice to any Agreed Compensation specified under Clause 31(ii) or otherwise imposed by the Agreement如果可能另外支付的赔偿总额超过应支付的最大数额,则任何一方均应同意放弃对另一方的一切索赔要求。Each party agrees to waive all claims against the other insofar as the aggregate of compensation which might otherwise be payable exceeds the maximum amount payable.如果任何一方向另一方提出索赔要求,而该要求又不能成立的话,则索赔方应完全补偿由于该索赔所导致对方的各种费用。If either party makes a claim for compensation against the other party and this is not established the claimant shall entirely reimburse the other for his costs incurred as a result of the claim.18.2保障Indemnity.如果适用的法律允许,则业主应保障咨询工程师免受一切索赔所造成的不利影响,包括由本协议书引起的或与之有关的第三方提出的此类索赔:So far as the applicable law permits, the Client shall indemnify the Consultant against the adverse effects of all claims including such claims by third parties which arise out of or in connection with the Agreement:(1)除非此类索赔被包括在根据第19条规定所办理的保险中;except insofar as they are covered by the insurance arranged under the terms of Clause 19.(2)此类索赔在第17条提及的责任期终止后提出。made after the expiry of the period of liability referred to in Clause 17.18.3例外Exceptions.第18.1和18.2款不适用于由下列情况引起的索赔:Clauses 18.1 and 18.2 do not apply to claims arising:(1)故意违约或粗心引起的读取;from deliberate default or reckless misconduct, or(2)与履行合同义务无关的事宜。otherwise than in connection with the performance of obligation under the Agreement.19.对责任的保险与保障INSURANCE FOR LIABILITY AND INDEMNITY业主可以书面形式要求咨询工程师:The Client can request in writing that the Consultant(1 ) 对第16.1款规定的咨询工程师的责任进行保险;insures against his liability under Clause 16.1,(2)在业主第一次邀请咨询工程师为服务提交建议书之日进行保险的基础上,对第16.1款规定的咨询工程师的责任追加保险额;increases his insurance against liability under Clause 16.1 over that for which he was insured at the date of the Clients first invitation to him for a proposal of the services(3)对公共的或第三方的责任进行保险;insures against public/third party liability,(4)在业主第一次邀请咨询工程师为服务提交建议书之日进行保险的基础上,对公共的或第三方的责任追加保险额;
