票据保证制度研究 是保证的本质特性，作为一种保证行为，票据保证也必然具有从属性；而作 为一种票据行为。其同时又具有票据行为所拥有的特性，比如要式性、文义 性、连带性等等。 ， 票据保证的法律价值取向无疑会主宰其基本性质，所以，笔者将价值取 向作为票据保证法律性质的逻辑起点，得出票据保证是兼具独立性与从属性、 但独立性整体较强，相对坚持无因性的法律行为。有关票据保证独立性和从 属性的相关论述颇多，本章着重加强了关于票据保证相对坚持无因性的考察， 先对有关无因性的几种学说进行阐述，然后再进行比较分析得出结论。正所 谓：制度建设，理论先行。笔者对此部分的着墨颇多，以期能对后面的制度 研究打下正确而坚实的理论基础。 第二部分为本文第二章，其主要分析了票据保证的特殊性。票据行为既 是一种票据行为也是一种保证行为，成立票据保证必须具备一定的条件，它 与一般的民事保证有很大的不同；在构成要件、保证人责任、保证人权利等 方面有其特殊性。本章我们选择民事保证为切入点有助于我们更好地了解票 据保证的特殊性。本部分对票据保证的特殊性主要从以下几个方面来进行论 述：票据保证与民事保证的区别，票据保证构成要件的特殊性，票据保证人 责任的特殊性和票据保证人权利的特殊性。 以上的四个方面充分体现了票据保证不同于一般民事保证的特殊性。其 中着重对票据保证与民事保证区别和票据保证人责任与权利特殊性进行论 述。民事保证是指债务人以外第三人与债权人约定，当债务人不履行债务时， 由该第三人( 保证人) 代为履行债务或承担赔偿责任。票据保证作为一种保 证行为。与民法上的保证制度有着许多相通之处。二者都属于担保中人的担 保范畴，是用以弥补特定债务人信用不足的一种制度，其实质是一种信用担 保。但二者却也存在很大的不同，这在正文中会详细展开。 此外，对于票据保证人责任与权利特殊性的论述，笔者选择以责任与权 利的性质为切入点。以票据保证人责任的性质为例来说，对于保证人责任的 认定，理论界的通说认为票据保证责任具有三个特性：即从属性、连带性、 和独立性。笔者并不赞同此类分法。保证人责任的独立性，主要表现在票据 保证不因被保证人的票据债务在实质上无效，而导致票据保证本身无效。票 据保证人责任的独立性正是票据保证区别于民法上保证的重要特性，其目的 2 内容摘要 在于为了达到保护持票人合法权益，维护交易安全之目的。保证责任的独立 性源于票据行为的独立性，即票据行为的独立原则。而从属性应该说属于保 证人责任的共性，不论是民法上的保证人责任还是票据保证人责任，它源于 保证的从属性。从属性并非票据保证人责任所独有，所以不宣将从属性纳入 票据保证人责任的特性之中保证人责任的性质应当包括下面三个方面：同 一性、连带性、独立性。 第三部分包括本文的第三章和第四章，本部分首先重点介绍了两大法系 的票据保证制度。日内瓦法系是受大陆法系立法的影响建立起来的，其主要 包括德国、法国、瑞士、日本及我国台湾等国家和地区。我国票据法受到日 内瓦法系的较大影响，1 9 9 6 年施行的票据法基本就是以日内瓦统一汇票本 票法为蓝本制定的。但我国的票据法与日内瓦法系还是有许多不同之处。 而英美法系选取英国与美国作为代表，美国没有独立的票据法，其有关票据 的内容均规定在美国统一商法典第3 编中美国对票据保证的规定与我 国票据法有很大的不同，其是以规定融通当事人的和约和保证人和约的方式 对票据保证进行规定的。而英国的票据法则没有明确规定票据保证制度，其 第5 6 条规定，凡未以出票人或承兑人地位在汇票上签名的，对汇票的正当持 票人负背书人的义务，因背书人责任中就包含了担保义务，所以，这规定 包含了票据保证的一定内容。具体的比较研究，详见正文部分。 其次，通过与两大法系，即日内瓦法系和英美法系的比较，分析了我国 票据保证制度与外国票据保证制度的差别同时对我们国家票据保证的制度 与实践进行分析，提出票据保证存在的问题及完善我国票据保证制度的几点 的作用与目的在于确保票据债务人到期能够履行自己的义务，保障票据的流 通性与安全性，增强票据信用。为此，世界上大多数国家和地区都规定了票 据保证制度。我国于1 9 9 6 年1 月1 日起开始实施的中华人民共和国票据法 明确规定我国票据行为只有出票、承兑、背书、保证四种。该法第4 5 条明确 规定了“保证”的主体内容：“汇票的债务可以由保证人承担保证责任。保证 人由汇票债务人以外的他人担当”。同时，该法第8 l 条规定；“本票的背书、 保证、付款行为和追索权的行使，除本章有规定外，适用本法第二章有关汇 票的规定。? 可见，立法赋予了票据保证为票据流通中不可或缺的一环。在实 务中，票据保证能够参加到每一种票据行为中。例如，票据保证可以为出票 人保证、背书人保证、为汇票承兑人保证，这些都无疑彰显了票据保证重要 法律地位。
