lease contract汽车租赁合同parties to this contract(双方当事人)lessor(partya)出租方（甲方）：nanjingtran-wave automobile services co.,ltdlessee(partyb)承租方（乙方）：the subject of this contract is that lessor is granting the use of its legally owned vehicles to lessee. the contract is drawn up in accordance with the contract law of the peoples republic of china and other relevant laws and directives. the contract makes clear each partys rights and responsibilities during its terrn of validity and is made on equal and voluntary basis after both parties reached mutual agreement through friendly discussion. by its signing, both parties certify that they will abide by and carry out the articles of this contract.根据中华人民共和国合同法及其它相关法律法规的规定，为明确当事人双方在合同期内权利与义务，在平等自愿的基础上，经双方协商一致，就甲方将其合法拥有的汽车出租给乙方使用事宜，签定本合同以供双方信守执行。1- vehicles leased and contract duratlon租赁车辆和合同期限1.1 lessor provides lessee with the vehicles for lease and the vehicles complete set of license documents and inspection certificates.甲方向乙方提供汽车租赁，甲方提供的汽车须具备齐全的证照及检验合格的证件。1.2 party a provides a vehicle (southeast delica produced in 2003,llseats).甲方提供的汽车为一辆2003年出厂的东南得利卡11座面包车。1.3 term of tenancy: two months. from 15th , nov 2005 to 14th, jan 2006.合同期限：自2005年11月15日至2006年元月14日止，总租期2个月。2- scope of lease租赁用途2.1 prior to signing this contract, lessor shall show lessee the cars valid documents and proof of owncrship. 本合同签定前，甲方应向乙方出示该车辆的有效证件及其权属证明。 2.2 lessee will only use the car for their companys business purpose. 乙方向甲方承诺，租赁这些车辆仅作为公司使用。3. total contract value and payment terms. 租金及支付方式3.1 rent:rmb7800/month, for the vehicle is rmb5000/month, for one driver in the day is rmb1400/month, for another driver in the night is rmb1400/month.东南得利卡11座面包车每月租金为5000元（人民币），白班司机工资每月1400元（人民币），夜班司机工资每月1400元（人民币），合计每月7800元（人民币）。3.2 the rent shall be paid in rmb by monthly. before party b use the vehicle, party a should give invoice to party b, party b pay the rent. 租赁费用由乙方按月支付，乙方须在用车前凭甲方开具的发票支付当月租金。 3.3 for use of vehicles by lessee for a period of time less than one month, the rentals shall be calculated on a prorated basis, taking into account the actual days of service vs. the total number of working days of the month.如果乙方某个月使用车辆不足一个月，则租金以当月实际使用天数除以当月总工作天数按比例计算。 4. other expenses and work time and regulation 其它费用以及工作时间和规则。 4.1 during the term of the lease, lessee shall pay all expenses related to the use of the vehicles such as toll charges and parking charges. lessor shall submit the written substantiation of these expenses when claiming the monthly payment.乙方在租赁期间，使用该车辆所发生的桥路费、停车费均由乙方承担。甲方在申请每月支付时应递交此类费用的书面证明。4.2 in the lease term, partya pay for the fee for the road, the insurance for the vehicle, the fee for fix and maintain the vehicle.在租赁期间内，甲方承担该车辆的养路费、车辆保险、维修及保养费。4.3 the working time for the driver in the day:7 days/week, from 7:00 to 21:30. the working time for the driver in the night:7 days/week, from 21:30 to 7:00.甲方司机工作时间为7天，周一至周日。白班司机工作时间为上午7：00至晚20：30分，晚班司机晚21：30至上午7：00。4.4 if the drivers working time extend, party b should pay the salary to the driver: form monday to satday is rmb10/hour, sunday and the festival(new year) is rmb20/hour, less one hour(30mins-60mins) as one hour, will be paid monthly.超过以上规定的工作时间，延时加班费标准如下：周一到周六每人每台车为10元/小时，周日和法定节假日加班每人每台车为20元/小时，不足1小时按1小时计算，加班费每月结算一次。5. vehicle maintenance responsibility 汽车修缮责任。5.1 during the time of the lease,lessor guarantees that the vehicles are in good operating conditions and the accessory equipment is complete. lessor shall carefully check the vehicles and its legal documents. 车辆租赁时，甲方应保证车辆状况良好和随车设施齐备。甲方应认真检查车辆状况及随车证件。5.2 during the time of the lease, lessor assumes responsibility for the normal annual check, maintenance and repairs in accordance with the national government regulations.车辆租赁时，甲方应按国家规定进行正常年检，维修及保养。6. lessors rights and obligations甲方的权利和责任。6.1 under the following circumstances, lessor has the right to repossess the car, andcharge lessee for the losses incurred, while charging lessee the rentals for the time actually leased. 存在下列情况时有权收回租赁车辆，并由乙方赔偿因此所受到的损失，租金和相关费用按实际租赁的时间结算。6.1.1 lessee uses the vehicles for illegal activities.乙方利用租赁车辆从事违法犯罪活动。6.1.2 lessee is late in releasing the rental payment by more than 10 calendar days.乙方拖欠应付给甲方的租金和相关费用超过10个日历天的。6.1.3 lessee, without asking lessors permisstion, gives away as a present, transfers at detrimental to lessor.乙方擅自赠予、转让、转租、抵押、质押租赁车辆以及有其它有损甲方权益的行为。6.1.4 lessee uses the vehicles for activities detrimental to public interests or infringing on other peoples legal rights.乙方不得利用租赁车辆从事其它有损公共利益或他人合法权益的活动。6.2 during the term of the lease, lessor provides the aforementioned vehicles in good operating conditions with a complete set of legal documents to travel along whatever routes solely designated by lessee.在合同期内，甲方向乙方提供设施齐全，技术状况良好，随车证照齐全有效的租赁车辆，按乙方规定的行车路线行驶。 6.3 in a way not disturbing lessee, lessor has the right to enquire into the vehicles condition and usage.在不影响乙方正常使用的情况下，甲方有权了解租赁车辆的状况及使用情况。6.4 at regular intervals, lessor carries out the vehicle inspections and maintenance and repairs.乙方定期对租赁车辆进行检查、维修和保养。6.5 during the time of the lease,lessor is responsible for salvaging the vehicles in case of natural calarnity.甲方负责对租赁车辆在租赁期内非人为因素导致的故障进行救援。6.6 during times of maintenance, repairs or inspection of the vehicles, lessor should do his utrnost to provide lessee with a clean substitute vehicle in the same class of the leased vehicle. 在租赁期内租赁车辆正常保养、维修、年检时，甲方应尽可能为乙方提供与租赁车辆同档次的代用车辆，并应保持车况良好，车容整洁。6.7 lessor shall issue the tax invoice to lessee upon request for payment every time.在甲方每次向乙方申请汽车租金时，必须出具税收发票。 7. lessees rights and obligations.乙方的权利及责任。7.1 at the time of making arrangements for the lease, lessee should show lessor a proof of creditworthiness. 办理租赁手续时，应按要求向甲方提供合法有效的资信证明。7.2 lessee should inform in writing and in a timely fashion lessor in case he changes name, address or telephone number.乙方名称、地址、联系电话等发生变更的，应及时书面通知甲方。7.3 lessee should pay the contractually stipulated rentals in a timely fashion based on the contract terms.按合同约定及时交纳租金和相关费用。7.4 if during the term of the lease, the vehicle experiences any failure or breakdown or damage, lessee shall agree that lessor has the vehicle repaired at a repair station or workshop appointed by lessor.租赁期内租赁车辆发生各类机件故障或车辆损坏事故的，乙方须同意甲方到甲方指定的车辆特约维修站或修理厂进行维修。7.5 lessee cannot use the car for the following activities; for driving lessons, race competitions, for stress or vibration tests or other damaging driving or testing. lessee is not allowed to use the car for commercial transport of persons or goods. lessee cannot exceed the limits for the number of persons or goods to be transported in the vehicles and cannot transport easily inflammable goods or explosives or corrosive materials. lessee si not permitted to smoke in the car with the doors and windows closed.乙方不得将租赁车辆进行以下活动：用做教练车、参加竞赛、做抗震、抗压等测试以及其它具有破坏性的驾驶或实验。不得利用租赁车辆进行盈利性质的客货运输，不得超额载人载物，不得运送易燃、易爆、易腐蚀物品，不得封闭门窗时在车内吸烟。7.6 without lessors written permission lessee cannot give the vehicle to a driver other than the one appointed by lessor.未经甲方书面同意，乙方不得将车辆交给非甲方指定驾驶员驾驶。8. termination clause终止条款8.1 should lessor cause lessee not being able to use the vehicle during the term of the lease, lessee has the right to terminate the contract and lessor should compensate lessee for the directly related financial losses.由于甲方原因造成乙方无法在租赁期内正常使用租赁车辆时，乙方有权解除租赁合同，甲方赔偿乙方由此所受到的直接经济损失。8.2 should lessee violate the article 7.5 or 7.6 of this contract, lessor has the right to terminate the contract in writing. lessee should assume related responsibility and compensate lessor for directly related financial losses.乙方违反本合同7.5、7.6条款时，甲方有权以书面方式解除合同，由乙方承担相应责任并向甲方赔偿由此受到的直接经济损失。8.3 should lessee return the vehicles to lessor and terminate the contract before the end of the lease trem, lessee should pay the contractual rental fees for the days vehicles have been actually used.乙方提前归还车辆并终止合同，租金按实际租赁天数计算。9. change and cancellation of contract.合同的变更和解除9.1 if both parties mutually agree through negotiations, the contract can be changed or cancelled.在合同期内经甲乙双方协商一致，可以变更或解除本合同。9.2 if the vehicles and equipment are damaged by natural disasters making it impossible to implement the contract further, any party can cancel this contract without being subjected to any penalty.因不可抗力的因素致使该车辆及随车设施损坏，本合同不能继续履行的，任何一方均可解除本合同并不承担违约责任。10. conflict resolution.争议的解决。10.1 if during the contract period any conflict arises, both parties try to resolve it through friendly negotiations. in the event no agreement can be reached in a friendly way, either of the two parties can submit the conflict to a local arbitration commission.因履行本合同产生争议时，甲乙双方应友好的协商解决，协商不成时，任何一方可向当地仲裁委员会申请仲裁。11. insurance and vehicle tax coverage.保险及汽车税范围。11.1 lessor shall provide full insurance and taxation coverage for each vehicle, the minimum of which shall be: vehicle damage insurance, third party liability insurance,uncalculating exempt compensation damage insurance, car theft damage insurance and driver and passenger insurance which should carry a limit of liability of rmb20,000 for erery passenger. these insurance coverages will be provided at the cost of lessor, and payment of such policies shall not be the responsibility of lessee.乙方应该为每辆汽车保全险并交纳所有的税额，其中应至少包括：汽车损失险，第三方责任险，不计免赔险，全车乘员险。（此全车乘员险应为每座乘客至少投保人民币（20，000）元）甲方应该对这些险种进行投保，并且甲方为这些费用的支付方，此费用与乙方无关。11.2 lessor shall investigate and settle any traffic accident insurance claim, or any insurance claims arising from lessees use of vehicle leased from the lessor.所有交通事故险索赔事项，以及乙方从甲方处租赁的汽车所导致的任何索赔事项应该由甲方负责调查和处理。12. other clauses 其它条款。12.1 this contract has versions both in chinese and english. both two versions have the same legal validity. in case there are disorepancies between the two versions the chinese version shall prevail. the contract takes effect upon both parties signing it.本合同文本用中英文两种文字，这两个文本具有同等法律效力，当两个文本解释不一致时，以中文版为准，合同一经双方签字立即生效。12.2 the place where the contract is signed in nanjing.本合同的签约地点为南京。出租方（甲方）lessor:
