摘要 知识经济的发展推动和造就了美国在2 0 世纪9 0 年代持续繁荣的 “新经济”，显示出强大的发展优势。面对新世纪发展模式转型的抉择， 我国也确立了自主创新、建设创新型国家的战略。由此，发展知识创 新体系和与此相适应的知识资产会计体系成为时代的任务，而在知识 经济时代会计相关性的消失更说明了建立知识资产会计理论的必要 性。本文的目的就是因应知识经济发展的客观需求，通过对相关理论 问题的研究，形成具有实践指导意义的知识资产会计系统理论，为该 领域会计理论的创新和发展探路、加力。 经营管理实践的客观需要与会计实务困境的反差，表明了知识资 产会计深层问题的困扰。因此本文研究的侧重于基础理论基本理论层 面、注重理论体系的完整性。全文分为基础理论、基本理论、应用理 论三大部分。 第一部分是基础理论部分。基础理论部分从现实和理论的不同角 度，分析研究知识资产的基本性质，为知识资产概念和知识资产会计 概念结构确立理论基础。 知识经济是以知识为基础的经济，知识的基本性质决定知识作为 生产要素不同于物质资产的特点，如精神性、长期性等。知识经济的 所有重要基本特征都和知识要素相关。新增长理论的研究证明，在知 识经济中，最稀缺和重要的经济要素是知识，知识成为经济增长的内 生变量和关键要素。知识是一项价值要素，运用价值理论对知识资产 的价值特征进行分析研究，可以得出知识及知识资产是知识经济形态 下价值形成的客观基础，是企业的市场价值增值的根本动因。知识的 价值分析说明了对知识资产要素确认和计量的必要性。核心竞争力理 论认为知识是企业核心竞争力的本源，知识资产是知识经济下企业的 核心竞争力。这一命题即是知识资产会计要素的充分和必要前提。契 约理论的观点适用于对企业资产性质的分析，知识资产是企业关于知 识要素使用权的制度性安排结果。知识资产的契约关系性质为知识资 产会计确认、计量确立了科学、合理的标准。 当代知识资产理论的发展，使对知识资产概念、性质的认识逐步 进化和成熟。知识资产概念的发展包括“一元论”、“二元论”及“三元 论”观点的演进，和当今西方理论研究的主流观点。 第二部分是基本理论部分。知识资产会计是企业财务会计的分 支，知识资产会计理论从属于一般会计理论。其理论体系是以一般会 计理论为基础的，具有自身特点的相对独立体系，分为基础理论、基 本理论和应用理论三部分。基本理论是知识资产会计理论结构的核心 部分，基本理论导引、限定应用理论。知识资产会计基本理论的构成 包括知识资产会计的目标、假设、原则和要素。 ” 目标是整个理论结构的起点，知识资产会计基本目标是提供有关 企业知识创新能力的信息及企业知识资产拥有量及其增进能力的信 息，“为企业投资决策提供依据”等四项目标是知识资产会计具体目 标。对知识资产会计假设的分析研究表明，知识经济对基本会计假设 产生影响，会计主体、持续经营、会计分期假设和货币计量这四项基 本会计假设的形式到内容都发生了改变；而作为对知识经济新的会计 环境的反应，知识资产会计还存在技术创新、制度适应性、不确定性 三项新的假设。关于知识资产会计原则的研究，首先也是明确知识经 济对以权责发生制原则、历史成本原则、配比原则、稳健原则为主的 基本会计原则的造成影响，使之内容、适用性有所改变；其次应就知 识资产会计明确价值优先于交易、模糊性二项新的原则。知识资产会 计产生的直接原因就是知识资产的产生并发挥决定性的作用，所以知 识资产要素概念理论必然是基本理论的核心，进而也是整个知识资 产会计理论体系中的核心。 知识资产概念理论是关于知识资产会计要素的概念理论。通过知 识资产概念理论研究，形成关于知识资产的概念定义、内容构成、性 质的系统认识。知识资产概念是在对知识资产性质分析的基础上，按 会计的资产概念规范定义的。知识资产的基本构成为：知识产权、知 识人力资产、结构性资产。 知识产权是企业的一种产权形式，包括著作权、专利权、商标权、 商业秘密权，具有知识性、法定性、独占性等特点。知识人力资产研 究首先是明确将知识人力资源确认为资产的必要性，明确知识人力资 产是以人作为对象的知识资产，可划分为领导人才、开发研究人才、 管理营销人才，具有可控性、制度性、稀缺性、个体性及组织依赖 性、产权性的特征。结构性资产在本质上是产生并存在于企业组织的 企业超额收益能力，具有组织依赖性、不可辨认性、整体性、内生性 等特征，包括结构性人力资产、内部运行机制、客户关系、企业文化 等内容。 对知识资产进行分类对比，可以研究发现其内部结构，取得对知 识资产的完整性的认识。知识资产可以按知识表现形态可分为编码的 ( 或显性的) 知识资产和未编码的( 或隐性的) 知识资产；按知识能 动状态分为能力知识资产和存量知识资产；按知识能力类型分为技术 创新型知识资产和管理、营销创新型知识资产等。虽然无形资产。人 力资源资产的部分内容具有知识属性，但知识资产作为一个新的具有 完整内涵的资产概念，和无形资产、人力资源有本质区别。它们的概 念外延存在显著差异，概念性质存在本质上的区分，概念的发展来源 路径不同，进行报告反映的目的不同等。 “ 第三部分为应用理论部分。知识资产会计应用理论的内容包括知 识资产会计确认、会计计量、会计记录、会计报告。 确认理论主要解决知识资产确认的意义和标准、确认的原则和模 式。知识经济下的知识资产确认面临诸多的问题和挑战，应明确确认 的目标、方式和标准。知识资产确认应符合由资产的定义、性质而导 出的基本标准，符合可定义性、可计量性、相关性、可靠性的要求。 不同类别的知识资产确认具有不同的特点。知识产权确认的重点原则 模式问题是自创知识产权确认选择资本化或费用化；知识人力资产确 认的基本原则、要求是：知识人力资源应作为资产要素确认，以人为 确认对象，以人的知识能力作为资产确认标准；结构性资产确认的一 般过程和原则可以概括为确认、解构超额收益能力，其性质不同于商 誉确认。 计量理论部分主要解决知识资产的计量模式和计量方法。知识资 产会计计量存在表内计量和表外计量、整体计量和单项计量等方面， 具有相当的复杂性，会计计量模式的选择受会计目标等因素的影响。 除了历史成本属性，知识产权的计量模式应更多的考虑现值属性；对 知识人力资产的计量可以分别中级人才和高级人才按成本属性或价 值属性进行；对结构性资产的超额盈利价值的计量不能应用成本属 性。知识资产的计量方法应按类区分。知识产权计量方法主要有历史 成本法、重置成本法、未来收益现值法等；知识人力资产计量方法分 为货币计量方法和非货币计量方法，货币计量方法又分为成本法和价 值法；结构性资产计量方法主要应选择直接计量法。综合性计量方法 是针对组织的全部知识资产进行综合计量的方法，包括s c 法和d i c 法。对s c 法，有重要意义的方法有平衡计分卡模型、斯堪的亚“导航 器”模型、无形资产监测器等，对d i c 法重点说明了知识资本审计测 量模型和层次分析法。 报告理论部分主要解决知识资产报告的原则和模式。知识资产会 计报告的应遵循一定的基本要求、形式和规范。从2 0 世纪9 0 年代初 期开始，知识资产报告特别是表外报告的方式获得了积极的进展。总 的来看，滞后的对外财务会计报告和活跃的非财务的内部报告构成当 代知识资产报告的现实。对知识资产会计报告模式的创新有很多积极 的探索。沃尔曼的“彩色报告模式”将财务报告的内容按会计信息的质 量特征分为多个不同层次，以更好地达到决策相关性的且标；列夫提 出“传统会计一非交易会计非财务领域”的报告模式，反映了一种革 命性的财务会计改革思路。报告模式的创新和发展，要应用非财务模 式，弥补g 虬埋会计报告的不足，瑟根本出路是改革g a a p 会计模 式。关于g a a p 会计报告模式的改进，应扩大会计报告信息披露的 内容和范围、增加披露信息。知识经济条件下的会计恒等式应拓展为： 物质资产+ 知识资产= 负债+ 财务资本权益+ 知识资本权益。 记录理论部分主要解决知识资产表内记录的会计科目设置和会 计记录方法要求。按知识资产的基本类别分别设立“知识产权”、“知 识人力资产”、“结构性资产”一级科目，并就知识资产的全过程分别 设置知识资产的存量科目、投资成本科目、摊销科目。还须要同步设 立知识资本核算的相关科目。会计记录主要是区分知识资产形成来源 的不同情况。 关键词：知识经济与会计；知识资产性质； 知识资产会计理论结构；知识资产的会计概念 a b s tt a c t t h ed e v e l o p m e n to ft h ek n o w l e d g e -
