根据香港特別行政區有关法律，经甲乙双方友好协商，在平等、自愿、诚信、互利的基础上，乙方自愿申请加盟甲方“GlobalEducationAllianceLimited”连锁特许经营体系，并愿意依照该体系统一的经营模式及甲方有关的管理制度、标准等开设“GlobalEducationAllianceLimited”加盟店的事宜，达成一致协议如下： PursuanttothelawsoftheHKSAR,inlinewiththeprincipleofequality,voluntariness,integrity,andmutualbenefit,andthroughfriendlyconsultationbybothparties,partyBvoluntarilyappliestojoininchainfranchisesystemofpartyA“GlobalEducationAllianceLimited”,andpresentsthewillingnessandconsenttoopenissuesofGlobalEducationAllianceLimited”FranchisesinaccordancewiththesystemofunifiedbusinessmodelandtherelevantmanagementsystemandstandardofpartyA. 一、基本内容 一：BasicContents 1、为了充分保障乙方的利益，甲方特许乙方在本合同自签订之日起20日内为冷静期，乙方拥有单方解除本合同的权利，甲方应全额退还乙方所交纳的加盟费、保证金等费用，且不视为乙方违约。 1.InordertofullyprotecttheinterestsofthePartyB,asoftheestablishmentdateofsigningthiscontract,partyBisgrantedfrompartyAacooling-offperiodwithin20days,duringwhichtherightstounilaterallyterminatethiscontractshallbegrantedtopartyBandpartyAshallpayparty Bafullrefundoftheinitialfee,depositandotherexpenses,whichshallnotbedeemedas breachingofpartyB. 2、甲方特许乙方依本合同的约定使用其商标、商号、服务标志、培训体系、营运体系、财务体系、信息网络系统、专有技术系统等经营管理体系，开办甲方的一个特许加盟店。 2.partyBunderthiscontractagreementisgrantedconcessionfrompartyAtouseitstrademarks,tradename,servicemarks,trainingsystem,operatingsystem,financialsystem,informationworksystem,proprietarytechnologysystemandothermanagementsystems,andisgrantedtosetuponefranchiseofpartyA. 3、甲方为乙方提供开店前的整体规划，包括店址评估、投资预算、经营预算、人力配置、资源配置、经营技术的提供与传授等，乙方需全力配合。 3.partyAshallprovidepartyBwithoverallplanningbeforeopeningthebusiness,includingshopassessment,investmentbu(于:wWw.z在点网)dget,operatingbudget,staffing,resourceallocation,theprovidingandteachingofmanagementtechniquesandsoon,andpartyBshallfullycooperate. 4、甲方任何员工不得对乙方做任何承诺。若有承诺，以经加盖甲方公章的书面方式确认为准，任何没有甲方公章的书面确认与口头承诺均不具法律效力。 4.noemployeeofpartyAisgrantedtherighttomakepromisestopartyB,onlywiththePartyAconfirmationinwritingalongwiththestampedsealthepromiseisthelegalmitment,otherwisethewrittenconfirmationandverbalpromisecarrynolegaleffect,andpartyAisoutofanyresponsibilitiesandduties. 5、乙方加盟店的經營範圍限於海外留學顧問服務(AgencyLink)、簽證服務、监护人服務、機場接送及住宿服務、遊學咨詢服務及移民咨詢服務。 5.thebusinessscopeoffranchisingpartyBislimitedinoversea-studyadvisoryservice,agencyvisaservice,guardianservice,airportpickupagencyandacmodationservice,travelingadvisoryservice,andimmigrationadvisoryservice. 6、乙方须严格遵守當地国家法律法规开展经营活动，除非事先得到甲方书面同意，乙方不得以承包、租赁等一切方式转让该加盟店的经营权。禁止乙方以加盟店的经营权设定担保。 6.partyBshallstrictlyabidebylocallawsandregulationstocarryoutbusinessactivitiesinthecountry,exceptwiththewrittenconsentfrompartyAinadvance,partyBshallnotbegrantedtotransferthemanagementrightoffranchiseincontracting,leasingandotherways. 7、乙方未经甲方书面同意不得擅自变更加盟店的经营范围。 7.partyBshallnotbegrantedtoalterthebusinessscopeofthefranchiseinanywaywithoutthewrittenconsentconfirmationbypartyA. 8、为了擴大甲方在乙方加盟店的所在國家或城市的院校網絡，在甲方的书面同意下，乙方有义务爭取更多優質的院校與甲方建立合作關係。任何由乙方促成的合作协议，乙方不需支付甲方所产生的行政费用。 8.inordertoexpandpartyAsschoolsworkinthecountryorcitywherepartyBislocated,withthewrittenconsentconfirmationfrompartyA,PartyBisobligedtosecuremorehigh-qualityschoolstoestablishbusinessrelationswithpartyA.PartyBshallnotpaytheadministrativefeeincurringbypartyAifanyagreementisbrokeredbypartyB. 二、双方法律关系 二：Bilaterallegalrelations 1、甲乙双方之法律地位各自独立，不存在任何合伙、雇佣或承包关系。 1.Thelegalstatusbetweenbothpartiesisrespectivelyindependentandnopartnership,no employmentandnocontractualrelationsshallbegrantedtomakeallowance. 2、乙方為甲方的加盟者，无权以甲方或甲方关系企业名义签订合同或从事法律活动，使甲方或甲方关系企业对任何第三方承担责任或负担费用。 2.AsafranchiseofPartyA,PartyBshallnotbegrantedanyrightstoconcludeandsignanycontractsorengageinanylegalactivitiesinthenameofPartyAorinthenameofaffiliatedpanyofpartyA,sothatpartyAortheaffiliatedpanyofpartyAshallbeliabletoundertaketeobligationsandcharges. 3、乙方对外的一切法律行为，除依本合同规定运作或经甲方另以书面同意或授权外，皆為乙方独立行为，乙方须自行承担一切责任。 3.ApartfromtheoperationunderthiscontractorintheconsentconfirmationorauthorizationinwritingbypartyA,PartyBshallbeobligedtoundertakeanyotherexternallegalactsindependentlyandundertakeanyotherresponsibilities. 三、商标及经营技术资产的使用 三：useofthetrademarkandbusinesstechnologyassets 1、在本合同有效期内，甲方（即商标权人）许可乙方可使用甲方或其关系企业的相关商标。乙方在超出本合同有效期或非为履行本合同的目的在加盟店以外使用甲方相关商标，视为侵权行为，甲方将依法追究乙方之法律责任。 1.duringthevalidityofthiscontract,PartyA(namelytrademarkowner)authorizepartyBtousetherelevanttrademarksfrompartyAoraffiliatedpanies.PartyBbeyondthelifeofthecontractornon-fulfillmentofthepurposeofthiscontractusingthetrademarkoutsidethefranchiseshallbedeemedastortfeasor. 2、乙方及其加盟店使用被许可使用的商标时，应与甲方提供的商标标识一致，乙方及其加盟店不得申请注册与被许可使用的商标标识相同或相似的商标，否则甲方有权单方面解除本合同，并追究乙方因此给甲方造成的一切损失。 2.thetrademarkusedbypartyBorotherfranchisesshallbeconsistentwiththeoneauthorizedandprovidedbypartyA,aswellastherightstoapplyforregistrationwithidenticaltrademarksorsimilartrademarksauthorizedtobeusedbypartyAshallnotbegrantedtopartyBforanylegalorillegaluse,otherwisepartyAshallbegrantedtherightstounilaterallyterminatethiscontractandinvestigateallthelossescausedbypartyBintheissue. 3、乙方可在本合同有效期限内在其加盟店的经营管理中使用甲方所提供的经营知识、技术或资料。 3.inthelifeofthiscontract,partyAauthorizespartyBintheoperationandmanagementofthefranchisetousebusinessknowledge,technologyandmaterialprovidedbypartyA. 4、乙方在使用经甲方授权使用的商标和经营技术资产时，不得有以下行为： 4.followingactsshallnotbepresentedbypartyBinthecasepartyBusesthetrademarksandbusinesstechnologyassetsauthorizedbypartyA: 1）降低甲方形象，损害甲方商标和经营技术资产。 1)cetheimageofpartyA,damagethetrademarkandbusinesstechnologyassetsofpartyA. 2）除为该加盟店经营而向加盟店职工传授甲方经营技术资产或甲方有特别许可外，向任何第三方泄露甲方经营技术资产。 2.exceptwiththespecialpermissionfrompartyAandtopassontheknowledgeaboutbusinesstechnologyassetsfrompartyAtothefranchiseemployeeforthepurposeoffranchisingoperation,partyBdisclosesbusinesstechnologyassetsofpartyAtoanythirdparty. 3）乙方及其加盟店为第三方模仿甲方商标和经营技术资产，或帮助第三方模仿。 3)partyBandthefranchiseimitatethetrademarkandbusinesstechnologyassetsofpartyAforthirdparty,orpartyBandthefranchisehelpthirdpartyimitatethetrademarkandbusinesstechnologyassetsofpartyA. 四、加盟店址 Four:Addressoffranchises 1、双方认可的乙方加盟店地点为位于 1.thefranchiselocationmutuallyagreedforPartyBislocatedin. 2、加盟店面積不得少於五十平方米，地點必須為當地市中心位置。 2.thefranchisingareamustnotbelessthan50squaremeters;thesitemustbeinthelocaldowntown. 3、加盟店地点经甲乙双方确认后，以“GEA”命名该加盟店（本合同中简称为“加盟店”），该加盟店命名必须遵守甲方关于加盟店的命名规范。 3.Aftertheconsensusoffranchiselocationaremadebybothparties,thefranchiseshallbenamedasGEA(hereinafterreferredtoasthefranchise)whichmustabidebythenameregulationofparty Aaboutfranchises. 4、乙方欲在该地点进行营业活动，须依国家有关法律法规在规定时间内取得相关的行政审批手续。相关行政审批手续由乙方自行办理，甲方提供咨询、协助。如因乙方未及时办理相关的行政审批手续而产生的一切损失由乙方自行承担。 4.Toconductbusinessactivitiesinthenamelyplace,partyBshallobtaintherelevantadministrativeexaminationandapprovalproreswithinthestipulatedtimeinaccordancewithnationallawsandregulationswhichshallbeconductedbypartyBandthatpartyAprovidesconsultancyandassistance. 5、乙方应在本合同签定之日起十二个月内开业，否则视为乙方单方违约。 5.partyBshallopenupbusinessfromthedateofsigningthiscontractandwithin12monthsfromsigning,orpartyBshallbedeemedasunilateralbreachofcontract. 五、加盟费、行政費及其他费用 Five:InitialFee,AdministrativeExpensesandothercosts. 1、加盟费： 1.InitialFee: 1）加盟费定义：甲方将特许经营权授予乙方并许可乙方使用其商标标识、甲方为乙方提供筹备服务，由乙方每年支付一笔费用，作为取得该特许经营权及商标使用权的费用，称为加盟费。 1)DefinitionofInitialFee:PartyAauthorizesfranchiserightandlicensetoPartyBtousetrademarksofPartyA,andPartyAprovidepartyBwithblueprintservicewhichshallcauseapaymentpaidbypartyBperyearasthechargeforpartyBobtainingthefranchiserightandtrademarksright,whichiscalledinitialfee. 2）在20天冷静期之外，乙方承诺放弃在任何时间以任何理由要求返还加盟费的请求权。 2)Afterthe20daycooling-off,partyBshallmakeamitmenttogiveupatanytimeforanyreasontherighttodemandthereturnoftheinitialfeerequest. 3）自此合同签订日起，乙方享有首2年免支付加盟费的优惠。加盟费为金额在首2年优惠期过后由双方协商。 3)Sincethedateofsigningthecontract,partyBshallbegrantedtobeeligibletopayfreetheinitialfeeforthefirst2yearsofconcessions. 2、留學服務(AgencyLink)行政費： 2.AdministrativeExpensesofAgencyLink 1）行政費定义：甲方扣除加盟店來自海外留學顧問服務收入的指定部份%為行政費，作为持续使用甲方資源包括但不限于市場策劃推廣、課程申請處理及技術支援服務。詳細留學服務行政費計算方法，請參考附上的補充協議。 1)DefinitionofAdministrativeExpense:AEisthatPartyActsthedesignatedpartfromtheserviceineofoverseaAgencyLinkinthefranchise,whichisdeemedasthecontinseofresourcesfrompartyA,yetAEincludesbutisnotlimitedtomarketingpromotion,courseapplicationprocessingandtechnicalsupportservice.Concerningthedetailedcalculationmethodsofadministrativefeeforoverseastudyservice,pleaserefertotheattachedsupplementalagreement. 2）加盟店佣金收入的计算依据为加盟店所有來自院校佣金收入及其他有關學生升學的衍生收入等的收入。加盟店必须将前述每笔交易紀錄至甲方提供的銷售報告，每月更新一次，乙方须随时接受甲方的监督和稽核。 2）thecalculationbasisofthefranchisemissionineshallincludeallmissioninefromallschoolsinthefranchiseandotherinefromthederivedineoftheeollmentofrelatedstudents.Thefranchisemustrecordeachabove-mentioneddealtothesalereportpartyAprovided,andtherecordshallberenewedpermonth.PartBatanytimeshallacceptthesupervisionandaudi
