B依照新加坡合同法、建筑安装工程承包合同条例、建设工程施工合同及其它有关法律、行政法规，为加快印尼亚齐燃煤电厂工程建设，遵循平等、自愿、公平和诚实信用的原则，结合本工程具体情况，经甲、乙双方经过充分协商，就乙方为甲方提供劳务合作事宜取得共识，特签订此协议。 Aording toContract Lawof Singapore,Construction&Installation PartyB.第一条、概况1.General 1、劳务分包工作对象及提供劳务内容1.Job Information工程名称钢筋砼管桩桩基工程施工Project Name:Reinforced ConcretePiling Construction工程地点亚齐省印尼亚齐燃煤电厂（2112MW）地基管桩。 Project Location:Indonesia Aceh2*110MW PowerPlant工程数量以实际完成工程数量为准Project Quantity:Subject to actual finished quantity 2、劳务工期2.Contracting Period自xx年01月22日进场至xx年07月23日止完成全部合同工作项目，总工期为180天。 如拆迁不到位等原因影响，工期在甲方控制下酌情顺延。 Starts onJanuary22ndxx(mobilization startingdate)to July23rdxx,all thesaid jobsshall be done,total periodis180days.Schedule canbe discussedonly whenit is not caused by B,but itshall beapproved by A. 3、质量标准3.Quality Standard符合当地国家施工验收和电力部部颁验收标准，工程一次合格率100%，工程创部优。 Fulfill IndonesiaNational Standardand owners requirement and approval. 4、合同文件及解释顺序4.Contracting DocumentsPriority组成本合同的文件及优先解释顺序如下Documents priorityis as below:就本合同项目乙方出具的承诺书、本合同、本合同附件、甲方与业主签订的施工合同协议书专用条款和通用条款、图纸规范、资料表和构成合同组成部分的其他文件。 Bs mitmentletter based on this saidproject Thiscontract (1)现行的电力工程质量检验评定验收标准； (1)Current powerproject qualityaeptance standards (2)业主、监理工程师、甲方要求的其他施工规范及标准。 (2)Owner,supervisor andother relatedstandards andcodes 6、安全管理6.Safety Management甲乙双方需另签订施工安全协议，具体安全相关内容以施工安全协议为准。 Construction SafetyAgreement mustbe signedbetween A and B,whose contentswill be the standardsfor this project.Agreement will be signedwhen mobilizationtakes 1、在本工程中，乙方为甲方提供劳务，并采用综合单价承包的劳务协作方式，经双方协商，确定乙方施工的综合单价详见劳务综合单价承包一览表，数量为暂定数量，最终以现场实际发生，甲方确认的工程数量为准；1.In this project,B shallsupply A with itsservices,detailed pricewill bereferred toappendix1,total quantity will beaording tofinal actualresults approved by A. 2、综合单价包含的内容包括所有人员及设备进退场、送桩二米内涵二米（包括送桩孔覆盖）、接桩及辅助用工、机械、零星料、主材超额消耗量并包括所有与本工程施工有关的费用（如水电、劳保用品费、生产工具费、自身队伍人员的劳动保险费、管理费、利润、风险费、临时设施、安全防护、甲）。 双方同意此综合单价是全部合同工作项目（包括天气影响在内）结束并经验收合格的全部费用。 2.Price includes:mobilization anddemobilization,dolly under(including)2meters,welding and its equipment,materials,power consumptionand allother expensesfor piledriving(including power and water,tooling cost,labor insurances,management cost,profit,risk cost,temp-facility cost,safety cost,etc).A and B shallagree onthis priceof totaljobs includingweather effectsupon finalapproval andaeptance. 3、本工程合同综合单价在合同约定的风险范围内，一律不予调整，如甲方工作需要，临时使用点工或机械设备的，按甲方有关规定进行结算。 3.Price can not beadjusted duringcontract validityperiod,if extraequipment andwork forceare requiredby A,cost will be chargedbased onAs standards. 4、物资设备供应4.Material Supply4.1本工程所使用的钢筋砼管桩为甲方供应，运至施工现场，数量由甲乙双方在现场办理交接手续。 吊装不当等原因造成的损失，由乙方承担。 损失数量和超计划用量按甲供料单价从乙方计价款中扣除。 4.1All piles will besupplied by A,delivered on site,quantitywill be checkedand agreedby bothAand B.Damage caused by Bs wrongoperation will be chargedby A,loss andusage overplan will be taken from the payment madeby Ato B.4.2甲方供应材料的规格、品种、数量在开工前7天内，由乙方根据施工图编制整体工程的材料需用计划、月度材料备料计划、材料进场计划。 4.2Information ofstandards,type andquantity ofpileswill be providedby Ato B7days beforestarting.B shallmake materialusage plansbased ondrawings together with monthlyusage andback-up materialusage includingmaterial deliveryplan.4.3乙方负责采购的所有用于本工程的除甲供材料外的各种物资材料确认“三证”必须齐全，否则，不合格材料退场及返工等损失均由乙方承担；4.3Materials purchasedby B shall beapproved by Awith its producerslicenses,specification andrelated documents,otherwise losscaused byreturning of the Bpurchased materialwill be charged B4.4乙方负责提供用于本合同工程的机械设备，保证施工需要的良好状态.4.4Equipment providedby Bfor this projects useshall bemaintained by B in good conditions.4.5乙方在签订合同后,根据甲方要求按时组织机械设备进场，进场设备的完好率要达到100%。 每台机械每推迟一天进场乙方自愿放弃工程计量款1，000，000印尼盾。 4.5B shallmanage itsmobilization based (1)As rightsand obligation 1、组建与工程相适应的项目管理班子，全面履行承包合同，组织实施施工管理的各项工作，对工程的工期和质量向业主负责；1.Establishing projectteam tolead the project,fully managecontract issues,construction worksand reportsto projectowner. 2、负责与相关部门的联系和协调工作；2.Responsible forcooperating andmunicating withotherrelateddepartments. 3、负责完成施工现场的交接桩工作，向乙方提供相应的水准点与坐标控制点位置，提供一份相应的图纸。 监督乙方施工质量、施工进度、进行技术指导；提供施工配合比；3.Responsible forsite handover,providing requiredlevel pointand locatingcontrol pointstogether with related drawings.A alsoneed tomonitor Bs dailyworks includingquality,schedule andnecessary engineeringsupports. 4、有权对乙方用工及设备计划提出要求，这包括各工种比例、人员、设备数量、进场时间；4.A has the rights tomakerequirement on Bs constructionand equipmentplan whichincludes personnel,equipment typesand quantitiesand mobilizationschedules. 5、负责总体施工组织设计、施工方案，施工技术，对乙方负责的工程要做安全、技术交底，签订施工安全协议，提出明确的安全要求，并进行监督检查；5.Responsible for the pilingmaster execution plan,also responsible for safety and technicalhandovers to B,andA shall alsotake the responsibility ofsafety agreementwithits requirementandmonitoring Bs activities. 6、负责所有原材料的检验、料场的选择批准、各种试验及检测；6.All materialstest andcheck,including Bpurchased materialsapproval 7、与乙方进行计量支付工作，及时进行工程进度款的申报和拨付；7.Measurement andpayment to Bs works. 8、有权根据总体施工情况、业主要求及工程进度调整乙方的工程数量；召集乙方召开生产会议，检查、通报施工情况，下达施工计划，布置任务，协调平衡生产进度；8.A hasthe rights to adjustBs jobtotal quantitybased onproject situationand owners requirement.A shallhold meetingscheck andorder jobsanditsplans.（二）、乙方的权利和义务 (2)Bs Rightsand Obligation 1、对本合同劳务分包范围内作业内容的工期、安全、复核规范要求向甲方负责，组织具有相应资格证书的熟练工人投入工作；自觉遵守法律法规及有关规章制度；1.B shall be fullyresponsibleforschedules,safety,check andaeptance to A,managing suitableworking forcesforthis project,and make sure thatall activitieson siteshall belegal. 2、提供与其承担工程项目相适应的各类专业劳务人员和机械设备，数量满足工程施工进度需要，特殊工种应持有效证件，施工现场的主要负责人每月在现场时间不得少于25天，未经甲方同意不得随意离开或调换，发现一次，项目部有权进行处罚；2.Supply allprojects requiredworking forcesand equipmentsand facilities,quantities shallmeet projectsrequirement,licenses andpermits will be requiredfor specialworking forces.Main projectteam membersshall stay onsiteat least25days permonth,and can not leaveor bechanged personnelwithout As permit.Asprojectteam willreserve the rights ofpunishment forabove activities. 3、严格按经甲方认可的施工方案和进度计划组织施工，乙方每完成一道工序，须有甲方施工技术人员签字后，方能进入下一道工序施工；按时提交完整的原始技术资料。 3.Strictly plyAs approvedexecutionplan,next processcan not be carriedon withoutAs approvalfor doneprocess,B shallalso reportand submitfull originaltechnical datato A. 4、承担自身出现的安全事故责任，除自负造成的各种经济损失外，还要服从甲方依照上级有关规定进行处罚，自负法律责任；4.Safety problemscaused by B shall be Bs responsible,andB shall take the lossand damageincluding As pensation. 5、施工负责人员按时参加甲方组织的工地例会，服从甲方进度、质量及安全管理，自觉遵守、执行甲方及其代表所做出的有关管理决定，确实执行甲方下达的指令和通知，坚决完成甲方下达的生产计划；5.Bs representativeshall attendAsprojectscheduled meetingand fullyobey andsupport As schedule,quality andsafety management.B shallalso plyAsandits representatives orderto meetingAs constructionplan. 6、乙方应处理好在施工过程中相关方的各种关系，负责承担与工程施工相关的与各方协调所发生的全部费用。 如发生纠纷，乙方承担全部责任，6.Cooperating andcoordinating withrelated partiesin saidproject,and take the costof coordinatingwithrelatedparties.B shalltake full responsibilities ifdispute takesplace. 7、严格执行并服从甲方制定的各种管理办法及规章制度，自觉接受甲方的统一管理和监督检查，接受甲方随时检查其设备、材料保管情况，与现场其他单位协调配合。 7.Fully plyAs managementand policies,cooperating with As inspection and managementof material and equipmentincluding thecooperation withother partiesonsite. 8、施工工作时间根据工程需要，乙方不能完成进度，甲方有权要求乙方开启两班24小时施工或增加设备（费用不再另行计算）8.A hasthe rightsto haveB working2shifts(12hours pershift,24hours intotal),also havingadditional equipmentif B can not meet thetime schedule.第四条、工程验收及缺陷责任4.Check&aeptance anddefects responsibility 1、乙方应确保所完成工程的施工质量，应符合本合同约定的质量标准。 乙方施工质量不合格时，应负责无偿修复，不延长工期，并承担由此导致的甲方的全部损失。 1.B shalltake the timeschedule willnot bechanged and takes theloss ofA causedby B. 2、乙方应配合甲方对其工作进行的初步验收，甲方或施工场地内第三方的工作必须乙方配合时，乙方应按甲方的指令予以配合并承担合理费用。 2.B shallfully cooperatewith Afor itscheck andaeptance.When cooperationwith third party is required,B shalltaketheresponsibilities under As directand takethe reasonablecost. 4、缺陷责任期为本工程竣工验交后1年，此缺陷责任期内，发生应由乙方承担责任时，乙方在接到甲方通知后7天内，应派人员进行处理。 甲方保留自行处理的权利，但在处理前应通知乙方及时派人前来共同确认，如乙方未能在规定时间内(7天)派人确认的，甲方有权单方面确认其维修费用，所发生的一切费用从乙方的质量保证金中扣除。 4.Warranty periodwill beone yearafter as-built check&aeptance,defects causedby Bshall bemodified andrepaired by B withno charges.Bshallhave itsteam withrequired equipmentonsiteforthemodification andrepair in7days afterreceive As inform,A reservesall rightsto manageby As self,but modificationor repaircan notbe startedwithout Bs agreement.If Bcan notsend itsteam membersin7days forthis agreement,A willhave therightstoconfirm allby itself,and allcost will bechargedonB.第五条、计量与支付5.Measurement andPayment 1、每月25日前将本月已完并经甲方签字验收合格的工程量及相关计量资料报甲方，由甲方工程技术部门、物资设备部门、计划合同部门等负责人对经甲方质量检验部门认可的工程数量进行计算、审核确认。 1.Approved monthlyfinishedquantityby Awill be taken intoaount before25th ofevery month,underAs engineering,materialandplanning departmentsinspectionand approvedbyAs qualitycontrol department. 2、乙方对甲方提供的工程量计算如有异议，可在工序施工前提出，由双方现场核实确定，并需由甲方总工、现场技术人员、计价批复负责人和施工方负责人共同签证认可；2.Bshallreport itsquantity questionsto Abefore processif Bdoes notagree,and confirmingandapprovedby bothAandB. 3、在每次计价时按当期暂计价款的80进行支付。 剩余20%分为3.Piling ScheduledPayment will be paid80%astheapproved finishedjob,the rest20%includes below.1)10作为工期、安全文明及场地规范化施工的保证金，如乙方在整个施工过程中严格按照业主、监理及甲方要求，圆满完成了施工现场的安全文明及场地规范化施工，甲方在工程竣工结算时一次性无息返还乙方；如未能达到相应标准及要求，甲方为此所发生的费用及由此产生的损失甲方从10%的保证金中扣除，不足部分从工程计价款中扣除；1)10%willbedeposit for projects execution,safetyandcivilization,willbe paid whenaeptance madebyA.Loss duringthe projectperiod timecausedbyBs activitiesor that Bcannotmeetthe standardswillbetaken away from thispayment.If theloss isgreater than10%payment,then therest willbechargedfrom other payment.2)另外105%待本项目全部竣工并验交业主后支付，另5%待缺陷责任期满后支付。 2)The other10%will include:5%willbe paid whenaeptance madeby owner,the other5%willbepaid atwarranty periodend ifthere isnot needof repairor modification. 5、支付方式在甲方收到业主当期工程进度款10天内，依据施工方呈报的费用开支计划按不超过当期工程计价款扣除甲方应扣费用后的余额的80分期拨付，若业主（或建设单位）不能及时或不能全额拨付工程款时，甲方对乙方的拨款亦相应顺延或按相应比例递减；在业主拨款未到位前，乙方对甲方享有的工程款债权视为未到期债权，甲方有权在业主付款到位后方予以支付乙方，不影响其他条款的约定。 5.Payment Methods:Payment willbe madebyAtoB(the80%said abovebut cannot exceedthe schedulepayment)in10days afterA receivesthepaymentfrom the owner.When ownercannotmake thepayment orthefullpayment,A shallreduce thepayment toBaswell withthe saveratio,before thepayment isfully paid,B reservesthe creditors right.Ashallmake thepayment afterreceipt fromtheowner,this willnot effectotherpaymentterms. 6、每期的暂计量款，必须优先用于发放民工工资及清偿外欠款额，并且提供上期民工工资发放签收单,否则甲方有权扣留其款项；6.Scheduled payment:labor forcewage willbethefirst priority,and lastscheduled laborpayment receiptshall beprovided,otherwise A reserve therightstohold thepayment. 7、全部合同工程项目完成，经甲方书面认可后1个月内，向甲方递交完整的结算资料，甲方按照本合同约定的计价方式进行核实，给予确认或者提出修改意见，进行合同总价的决算。 各期计价与最终决算有冲突的，以最终决算为准。 7.After wholeproject has been finished,in onemonth timeafter 8、本合同完工后依据合同单价和经甲方验收合格认可的工程数量进行竣工结算，对于超出设计图纸范围和因乙方原因造成增加返工的工程量，甲方一律不予结算。 8.Final quantitywillbecalculated basedon as-built aeptanceresults,unnecessary additionalworks causedbyBshall notbe intothe finalcalculation.第六条、违约责任6.Contract break&responsibilities（一）一般违约责任 (1).General contractbreak 1、因甲方原因造成工程质量不合格，而返工重做的，按实际发生的工程数量乘以该项目的综合单价计价付款；1.Additional works,quality problemsor modificationscausedbyA,cost shallbepaidaording toquotation submittedbyB. 2、除甲方或不可抗力的因素外，不论出现何种情况都不能免除乙方按此工期完成合同任务的责任，否则，乙方每延误工期一天赔偿5，000，000印尼盾。 2.Beside forcemajeure,A cannot takeBs responsibilityawayfromthis projectat anytime duringcontract period,otherwise Bwill receivea pensationof5,000,000Rubiah perday ifproject delays.（二）乙方在履行合同中有下列情行之一者，按乙方违约处理，甲方有权单方面解除合同，按甲方确认合格工程项目价款的70%作为乙方的最终工程计量款 (2)Acts belowwillbeconsidered asBs breakof contract,Areservetherightsto stopthe contract,and70%ofthepayment ofAs approvedjobs willbepaidtoB 1、乙方在施工中不按施工图纸和技术规范进行施工，出现偷工减料，影响工程质量的；1.B doesnt executebasedondrawings andstandards,and effectsquality oftheproject. 2、乙方施工人员满足不了施工需要，或管理混乱造成工期滞后的；2.Team andworking forcescannotmeet requirementof projectorprojectsdelay causedbyBs badmanagement. 3、安全防范措施不严，造成一般以上安全事故的；3.Poor safetymanagement whichcauses seriousaidents. 4、乙方工程负责人每月在位时间少于25天的；4.Bsprojectteam membersstayonsite lessthan25days permonth. 5、乙方将本合同内的任何项目转包或再分包给他人的；5.B subcontractsthisprojecttoathirdparty. 6、合同中规定的其他终止合同的条款。 6.Other termssaid inthiscontract.第七条、双方协议的其它条款7.Agreement andother terms 1、非甲方原因导致本合同项目受到业主、当地国家有关部门罚款、强令支付第三人款项等强制性措施的，均可视为到期债权向乙方主张，可自乙方工程款、履约保证金中直接扣除。 1Penalties fromlocal governmentor otherrelated governmentdepartment whichcaused notbyAs activities,shallbeBs
