theEmployershallconsultwiththeContractorinanendeavourtoreachagreement Ifagreementisnotachieved theEmployershallmakeafairdeterminationinaccordancewiththeContract takingdueregardofallrelevantcircumstances 20 TheEmployershallgivenoticetotheContractorofeachagreementordetermination withsupportingparticulars EachPartyshallgiveeffecttoeachagreementordetermination unlesstheContractorgivesnotice totheEmployer ofhisdissatisfactionwithadeterminationwithin14daysofreceivingit EitherPartymaythenreferthedisputetotheDABinaccordancewithSub Clause20 4 ObtainingDisputeAdjudicationBoard sDecision 21 4 1TheContractor sGeneralObligationsTheContractorshalldesign executeandcompletetheWorksinaccordancewiththeContract andshallremedyanydefectsintheWorks Whencompleted theWorksshallbefitforthepurposesforwhichtheWorksareintendedasdefinedintheContract 22 TheContractorshallprovidethePlantandContractor sDocumentsspecifiedintheContract andallcontractor sPersonnel Goods consumablesandotherthingsandservices whetherofatemporaryorpermanentnature requiredinandforthisdesign execution completionandremedyingofdefects TheWorksshallincludeanyworkwhichisnecessarytosatisfytheEmployer sRequirements orisimpliedbytheContract andallworkswhich althoughnotmentionedintheContract arenecessaryforstabilityorforthecompletion orsafeandproperoperation oftheWorks 23 TheContractorshallberesponsiblefortheadequacy stabilityandsafetyofallSiteoperations ofallmethodsofconstructionandofalltheWorks TheContractorshall wheneverrequiredbytheEmployer submitdetailsofthearrangementsandmethodswhichtheContractorproposestoadoptfortheexecutionoftheWorks NosignificantalterationtothesearrangementsandmethodsshallbemadewithoutthishavingpreviouslybeennotifiedtotheEmployer 24 4 3Contractor sRepresentativeTheContractorshallappointtheContractor sRepresentativeandshallgivehimallauthoritynecessarytoactontheContractor sbehalfundertheContract UnlesstheContractor sRepresentativeisnamedintheContract theContractorshall priortotheCommencementDate submittotheEmployerforconsentthenameandparticularsofthepersontheContractorproposestoappointasContractor sRepresentative Ifconsentiswithheldorsubsequentlyrevoked allrelevantdataintheEmployer spossessiononsubsurfaceandhydrologicalconditionsattheSite includingenvironmentalaspects TheEmployershallsimilarlymakeavailabletotheContractorallsuchdatawhichcomeintotheEmployer spossessionaftertheBaseDate Thecontractorshallberesponsibleforverifyingandinterpretingallsuchdata TheEmployershallhavenoresponsibilityfortheaccuracyorcompletenessofsuchdata exceptasstatedinSub Clause5 1 GeneralDesignResponsibilities 30 4 12UnforeseeableDifficultiesExceptasotherwisestatedintheContract a theContractorshallbedeemedtohaveobtainedallnecessaryinformationastorisks contingenciesandothercircumstanceswhichmayinfluenceoraffecttheWorks b bysigningtheContract theContractoracceptstotalresponsibilityforhavingforeseenalldifficultiesandcostsofsuccessfullycompletingtheWorks and c theContractPriceshallnotbeadjustedtotakeaccountofanyunforeseendifficultiesorcosts 3InterferencewithTestsonCompletionIftheContractorisprevented formorethan14days fromcarryingouttheTestsonCompletionbyacauseforwhichtheEmployerisresponsible theestimatedcontractvalueoftheWorksexecutedandtheContractor sDocumentsproduceduptotheendofthemonth includingVariationsbutexcludingitemsdescribedinsub paragraphs b to f below b anyamountstobeaddedanddeductedforchangesinlegislationandchangesincost inaccordancewithSub Clause13 7 AdjustmentsforChangesinLegislation andSub Clause13 8 AdjustmentsforChangesinCost 46 c anyamounttobedeductedforretention calculatedbyapplyingthepercentageofretentionstatedintheParticularConditionstothetotaloftheaboveamounts
