Constitution of the Company and share subscription1.1 The incorporation and registration of the Company shall be completed within a time-limit of sixty days following the date of signature of this Agreement. The incorporation process shall mainly comprise the following: a) The Parties shall procure the incorporation and registration of the Company with the memorandum and articles of association to be agreed upon; and b) MABELEY shall procure that Mrs Soraya Shamel and Mr. Gregory Hasbanian and Mr. Jihad Swaid shall (subject to them respectively consenting to act) be appointed as directors of the Company; c) Afecc shall procure that Mrs. Jiang Dairu and Mr. Jiang Zhaoyao and Mr. Wang Hao shall (subject to them respectively consenting to act) be appointed as directors of the Company; d) In consideration for the contributions of MABELEY and Afecc mentioned in this Agreement, the shareholding of the Company shall be distributed as follows: - MABELEY or any other entity as specified by MABELEY: 40% (such other entity shall be referred to hereinafter also as MABELEY)- Afecc: 60% MABELEYs equity contribution shall be in the form of the transfer of its rights on the Properties which are estimated at USD/1 333 333/. The said secretaries shall have equal rights and authority;f) The Company shall appoint one Financial Controller and one deputy Financial Controller.
