cooperation on Cross border Payment and eCommerce where related business information and technical data from each other are needed Based on the principle of mutual benefit and common development both parties shall sign this NDA through friendly consultations 双方正在就 跨境支付与电子商务进行合作 需要取得对方的相关业务和技术资料 为此 甲 乙双方本着互惠互利 共同发展的原则 经友好协商签订本协议 1 In this agreement Confidential Information means all confidential non public or proprietary information regardless of how the information is stored or delivered exchanged between the parties before on or after the date of this Agreement relating to the business technology or other affairs of the discloser of this information or any of its affiliates which in the case of SMARTRO means its affiliates and any subsidiary of SMARTRO and in the case of EBC means any affiliates and any subsidiary of EBC but does not include information 在本协议中 保密信息 是指双方中任何一方披露给对方的与合作有关或因合作产 生的任何商业 营销 技术 运营数据或其他性质的资料 无论以何种形式或载于 何种载体 无论在披露时是否以口头 图像或以书面方式表明其具有保密性 简 称 保密信息 other party return the whole of the Confidential Information which it has been provided in its possession custody or control or if requested unless that party is required by law to retain that The undertakings referred to in Clause 2 do not apply to any information whether part of the Confidential Information or not that 条款 2 并不适用于以下的内容 无论该信息是否属于保密的信息 3 1the recipient is required to disclose by law or a stock exchange 接收者应法律和股票交易市场的要求公开信息 3 2is disclosed pursuant to any law or order of any Court or other regulatory body with whose instructions and advice the disclosing party is bound to comply 应律法 法院或其他监管机构的要求 责任相关方有义务公开信息 4 In the event that either party or any person or organisation to whom they disclose the other party s Confidential Information pursuant to this undertaking becomes legally compelled to disclose any of the other party s Confidential Information they must immediately advise where possible the other party of such requirement to disclose the other party or its affiliates and nothing in this CONFIDENTIALITY AND NON DISCLOSURE AGREEMENT Page 4 Agreement is to be construed as granting any license in or transfer of ownership or create any rights in the other party s Confidential Information 双方同意各方仍保留其知识 信息所有权 本协议不涉及任何信息知识所有权的 转移或赋予一方使用另一方的信息的权利 6 Each party acknowledges that a breach of this Agreement may result in immediate and irreparable injury to the other party for which there is no adequate remedy at law and agree that in addition to such remedies which the parties may have at law each party may be entitled to injunctive or other equitable relief by reason of a breach hereof Any party who discloses the others confidential information and that causes serious consequences should bear all the losses caused to the other party Any party with a criminal offense shall be transferred to the judiciary by law 当一方因违反本协议而给另一方带来不可挽回的损失 同时法律也没有规定合适 的补救措施 双方应设法妥善解决 任何一方恶意泄露对方保密信息给对方造成 严重后果或带来损失的 应承担因此给对方带来的全部损失 构成犯罪的 将移 交司法机构依法追究其法律责任 7 This Agreement shall remain in full force and effect for so long as the parties continue to exchange Proprietary Information however not longer than 24 months after signature date of this agreement The obligation of non disclosure or any economic non use of the Proprietary Information shall end only after the time period of five 5 years after the aforementioned date 本协议将在双方交换专利信息的过程中保持其全部效力 但不能超过协议签订后 的 24 个月 保密义务和专利信息不能用于经济用途的义务将在上述日期的五年后 终止 8A party may not novate or assign or otherwise deal with any of its rights or obligations under this agreement without the
