We have expressed an initial interest in exploring the possibilities of proceeding with the potential transaction in relation to XXX and its subsidiaries (“XXX”) (hereinafter “Transaction”). Consequently, subject to the terms set forth in this Confidentiality Undertaking, we and/or our Permitted Persons (as defined below) from time to time after the date of this Confidentiality Undertaking may, by or on behalf of XXX, be furnished with, or given access to, certain financial, technical, operational, commercial, HR, management and other information of whatever kind in connection with the Transaction, whether in written, oral, electronic or other form, relating to XXX, as the case may be (any and all such information and the existence of the Transaction, collectively the ”Confidential Information”).我们已表示了初步的兴趣，愿探索是否可能进行与XXX及其分公司（“XXX”）相关的潜在交易“以下称交易”。因此，按照此保密承诺的条款，我们及/或我方许可人员（如下规定）在本保密承诺开始日期后可以不时以XXX的名义，收取或是可以使用与交易相关的一定财务、技术、运营、商务、HR、管理及其它任何种类的信息，无论是书面、口头、电子或其它形式，与XXX相关，视具体情况而定（任何及全部此类信息，以及此交易存在的信息合称“保密信息”）。We accept that none of the Confidential Information constitutes an offer for sale or the basis for any contract nor is XXX, its shareholders or we under any obligation to make or accept any offer or proposal relating to the Transaction based upon or related to the Confidential Information or to conclude any other contract or to reimburse the other party for any costs incurred in relation to the Transaction.我们认可，保密信息并不构成为出售提议，或构成任何合同的基础，或是使得XXX，其股东或我方有义务提出或接受任何与基于或关于保密信息的交易提议或报价，或是要对任何其它方的交易相关费用进行补偿。2.As a condition to us and/or our Permitted Persons being furnished with, or given access to, any Confidential Information, we undertake:作为我方或我方许可人员收取或使用任何保密信息的前提，我方承诺：(a)to keep the Confidential Information completely and strictly confidential except as otherwise contemplated by this Confidentiality Undertaking; 完全严格地保证保密信息的秘密性，除非保密承诺中另有计划，(b)not to distribute or disclose to any person the whole or any part of the Confidential Information (except as permitted by Clause 3);不向任何人散布或披露全部或任何一部分保密信息（第3款允许的情况除外）(c)subject to (d) below, not to use the Confidential Information for our own benefit or for the benefit of anyone else; 按照以下(d)款，不出于我方自身或任何他人的利益使用保密信息；(d)to use the Confidential Information only for the purpose of evaluating or furthering the Transaction; and保密信息只用于估值或进一步的交易，且(e) not to assert any ownership rights over the Confidential Information.不会对保密信息声称任何所有权。The term ”person”, as used in this Confidentiality Undertaking, shall be broadly interpreted to include, without limitation, any corporation, company, partnership, individual or governmental agency or other governmental body.人员一词，在保密承诺中所用，应被广义地理解为包括，但不限于任何企业、公司、合伙企业、个人或政府机关或其它政府机构。2. We undertake to restrict access to the Confidential Information to those of our and our subsidiaries respective directors, officers, employees, and professional advisers who need to know the same for the purpose of evaluating or furthering the Transaction (hereinafter called the ”Permitted Persons”). We shall inform each Permitted Person to whom we disclose or make available any Confidential Information that such Confidential Information is proprietary and confidential and procure that each such Permitted Person is bound by, and comply with, confidentiality obligations and other undertakings no less onerous than those agreed by us under this Confidentiality Undertaking.我们承诺，能接触保密信息的只限于我方及我方子公司中为了进行估值或进一步交易，需要了解相同内容的董事、官员、雇员及专业顾问（以下称许可人员）。我方将告知每一位我们向其披露或允许接触任何保密信息的许可人员，此保密信息为专有、保密，使得每一名许可人员都受保密义务的束缚并遵从保密义务和其它承诺，不少于此保密承诺中同意的义务与承诺。4.Neither we nor any Permitted Person shall, without your prior written consent, disclose to any other person who is not a Permitted Person the existence or subject matter of this Confidentiality Undertaking, or the existence, status or progress of any discussions with XXX, or any bidding or other process, in relation to the Transaction. Notwithstanding the foregoing, in the event any public announcement or any other disclosure are required by law, regulation or any governmental or competent regulatory authority to be made by us or any of our associated companies, or by any Permitted Person, in connection with the Transaction, such required public announcement or disclosure shall be permitted hereunder provided the proposed form, content and timing thereof is coordinated with, and agreed by, provided that such coordination and agreement are not prohibited due to applicable law or regulation, XXX (which agreement shall not be unreasonably withheld or delayed), having due regard to applicable securities laws and other mandatory legislation. 无论是我方还是许可人员，未经贵方事先书面许可，都不得向许可人员以外的任何其他人员披露本保密承诺的存在或其主题事项，或是披露存在着与XXX的讨论，讨论的状态或进度，或是与交易相关的任何竞价或其它过程的存在。不管上述，如果法律法规或政府或主管当局要求我方或我方任何关联企业或任何许可个人进行任何与交易相关的公开声明或披露，所要求的公开声明或披露，要经如下许可，只要所建议的形式、内容和时间与XXX进行协调，得到同意，只要此类协调与同意不触犯适用法律法规，XXX（其同意不得被不合理的阻碍或延迟），按适用的安全法律及其它强制法令相关有应得权力。5.The obligation of confidentiality set out in Clauses 2 (a) and (b) and Clause 3 shall not apply to any piece of Confidential Information, which:条款2 (a) 、 (b) 和 3中列出的保密义务不适用于以下的保密信息：(i) was in the public domain at the time of its disclosure to us or to any Permitted Person;在向我方或任何许可人员披露时已进入公众领域(ii) subsequently comes into the public domain, except through breach of the obligations of this Confidentiality Undertaking by us or breach of any of the confidentiality obligations and undertakings of any Permitted Person referred to in Clause 3;随后进入公众领域，但并非由于我方违反保密承诺义务或任何保密人员违反条款3中引用的保密义务和承诺造成。(iii) was lawfully in our or our Permitted Persons possession prior to such disclosure and was not acquired, to the best of our or our Permitted Persons knowledge, directly or indirectly, from XXX or any of its associated companies, or from any third party under an obligation of confidence;在此类披露前已由我方许可人员合法掌握，且据我方或我方保密人员所知，并非直接或间接由XXX获取，或从任何有保密义务的第三方获取。(iv) is developed by us or a Permitted Person independent of any Confidential Information; or由我方或许可人员不依赖于任何保密信息而独立形成的(v) subsequently is furnished to us or our Permitted Persons without restriction, to the best of our and our Permitted Persons knowledge, by any third party having a bona fide right to do so.随后由据我方或许可人员所知对信息拥有实际权利的第三方不加限制地提供给我方或我方许可人员6.All forms of Confidential Information, including, without limitation, all summaries, copies and excerpts of any Confidential Information, shall be the sole property of XXX. Upon demand, and in any event if we cease to be interested in the Transaction for whatever reason, we shall, and shall procure that all Permitted Persons return to XXX or destroy all forms of Confidential Information in our possession, or in the possession of any Permitted Person, and we shall not, and shall procure that no Permitted Persons retain any copies or other reproductions, in whole or in part, of such material. This shall not apply to copies of electronically exchanged Confidential Information made as a matter of routine information technology backup and to the retention of such material which is required by any applicable local law, rule, professional duty and/or internal compliance procedures. 所有形式的保密信息，包括，但不限于所有的总结、副本和摘要，由XXX全权拥有。一经要求，或是我方出于无论何种原因对交易不再感兴趣，我方（且保证所有许可人员）将把我方或许可人员所拥有的各种形式的保密信息归还XXX或予以销毁。且我方（并保证所有许可人员）不得保留任何此类材料的全部或部分复件或其它复制品。但本规定不适用于作为常规信息技术备份所做的电子交换保密信息，也不适用于适用法律、规定、职业责任和/或内部遵从规程要求予以保留的此类材料。7.In the event that we, or any Permitted Person, are requested or required by document subpoena, civil investigative demand, interrogatories, request for information, rules of any applicable stock exchange or regulator, or other similar process, to disclose any Confidential Information, we shall before disclosing any Confidential Information provide XXX with prompt written notice of such request or requirement, provided that the giving of such notice is not prohibited due to applicable law or regulation, so that XXX may seek an appropriate protective order or, as appropriate, waive any compliance with the provisions of this Confidentiality Undertaking.如果我方或任何许可人员受公文传票、民事调查要求、质询、信息索取、适用股票交易所或调节者的规则或其它类似程序的要求，需披露任何保密信息，我方在披露任何保密信息前要向XXX迅速提供书面通知，告知此要求，只要相关法规不禁止进行通知，以便XXX寻求适当的保护性程序，或是在适当的情况下放弃遵守本保密承诺的规定。8.We acknowledge and recognize that any breach by us of this Confidentiality Undertaking could injure XXX. Accordingly, XXX shall, in any such event, be entitled to injunctive relief from any court of competent jurisdiction, in addition to any other remedies available at law or under this Confidentiality Undertaking.我方承认，我方对于保密承诺的任何违约可能对XXX造成伤害。相应的，除了任何法律或本保密承诺可以提供的补偿，XXX在任何情形下还都有权向有管辖权的法庭要求禁止救济。9.If the Transaction, as contemplated by this Confidentiality Undertaking, is not completed with us (or our subsidiaries), neither we nor any of our associated companies will, and we will procure that none of our Permitted Persons (who will not include third party professional advisers and providers of finance that have been retained by us in connection with the Transaction) will, for a period of thirty-six (36) months from the date hereof solicit for employment, other than through a bona fide general and non-targeted newspaper or other public media advertisement in the ordinary course of business, any manager of XXX.如果未与我方或我方子公司完成本保密承诺预期的交易，我方或我方关联公司都不会，并使我方许可人员（不包括我方延聘的与交易相关第三方专业顾问和财务提供者）不会，在三十六个月（36个月）内要求雇用XXX的经理人，通过正常无目标性的报纸或其它公众媒体广告，以正常业务程序进行的招聘除外。10.This Confidentiality Undertaking shall be governed by, and construed in accordance with, Chinese law.本保密承诺受中国法律管辖，按中国法律进行解释。11.Any dispute, controversy or claim arising out of or relating to this Confidentiality Undertaking, or breach, termination or validity thereof shall be settled by arbitration in Shanghai in accordance with the Arbitration Rules of the CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION,SHANGHAI COMMISSION. The place of arbitration shall be in Shanghai, China.
