Contract Number: 2014Q-15-ML-HPDate 22-04-2014 Sales & Purchase Contract for Iron Ore(铁 矿 买 卖 合 同)Date (日期): Contract number: The Seller (卖方): Address: The Buyer (买方):Address: This contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to sell the under mentioned goods to the Buyer on the terms and conditions stated as below:本合同由买卖双方共同拟定。依据如下条件与条款,买方同意购买,卖方同意出售下列货物:The terms used in this contract (合同中的术语)The following terms are used and the meanings or terms or explanations provided against each shall mean the same as the terms. Whereever the terms are not explained, it is deemed that they are used in the perfect sense of Mercantile Business Transactions and shall mean the same.以下术语的使用,含义或解释是一致的。如果有些地方没有解释,按商业交易业务的有关惯例执行。Chemical formula or symbols as per the Mendeleevs periodic table whereever used shall mean the same as their chemical name.表格中的化学分子式或符号和它们的化学名称有相同的意思。1. “Ore” means Iron Ore of Malaysia Origin “矿”指原产于马来西亚的铁矿石2. “USD”, “U.S. Currency” means the currency of the United States of America freely transferable from and payable to an external account美金,美国货币指的是美国可以流通的和对外账户使用的货币3. “MT” means Metric Ton“MT”指公吨4. “Wet Basis” means ore in its natural wet state. WMT means Wet Metric Ton“湿公吨”指的是矿自然状态的重量。“WMT”指湿公吨5. “Dry Basis” means ore dried at 105 degrees Centigrade. “DMT” means Dry Metric Ton and calculated as “WMT MULTIPLY (X) (1-Moisture Content %)”“干公吨”指的是矿在105摄氏度干燥后的重量。“DMT”指干公吨,并按照“湿公吨 X (1水份含量%)”计算6. “VESSEL” means vessel, which is suitable for entering and leaving (when loaded) the discharging port always safely afloat and for discharging portVESSEL指在装货情况下适合驶入与驶离卸货港的可在海上安全航行的船7. “CIQ” means Entry-Exit Inspection & Quarantine of Peoples Republic of China CIQ指中华人民共和国进出口检验检疫局8. “CFR FO CQD” means Cost and Freight as per INCOTERMS 2000 and applicable revisions thereof “CFR FO CQD”指成本加运费价, 船方不负担卸货, 按港口习惯速度严格参照INCOTERMS 2000中的解释9. “Max” means Maximum, “Min” means Minimum “Max”的含义为最大, “Min”的含义为最小CLAUSE1 (条款一):Thailand Iron Ore FinesName of Commodity: Iron Ore Fine(产品名称:铁矿砂)Country of Origin: Malaysia.(原产地:马来西亚)Port of Loading: Kuantan Port, Malaysia.(装货港:关丹港,马来西亚)Port of Destination: Longkou Port, China. (目的港:中国 龙口港 )CLAUSE 2 (条款二): DELIVERY PERIOD AND QUANTITY (交货期和数量)Delivery Period:Chonburi TOn or Before Apr.30, 2014( 2014年4月30日或之前)Quantity (数量): 30,000 (+/-10%) WMT (30,000(+/- 10%)湿公吨)The total shipment quantity is 30,000 (+/-10%) WMT, and partial shipment is not allowed.10% more or less delivery at Sellers option on vessel is allowed. Seller shall notify Buyer such more or less delivery. 货物总量 10,000湿公吨,不允许分批出货.卖方装载的重量加或减10%是被允许的, 对此数量的增减卖方应通知买方.CLAUSE 3 (条款三):SPECIFICATIONS (成分规格表)A). Chemical Composition (ON DRY BASIS) (化学组成) (干基) PERCENTAGE BY WEIGHT(重量百分比)Iron Ore Fine (Fe)48.00% basis, reject or renegotiate if below 46.00%铁48.00%为基准, 低于46.00%拒收或重新商议Silica (SiO2)10.00%max.二氧化硅最高10.00%Alumina (AI2O3)7%max.三氧化二铝最高7%Sulphur (S)0.25% max. 硫最高0.25%Phosphorus (P)0.3% max.磷最高0.3%B). MOISTURE CONTENT (水分含量)Free moisture content loss at 105 degrees Centigrade shall be 10.0% max.105摄氏度时水分自由流失最多是8.0%.C). PHYSICAL SPECIFICATION (自然条件下之规格)Size: 010mm 粒度: 010mm之间CLAUSE 4 (条款四):BASE PRICE (基本价格) Base Price: USD 57.6.00 per DMT, CFR FO CQD Longkou Port, China, based on 48% Fe content (Dry Basis). 基础价格是 USD 57.6.00 美元/干公吨 CFR 船方不负担卸货, 按港口习惯速度,中国主要港口 ,且基于含铁量(Fe)48.00% (干基).CONTRACT VALUE (合同金额) USD 1,589,760.00.CLAUSE 5 (条款五):PRICE ADJUSTMENT (价格调整)A) For Fe Content (铁含量)In respect of iron ore which does not meet the Fe specifications as set forth in Clause 3 of this Contract, the Base Price (referred to Clause 4) of this Contract, shall be adjusted in accordance with Fe content as determined pursuant to the provisions of Clause 9 as follows: 如果铁矿砂不符合此合同第三条铁矿性的规定,基本价格(此合同第四条)要按照合同第九条检查的结果调整如下:PRICE INCREASE / DECREASE (价格增加 / 扣减)The Base Price shall be increased by USD2.00/DMT for every 1.0% Fe content above 48.00%, fractions pro-rata.当含铁量高于48.00%但低于51%时, 每增加 1.0%铁时, 基础价格将增加2.00美元/干公吨,按比例调整。 The Base Price shall be decreased by USD2.00/DMT for every 1.0% Fe content below 48.00% but above 46%Fe content, fractions pro-rata. If Fe below 46.00%,The buyer has the right to reject the cargo.当含铁量低于48%但大于46%时,铁每降低1.0%, 基础价格将扣减2.00美元/干公吨,按比例调整。若铁小于46%。买方有权拒收货物。B) For Other Elements: (其它化学成份)If the shipment does not meet any of the chemical specifications provided in Clause 3 A), the base price shall be reduced as follows, fractions pro-rata:如果装运的货物成分不符合此合同第3条A)描述的化学成分含量,基本价格按如下扣减,小数部分按比例折算。(1) For excess of Silica (SiO2) 二氧化硅超量At the rate of USD 0.10/ DMT for each 1.00% in excess of 10.00%.二氧化硅超出10.00%,每超1%,扣USD0.10/干公吨.(2) For excess of Alumina (Al2O3) 三氧化二铝超量At the rate of USD 0.10/ DMT for each 1.00% in excess of 7%.三氧化二铝超出7%,每超1%,扣USD0.10/干公吨.(3) For excess of Sulphur (S) 硫超量At the rate of USD 0.05/ DMT for each 0.01% in excess of 0.25%.硫超出0.25%,每超出0.01%扣USD0.05/干公吨.(4) For excess of Phosphorus (P) 磷超量At the rate of USD 0.05/ MT for each 0.01% in excess of 0.3%.磷超出0.3%,每超出0.01%扣USD0.05/公吨.PRICECLAUSE 6 (条款六):PAYMENT (付款)A) Provisional payment (98%首款)Within 20 banking days after signing of this contact, not later than May 30,2014,the Buyer shall make the payment by telegraphic transfer in the amount of USD sufficient to cover ninety-eight percent(98%) of the CFR FO cargo value which is based on loading port results.This payment shall be payable at sight into a bank account to be advised by seller.买方应在合同签订后20个工作日,最迟不得晚于2014年5月30日,将98%总货款电汇支付至卖方指定的银行账户,货款依据装港检测指标计算。Documents of provisional payment:临时付款随附单据:The selller shall send the documents stated in clause 7 (I) to the buyer after 5 days of signing this contract。卖方应在合同签订后5个工作日内将条款7.1所列单据寄给买方. B)2% Balance Payment (2%尾款)Balance Payment shall be payable at sight by telegraphic transfer against presentation of Sellers draft together with the documents stated in Clause 7(II) within 60 days after the date of unloading. Final “commercial invoice” value to be based on CIQs certificates of shipment inspection as provided in Clause 8 and 9. If CIQs certificates are not provided by the Buyer within 60 days after unloading at destination port, the load port SGS Certificates will be final and binding for Balance Payment and final settlement剩余的2%尾款, 由卖方凭汇票及合同第七条之(II) 所列文件于卸货后60天内,电汇付款。最终商业发票金额依据按合同条款8和9所列的CIQ证明计算. 若买方未能在目的港卸货后60天内提供CIQ证明, 装载港的SGS证明将作为剩余尾款支付及最终结算的依据。CLAUSE7 (条款七):(I) DOCUMENTS FOR PROVISIONAL PAYMENT (暂定付款文件)A) Full set of Clean on Board shipped Bill of Lading made out to order, blank endorsed marked Freight Prepaid , notifying Buyer.全套已装船的清洁海运提单,凭指示,空白背书,注明“运费已付”,通知买方.B) Provisional Invoice in 1 (One) originals and 3 (Three) copies indicating the contract number, B/L number and name of the carrying vessel.暂定商业发票1(一)份正本3(三)份副本, 注明合同号码, 提单号码和船名.C) Certificate of Quality in 1 original and 3 copies issued by SGS in Malaysia, showing the actual chemical composition and all other tests.SGS出示的质量证明1份正本3份复印件, 表示出化学成份分析及合同上其他该有的测试结果.D) Certificate of Weight in 1 original and 3 copies issued by SGS in Malaysia, certifying the actual surveyed weight of cargo shipped at load port.SGS在装货港重量证明1份正本3份复印件.E) Certificate of Origin in 1 original and 2 copies with shippers name and consignees name made out to order.原产地证明1份正本2份副本,依指示标示发货人与收货人.(II) DOCUMENTS FOR BALANCE PAYMENT (尾款付款文件)A) Final Commercial Invoice in 1 (one) original. 最终商业发票正本1(一)份.B) Inspection Certificate of Quality issued by CIQ at destination port in 1 copy.中国CIQ提供的,在卸货港进行的质量检验证明复印件 1份.C) Inspection Certificate of Weight issued by CIQ at destination port in 1 copy.中国CIQ提供的, 在卸货港进行的重量检验证明复印件 1份.D) Copies of CIQ reports shall be provided by Buyer to Seller within 60 days after the cargo is fully unloaded. In absence to which Seller shall make final commercial invoice as per Load Port report and send to Buyers bank through negotiating bank for payment.买方需于货物完全卸货后60天内提供CIQ检验报告给卖方做为余款支付依据,否则卖方有权以载货港的检验依据向银行议付余款.CLAUSE 8 (条款八):WEIGHT (重量)A) At Loading Port, Seller shall at their expense appoint SGS Malaysia to determine the weight of Iron Ore by draft survey. The weight of Iron Ore ascertained and certified by SGS Malaysia shall be the basis of Sellers provisional invoice. Buyer may at their expense have their representative present during the draft survey at the loading port.在装货港, 由卖方付费指定马来西亚SGS以吃水检验方式测量这批铁矿砂的重量. 马来西亚SGS确定和认证的铁矿砂的重量将是卖方暂定发票的依据,买方可自费派代表参加在装载港的检验。B) At Destination Port, Buyer shall at their expense, apply to CIQ to determine the weight of Iron ore by draft survey. Seller may at their expense have their representative present at the time of such determination.在卸货港, 由买方付费向CIQ申请以吃水检验方式测量这批铁矿砂的重量. 卖方可自费派代表参加在卸货港的检验。C) If any weight differences at loading port and destination port are equal to or less than 0.80% on dry metric ton basis, the dry weight calculated by CIQs result at destination port should be used as the basis of final payment.如果在装货港及目的港的干吨重量差小于0.80%,则根据CIQ在目的港的测量结果所算出的干重将作为尾款支付的依据.D) If any weight differences at loading port and destination port are more than 0.80% on dry metric ton basis, both parties shall consult to reconcile the difference. If after consultation the difference cannot be reconciled, then the average of the Loading and unloading results shall be used as the basis of final payment. 如果在装货港及目的港的干吨重量差大于0.80%,则买卖双方进行协调.如果经过协调,差异无法得到调和,则平均装货港和卸货港的结果作为尾款支付的依据.CLAUSE 9 (条款九):SAMPLING & ANALYSIS (采样与分析)A) At Loading Port, Seller shall at their expense appoint SGS, to determine the specification of Ore content and provide the Certificates showing details of the result and also the percentage of free moisture loss at 105 degree centigrade. The loading port analysis will be the basis of Sellers Provisional Invoice.在装货港, 由卖方支付指定SGS检验铁矿成分, 提供证明列出详情结果,以及在105摄氏度时水分自由流失的百分比. 在装货港分析的报告将被作为卖方开立暂定发票的依据.B) The weight, Sampling, Chemical Analysis, Moisture Determination and Screen Analysis performed at the destination port by CIQ shall be for the Buyers account. CIQ在目的港进行的重量, 取样, 化学分析, 水分和颗粒分析费用由买方支付.C) If the difference between Buyers and Sellers analysis made under the above paragraph of this clause is equal to or less than 0.8%, then the CIQs results shall be regarded as final for the Final Commercial Invoice.如果买卖双方的检测结果与条款中的误差等于或小于0.8%,则以CIQ检验结果为最后余款支付的依据.If the difference is more than 0.8% or if there exists a significant difference between the two said analysis in respect of Fe or relevant chemical content, Seller shall consult with Buyer to reconcile such difference. 如果买卖双方的检测结果与条款中的误差大于0.8%,包含铁含量与相关化合物含量,则卖方需征求买方协调.If after consultation between Seller and Buyer the difference cannot be reconciled then at the request of Seller or Buyer, then CCIC at the destination port shall be nominated as an umpire between Buyer and Seller and the certificate of analysis issued by such umpire shall be final for Fe or relevant chemical content. The cost of umpire analysis shall be equally borne by both parties.如果双方无法协调,则请于卸货港的CCIC为裁定单位,做为此次检验铁含量与相关化合物含量的最后认定。其仲裁费用由双方共同承担支付.D) The Buyer, if necessary, will appoint the representative or nominate an independent surveyor at their cost to witness operation at loading port. Similar facility will be extended to the Seller at the destination port.如有必要,买方可派代表或提名一个独立的检测机构于装货港进行见证,同样的方式适用于卖方在卸货港的情况.CLAUSE 10 (条款十): SHIPPING/UNLOADING TERMS (船运/卸货条款)NOTICE OF DELIVERY (交货通知)The Seller shall advise the Buyer in 5 (five) days before the planned delivery, so that the Buyer may take delivery. The Seller shall immediately notify the Buyer of any change to the delivery date that has been previously notified.卖方应于出货的5天前通知买方,如上述出货日期有任何变动卖方应立即通知买方.UNLOADING TERMS (卸货条款) CQD.卸货条款为CQD。Notice of Readiness to be delivered at anytime, day or night, Sundays and holidays included, WIBON, WCCON, WFPON, whether shipping documents have been presented to the Buyer/Buyers bank or not prior to arrival of vessel and in all respect ready to discharge. Laytime shall commence 12 hours after tendering of NOR, unless discharging commences earlier, in which case time actually used to count. In case discharging has to be interrupted due to the responsibility of the vessel, such time lost shall not count as laytime.卸货准备通知书可以在任何时候提交,包括白天与黑夜,周末,假日,无论泊位与否,无论清关与否,无论是否办理船舶入境检疫证,无论单据是否已在船只到达前递交买方或买方银行,只要船只已做好卸货准备。卸货时间从发出卸货准备通知书后12小时开始计算,除非提前卸货,卸货时间按实际使用的时间计算。由于船舶原因导致卸货中断不计入卸船时间。The Seller shall instruct the shipping company to discharge the cargo with LOI signed by Buyer, if original B/L does not reach destination port as/when vessel arrives.倘若正本提单没法按时到港,卖方应指示船运公司凭买方签署赔偿保证书卸货。 CLAUSE 11 (条款十一):ADVISE OF SHIPMENT (装船通知)The Seller shall, upon completion of loading at final loading port, advise Buyer within 5 (five) working days by cable/telex/fax of the contract number, name of commodity, weight, name of vessel, bill of lading number, loading and sailing date, and date of estimated arrival at destination port.卖方将在装货完成后5(五)个工作日内将合同号码, 商品名称, 重量,船名, 提单号码, 装船和启航日期, 预计到达目的港的日期, 用电报,电传或传真等方式通知买方.CLAUSE 12 (条款十二):INSURANCE (保险)To be covered by the Buyer from the time ore is loaded on board the vessel.卖方负责购买铁矿石装船后的保险.CLAUSE 13 (条款十三):TITLE AND RISK (所有权及风险)The title with respect to shipment shall pass from Seller to Buyer when Seller receives reimbursement of proceeds from the issuing bank through the negotiating bank against the relative shipping documents as set forth in Clause 7 after completion of loading on board the vessel at loading port with effect retrospective to the time of delivery of ore. 当货物在装船港口上船完成,卖方收到押汇银行根据本合同第七款规定的相关文件支付给开户银行的付款后,发运货物的所有权与风险将转给买方。LOSS OF CARGO (货物损失)In the event of a total loss of cargo after loading on board the vessel and before discharging at the destination port, Buyer shall make final payment to Seller on the basis of analysis made at loading port as set forth in Clause 9 hereof and on the basis of price as set forth in Clause 4 and quantity as manifested on the Bill of Lading. In the event of partial loss of cargo after loading on board the vessel and before discharging at the destination port, the weight as manifested in Bill of Lading shall be treated as final .The final analysis for such cargo lost shall be deemed identical with the final analysis of the remaining cargo in the same shipment actually delivered. In case of partial loss, Masters certificate certifying the fact of loss shall be treated as final.如果在货物装船后、卸货港口卸货之前发生了货物的完全损失,买方应根据本合同第四款的规定,依据装船港口出具的分析报告和装箱单,向卖方支付最终款项。如果在货物装船后、卸货港口卸货之前发生了货物的部分损失,装箱单上显示的货物重量应被视为最终的数字。损失货物的最终分析结果应被视为与实际交货的剩余货物的最终分析结果相同。当发生部分损失时,船长出具的损失报告应被视为最终结果。CLAUSE 14 (条款十四):FORCE MAJEURE (其它无法抗拒的情况)Either Seller or Buyer shall be relieved of and excused from its obligation to perform hereunder during any period that their or its performance is prevented or delayed by Act of God, war, blockade, revolution, riot, insurrection, civil commotion, strike, lockout, fire, flood, storm, tempest or other inclement weather conditions, unforeseen blockade of the access channel at loading Port, maintenance practice of the port facilities by the duly constituted Port Authority, government restriction, regulation or order, In the event that such a Force Majeure condition occurs or is anticipated, the party directly affected shall advise the other party by facsimile or telex as soon as possible, and shall then submit a certificate issued by Government Authority or Chamber of Commerce as evidence of the Force Majeure condition within 10 days, if possible, after such Force Majeure condition. If the Force Majeure lasts over three months, Buyer shall have the right to cancel the tonnage involved. 不管卖方或买方在任何时期遇到不能被防止或者不可抗拒的延迟, 如: 战争. 堵塞. 革命. 骚动. 起义. 市民的混乱.、罢工.、停业、火灾、 洪水、 风暴. 暴风雨或者其它凛冽的天气情况. 在装货口靠岸所预见到的堵塞. 港务局例行性的港口设备维修. 政府限制. 规章或者许可. 如果此一不可抗拒条件下发生或者已可预期, 直接影响的那方需尽快用传真或者电传告知另一方,如果可能, 并且在不可抗拒状态之后的10天内, 提交一份由政府机关或者商会所出俱的证明书作为不可抗拒状态的证据. 如果不可抗拒持续超过三个月, 买方将有权取消有关货品. 但是卖方无法取得出口许可证致使无法出货, 将不被认为是不可抗拒的理由.CLAUSE 15 (条款十五):ARBITRATION (仲裁)All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation taken place in Hong Kong, if no settlement can be reached, the case in dispute shall then be submitted for arbitration to the International Chamber of Commerce in accordance with the Rules of Arbitration of ICC. The decision made by the Commission shall be accepted as final and binding
