and Exchange Commission.Such portionsare omittedfrom thisfiling andfiled separatelywith theSecuritiesandExchangeCommission.REV.6-_(M,D,Y)This ManufacturingAgreement(Agreement)is enteredinto_,_,_(M/D/Y)by andbetween AAA,Inc.having its place of business_(address)(AAA)and BBB(Malaysia)SDN.BHD havingitsplaceofbusiness_(address)(BBB).AAA hascreated amarket for AAA handheldputer products(hereinafterProducts)and is solely responsible for thesales andmarketing of the Products.BBB hasdeveloped processesand practicesfor manufacturingproducts formany differentelectronic applicationsand atAAAs requestdesires tomanufacture AAAs Productsin aordance with AAAs specifications.AAA acknowledgesthat BBBexpertise ismanufacturing andthat BBBresponsibility relatedto the AAAs Productsis limitedto thisextent.The partiesagree asfollows:1.WORK,LICENSE BBB agrees to use reasonablemercial effortsto performthe work(hereinafterWork)pursuant to purchase ordersor changesthereto issued by orfor AAA and aepted by BBB.Work shall mean to procure ponents,materials,equipment and other supplies,and tomanufacture,assemble,test anddeliver Productspursuanttodetailed written specifications,workmanship standardsand qualityrequirements foreach suchProduct(ref;Addendum B)which areprovided by AAA andaepted by BBB.For eachProduct orrevision thereof,writtenspecificationsshall include,but arenot limitedto,bills ofmaterials,schematics,assembly drawings,process documentation,test specifications,current revisionnumber,and approvedvendor list(hereinafterSpecifications)as attachedhereto.BBB isgranted by AAAa non-exclusive licenseduring theterm of this Agreementtouseall ofAAAs patents,trade secretsand otherintellectual propertyin the Products,solely in connection with and to the extent required to perform BBBobligations underthis Agreement.2.FORECASTS,ORDERS,MATERIAL PROCUREMENT2.1FORECAST.AAA shall provide BBB,on a monthly basis,anon-binding,rolling twelve (12)month Productorder forecast.2.2PURCHASE ORDERS.AAA willissue,or havea designated3rd partydistribution partnerissue,written purchase orders onceamonthwhich specifyall Workto bepleted.AAAs designated3rd partydistribution partnersmust meetBBB creditworthiness guidelines,orAAA will guaranteepurchase ordersaording to the terms of this Agreement.AAA willensure purchase orders covera minimumfour (4)month rollingtime period.Each purchase order shallreference this Agreement,and the applicable writtenSpecifications asdescribed in Section1.0.Purchase ordersshall normallybe deemedaepted by BBB,provided howeverthat BBB may rejectany orderdoes not conform to the lead-time,flexibility orcancellation termsofthis Agreement.BBB shallnotify AAAof rejectionof any purchaseorderwithin five (5)working days of receiptof suchorder.AAA,or itsdesignated3rd partydistribution partners,may useitsstandard purchaseorder formto releaseitems,quantities,prices,schedules,change notices,specifications,or othernotice providedfor hereunder.The partiesagree that the terms and conditionscontained inthis Agreementshall prevailover anytermsandconditions of anypurchaseorder,acknowledgment formor otherinstrument.2.3MATERIAL PROCUREMENT.Purchase ordersissued by AAA or itsdesignated3rd partydistribution partnersin conformanceto this Agreement willconstitute authorizationfor BBB toprocure,using standardpurchasing practices,the ponents,subassemblies,materials andsupplies necessaryfor themanufacture of Products(Inventory)covered bysuch purchase orders.2.4LONG LEADTIME PONENTS.As AAAs strategicmaterials managementpartner,BBB may be requiredtopurchaseLong LeadTime Componentsin orderto achievethe scheduleflexibility requirementsidentified inSection3.2.For thepurposes ofthis Agreement,Long LeadTime Componentsshallmeanponents,subassemblies,materials andsupplies withlead timesgreater thanniy (90)days at the timean orderis placed.At thetime ofthis Agreement,no ponents,subassemblies,materials orsupplies havelead timesgreater thanniy (90)days.During theterm ofthis Agreement,if anylead times for ponents,subassemblies,materials orsupplies exceedniy (90)days due to changes in marketconditions,BBBmayreasonably purchaseminimum lotsizes fromsuppliers(Minimum OrderInventory),even ifgreater thanthe amountnecessary to meet purchase orders,in orderto ensurethe scheduleflexibility requirementsidentified inSection3.2are achieved.BBB willnotify AAAin writingif leadtimes for any ponents,subassemblies,materials orsupplies exceedniy (90)days andwill quantifyhow muchadditional cancellation liability AAA will incurabove andbeyond thecancellationliability terms defined inSection3.3.If leadtimesforponents,subassemblies,materials orsupplies donot exceedniy (90)days duringterm ofthis Agreement,or anyextensions thereof,BBB and AAA agree to abideby thereschedule flexibilityand cancellationliabilitytermsdefined inSections3.2and3.3.3.SHIPMENTS,RESCHEDULE FLEXIBILITY,CANCELLATION3.1SHIPMENTS.All Productsdelivered pursuanttothetermsofthisAgreementshall besuitably packedfor shipmentin aordancewith AAAs Specifications,marked forshipment to AAAs destinationspecified in theapplicablepurchaseorderand deliveredto acarrier orforwarding agent.Shipment will be F.O.B.BBBMalaysia manufacturingplant at which timerisk ofloss andtitle willpass to AAA orAAAs designated3rd partydistribution partners.All freight,insurance andother shippingexpenses from the F.O.B.point,will bepaid by AAA.BBB isexpected toachieve100%on-time deliveryperformance tothe designatedF.O.B.point.On-timedeliver isdefined aswithin2days earlyand0days lateof scheduleddelivery dateon purchaseorders placedby AAAin aordance to thisAgreement.If deliveryofProduct is early,AAA or its designated3rd partydistribution partners,may returnsaid Product to BBBfor re-delivery on the scheduleddelivery datewith BBBbearing allcost ofProduct returnand re-delivery.If Productis late,AAA mayrequire BBB to airship latefor reasonswith BBBcontrol,Producttolocations specifiedbyAAA oritsdesignated3rd partydistribution partnerswith BBBbearing theincremental costbetween standardcost versuspremium airshipment.AAA willnot unreasonablyrequire BBB to airship productunless AAAneeds Productto meetcustomer mitments.3.2QUANTITY INCREASESAND SHIPMENTSCHEDULE CHANGES.For anypurchaseorderissued inaordanceto thisAgreement,AAA may(i)increase thequantity of Products or(ii)reschedule thequantity of Products and their shipment date asprovided in the tablebelow:Maximum AllowableVariance FromPurchase OrderQuantities/Shipment Dates#of daysbefore AllowableMaximum MaximumShipment Dateon QuantityReschedule ReschedulePurchase OrderIncreases QuantityPeriod*Any purchaseorder quantitiesincreased or rescheduled pursuanttothisSection maynot besubsequently increasedorrescheduledwithout theprior writtenapproval of BBB.All otherchangesinquantity orshipmentdaterequire BBBprior writtenconsent.Any re-schedules thatexceed theabove periodon3.2will besubject toa onepercent inventorycarrying charge.BBB willuse reasonablemercial effortstomeetquantity increases.If thereare extracosts tomeet aschedule increasein excessof theabove limits,BBB willinform AAAfor itsapproval inadvance.3.3CANCELLATION LIABILITY.In theevent AAAcancels anypurchaseorders,or portionsthereof,AAA andBBB agreetothefollowing cancellationterms:#days fromthe dayof noticeAAA cancellationliability:0-30days AAA is liable for100%of thepurchase price ofProductsscheduled to be deliveredwithin0-30daysof the date of cancellation.*AAA isliable forthe actualcost of*plus ahandling fee*AAA isliable forthe actualcost of*plus ahandling fee*91+days AAA may cancelany ordersscheduled greaterthan90days fromthe dateof cancellationwithout liabilityexcept forinventory approvedbyAAAas persection2.4.4.ENGINEERING CHANGESAAA mayrequest,in writing,that BBB incorporate engineeringchanges intothe Product.Such requestwill includea descriptionof theproposed engineeringchange sufficientto permitBBB toevaluate itsfeasibility andcost.BBBevaluation shall be inwriting and shall statethe costs and timeof implementationandtheimpact on the delivery schedule andpricing ofthe Product.BBB willnot beobligated toproceed with the engineeringchange untilthe partieshave agreedupon thechanges tothe Products Specifications,deliveryscheduleand Productpricing andupon theimplementation coststo beborne bythe AAAincluding,without limitation,the cost of Inventoryand SpecialInventory on-hand andon-order thatbees obsolete.As AAAs strategicmanufacturing engineeringpartner,BBB isexpected tomake remendationsto Product design whichwould makeProduct moremanufacturable,reduce material costsand/or improvequality.AAAwillevaluate suchremendations andincorporate suchremendations intoProductdesignas appropriate.BBB willnot makechanges toproduct designor manufacturingprocesses whichaffect theform,fit,function,performance orreliability oftheProductwithout priorwritten authorizationfrom AAA.5.TOOLING,NON-RECURRING EXPENSES,SOFTWARE BBBshallprovidenon-Product specific tooling at its expense.AAA shallpay for or obtainand consignto BBBany Productspecifictoolingandotherreasonably necessarynon-recurring expenses,to beset forth in BBBquotation.All softwarewhich AAAprovides to BBB isandshallremain the property ofAAA.AAA grantsBBBalicense tocopy,modify anduse suchsoftware solelyinconnectionwithandtotheextentrequiredtoperformBBBobligations underthisAgreement.All softwaredeveloped byBBBtosupport theprocess toolingor otherwiseshall beand remain thepropertyofBBB.6.PRODUCT ACCEPTANCEAND WARRANTIES6.1PRODUCT ACCEPTANCE.AAA agreesthat theproduct isdeemed aeptableif AAAhas notexercised saidright within20days.6.2BBB isexpected todeliver100%quality Productin conformanceto allProducts specifications,workmanship standardsand qualityrequirements set forthin Addendum B.As AAAs strategicquality partner,BBB isexpected toinstitute appropriatequality controlsatthefactory tostop anydefective Productfrom shippingto AAAorits designated3rd partydistribution partners.AAAs intentis notto inspecteach shipmenting fromBBB,however,AAA reservesthe rightto auditBBBfacilities,conduct sourceinspection and/or inspectProduct atdesignated distributionor fieldrepair centers.AAA andBBB willwork togetherto jointlydetermine ifProductisdefective.AAAmayreturn defectiveProducts,freight collect,after obtaininga return material authorizationnumber fromBBBto be displayedontheshipping containerand pleting a failure report.BBB willnot unreasonablywithhold suchreturnmaterial authorization numbers.Rejected Products will bepromptly repairedor replaced,at BBBoption,and returnedfreight pre-paid.6.2EXPRESS LIMITEDWARRANTY.BBB warrantsthattheProductswillconform toAAAs applicableSpecifications andwillbefree fromdefects inworkmanship for a period of*.Materials arewarranted tothe sameextent thatthe originalmanufacturer warrantsthe materials.This expresslimited warrantydoes notapply to(a)materials consignedor suppliedbyAAAtoBBB;(b)defects resultingfrom AAAsdesignoftheProducts;(c)Product thathas beenabused,damaged,altered ormisused byany personor entityafter titlepasses toAAA.With respectto firstarticles,prototypes,pre-production units,test unitsor othersimilar Products,BBB makesno representationsor warrantieswhatsoever.Notwithstanding anythingelse inthisAgreement,BBB assumesno liabilityfororobligation relatedtotheperformance,auracy,specifications,failure tomeet specificationsor defectsof orduetotooling,designs orinstructions producedor suppliedbyAAA and AAA shall beliableforcosts orexpenses incurredbyBBBrelated thereto.Upon anyfailure ofa Productto plywiththeabove warranty,BBBsole obligation,and AAAssoleremedy,is forBBB,atitsoption,to promptlyrepair orreplace suchunit andreturn ittoAAAfreight collect.BBB willbear allcosts ofrepairing defectiveProduct withinwarranty.AAAshallreturn Productscovered bythe warrantyfreight pre-paid afterpletingafailurereportand obtaininga returnmaterialauthorizationnumber fromBBBtobe displayedontheshipping container.BBB MAKESNO OTHERWARRANTIES ORCONDITIONS ONTHE PRODUCTS,EXPRESS,IMPLIED,STATUTORY,OR INANY OTHERPROVISION OFTHIS AGREEMENTOR MUNICATIONWITH AAA,AND BBBSPECIFICALLY DISCLAIMSANY IMPLIEDWARRANTY ORCONDITION OFMERCHANTABILITY ORFITNESS FORA PARTICULARPURPOSE.7.PAYMENT TERMS,ADDITIONAL COSTSAND PRICE CHANGES7.1PRICE ANDPAYMENT TERMS.The pricefor Productstobemanufactured issetforthinAddendumAandmay bechanged fromtime totime throughpurchaseordersissuedbyAAA andaeptedbyBBB.All pricingchanges mustbe mutuallyagreed toby bothparties.BBB isexpected tocut inmaterialcost reductions negotiatedby eitherAAAorBBBinaordancewithestablished materiallead-times.All pricesquoted areexclusive offederal,state andlocal excise,sales,use andsimilar taxes,and anyduties,andAAAshall beresponsible forall suchitems.Payment forany Products,services orother coststobepaid byAAA hereunderis duethirty (30)days fromthedateofinvoice andshallbemade inlawful U.S.currency.AAA agreesto pay1%monthly intereston alllate payments.7.2ADDITIONAL COSTS.AAAisresponsiblefor(a)any expeditingcharges reason
