Sellersshall guaranteethat the goods arebrand new,unused andcorrespond in all respectswith thequality,specifications andperformance asstipulated inthis Contract.13.检验和索赔Inspection AndClaims:在交货以前，制造厂应就订货的质量、规格、性能、数量/重量做出准确和全面的检验，并出具货物和本合同规定相符的证明书。 The manufacturesshall beforemaking delivery,make aprecise andprehensive inspectionof goodsas regardstheir quality,specifications,performance andquantity/weight,and issuecertificates certifyingthatthegoods arein conformitywith thestipulations ofthis Contract.The certificatesshall forman integralpart of the documentsto bepresented to the payingbank fornegotiation/collection of payment butshall notbe consideredas finalin respectof quality,specifications,performance andquantity/weight.Particulars andresults of the testcarried outby themanufacturers mustbe showninastatement tobe attachedto thesaid QualityCertificate.14.不可抗力:无论在商品制造或装运或转运期间,如有不生可抗力事件发生,卖方将不对由此而导致的逾期或不能交货负责。 manufacturingorthecourse ofloading ortransit.The Sellersshall adviceBuyers immediatelyof theourrence mentionedabove andwithin fourteendays thereafter,the Sellersshould sendby airmailto the Buyers fortheir aeptancea certificateof the aident issuedby theCompetent GovernmentAuthorities wherethe aidentours asevidence thereof.Sellers inabilityin obtainingexport licenseshall notbe consideredas ForceMajeure.Under suchcircumstances theSellers,however,are stillunder theobligation totake allnecessary measuresto hastenthe deliveryof thegoods.In casetheaidentlasts formore than10weeks,the Buyersshall haveright tocancel theContract,the sellersbear theexpenses whichpaid to the bankbythe deductedfrom theamount duetotheSellers bythe payingbank atthe timeof negotiation,or bytheBuyersdirect atthe timeofpayment.The buyerscan cancelthe contractif thesellersdelivery dateis delayedup to10weeks aordingtothecontract,but thesellers stillmust offerthe abovepenalty tothebuyerswithout conditions.16.仲裁:一切因执行本合同或与本合同有关的争执,应应由双方友好协商解决。 如经协商仍未能达成协议,则应提交中国国际经济贸易仲裁委员会裁决。 按照申请仲裁时该则会现行有效的仲裁规则,由申诉一方选择该会由该会上海分会在上海进行仲裁。 仲裁委员会的裁决为终局裁决,对双方均有约束力。 仲裁费用除仲裁委另有决定外,应由败诉一方负担。 Arbitration:All disputesin connectionwith thisContract orthe executionthereof shallbe settledfriendly
