制度设计随社会经济的快速发展，市场竞争加剧，企业必须加强企业自身的生产经营能力，降低生产经营成本。而采购成本又是企业生产成本必不可少的一部分，在企业的发展过程中起着举足轻重的作用。所以加强对采购业务的管理、完善其内部控制制度显得尤为重要。另外采购又可以说是企业利润的一个重要源泉，如果采用科学的方法进行采购，不仅可以降低采购成本，还可以使企业利润和竞争力得到大幅度提升。因此，为了降低采购成本、增加企业利润，就必须对采购工作加以规范，其中重要的一条途径是加强和完善采购业务的内部控制制度。一采购业务过程中存在的问题（一）不相容职务没有做到相分离，没有完善的内部牵制制度，很多采购活动缺乏有效的监督，容易出现收受回扣、徇私舞弊、暗箱操作等现象。企业在采购的请购与审批、询价与确定供应商、采购合同的订立与审计、采购验收与相关会计记录、付款审批与付款的执行等岗位在大多数情况下没有做到相分离，没有独立稽核控制活动，甚至连起码的内部牵制都没有，对采购活动严重缺少监督。在这种情况下，采购业务的相关人员很可能相互勾结，徇私舞弊，收取回扣，套取企业的资金财产和物资。例如：询价与确定供应商职位没有做到相分离就会使相关人员与供应商合谋，从中收取回扣，骗取公司钱财，甚至影响采购物资的质量，存在价格高质量低劣的情况，不仅影响企业产品的质量更影响采购成本。再者请购与审批为同一人时会出现自己请购自己审批，目前不少企业存在这种情况，这样很容易使企业资金物资流失。以上这些都会严重危害企业的经济利益。（二）采购业务没有生产计划和采购预算。表现为以下几个方面：盲目采购，使得存货堆积，采购成本上升，同时大量存货占用太多的资金，在一定程度上会造成企业流动资金周转困难。采购不及时，或不能一次性提供企业生产所需的物资，物资不能及时供应，影响下一步产品的生产，影响生产进度，甚至造成生产停滞不前，难以准时交货。采购成本过高，使生产成本相应的提高，影响企业利润的增加。由于缺乏采购计划和预算使得在进行材料采购时因为采购数量的问题使得企业不能在物资采购时获得价格优惠，零散的采购没有集中起来形成采购规模，难以获得供应商的优惠价格；每次采购批量小，次数多，运输成本高，采购成本高相应增加，从而导致产品成本加大，失去产品在价格上的竞争优势。付款不及时，影响企业的信誉以及企业形象。因为缺乏现金预算，没有周密的采购付款计划，企业资金短缺，不能及时安排付款，使企业信誉受损，影响企业的长远发展。（三）相关业务人员缺乏一定的业务素质。因为自身业务素质问题，使得业务人员在物资采购时可能存在缺乏询价技巧等问题，不能获得供应商的底价；另外不能熟练的辨别材料质量的好坏优劣；不了解相应的财经法规，使得业务人员因违反国家法律法规可能遭受外部的处罚和遭受一定的经济损失；相关业务人员在采购过程中利用职权徇私舞弊，偷工减料，收取回扣，使企业集体财产流入私人的口袋。（四）缺乏对供应商的管理。具体表现在以下几个方面：没有对供应商的具体情况进行深入细致调查。对供应商的信誉、资料不够了解，会造成在材料采购时材料质量的不合格或者缺斤少两等问题；交货期没有保障，不能及时安排生产或不能及时交货，既增加了经济成本又增加了时间成本。缺乏系统完善的供应商管理制度。在平时没有建立供应商档案，只有在进行物资采购时才会加强对供应商的关注，必然带来选择的盲目性，不能保障以最低采购价格、最优条件完成采购。采购方无法及时了解供应商的情况，只能通过增加存货来避免不确定事件的发生，从而造成采购、库存成本的大大增加。没有建立长期的合作关系。由于采购方与供应商没有建立长期合作伙伴关系，而是一种短期合作关系，这种供应关系往往是临时性的，双方缺乏有效的合作与协调，因此，供应商很少为采购方做出过多让步，往往是竞争多于合作。（五）采购验收不规范，付款审核不严，可能导致采购物资、资金损失或信用受损。（六）采购合同与采购成本方面存在的风险问题：采购合同方面存在的风险问题：A签订虚假的合同套取现金，使得企业财务受损。由于采购流程和审批环节存在的缺陷，导致相关业务人员运用职务便利与合同的对方签订虚假合同以谋取公司的财产，套取公司的资金，给企业带来巨大的损失。B价格虚高，合同条款表述不清。有些合同表述不够清晰，使得合同双方在出现问题时找不到表述清楚且合理的依据，造成合同纠纷，带来不必要的损失。C合同条款执行不严，未能有效的追究违约责任。合同中未能具体规定相关问题产生时谁该负责相应的责任，比如出现材料质量、规格不合格，或材料缺斤少两双方该怎样明确责任。永昌钢厂与华隆公司的购销工业用角钢签订的一份合同可以对以上B、C两点进行相应的解释：（1）永昌钢厂为华隆公司提供工业用角钢1000吨（2）华隆公司交货前预付货款40%，货到后全部付清货款。（3）永昌钢厂在签订合同后，在两个月内全部交货。（4）未尽事宜，相互协商解决。该合同的合同条款表述不清，双方在材料的单价、规格、型号、质量要求及金额等方面没有具体的规定，没有说明违约责任，没有相关的费用承担责任。D合同行为不当。一些供应商为了自身利益可能会采取一些不正当手段，如对采购人员行贿，套取公司采购标底，给予虚假优惠，以某些好处为诱饵公开兜售假冒伪劣产品等，以此损害公司经济利益。采购成本方面存在的风险：A采购的前期费用偏高，采购的前期工作包括：市场调查、质量评审、信用评估、供需洽谈、派出人员现场调查。这些如果控制不好就会导致信息虚假，差旅费过高。B采购的价格对企业不利。采购价格是企业采购成本的主要部分，它会影响企业的生产成本，进而影响产品的销售成本。采购成本过高会使产品的销售价格上升，导致企业的销售利润下降。C采购的数量批量不合理。采购的数量批量会影响企业物资采购的价格，影响物资采购的成本、资金占用成本、缺货成本。合理的采购数量和批量会使企业获得价格优惠，同时还可以降低采购时所要发生的的运输费。不合理的采购数量和批量不仅会使企业的流动资金减少，资源浪费，还会增加成本，不利于企业的发展。D采购原料的质量特性不符合要求。不同的产品所要求的材料的质量不同，如果没根据产品的具体要求而购进的物资不仅会浪费企业资金资源，还会影响生产进度和产品的质量。二、企业采购业务内部控制制度设计的意义由于在采购业务中存在不少的问题，所以加强采购业务的内部控制、完善采购业务内部控制制度设计对与企业的长远发展以及企业经济效益的提高有着重要的意义。1有利于完善内部牵制制度，加强对采购业务的监督与管理，使职员之间职责分工更加明确。采购业务中由于职务分工不明确，不相容职务往往没有做到相分离，使得在材料采购中往往会出现徇私舞弊，利用职务便利谋取私利，收取回扣。通过采购业务内部控制制度设计可以有效的减轻这一现象，有力的加强企业的内部控制。2有利于规范公司采购管理，减少违法违纪行为。采购业务是企业日常生产的基本业务，其业务繁琐，内容复杂，比较容易出现违法违纪的行为，比如齐齐哈尔第二制药有限公司的假“亮菌甲素注射液”事件，该厂采购执行人员和相关主管人员违反物料采购规范和药品生产质量管理法规及相关规章制度，严重违规操作，导致发生重大伤亡事故，损害商家和消费者利益。还有就是普尔斯马特危机事件，这些都严重暴露出企业采购业务内部控制制度存在的问题。通过采购业务内部控制制度的设计，使采购业务形成系统化、一体化的监督体系，通过制定采购计划和采购预算、严格采购审批和合同审计，对采购活动进行严格规范，有利于规范公司采购管理，有效的减少违法违纪行为。3提高采购质量，降低采购成本。在采购过程中采购质量直接关系到产品的质量，采购成本直接关系到产品生产成本，所以通过采购业务内部控制制度设计可以规范采购员的行为，避免其在采购为了从中获利而选择一些质量低劣的材料，同时也加强了对材料验收和审核环节的规范，保证了采购质量。另外，构建采购业务内部控制制度，就是从设计采购流程、加强供应商管理、确定科学合理的采购价格、采购数量与批量等多方面进行规范有效的管理，降低物资采购成本，提高公司经济效益。4有利于进一步优化企业的内部控制制度。采购业务内部控制制度属于内部控制制度的一部分，所以合理有效的采购业务内部控制制度也有利于内部控制制度的完善，其次，在采购业务内部控制制度中发现的问题和得到的经验对其他内部控制具有很好的借鉴作用，有利于内部控制制度体系的进一步优化。三、采购过程中内部控制制度设计。1职责分工与授权批准在采购过程中请购与审批、询价与供应商的确定、采购合同的订立与审核采购、验收与相关会计记录、付款的申请、审批与执行等职务必须相分离。我们在制度设计的时候最好将采购、仓储、质检等职能授权给不同的部门来完成，并将价格审议交给另外一个部门来完成效果更好。要建立严格的授权批准制度，明确审批人对采购业务的授权批准方式、权限、程序、责任和相关控制措施，审批人在授权范围内进行审批，不得超越审批权。规定经办人办理采购业务的职责范围与工作要求，经办人应在职责范围内按照制度规定办理采购业务。对于重要的采购业务，可以进行集体决策和审批。未经授权的机构或人员不允许办理采购业务。2请购控制（1）对原材料、零配件和商品、其他物资所需要的部门，可以根据预算生产通知单或者市场供应情况填写请购单，有本部门授权人审批，请购单上要注明请购的部门。请购物品的名称、规格、数量、要求到货的日期、质量要求、用途等，审批后交采购部门。（2）对于临时需要的物品，很难列入预算的，可以由使用者根据需要直接提出，但请购单上要注明用途、目的，经使用部门的主管审批，财务部门签字审批后再交采购部门。（3）如果是紧急需求的特殊请购，执行特殊的审批手续。3采购控制（1）选定供货单位，采购业务应引入市场调研和招投标控制点，企业可以将所有采购物资的相关的详细的资料通过网络电话等方式告知供应商，供应商则发函或派人将产品的一系列资料提供给企业，企业从中筛选出规模大、历史悠久、产品质量好、价格低、信誉好的供应商进行考察，最后进行信息汇总拟定招投标方案。（2）控制好订购的数量。采购人员要审查每一份请购单看是否重复申请，请购的数量品种是否合理，依据是否充分。对于需要大量采购的物资要进行成本分析，计算经济批量。（3）采购价格的确定。在采购数量确定后，签订合同之前，必须遵守报价控制制度，选择有利于企业生产或成本最低的供应商，进行市场调查，询价、比价，选择最有利的价格。再者要估算出采购所需物资的资金，在请购单上签署采购意见，由采购部门授权人审批再报财务部门审批后送交存货管理部门。（4）发出订货单存货管理部门收到请购单后要计算经济订货点，决定请购时间，在请购单上签署意见并交本部门授权人审批。采购部门根据审批后的请购单，与供应商签订采购合同，列出采购物品的名称、规格、数量、单价、交货日期、交货方式、质量要求、折扣条件、售后服务等内容。还要有各级授权人审核才能盖合同专用章。在正式向供货商发出订单之前，需对各项内容进行一次仔细的审查，是否有有关部门授权批准，是否有请购单，是否有必要的附件。比如说重要的物品的请购。合同一般一式四份，一份交供货单位请求发货，一份交采购部门，负责合同执行工作，一份交会计部门，监督合同执行，一份交仓储保管部门，作为验收与发票的核对。对于采购数量不多切不经常采购的物资也可以不签合同直接购买，但是要有授权批准。4验收与保管控制(一)验收控制（1）设立独立的验收部门或指定专人负责验收工作，保持验收人员的独立性。（2）验收入库的职能必须为请购、采购、会计部门的意以外的人员来担任。（3）验收人员根据采购文件对采购物品的品种、规格、数量、质量及其他的内容进行验收，出具验收证明。不合格的产品应报相关部门，查明原因及时处理。（4）采购人员要根据验收的结果对采购的物资进行及时处理，符合规定的要及时入库，不符合规定的属于供应商责任的要及时与供应商联系，以便及时办理退货。对不属于供应商责任的查找原因，属于工作人员失误的要追究责任，属于正常损失的作相应的处理。（5）已验收的物品要再次将发票合同和请购单进行核对，核对无误后依次填写有编号的入库单。（6）入库单由保管人员签字后，一联留存登记入账，一联随有关的凭证交会计部门办理结算，还有一联退回采购部门，与合同请购单核对后归档备案。(二)保管制度（1）指定专门的人员负责保管工作，保持保管人员的独立性。（2）保管人员根据验收清单安排货物入库。（3）定期清查货物，如果有损坏、变形、变质、丢失等情况应及时报有关部门进行处理。（4） 保管人员要提高自身的素质，严格要求与控制自己，防止监守自盗。（5）从仓库提取物资应要求经办人出示经主管部门签字的请购单，并要求经办人在领料单上签字。5审核制度（1）会计部门在正式记录采购业务支付货款之前应该对有关部门送来的各种原始凭证进行认真的审核。（2）审查每一种凭证的数量金额计算是否正确，各凭证之间内容是否一致，时间是否统一，责任是否明确，手续是否清楚。6交付货款（1）会计部门审核所有的原始凭证后，根据规定的付款条件，经授权批准后办理结转。（2）如果采用赊账的方式购买商品时，就会形成债务，应按如下要求：A、相关凭证都不能少，就像货币资金入账一样。B、要设专人登记应付账款明细账。C、稽核人员要定期与供货商核对账目，确保双方账目相符。D、按双方事先约定的条件及时的清理债务支付欠款后一定要取得债权人的收款证明。7退货控制（1）如果发现货物的数量、质量不符合要求马上与供货商取得联系，数量上短缺要求供应商补齐，如果是质量问题，看是需要退货还是进行折让。（2）如果是退货，采购部门应编制退货通知单交供应商，同时交财务部，用于调整应付账款。四、结论 采购是企业主要业务活动的一部分，对企业的发展有着重大的意义，市场经济到目前为止还不是很完善，所以采购业务相应的也有许多弊端，存在很多问题，需要企业在发展过程中采取种种措施去克服并完善，这就需要企业健全采购业务内部控制制度。首先，在采购业务中不相容职务一定要做到相分离，防止暗箱操作、徇私舞弊等现象发生，将责任明确到人；建立采购监督制度和自我评价制度，对采购请购、采购、验收与保管、审核、退货以及付款等各个环节进行常规、持续的监督检查；通过专项监督对某些异动情况进行有针对性的监督检查，查找原因，以发现内部控制缺陷并及时进行整改；并且定期对采购内部控制的有效性进行自我评价，以防范风险发生。
