5、o Sellersdays before the respective time of shipment stipulated above and to remain valid for negotiation in China until the 15th day after the relative time of shipment.In case the Sellers is unable to ship the goods within the specified time of shipment,both the shipm ent and validity dates of the

6、 Letter of Credit shall automatically be extended for 30 days. Transhipments and partia lshipments are allowed.12. 信用证修改：Amendments of Letter of Credit:如买方所开信用证不符合合同规定的要求，买方应在收到卖方通知后立即对其进行修改，否则，卖方有权撤销合同或延期交货并提出索赔。Buyers shall open Letter of credit in accordance with the terms of this contract.If any

7、 dis crepancy is found,amendments of Letter of Credit should be made immediately by the B uyers upon receipt of the Sellers advice,failing which the Seller shall have the right to c ancel the contract or put off the delivery date and remain the right for compensation.13. 装运通知：Shipping Advice:卖方于货物装运

8、后，应按合同号、品名、数量、船名、装船日期以电报或传真通知买方。After loading is completed,the Seller shall notify the Buyer by cable or Fax of the contract number ,name of commodity,quantity,name of carrying vessel and date of shipment.14.索赔：Claim:如买方提出索赔，凡属质量异议须于货到目的口岸之日起日内提出；凡属数量异议须于货到目的口岸之日起日内提出，但须提供经卖方同意的公认机构出具的检验报告。如果对所装货物提出

11、 Post Office are liable for.15.仲裁：Arbitration:由于本合同或者由于违背本合同、终止本合同或者本合同无效而发生的或与此有关的任何争端、争议或要求，双方应通过友好协商解决；如协商不能解决，应提交设在北京的中国国际贸易仲裁委员会，根据其仲裁规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。Any dispute,controversy or claim arising out relating to this contract , or the breach , ter mination or invalidity thereof,shall be set

In case no s ettlement can be reached through negotiation,the case shall then be submitted to the China International Economic and Trade Arbitration Commission Beijing for arbitration in accordance with its Rules of Arbitration.The arbitral award is final and bindi

13、ng upon both parties.16. 不可抗力：Force Majeure:如因战争、地震、水灾、火灾、暴风雨、雪灾或其它不可抗力的原因，致使卖方不能部分或全部装船或延迟装船，卖方对这种不能装运、迟缓装运或不能履行合同的情况均不负有责任，但卖方须用电报（或电传） 通知买方， 并以航空信件向后者提出由中国国际贸易促进委员会出具的证明这种事件的证书。If the shipment of the contracted goods is prevented or delayed in whole or in part by rea son of war, earthquake,flood,

14、fire,storm,heavy snow or other causes of Force Majeure,the Seller shall not be liable for non-shipment or late shipment of the goods or non-perform ance of this contract. However ,the Seller shall notify the Buyer by cable or fax and fur nish the letter by registered airmail with a certificate issue

15、d by the China Council for th e Promotion of International Trade attesting such an event or events.17. 合同生效：Effective of the contract:本合同以英文书就，正本两份，双方各执一份，具有同等效力。本合同以卖方最后确认生效。本合同正式生效后，以前有关本批交易的函电均为无效。This contract shall be written in English with two originals for each side with equal effec t . This contract will be effected by Se
