13、果甲方或任何加盟，直接销售任何产品到乙方所代理的地区，或最终转售到乙方所代理的地区（除向乙方或乙方指定的一方出售），要在出销售行为发生之前告知乙方，并须向乙方支付该交易交总额的10。此费用作为补偿乙方所支出的广告和其它的相关资本支出。PartyA hereby appointsParty B as itsAuthorizedDealer Agent to solicitorders for the Products stipulated in Article 6 from customers in theterritory stipulated in Article 6. 15、r a partydesignatedby PartyB foruse orresale withintheTerritory， and(iii)shall use its best efforts to prevent any party other than Party B fromseeking customers for the Products in the Territory， from establishingany branchrelatedto the distributionofProductsin the Territory， orfrom maintaining any

16、 distribution depot with respect to the Products inthe Territory. If Party A， or any Affiliate， sells any Product whichis eventually resold in the Territory (other than a sale to Party B ora party designated by Party B) and PartyA， orthatAffiliate， had reasontoknow atthe timeof itssale ofthatProduct

17、thatsuch resalewas likelytooccur ， Party A shall， immediatelyafter the triggersale(whichshallbe the resale of the Product in the territory or the sale immediatelypreceding the use of the Product in the Territory) is contracted， payto the Party B 10 % of the price of that Product under this Agreement

18、 atthe time that the trigger sale was contracted， which payment shallrepresent a recapture of certain advertising and capital expendituresmadeby Party B. Each change shallbecome effective15 days followingthe date notice thereof is sent.5.新产品New Products如果本公司或任何加盟现在还是以后的生产和销售，或建议制造或第8页共24页分发，任何产品比其他的产品，公司应立即通知，或造成这种加盟通知，分销商这一事实， 所有有关该产品的细节。公司应给予， 或须安排的条款和条件不低于原来在这方面的协议所提供的产品有利于这一问题给予加盟，这些分销商的分销权。IfCompanyor any Affiliatenow orhereaftermanuf

And cant solicitorders in the market without appointment.7.长期第9页共24页本协议从签字之日起生次， 有效期为一年。 此后的一年内，首 6 个月的评估期，其中。在此期间，如果乙方不能达到销售目标（在8 中列出）， 甲方有权取消合同。取消合同需发书面通知。如果甲方在到期后的15 天内没有发出书面通知，此合同继续生效。生效期为半年。当本合同期满，两

27、od.In thisperiod ， ifPartB cant reach salestarget specifiedin Article8， Part A has the right to cancel this Agreement by sending a writtennoticetoPartB. IfPartA does not send a writtennoticeof cancellationwithin15 days from the end of theassessment period ， the Agreement shouldstay valid for the who

33、 shippment of any orders affected.9. 价格政策9.1 。价格比 20XX年的价格下调 3%。公司有权自行决定，改变价格或折扣适用于该产品。价格变动甲方应书面通知乙方。从通知日算起，15 天生次。该价目表（其中已包含了3的折扣），是协议的一部分。9.1.The price will be floateddownward 3% on thebase of the pricelistissuedin20XX. The price in effect as of the date ofDistributors receipt of notice of such price change shall remainapplicabletoallorders receivedby Companypriorto that effectiv

35、edate.The pricelist (which already contains the 3% discount) is part of thisAgreement as Exhibit B.9.2 。因价格变动，甲方赔偿给乙方的部分如下：9.2.During the agreement period ， ifpart A changes the pricelist， PartA should compensate Part B as follows:9.2.1 。如果价格降下来，如果乙方已支付， 但还没有收到货物，甲方将补偿这部分因价格变动而产生的差额。余额将在今后订单中扣除。第12页

36、共24页9.2.1.Ifpricesare going down， IfPart B has paid but not receivegoods，the balance will be compensated in next order in the form of payment forgoods.9.2.2 。如果价格上涨，甲方不得对乙方订下的订单有价格更改。9.2.2. If prices are going up， Part A should not change the price forthe order which Part B already placed.10. 奖金Bonu

37、s10.1.在首个 6 个月（评估期间）， 如果乙方能够完成销售目标（第六条） ，而且完成一整年的目标， A 方将付乙方，发票总金额（除去运费） 的 2%作为奖金。10.1. In the first6 months (assessment period) ， ifpart B meets the Salestarget(inArtice6) and also reaches the targetfor the whole year ， PartyA shall pay Party B 2% of total aggregate amount of the invoice valueagain

38、st the shipments effected as bonus.10.2在首个 6 月（评估期间），如果乙方因不可抗力或者特殊因素，不能完成销售目标，然而双方通过商议后， 仍然继续合作， 甲方仍需付给乙方发票总金额的2%（除运费），作为奖金，前提条件是，乙方完成了整年的销售目标。10.2.If inthefirst6 months (assessment period)Part B cantmeet thesales target because of some unavoidable and special factors， howeverbothpartiesstillcontinu

40、对所交付的产品进行进一步的描述，包括产品的型号和数量。Each order for Products issued by Part B to Part A under this Agreementshall identify that it is an order and shall further set forth thedescription (product number) and quantity of Products which are to bedelivered.乙方依据此条款和条件提交订单给甲方，此销售订单形成的合同应该自动生效。在适用范围内，此条款和条件将受限于协议中预定

41、的条款和条件，将不受限于任何冲突和附加条款，包括任何的与此有关的交换文件。The individual contracts for the sale of Products formed by Part Bssubmission of orders to Part A pursuantto the terms and conditionshereofshall automatically incorporate， to the extent applicable， the termsand conditionshereof ，shallbe subjectonly to those terms

47、e incurred in following第15页共24页its standard procedures.13. 交付：标题和损失的风险Delivery: title and risk of loss所有按照双方协议的产品交付，需要按照FOBxxx 。交货点，唛头和从甲方到乙方的风险。在这点上，乙方有责任安排产品的运输，但是如果乙方要求甲方，协助 B 安排，甲方应该同意。 乙方也要安排运输途中的保险， 而这些保险从装运港就开始生效的。 在这个事件中， 甲方需按要求协助乙方完成运输， 乙方给甲方报销所有产生的合理费用， 包括，但不限于保险， 运输，装货，卸货，处理和储存。乙方需付所有的费用，
