5、nwillingtoworkforthecompany,bothPartiescanterminatethisContractbyissuingawrittennoticetotheotherParty.Undersuchcircumstances,PartyBshallgothroughahandingoverprocedureasrequiredbythecompany.第二章工作内容ChapterTwoScopeofWork1.1 工作岗位或职位JobPositionorTitle订立本合同时，乙方的工作岗位(或职位)为；在本合同有效期内，公司可根据本单位生产、经营或工作上的需要或乙方的

6、工作能力、业绩，变更乙方的上述岗位(或职位)，包括但不限于对乙方工作内容或工作地点的改变、升职、平级调职、降职等。UponthesigningofthisContract,PartyBsjobposition(ortitle)shallbe.DuringthetermofthisContract,onthebasisofitsproductionandbusinessoperationaswellasPartyBsperformaneeandcapability,companymaymakechangesintheabovejobposition(ortitle)ofPartyB,includ

7、ingbutnotlimitedtochangesinthescopeandvenueofwork,promotion,demotionorswitchtoanotherpositionofthesamelevel.1.2 工作任务JobResponsibility乙方同意公司在本合同期限内，根据需要安排乙方的工作任务；乙方必须按照所从事的岗位(或职位)的工作职责及相关要求，完成规定的数量、质量指标或工作任务。PartyBagreesthatduringthetermofthisContract,thecompanyhastherighttospecifyPartyBsjobresponsib

8、ilityaccordingtothecompanysneeds.PartyBshallperformthedutyandmeetthequantityandqualitystandardsasrequiredbyitsposition(ortitle).1.3 乙方义务PartyBsObligations乙方同意在本合同期限内，遵守以下条款：PartyBagreestocomplywiththefollowingprovisionsduringthetermofthisContract:1.3.1 在规定的工作时间内，将全部精力、能力和技术，仅用于履行本合同规定之义务上，除确保自身的工作达到

10、tmosttomeetorexceedthecompanysbusinessgoals.1.3.2 遵守本合同的条款、有关法律法规和公司的各项规章制度及劳动纪律，服从公司的安排和决定，不从事损害公司利益的活动，不利用在公司单位的地位和职权直接或间接地为自己或他人谋取私利；ComplywithprovisionsofthisContract,relevantlawsandregulationsaswellasrules,regulationsandlabordisciplinesofthecompany.Obeythecompanysarrangementsanddecisions.Donote

11、ngageinactivitiesthatmayunderminethecompanysinterests.Donotseekbenefitforitselforathirdparty,directlyorindirectly,bymakinguseofitsjobpositionorpowerinthecompany.1.3.3 在本合同期限内，乙方不得直接或间接地从事任何与公司正在从事或将要从事的经营活动类似的商业竞争活动，包括但不限于受雇于与公司竞争的公司，从事竞争性的咨询或其他商业活动；DuringthetermofthisContract,PartyBshallnotdirectly

12、orindirectlyengageinbusinessactivitiesthatmayposecompetitiontothecompanysexistingorfuturebusiness,includingbutnotlimitedtobeingemployedbyacompetitorofthecompanyorengagingincompetitiveconsultationorotherbusinessactivities.第三章工作条件和劳动保护ChapterThreeWorkingConditionsandLaborProtection3.1 公司义务thecompanysO

13、bligations公司同意在本合同期间内，依据有关法律法规，为乙方提供必要的工作环境和工作条件，保证乙方在安全、健康的环境中工作；同时积极配合乙方的工作，为其完成本合同规定之义务、遵守本合同和公司的内部规章制度提供相应的条件。ThecompanyagreestoprovidePartyBwithworkingenvironmentandconditionsinaccordancewithrelevantlawsandregulationsduringthetermofthisContracttoensurePartyBasafeandhealthyworkingenvironment.Att

14、hesametime,thecompanyshallactivelysupportPartyBsworkandprovideafavorableconditionforPartyBtofulfillitsobligationsunderthisContractandcomplywiththisContractandotherinternalrulesandregulationsofthecompany.公司应根据工作需要为乙方提供必需的劳动保护用品。若乙方所从事的工作存在职业病危害，则该职业病危害及其后果、职业病防护措施和待遇等均在公司劳动保护管理办法或其他相关内部文件中规定，乙方可查阅。无论

15、乙方是否查阅，本合同签订后，均可视为公司履行了告之义务。ThecompanyshallprovidePartyBwithnecessaryoccupationalprotectionmaterials.IfPartyBwillbeendangeredbyvocationaldiseasesbecauseofitswork,thecompanyshallincludethedamageandeffectofsuchvocationaldiseases,preventativemeasuresandtreatmentinitslaborprotectionmeasuresandotherinter

16、nalregulationsforPartyBtocheckandreferto.NomatterwhetherPartyBhasactuallycheckedornot,uponthesigningofthisContract,itisdeemedthathasinformedPartyB.3.2 乙方权利PartyBsRights乙方有权在国家规定的安全和卫生标准条件下从事劳动，有权拒绝从事公司违反国家法律强迫其执行的对个人身体有危险的任务，有权拒绝公司的违章指挥。PartyBhastherighttoworkinaconditionthatmeetsstatesafetyandhygie

17、nestandards.Ithastherighttorefusedangeroustasksforcedonitillegallybythecompany.Ithastherighttorefuseillegalinstructionsofthecompany.第四章工作时间ChapterFourWorkingHours工时制HourSystem乙方的工作时间按国家的法律法规和公司规章制度中的具体规定执行。若乙方的工作岗位(或职位)属于执行不定时工作制或综合计算工时制的岗位，则应按相应的工时制度规定执行，否则，应按标准工时制度执行。WorkinghoursofPartyBaredetermi

18、nedaccordingtostatelawsandregulationsaswellasrulesandregulationsofthecompany.PartyBshallworkstandardhoursunlessitsjobposition(ortitle)requiresflexibleworkinghourorcomprehensiveworkinghourcalculation.4.1 加班Overtime因工作需要，公司可以安排乙方延长工作时间，包括安排乙方在节假日加班，但加班加点时间不得超过国家规定的最高限额，同时公司须依照国家规定及公司有关制度为乙方安排同等时间的补休或依

19、法支付加班费。theIfnecessary,thecompanycanextendtheworkinghoursofPartyB,includingovertimeduringholidays.However,themaximumovertimeshallnotexceedwhatisstipulatedbygovernment.PartyBshallbecompensatedwithsimilarhoursofrestorappropriateovertimepaymentaccordingtostaterulesandotherregulationsofthecompany.乙方如未经公司

20、要求或批准而自行延长工作时间，公司有权对乙方所延长的工作时间不支付任何加班报酬。IfPartyBworksovertimewithoutthecompanysrequestorapproval,thecompanyhastherighttorefuseanyovertimecompensationtoPartyBforitsovertime.第五章劳动报酬和福利ChapterFiveRemunerationandWelfare5.1 劳动报酬Remuneration在本合同期间内，公司应按月以货币、银行转帐或公司认为适当的其他形式向乙方支付工资。DuringthetermofthisContr

21、act,thecompanyshallpayamonthlysalarytoPartyBincash,throughbanktransferorbyothermeansdeemedappropriatebythecompany.公司根据乙方签订本合同时的工作岗位(或职位)确定乙方的工资。试用期间工资：,基础工资为,基本工资包含所有国家规定的生活补助和津贴，另外还包含按国家规定个人应缴纳的住房公积金和各类社会福利保险基金。奖金为，奖金按公司相关制度执行。PartyBssalaryisdecidedbythecompanybasedonitsjobposition(ortitle)uponsign

22、ingthiscontract.PartyBssalaryduringprobationperiodis.PartyBsalaryis，whichincludesallallowancesaccordingtothestateregulationandhousingfundsandallsocialinsuraneeregulatedbystate.PartyBsbonusisandbonusshallbegivenaccordingtorelevantregulationsinrelationtoPartyBsperformaneereviews在本合同期内，公司可根据乙方工作岗位或职位的变

23、化(也包括虽然岗位或职位不变但工作内容、职责或范围改变的情形)或乙方的工作表现，或者公司有关工资或职务调整方面的制度或政策规定，对上述乙方的工资数额做相应的调整和变化。DuringthetermofthisContract,thecompanymayadjustorchangePartyBssalaryinlightofthechangeinPartyBsjobpositionortitle(includingcasesinwhichthescopeofworkorjobresponsibilityischangedwhilethejobtitleorpositionremainsunchan

24、ged),oraccordingtoPartyBsperformaneeandthecompanysadjustmentofitssalaryorjobpositionpoliciesandregulations.5.1.3 乙方同意公司从乙方的工资中扣减或扣除下列费用或款项：PartyBallowsthecompanytodeductthefollowingmoneyorfeefromitssalary:(a) 乙方从公司取得的个人收入之个人所得税；Incometaxonitsincomepaidbythecompany;公司根据国家规定为乙方缴纳社会保险、福利之个人应付部分；Thepart

25、ofsocialinsuraneeandotherwelfarefundsthatshouldbepaidbyPartyBinaccordancewithstatelaw.(b) 所有要求公司代扣的法院判决和仲裁裁决乙方应付的赔偿或罚款；Othercompensationorfinetobededucedbythecompanyaccordingtocourtrulingorarbitration.(c) 所有根据本合同条款或有关法庭判决或仲裁裁决应由乙方支付给公司的罚款或赔偿。OtherfineorcompensationtobepaidtothepartybyPartyBaccording

26、toprovisionsofthisContractorothercourtrulingsorarbitrations.乙方患病或非因工负伤的医疗待遇按国家、上海市有关规定执行。公司按上海市最低工资的80%支付乙方病假工资。MedicaltreatmentforPartyBduringitssicknessornon-workingrelatedinjuriesisbasedonrelevantregulationsofthestateandShanghaiMunicipality.PartyBsalaryduringsickleaveis80%ofminimumemployeesalaryo

27、fShanghaiMunicipality.乙方患职业病或因工负伤的待遇按国家和上海市的有关规定执行。BenefitofPartyBwhenitsuffersvocationaldiseaseorworking-relatedinjuriesshallbepaidbythecompanyaccordingtorelevantregulationsofthestateandShanghaiMunicipality.妇女节、青年节等部分公民节日期间，公司安排乙方休息、参加节日活动的，应当视同其正常劳动支付工资；乙方照常工作的，可以不支付加班工资。乙方享受“元旦”、“春节”、“五一”、“十一”等国家

28、规定的有薪节假日。DuringInternationalWomensDay,YouthsDayandotherholidaysthatareonlyforsomeofthecitizens,PartyBisentitledtonormalsalaryifittakesadayoffortakespartincelebrationactivitiesasarrangedbythecompany.However,thecompanymaynotprovideovertimepaymenttoPartyBifPartyBworksasnormalonsuchholidays.PartyBisenti

29、tledtopaidleaveon“NewYearsDay”,“SpringFestival”,“InternationalLaborDay“NationalDay”andotherstateholidays.由于公司生产任务不足或非因劳动者本人原因造成公司停工、停业,且公司没给乙方安排工作的，公司应当按照上海市最低工资标准的70支付乙方基本生活费。A70%ofShanghaiMunicipalityminimumsalaryshallbepaidtoPartyBasitsbasicallowanceifthecompanyshutsdownorstopsoperationduetoexces

30、siveproductioncapacityorreasonsthathavenothingtodowithPartyB,andthecompanyfailstoassignotherjobstoPartyB.乙方享受年休假、丧假，以及其他各类带薪休假时，公司应当向其支付工资。乙方享受该工资的标准为公司的定额制工资标准或非定额制工资标准。PartyBisentitledtopaidannualleave,funeralleaveorothervacations.Itssalaryundersuchcircumstancesshallbebasedonthefixedsalarystandard

31、sorflexiblesalarystandardsofthecompany.5.2 福利Welfare甲乙双方应按国家和当地政府关于社会保险的有关规定缴纳职工养老、失业、医疗、工伤及其他社会保险费用，公司应按规定，在乙方工资中代扣乙方应缴纳的部分。BothPartiesshallpayemployeepension,unemploymentinsurance,medicalinsurance,workingaccidentinsuranceandothertypesofsocialinsuranceinaccordancewithstateorlocalregulationsonsocial

32、insurance.ThecompanyshalldeductthemoneytobepaidbyPartyBfromitssalary.第六章劳动纪律ChapterSixLaborDisciplines6.1 服从纪律CompliancewithDiscipline乙方应服从公司的工作安排，严格遵守国家法律、法规和公司企业或部门依法制定的规章制度、劳动纪律及工作规范，爱护公司的财产，遵守职业道德，积极参加公司组织的培训，提高职业技能。PartyBshallobeythecompanysworkingarrangements,andstrictlyabidebystatelawsandregu

33、lationsaswellasrules,regulations,labordisciplinesandworkingguidelinesassetbythecompanyanditsrelevantdepartments.PartyBisrequiredtotakegoodcareofthecompanysproperty,observeworkingethicsandactivelyparticipateintrainingsorganizedbythecompanytoimproveitsprofessionalskills.6.2 纪律处分Penalty乙方若违反劳动纪律，公司可依据规

34、章制度(包括乙方所在部门的具体规定)给予乙方纪律处分及(或)经济处罚，直至解除本合同。IfPartyBviolateslabordisciplines,thecompanyhastherighttoimposepenaltyand(or)fineonPartyBinaccordancewithrelevantrulesandregulations(includingthoseofthedepartmentthatPartyBworksin)untilthisContractisterminated.6.3 赔偿损失LossCompensation对于乙方违反法律或公司的规章制度而给公司造成经济

35、损失的，公司有权要求乙方赔偿其损失。IfPartyBsviolationofrelevantlawsandthecompanysrulesandregulationshavecausedeconomiclossestothecompany,thecompanyhastherighttorequirecompensationfromPartyB.6.4 修订规章制度AmendmentofRegulations公司有权根据其经营管理的需要，按法定程序，随时合理地修订其规章制度。对于规章制度的修订，公司可用其认为适当的任何方式(包括但不限于通知、通告、传阅、备忘录、员工手册或在会议上宣布或宣读等)通

37、6.5 意见之表达ExpressionofOpinions乙方对公司如有任何不满或有任何意见，应通过投诉程序友好解决，不可通过任何其他影响公司工作、同事团结的方式表达。PartyBshallexpressitsdissatisfactionorotheropinionsofthecompanythroughcomplainingproceduresofthecompanyinafriendlyway,ratherthanthroughmeansthataffectsCompanyoperationoremployeeunity.第七章劳动合同的终止、解除和续订Dissolution,Termi

38、nation,andRenewalofLaborContract7.1 终止Dissolution本合同在任何下列情况发生之日即终止：ThisContractmaybedissolvedunderthefollowingconditions:7.1.1 本合同期限届满；Forannualcontractsuponexpirationdate乙方已达到国家或政府规定的退休年龄；WhenPartyBhasreachedtheretirementageaccordingtostateorgovernmentregulations;7.1.2 乙方死亡；WhenPartyBisdead乙方被人民法院宣

39、告失踪、死亡的；WhenPartyBisdeclaredmissingordeadbythePeopleCourt公司被依法撤销、解散、歇业、宣告破产或公司的营业执照有效期满，不在续延；Whenthecompanyiscancelled,dissolved,outofbusinessordeclaredbankruptinaccordancewithlaworwhenitsbusinesslicenseexpiresandwillnotberenewed双方约定之终止条件出现。WhenotherconditionsfordissolvingtheContractoccur公司依据本合同项，劳动

40、合同期限届满终止本合同时，应当提前30日将终止决定以书面形式通知乙方。未提前30日通知乙方的，以乙方上月日平均工资为标准，每延迟1日支付乙方1日工资的赔偿金。IntheeventthatthisContractisdissolveduponitsexpirationasprovidedinArticle7.1.1ofthisContract,thecompanyshallnotifyPartyBinwrittenformthirty(30)daysinadvance.Otherwise,PartyBsaveragedailysalaryinthepreviousmonthshallbepaid

41、ascompensationforeachdelayedday.7.2协商解除TerminationofContractthroughConsultation经双方协商一致，本合同可以解除。ThisContractmaybeterminatedafteragreementisreachedbybothPartiesthroughconsultation.7.3公司立即解除合同InstantTerminationoftheContractbythecompany本合同期内如出现下列任一情况，公司有权以书面形式通知乙方立即解除本合同：Thecompanyhastherighttoterminate

42、thisContractinstantlybyissuingawrittennoticetoPartyBshouldthefollowingoccur:7.3.1 乙方在试用期间，被证明不符合录用条件的；PartyBisprovednotuptotherecruitmentstandardsduringtheprobationperiod.7.3.2 乙方严重违反公司的劳动纪律或规章制度(包括乙方所在部门的具体规定)的；PartyBseriouslyviolatesthecompanyslabordisciplinesorotherrulesandregulations(includingth

43、oseofthedepartmentthatPartyBworksin).7.3.3 乙方严重失职、营私舞弊，对公司的利益造成重大损害的；sPsearitoyuBsnegligenceofworkhavecausedmajoreconomiclossestothecompany.7.3.4 乙方被依法追究刑事责任或被劳动教养的。PartyBisundercriminalchargeorisreceivingreeducationforcriminals.7.4 预告解除TerminationofContractwithNotice出现下列情况下之一，公司即有权解除本合同，但须提前三十(30)日

44、书面通知乙方，并按国家规定标准发给乙方经济补偿金：ThecompanyhastherighttoterminatethisContractbynotifyingPartyBinwrittenformthirty(30)daysinadvanceandcompensatingPartyBaccordingtostateregulationsandstandardsshouldthefollowingoccur:7.4.1 乙方患病或非因工负伤，医疗期满后不能从事原工作、也不能从事公司为其另行安排的工作；PartyBisunfittobeinitsoriginalpositionorotherpo

45、sitionsarrangedbythecompanyafteritsrecoveryfromillnessornon-workingrelatedinjuries.7.4.2 乙方不能胜任工作，经过培训或调整工作岗位后仍不能胜任的；PartyBprovesincompetentforitsworkevenaftertrainingorbeingswitchedtoanotherposition.7.4.3 本合同订立时所依据的客观情况发生如本合同7.5款陈述之重大变化，致使本合同无法履行，经双方协商而不能就变更本合同达成协议。Majorchangesofconditionasdefinedi

46、nArticle7.5ofthisContractoccur,makingitimpossibletoexecutethisContract,andthetwoPartiesfailtoreachagreementonrevisingthisContract.上款所述客观情况发生重大变化，致使本合同无法履行时，当事人一方要求变更其相关内容的，应当将变更要求以书面形式送交另一方，另一方应当在15日内答复，逾期不答复的，视为不同意变更劳动合同。Whentheabove-mentionedmajorchangesofconditionoccur,makingitimpossibletoexecute

47、thisContract,onePartycandeliveritsrevisiontothisContractinwrittenformtotheotherParty.TheotherPartyshallreplyinfifteen(15)days.Otherwise,itisdeemedthattheotherPartydoesnotagreetomaketherevision.7.4.4 公司出现下列情形之一，确需裁减人员时，应当提前30日向全体职工说明情况，听取职工的意见，经向劳动和社会保障行政部门报告后，可以将乙方作为被裁减人员，与其解除本合同：Ifthecompanyisforce

48、dtocutemployeesduetothefollowingcircumstances,itshallexplaintoallitsemployeesthirty(30)daysinadvance,solicittheviewsoftheemployees,andmayterminatethisContractanddismissPartyBwithapprovalfromrelevantlaborandsocialsecurityauthorities:(a)濒临破产进行法定整顿期间的；Whenthecompanyfacesbankruptcyandhastosortoutitsbusi

49、nessoperationaccordingtolaw;(b)因防治工业污染源搬迁的；Whenthecompanyhastorelocatetopreventindustrialpollution;(c)生产经营发生严重困难的。Whenthecompanyhasdifficultyincontinuingitsproductionandoperation.7.5 重大情况变化MajorChangesofCondition本合同规定的重大情况发生变化包括但不限于下列情况：Majorchangesofconditionincludebutarenotlimitedtothefollowing:7.

50、5.1 公司与其他公司合并或将公司资产出售或转让给其他公司或第三方；WhenthecompanyismergedwithanotherCompanyorwhenthecompanysellsortransfersitsassetstoanotherCompanyorathirdparty;公司依法宣布破产、解散或清算；Whenthecompanydeclaresbankruptcy,dissolutionorliquidationaccordingtolaw;7.5.2 国家、政府颁布的法律法规或规范性文件，致使一方或双方难以履行本合同规定的条款。Whenstateorgovernmentru

51、les,lawsorregulatorydocumentsmakeitimpossibleforonePartyorBothPartiestocontinuetoexecutethisContract.7.6 乙方解除合同TerminationoftheContractbyPartyB合同期内有下列情况，乙方可以随时通知公司解除本合同：PartyBcanterminatethisContractatanytimeduringthetermofthisContractunderthefollowingcircumstances:(a) 在试用期内的；Duringtheprobationperio

52、d;公司不能按照本合同规定支付劳动报酬；WhenthecompanyfailstopayPartyBsremunerationaccordingtothisContract;公司以暴力、胁迫或非法限制人身自由的手段强迫乙方劳动的。WhenthecompanyforcesPartyBtoworkthroughviolence,intimidationorillegalrestrictionofPartyBspersonalfreedo合同期内(除本合同的情形外)乙方提出提前解除劳动合同：DuringthetermofthisContract(exceptwhenconditionsasdefin

53、edinArticle7.6.1occur),ifPartyBwishestoterminatethisContract:(a) 乙方须提前30日书面通知公司，由公司按规定办理解除劳动合同的手续；PartyBshallnotifythecompanyinwrittenform30daysinadvanceandallowthecompanytohandlerelevantprocedurestoterminatethisContract.如遇乙方给公司造成经济损失尚未处理完毕或因其他问题正在被审查期间，乙方不得解除本合同，否则，公司有权扣除乙方尚未取得的应得工资及其他收入；PartyBshal
