3、illing to develop cooperation in culture industry.（2）一方（“披露方”）已经并将以口头和书面形式向另一方（“接受方”）提供其认为属于保密性质的信息，包括相关的客户资料、财务商业数据等。One party (“Discloser”)has provided or is going to provide some information to the other party (“Receiptor”) both orally or in written, which is deemed as confidential in nature, inc

4、luding the customer information, relevant financial and commercial data, etc. 有鉴于此，双方达成如下约定： NOW, THEREFORE, the Parties hereby agree as follows: 1. 定义和解释Article 1 Definition and Interpretation “协议目的”，见本协议第2条之定义。“The Purpose of this Agreement” means the definition as stipulated in Article 2 of this

5、Agreement. “保密信息”， 根据协议目的，应包括但不限于包含有或另行反映出披露方或其所指定的代理人、咨询者、顾问或授权代表直接或间接提供给接受方的信息、数据、报告、分析、编辑物、研究、解释、预估、计划、预测、记录、笔记、备忘录、摘要及其他资料，无论是以何形式保存的，不论是书面的、计算机化的或其他形式的，亦无论是何种沟通形式。 “Confidential Information”: subject to The Purpose of this Agreement, Confidential Information shall include, without limitation, a

6、ll information, data, reports, analyses, compilations, studies, interpretations, projections, plans, forecasts, records, notes, memoranda, summaries and other materials in whatever form maintained, whether documentary, computerized or otherwise, regardless of the form of communication, that contain

7、or otherwise reflect information that may be provided by Discloser or its designated agent, consultant, adviser, or authorized representative, directly or in directly, to Receiptor. 2目的Article 2 Purpose 为开展文化合作 (“协议目的”), 双方愿意根据本协议的条款和条件，而向对方披露的一定的保密信息。For the purpose of developing cooperation in cul

8、ture industry (hereinafter referred to as “The Purpose of this Agreement”), Discloser agrees to disclose certain Confidential Information to Receiptor for The Purpose of this Agreement subject to the terms and conditions contained herewith. 3保密要求Article 3 Confidential Requirement 鉴于本协议第2条所提及的披露保密信息，

9、接受方同意，自本协议生效之日起，除了本协议另有规定并仅出于本协议之目的，未经披露方的事先书面同意接受方应保持保密信息的机密性，不得出售、交易、使用、公开或以其他任何包括影印、复制或其他电子方式在内的手段披露给任何人。在本协议之前披露方已经提供的信息，则应同样适用本协议中的有关保密信息的限制性规定。In consideration of the disclosure of Confidential Information as mentioned in Article 2, Receiptor agrees that it will only use the Confidential Infor

10、mation for The Purpose of this Agreement unless it is otherwise stated in the Agreement. Without prior written consent of Discloser, Receiptor shall maintain confidentiality of the Confidential Information, and shall not sell, exchange, use, disclose or in any other way including photocopy, copy or

11、in other electronic format to disclose the Confidential Information to any person. This Agreements requirement in relation to restriction imposed on Confidential Information shall also apply to any Confidential Information provided by Discloser prior to the date of this Agreement. 4对其他方披露Article 4 D

12、isclosure to third party 若下列其他方为了本协议之目的，确有必要知晓保密信息的，在其他方能保证遵守本协议条款的条件下，接受方有权不经过披露方事先前书面同意，而披露保密信息给：If it is necessary to disclose the Confidential Information to third party as listed below for The Purpose of this Agreement, and such third party undertakes to adhere to the terms of this Agreement, R

13、eceiptor has a right to disclose the Confidential Information to such third party without prior written consent of Discloser to the extend that they are:(1) 接受方为了协议目的而聘用的财务顾问、法律顾问；the financial consultant or legal counsel appointed by Receiptor for The Purpose of this Agreement;(2) 接受方为了协议目的而必须了解相关保

14、密信息的员工。 Receiptors employees who have to know the relevant Confidential Information for The Purpose of this Agreement. 在披露保密信息给上述其他方之前, 接受方应获得其保密承诺, 其保密承诺应实质上与本协议的形式和内容相同，接受方应告知披露方其他方的身份。Receiptor shall obtain the confidential undertakings from the aforementioned third party before disclosure of the

15、 Confidential Information. The confidential undertaking shall be the same materially as of the format and content of this Agreement, and Receiptor shall inform Party B in relation to the identity of such third party. 5保密信息返还Article 5 Return of Confidential Information 双方同意，在披露方提出要求后的五（5）个工作日内，接受方应返还

16、或销毁由其及其代表持有的所有保密信息副本。双方亦同意，在披露方提出要求后的五（5）个工作日内，接受方应销毁所有包含有或另行反映出任何保密信息的书面资料、备忘录、笔记、复印件、摘录及其他书面文件或记录。如披露方提出要求，接受方应以书面形式确认任何材料销毁情况。未被返还或销毁的任何保密信息，包括但不限于任何保密信息，仍应受本协议规定的保密义务约束。The Parties agree that within five (5) business days after being so requested by the Discloser, the Receiptor shall return or d

17、estroy all copies of the Confidential Information in its possession and in the possession of its representatives. The Parties also agree that within five (5) business days after being so requested by the Discloser, the Receiptor will destroy all written material, memoranda, notes, copies, excerpts a

18、nd other writings or recordings whatsoever containing or otherwise reflecting any Confidential Information. The Receiptor shall confirm any destruction of materials in writing if requested by the Discloser. Any Confidential Information that is not returned or destroyed, including without limitation

19、any Confidential Information, shall remain subject to the confidentiality obligations set forth in this Agreement.6期限 Article 6 Term 本协议以及双方在本协议项下的各项义务应在本协议签署之日起满五（5）年之日全部终止.This Agreement and the Parties obligations hereunder, shall terminate in its entirety five (5) years from the date of its exec

20、ution.7适用法律Article 7 Governing law 本协议适用中国法律This Agreement shall be governed by the laws of Peoples Republic of China.8转让Article 8 Assignability 未经一方当事方的事先书面许可,另一方不得转让、承担或处置其本协议下的权利和义务。This Agreement may not be assigned in whole or in part by any Party without the prior written consent of the other

21、Party hereto. 9文字Article 9 Language本合同签订采用中文文本和英文文本。但是，如果英文文本和中文文本存在不一致性，以英文文本为准。This Agreement is written in Chinese and English. However, to the extent there is any inconsistency between the English version and the Chinese version, the English version shall control.10放弃权利Article 10 Waiver 本协议任何一方未

22、能或延迟行使其在本协议项下的任何权利、权力或特权，并不构成对该等权利、权力或特权的放弃；单项或部分行使任何权利、权力或特权，亦不排除其对该权利、权力或特权的进一步行使或对其他权利、权力或特权的行使。Either Partys failure to exercise or delay in exercising any right, power or privilege under this Agreement shall not operate as a waiver thereof, and any single or partial exercise of any right, power

23、 or privilege shall not preclude the exercise of any other right, power or privilege. 11无效条款可分性Article 11 Severability 本合同个别条款的无效，并不影响其他条款的效力。The invalidity of any provision of this Agreement shall not affect the validity of any other provisions of this Agreement.12修改Article 12 Amendment 对本协议的修订，改变或

24、更改必须以书面形式做出，并经当事方正式授权代表签署方能生效。This Agreement shall not be changed verbally, but only by a written instrument signed by the duly authorized representative of Parties.13. 完整协议Article 13 Entire Agreement 本协议构成双方之间关于就为完成本协议之目的完整协议，并取代双方先前的任何口头的，书面的协议，合同，沟通记录。合同条款的标题是为了便于阅读参考，并无法律效力。This Agreement constitute the entire agreement between the Parties with respect to the subject matter of the Agreement, and supersede all previous oral and written agreements, contracts,
