2、 (P.C) : x电话 (Telephone) :x传真 (Facsimile) :x根据中华人民共和国律师法规定，甲方与乙方就聘请常年法律顾问事宜，订立协议如下：In accordance with the Law on Lawyers of the Peoples Republic China (“PRC”) Party A and Party B hereby agree as follows:乙方接受甲方的聘请，指派律师 孙金龙、丁代红 担任甲方的常年法律顾问。上述律师因故不能执行职务时，受聘方应及时负责另行委派律师接替，并通知聘请方。1. Party B accepts the P

3、arty As employment, and appoints John Sun/Henry Ding to be the legal advisors of Party A. If the appointed lawyer(s) are unable to carry on their duties for some reasons, Party B should re-appoint other lawyer(s) to substitute in time and notify Party A of the same.2. 乙方指派律师担任甲方常年法律顾问的责任，主要是为甲方提供法律服

4、务，维护甲方的合法权益。工作范围如下：2. The duties of the legal advisors are mainly to provide legal services to Party A and protect the legitimate rights and interests of Party A. Party Bs work scope is as follows:2.1 对甲方关于业务上的法律问题的咨询，提供法律意见；2.1 To respond to Party As legal queries in respect of Party As business, a

5、nd give legal advice;2.2 协助审查甲方涉及法律事务方面的文书；2.2 To assist in reviewing Party As legal documents;2.3 协助审查甲方与国内外单位签订的合同；2.3 To assist in reviewing Party As contracts with domestic and foreign or entities;2.4 参与重大合同或项目的草拟、谈判工作；2.4 To participate in the negotiating and draft of major contracts or project

6、s;2.5 代理甲方参加诉讼活动、非诉讼案件的调解及仲裁活动；2.5 To act as representative of Party A to participate in litigation, mediation and arbitration; and2.6 协助甲方办理其他有关法律事务。2.6 To assist Party A in handling other legal affairs. 属2.1、2.2、2.3项，甲方不必另办委托手续，除按本协议第5条支付法律顾问费用外，不再交付费用；属2.4、2.5项之服务内容，须另行办理委托手续并支付有关律师费用，乙方应给予优惠。No

If necessary, Party A shall invite in advance the legal advisors to attend relevant conferences, negotiations and studies, and provide all necessary information.4. 经法律顾问参与草拟、谈判或审查、修改的合同，聘请方应将制作的合同（包括修改后的合同稿和正式签署的合同文本副本或影印件）及时送交法律顾问。Party A shall pro
