5、亦 同意根据本协议之条款和条件接受转让。Therefore, through friendly discussions between the Parties, the Parties hereby agree to enter into the following agreement:有鉴于此，经过友好协商一致，双方达成协议如下：DEFINITIONS第一条定义In this Agreement, unless the context provides otherwise, the following terms shall have the meanings defined thereto

6、 below:除非本协议上下文另有规定，下述词语在本协议中应有以下含义：Agreement means this Patent Transfer Agreement (including all the appendixes and any matter expressly incorporated into this Agreement by reference and regarded as part of this Agreement), and amendments, supplements and other changes made from time to time.“本协议”是

7、指本专利权转让协议(包括所有附件以及通过引述的方 式明确纳入本协议并作为本协议一局部的任何事项)，以及不时对其作 出的修改、补充或其他变更。Target Patents“ means the patents applied at and/or granted by the State Intellectual Property Office of the PRC as set forth on Schedule 1 .“目标专利”是指附件一所列转让方向中国国家知识产权局提出的专利申 请或由知识产权局授予的专利权。“PRC or “China means Peoples Republic of

8、China, and fbr the sole purpose of this Agreement, excluding Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan.“中国”是指中华人民共和国，仅为本协议之目的，不包括香港特别行政 区、澳门特别行政区及台湾地区。“SIPO” means State Intellectual Property Office of the PRC. “知识产权局”是指中国国家知识产权局。TRANSFER AND USAGE OF PA

9、TENT第二条专利权转让与使用Transferor hereby irrevocably transfers the Target Patents to Transferee on the Effective Date.转让方兹此不可撤销地于生效日向受让方转让目标专利。Transferor and Transferee hereby agree and acknowledge that, to the extent permitted under the relevant laws, no matter when the transfer registration at SIPO is com

10、pleted, the transfer of the Target Patents from Transferor to Transferee becomes effective from the Effective Date. Transferee obtains all the rights, interests and ownership of the Target Patents upon the Effective Date.转让方与受让方同意并确认，在相关法律允许的范围内，不管相关转让 登记在知识产权局何时完成，转让方向受让方转让目标专利自生效日起 生效。受让方于生效日起获得目标

11、专利的全部权利、权益及所有权。Within fifteen (15) business days after the Effective Date, Transferee shall, with the reasonable assistance of Transferor, apply to SIPO and complete the registration of patent transfer and other registrations, filings or approvals required to implement the Agreement and effectuate t

12、he transfers contemplated herein, in order to transfer the Target Patents to the name of Transferee.自生效日起的十五(15)个工作日内，受让方在转让方合理的配合之下 向知识产权局申请办理并完成专利转让登记以及办理其他为履行本协议 及实现拟议转让事项所需之登记、备案及审批，以使目标专利转让至受 让方名下。Transferor agrees to execute and deliver such other documents which Transferee, its successors and

13、 assigns may reasonably request to effectuate the transfer and registration of the Target Patent.转让方同意签署并交付其他受让方、受让方之承继方以及受让方之受让 人为实现目标专利的转让和登记可能合理要求的其他文件。CONSIDERATION OF TRANSFER第三条转让对价The transfer price for the patent right of all the Target Patents under the Agreement, has been fully paid in acc

14、ordance with the way agreed by both Parties.本协议项下所有目标专利的专利权的转让价款已按照双方协商同意的方 式支付。GOVERNING LAW AND DISPUTE RESOLUTION第四条适用法律和争议解决The Agreement shall be governed by and construed in accordance with the laws of PRC.本协议适用中国法律，并应按其进行解释。Any dispute arising out of or related to the Agreement, shall be subm

15、itted to China International Economic and Trade Arbitration Commission (“CIETAC) fbr arbitration, which shall be conducted in Beijing in accordance with the CIETAC arbitration rules in effect at the time of the application for arbitration. The arbitral award shall be final and binding upon the Parti

16、es.凡因本协议引起的或与本协议有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会届时有效的仲裁规那么在北京进行 仲裁。仲裁裁决是终局的，对双方均有约束力。NON-ASSIGNMENT BY TRANSFEROR第五条转让方不得转让This Agreement shall not be assignable by Transferor, and any attempt to assign this Agreement or any right or obligation created hereunder by Transferor shall be null and vo

Both Parties agree that, Transferee shall have the right to assign this Agreement and/or any of its rights or obligations created hereunder to any third party without prior notice to Transferor. 转让方不得转让本合同，转让方企图进行的任何对本合同的转让、或对 在本合同项下创设的任何权利或义务的转让均应无效。双方同意，受让 方有权向任何第三方转让本合同和/或在本合同项下所创设的任何其权 利或义务而

18、不须事先通知转让方。MISCELLANEOUS第六条其他All notices and other communications under the Agreement must be in writing. The written notices and communications will be deemed to have been duly delivered (a) when delivered by hand or delivered by internationally recognized overnight courier service (postage prepaid)

19、; (b) when transmitted by facsimile through transmission equipment with delivery confirmation (or, if such day is not business day, then delivered on the first business day after sending) or (c) when the recipients has already accepted or rejected, if sent by U.S. certified mails or registered mails

20、 which requires a return receipt; provided that in any circumstance, such notices and communications shall be sent to the following addresses or transmitted to the following facsimile numbers as well as specifying the authorized individuals below (through names or titles) as recipients (or, deliver
