18、dT ITeatai hetfSvn entoserRafna pretCAQEaemecf pin edAdn Csire CAahntitptiacn合同范围2.1 买方同同意从卖方购购买，卖方同同意向买方提提供合同设备备:单线循环环脱挂抱索器器八人吊厢式式索道一套（含含配件和伴随随文件），以以及使合同设设备在现场能能按照本合同同及其附件的的规定顺利运运行（设备安安装中安装方方责任导致的的问题除外）的的包括不限于于该合同设备备的设计、技技术服务及技技术培训、售售后服务、质质量保证等附附属服务，本合同中统统一称为合同同设备。2.2在初步设设计的线路图图（见附件 ）请填写附件编号所约约定的上下

19、站站点不变的情情况下，最终终线路图在不不增加吊箱数数量和改变索索道中心线的的情况下，卖卖方将对合同同设备及备件件清单的完整整性及准确性性负责，不因因附件2、附附件3、附件件4、附件55（以下称为为“建议清单”）缺项漏漏项而免除责责任，或要求求增加合同包包干价款。在在买方根据卖方方提供的说明明和手册（包包括日志）恰恰当地安装、操作和和维护了合同同设备、配件件的情况下，如如发现某些部部件缺失（买买方原因导致致的丢失除外外），卖方将将无偿地、及及时地向买方方提供缺失部部件。若最终终交货范围低低于或少于建建议清单的应应当相应降低低合同价款。请填写附件编号 若最终终线路图需要要增加吊箱数数量和索道中中心

20、线改变的的，按照“建议清单”中分项报价价确定。2.3 合同设设备保质期内内，因质量问问题不能正常常使用的设备备和配件卖方方有义务免费费并及时的向向买方提供，并并按照要求提提供售后服务务。 2.4根据买方方要求，卖方方有义务向买买方提供合同同设备保质期期届满后的设设备、备件和售后服服务，双方届届时将另签协协议，但卖方方保证给予中中华人民共和和国国内客户户最优惠条件件。2.5备件和设设计内吊箱增增补的卖方承诺：2.5.1增补补的备件和吊箱，卖方方应当按照合合同质保要求求为其承担质质保义务；2.5.2在备备件和吊箱停止生生产的情况下下，卖方应事事先将要停止止生产的计划划通知买方，使买方有足够的时间采

28、1 没有其其他方事先书书面同意，合合同任何一方方不得将由另另一方提供的的有关合同或或任何合同条条文、规格、计计划、图纸、模模型、样品或或资料提供给给与履行本合合同无关的任任何其他人。即即使向与履行行本合同有关关的人员提供供，也应注意意保密并限于于履行合同必必须的范围。5.2 没有其其他方事先书书面同意，除除了履行本合合同之外，合合同任何一方方不应使用合合同条款第55.1条所列列举的任何文文件和资料。5.3 合同各各方应保护对对方对所有违违反本合同第第五条规定使使用技术文件件和资料的索索赔并在向其其提交此类索索赔后三十天天内赔偿相当当于不当使用用文件和/或或资料当时市市值五倍的金金额。5USE

34、s of innfringgementt of ppatentt, traademarrk, inntelliigencee propperty or noon-pattent rrightss etc. arissing ffrom uuse off the Goodss or aany paart thhereoff in tthe PRRC.7 设计及及设计联络7.1 买方应应当按照中华华人民共和国国有关客运索索道设计要求求提供附件22第三条第11款约定的设设计实现。7.2进度要求求：7.2.1买方方向卖方交付付索道线路测测量资料之日日起30日内内，卖方应当当向买方交付付进一步设计计的线

35、路图，经双方会审审并签字确认认后，作为双双方认定的最最终线路图。7.2.2最终终线路图确认认且买方向其其提供地勘资资料后60日日内，卖方应应当向买方提提交合格的支支架基础设计图纸、站内内基础设计图图纸、站房设设备配置图纸纸，以及该等等图纸相应的的施工图纸。7.2.3在最最终线路图确确认且买方向向其提供地勘勘资料之日起起30日内，卖卖方应当向国国家客运架空空索道安全监督检验中中心提供本项项目设计审查查所需要的所所有资料，完完成并通过设设计审查并承承担相应费用用。7.3卖方明确确并承诺因其其对本项目支支架、站内基基础设计图纸纸（含施工图图纸）的设计计不具备中华华人民共和国法律要要求的相应资资质，为

36、此卖卖方负责将相相应设计内容容分包给具有有相应资质的的设计单位完完成并承担相相应费用，但但卖方应当对对分包单位的的设计提供指指导并对其设设计责任承担担连带责任。7.4 设计成成果的确认和和移交：7.4.1卖方方完成本项目目的设计后，应应交由买方进进行书面确认认且接到买方方的生产通知知后方可用于于本项目的设设备生产。7.4.2设计计成果包括：7.4.3卖方方应将设计成成果一式 套，以书面面和电子文档档的方式向买买方移交。7.5最终图纸纸确认以后的的设计变更7.5.1买方方有权提出进进行设计修改和增增补的意见，而而卖方应认真真对待，并尽尽量同意意见见。7.5.2因地地质情况不符符合地勘资料料而导致
