13、息。如有危险品，卖方应在发运前告知买方该货物的危险性质及紧急事故处理办法；Inspection and Indemnity:验收与赔偿：Before the SELLERS shipment of the goods, an exact inspection may be carried out to make sure of the quality, specification and quantity of the goods by the manufacturer or an inspection organization agreed by the both parties, who

14、shall issue an inspection certificate. Open package inspection should be carried after goods arrived at buyer s site, Within 30 days after the arrival of the goods at the destination, the BUYER shall claim any damage and nonconformity of the specification and quantity to the Contract, according to t

15、he inspection certificate issued by the China Commodity Inspection Bureau. At the BUYERS request, the SELLER shall replace free of charge the goods which do not conform to the contract, make up the missing part and deliver the new goods or machine parts on DDP (INCOTERMS 2000) term to the destinatio

16、n. The BUYER has the right to dispatch its inspectors at its own expense to the SELLERs country to inspect the qual ity, performance and assembly of any items of goods. If the BUYER inspection personnel fail to go the SELLERs country for inspection, the SELLER has the right to carry out the inspecti

17、on by himself. Claims shall be taken for granted if the SELLER fail to reply within 30 days after his receipt of the BUYERs claim in writing.货物装运之前，制造商或经双方认可的检验机构可以对货物的质量、规格及数量进行检验，并由 检验机构出具一份检验报告。货物到达买方现场后进行开箱检验，买方应在货物到目的地后30 天内凭中国商品检验机构签发的检验证书就任何货损或货物规格及数量与合同不符向卖方提出异 议。应买方要求，卖方应无偿更换与合同约定不符的货物、修补缺件

18、，并以DDP (依照2000年国 际贸易术语解释通则)条件将新产品或设备运到目的地。买方有权自负费用派遣检验人员至卖方 本国检验货物的质量以及货物的生产和装配。若买方未实施上述检验，卖方有权自行检验。卖方 就买方提出的异议自接收之日起30日内未做出回复的，视为卖方对该等异议予以认可。买方开箱验收前需提前通知卖方派人陪同检验，验收完毕后双方在开箱验收结果上签字；若买方 私自开箱验收，卖方有权不接受买方的验收结果。开箱检验合格后买卖双方在验收单签字即刻生效。如果在此后客户的运输、储运、安装过程中， 导致阀门任何部件发生损坏，都不属于卖方免费保修范畴，客户需要支付维修费用。Quality and P

19、erformance Guarantees:质量与履约担保：The SELLER shall guarantee that the goods delivered as specified in this Contract is brand-new and unused, of best quality and workmanship with their specifications conforming to the stipulation of Clause 1 and Technical Appendices of this contract.卖方应保证发运的货物系全新，未曾使用，质量

20、与制造工艺一流，产品符合本合同第1条的规 定。The Mechanical Guarantee is valid for 18 months starting from the shipment of goods or 12 months after installation, whichever comes first.机械担保期限为自货物发运之日起的18个月或自货物安装之日起的12个月，两者以较早者为 准。Force Majeure:不可抗力：The SELLER shall not be held responsible for the delayed-delivery or non-d

21、elivery of the goods due to force majeure causes, such as war, serious flood, fire, storm, blizzard and earthquake, which might occur during the process of manufacturing or in course of loading or transmit. The SELLER, however, shall advise the BUYER immediately of the occurrence mentioned above and

22、 within 15 days thereafter the SELLER shall send by mail to the BUYER for their acceptance of a certificate of the accident issued by the chamber of commerce of registered notary of the areas where the accident occurred as evidence thereof. Under such circumstance, the SELLER, however, is still unde

23、r the obligation to take all necessary measures to hasten the delivery of the un-delivered goods, and inform the BUYER of detailed measures to be taken that both parties can negotiate either to accept the measures or cancel the Contract. In case the accident lasts for more than 12 weeks, the BUYER s

24、hall have the right to cancel the contract.卖方不对因不可抗力造成的迟延交付或未交付承担责任。不可抗力是指诸如战争，洪水，火灾， 暴风雨，暴风雪和地震等，在制造过程中或装载运输途中发生的事故。但卖方应立即通知买方， 并在事故发生后15日内将事故发生地的注册公证员商会出具的事故证明以快件形式寄交买方作 为证明，并获得买方的认可。在此情形下，卖方仍应采取一切措施从速交货，并告知买方将要采 取的措施，以使双方得以协商是否接受此等措施抑或解除合同。如果事故持续超过12周，买方 有权解除合同。Arbitration:仲裁：All disputes in conn

25、ection with this contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached, the case may then be submitted for arbitration in accordance with the rights and obligations stipulated in this contract .The arbitration shall take place at the Ch

26、ina International Economic and Trade Arbitration Commission (CIETAC) Beijing Commission with procedure of the court and relevant laws of Beijing and China. The award given by the court shall be accepted by both parties as final and binding. Both parties shall continue to perform obligation specified

27、 in this contract except those affected by the arbitration. The arbitration costs shall be borne by the losing party.凡与本合同或本合同的执行有关的任何争议，应通过友好协商加以解决。如未能解决，应将该争 议提交仲裁并依照本合同项下的权利义务之规定裁决。仲裁应交由中国国际经济贸易仲裁委员会 北京分会依照其仲裁规则在北京及中国法律裁决。仲裁裁决应为终局，对双方均具有约束力。除 仲裁事项之外，双方应继续履行其在本合同项下之义务。仲裁费用由败诉方承担。Errors:错误：The SELL
