Thebuyershall30dayspriortoshipmentopenanirrevocablecreditcontainedthebuyerasthepayerandthesellerasthebeneficiarythroughU.S.bank.Chinabankshouldcommitthecreditafterhereceivedandverificatedthefollowingdocuments.

(a)FullsetofcleanonboardoceanBillsofLadingmadeouttoGreatWorldStoreandblankendorsedmarkedfreighttocollect；(b)Commerciallnvoice；

TheInspectionCertificateofQualityissuedbyCCICofChina；(d)CertificateofOrigin；

(e)NoticeofShipment.

(11)TermsofShipment:

(a)Thesellermustnotifythebuyernameofthebookingvesselanditstransportationroutes40daysbeforesail,forthebuyertoconfirm.

(b)Thesellermustnotifythebuyerexpectedtimeofdelivery,contractnumber,invoiceamount,thenumberandtheshipmentweightandsizeofeachpiece20daysbeforeshipment.

(C)Thesellermustnotifythebuyerofgoods,quantity,grossweight,invoiceamount,nameofthevessel,anddeparturedatesbytelegraph/telexwithin48hoursaftershipment.

Ifanypieceofcargotomeetorexceedtheweightof10tons,15meterslong,10meterswide,thesellershall50daysbeforeshipmentprovidethebuyerwithfivecopiesofdetailedpackingdrawing,indicatingdetailedsizeandweight,sothatthebuyercanarrangeinlandtransport.

(e)TranshipmentandPartialshipmentarebothnotallowed.

(12)Inspection:

(a)Thesellermusttestthequalityofgoods,specificationandquantityfullyandaccurately,andissueaqualitycertificatetoprovethatthedeliveryisinaccordancewiththerelevantprovisionsofthecontract,butthiscertificateisnotthefianlbasistoprovequalityofthegoods,specifications,performance,andnumber.Thesellershouldattachthewrittenreportcontainedinspectiondetailsandresultsofteststothequalitymanual.

(b)Afterthegoodsarriveattheportofdestination,thebuyermustapplytotheU.S.CommodityInspectionBureauforinspectingthequalityofgoods,specificationandquantity,andissueacertificateofinspection.Ifyoufindthatthequality,specificationandquantity

donotmatchwiththecontract,inadditiontowhichinsurancecompaniesorshipshallberesponsiblefor,thebuyerhastherighttorefuseacceptingthegoodsandclaimtotheseller,within7daysafterarrivalattheportofdestination.

(c)Iftheinspectioncertificatecannotbesettledwithinthevalidityperiodofthecontractforsomeunforeseenreasons,thebuyershouldtelephonethesellertoextendtheinspectionperiodfor3days.

(13)Claims:

Within3daysfromthedateofthearrivalofthegoodsatthefinaldestination,ifthequality,specification,quantityandpackingofthegoodsarefoundnotinconformitywiththestipulationsofthiscontract,theBuyershallgiveanoticeofclaimstotheSellerwithintheabovementionedtimelimitandhavetherighttolodgeclaims.(b)Consideringtheresultfromthedefectofthegoods,theBuyerhastherighttobringtheclaimsfortheirdamagesagainsttheSeller.TheSellershallundertaketomakethecompensationforclaims,exceptthoseforwhichtheinsurrancecompanyshouldundertaketheobligations.

(14)ForceMajeuer:

(a)Ifanycontractingpartycouldnotfulfillthecontractbyresistanceofforcemajeure,theperiodoftimeforcomplianceshouldbeextendedaccordingly.

Hinderedsideshouldtelegraphtheotherintheforcemajeureandtermination,anddelievertheCertificateissuedbythecompetentbodiesoftheaccidenttotheotherforrecognitionbyregisteredairmailwithin14daysaftertheaccident.

(C)IFforcemajeureeventcontinuesmorethan120days,theotherpartyhavetherighttosendwrittennoticebyregisteredairmail,askingapartytoterminatethecontract,andnotificationcometoeffectimmediately.

(15)LawApplication:

(a)ItwillbegovernedbythelawofthePeople'sRepublicofChinaunderthecircumstancesthatthecontractissignedorthegoodswhilethedisputesarisingareinthePeople'sRepublicofChinaorthedefendantisChineselegalperson,otherwiseitisgovernedbyUnitedNationsConventiononContractfortheInternationalSaleofGoods.

(b)ThetermsinthecontractarebasedonINCOTERMS1990oftheInternationalChamberofCommerce.

(16)Arbitration:

(a)Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.

(b)Incasenosettlementcanbereached,thecaseshallthenbesubmittedforarbitrationtoChinaInternationalEconomicAndTradeArbitrationCommissioninaccordancewiththeprovisionalRulesofProcedurespromulgatedbythesaidArbitrationCommission.

(c)ThearbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekre
