-29-TechnicalLicenseandAssistanceAgreement技术援助协议核心提示：[**]=CERTAININFORMATIONONTHISPAGEHASBEENOMITTEDANDFILEDSEPARATELYWITHTHECOMMISSION.CONFIDENTIALTREATMENTHASBEENREQUESTEDWITHRESPECTTOTHEOMITTEDPORTIONS.ThisAgreementisdatedandenteredintoasof_________,_________,___[**]=CERTAININFORMATIONONTHISPAGEHASBEENOMITTEDANDFILEDSEPARATELYWITHTHECOMMISSION.CONFIDENTIALTREATMENTHASBEENREQUESTEDWITHRESPECTTOTHEOMITTEDPORTIONS.ThisAgreementisdatedandenteredintoasof_________,_________,_________(M,D,Y)(hereinafterreferredtoasEffectiveDate)byandbetweenAAA,Inc.,a_________(PLACENAME)corporationwithitsplaceofbusinessat_________(ADDRESS)(hereinafterreferredtoasAAA)andBBBCorporationactingthroughitsMobileCommunicationbusinessDivision,a_________(COUNTRY)corporationwithofficesat_________(ADDRESS)(hereinafterreferredtoasBBB).WHEREAS,BBBhasengagedinthedevelopment,manufacture,andsaleofPHS(PersonalHandyphoneSystem)handsetsandownstechnicalinformationwhichisessentialtoorhelpfulinthedevelopmentandmanufactureofPHShandset.WHEREAS,AAAdesirestoobtainfromBBBsuchtechnicalinformationandtechnicalassistancetogetherwithlicensesdefinedhereininordertodevelop,manufactureandsellPHShandsetforitself,andWHEREAS,BBBiswillingtosupplyAAAwithsuchtechnicalinformation,technicalassistanceandtograntalicenseontermsandconditionsherein.NOW,THEREFORE,inconsiderationofthepremisesandofthemutualcovenantsandconditionshereincontained,thePartiesmutuallyagreeasfollows:1.DEFINITIONAsusedinthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:(1)AGREEMENT.AgreementshallmeanthisTechnicalLicenseAndAssistanceAgreementincludingallExhibit(s)thereto.(2)LICENSEDTECHNOLOGY.LicensedTechnologyshallmeanthetechnicalinformationanddataexceptathirdpartytechnology,ownedanddisclosedbyBBBundertheAAA,Inc.,MUTUALNONDISCLOSUREAGREEMENT[KS99012A]concludedon_________,_________,_________(M,D,Y)andAAA,Inc.AMENDMENTAGREEMENTTOMUTUALNONDISCLOSUREAGREEMENT[KS99089B]concludedon_________,_________,_________(M,D,Y)betweentheParties,asspecificallysetforthintheExhibitAasTechnicalDocument.(3)PARTY/PARTIES.PartyshallmeaneitherAAAorBBB.PartiesshallmeanbothAAAandBBB.(4)SUBSIDIARY.Subsidiaryshallmeananyentity,amajorityofwhosevotingsharesorsecuritiesareownedorcontrolled,directlyorindirectlybyaParty,providedthatanysuchentityshallbedeemedtobeSubsidiaryonlysolongassuchmajoritycontrolexists.(5)NET.NetshallmeaninthisAgreementanetpriceactuallyreceivedbyBBBafterdeductinganyandalltaxes,dutiesandpenaltiesfromthegrossamountincludinganyandalltaxes,dutiesandpenaltiespaidbyAAA.2.GRANTOFLICENSE2.1GRANTOFLICENSE(1)SubjecttothetermsandconditionsofthisAgreement,BBBherebygrantstoAAAa[**]licensetousetheLicensedTechnologyforthetermofthisAgreementforthepurposeof(i)evaluationanddevelopmentofAAA’sPHShandsetand(ii)feasibilitystudyforthebusinessofAAA’sPHShandsetwithintheterritoryofthe[**].ThisAgreementdoesnotcoveranylicensetousetheLicensedTechnologyforanypurposeincluding,butnotlimitedtomakingorsellingAAA’sPHShandset,otherthanstatedabove,however,eachPartyagreestonegotiateanddetermineadditionallicenseanditsconditionsseparatelyupondiscussionbetweenthePartiesbythe[**].(2)AAAmaysublicensetheLicensedTechnologygrantedhereundertoitsSubsidiariesonconditionthatAAAshallputtheSubsidiariesthesameobligationsofAAAunderthisAgreementwithwrittenagreement,andshallassumewholeresponsibilitytoBBBfortheactionsoromissionsofsaidSubsidiaries.(3)WithBBB’spriorwrittenapproval,AAAmayhavetheLicensedTechnologyandConfidentialInformationusedtoathirdparty[**]asitssubcontractorsforthedevelopmentandmanufactureofAAA’sPHShandset,providedthatAAAshallputsuchthirdpartythesameobligationsofAAAunderthisAgreementwithwrittenagreement,andshallbefullyresponsibilitytoBBBfortheactionsoromissionsoftheobligationsbysuchthirdparty.2.2LIMITATIONOFLICENSEAAAshallnotusetrademarks,tradenames,logosorotheridentifyinglabelsofBBBorBBB’sc_________(COUNTRY)tomersinanyformormannerwithoutpriorwrittenapprovalofBBB.3.SUPPLYOFTECHNICALDOCUMENTTECHNICALASSISTANCE3.1TECHNICALDOCUMENTBBBshallfurnishone(1)copyofthetechnicaldocumentandprogramsforBBB’sPHShandsetidentifiedinExhibitAinthelanguageoriginallywritten(hereinafterreferredtoasTechnicalDocument)toAAAatthefollowingaddresswithinthirty(30)daysaftertheEffectiveDate:_________(NAME)_________(TITLE)AAA,Inc.,_________(ADDRESS)3.2TECHNICALASSISTANCEAtAAA’srequest,BBBwillprovideAAAadditionaltechnicalinformationordataortrainingandtechnicalservicesassetforthinExhibitB[**][**]toassistAAAtodevelopitsPHShandset,withcharge(hereinafterreferredtoasTechnicalAssistance).4.PAYMENT4.1PAYMENTInconsiderationofthelicensegrantedherein.TechnicalDocument,TechnicalAssistanceandToolingforTLPH2,AAAagreestomakeanonrefundablepaymenttoBBBasfollows:(1)LicenseFee:Net[**],whichamountispayablewithin[**]aftertheEffectiveDateofthisAgreement.(2)TechnicalDocumentFee:[**],whichamountispayablewithin[**]afterAAA’sreceiptofallitemsidentifiedinExhibitA.(3)TechnicalAssistanceFee:ApricedueforeachitemofTechnicalAssistancebasedonthehourlyrateidentifiedinExhibitB,whichamountispayablewithin[**]afterAAA’sreceiptofinvoiceissuedbyBBBonquarterlybasis.(4)ToolingFeeforTLPH2(i)NetpricedueforeachitemofToolingforTLPH2describedinExhibitB(3)A,whichamountispayablewithin[**]afterBBB’sdeliveryofeachitemtoAAA.AAAshallmakeawrittenrequesttoBBBtosellthesaiditemwithin[**]aftertheEffectiveDateofthisAgreement.(ii)NetpricedueforeachitemofToolingforTLPH2describedinExhibitB(3)B,whichamountispayablewithin[**]afterawrittenrequestofAAAtoBBBtousethesaiditem.AAAshallmakesucharequesttoBBBwithin[**]aftertheEffectiveDateofthisAgreement.4.2BBB’SBANKACCOUNTAAAshallmakeallpaymentsdueunderthisAgreementin_________(COUNTRY)YenbywiretransfertoBBBatthefollowingaddress:Bankname:_________Bankaddress:_________Accountname:BBBCorporationAccountNo:[**]4.3TAXESEachpartyshallbearanyandalltaxes,dutiesandpenaltiesimposedinitsowncountryonanypaymentmadeunderthisAgreement.AAAisentitledtowithholdtheapplicable_________(COUNTRY)nwithholdingtaxesfromthegrossamountincludinganyandalltaxes,dutiesandpenaltiespaidbyAAAunderthisAgreementandpaythemtothecompetenttaxauthoritiesin_________(COUNTRY).IntheeventthatAAAwithholdsthetaxesfromsuchgrossamount,AAAshallpromptlysendtoBBBofficialtaxreceiptsissuedbysaidauthoritiessufficientenableBBBtosupportaclaimfortaxcreditinrespecttosuchwithholdingtaxespaidbyAAA.[**]4.4OTHERCOSTSANDEXPENSES(1)AAAshallbearanycostsandexpensesinrelationtotraveling,transportation,shipping,freight,insurance,packing,living,lodging,meals,communication,officespace,equipmentandsoon,incurredunderthisAgreement.(2)AAAshallbearanycostsandexpensesincurredbyBBBinrelationtotheTechnicalAssistanceoranyotherassistanceprovidedbyBBBinadditiontothesamestatedhereunderattherateof[**].5.TREATMENTOFPROPRIETARYRIGHTSAAAagreesthatBBBshallretainallrightsincludingpatentrights,designrights,copyrightsandanyotherintellectualpropertyright,titleandinteresttotheLicensedTechnologyandConfidentialInformation.Ifapatent,design,oranyotherintellectualpropertyareacquiredbyAAAbasedonanyLicensedTechnologyorConfidentialInformationsuppliedfromBBBunderthisAgreement,AAAshallconsultwithBBBwithrespecttothemannerofapplication,thescopeofintellectualpropertyrightstobeacquired,whoisgoingtobetheownerthereofandotherdetailsnecessaryforapplication.6.DISCLAIMEROFWARRANTYANDLIABILITY6.1ANYLICENCEDTECHNOLOGY,CONFIDENTIALINFORMATIONLICENSEDBYBBBHEREUNDERISPROVIDEDONASISBASIS.BBBDISCLAIMSANYWARRANTY,STATUTORY,EITHEREXPRESSORIMPLIED,INCLUDINGWITHOUTLIMITATION,WARRANTYOFMERCHANTABILITY,FITNESSFORANYPARTICULARPURPOSE,TITLE,ARISINGFROMuseOFANYLICENSEDTECHNOLOGYORCONFIDENTIALINFORMATIONPROVIDEDHEREUNDER.BBBALSOMAKESNOWARRANTYTHATTHELICENSEDTECHNOLOGYORCONFIDENTIALINFORMATIONISUNINTERRUPTED,SUFFICIENT,ACCURATEORERRORFREETOENABLEAAATODEVELOPAAA’SPHSHANDSET.TOTHEEXTENTPERMITTEDBYAPPLICABLELAW,UNDERNOEVENTANDUNDERNOLEGALTHEORYOFLIABILITY,INCLUDING,BUTNOTLIMITEDTO,TORT,BREACHOFCONTRACT,PRODUCTLIABILITY,INDEMNIFICATION,PERSONALINJURYOROTHERWISE,SHALLBBBBELIABLEFORANYDIRECT,INDIRECT,INCIDENTAL,PUNITIVE,SPECIALORCONSEQUENTIALDAMAGESORLOSSESARISINGFROMuseOFTHELICENSEDTECHNOLOGYORTHECONFIDENTIALINFORMATIONEVENIFBBBHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGESOR[**]LOSSES.6.2Notwithstandingtheforgoing,ifatechnicalproblemoftheLicensedTechnologyisfound,thePartieswillconferinordertofindamutuallyagreeablesolutionoftheproblem.6.3AAAshallindemnifyandholdBBBharmlessofanyclaims,damagesorotherliabilityinanywayinconnectionwithAAA’suseoftheLicensedTechnologylicensedhereunder.7.CONFIDENTIALITY7.1CONFIDENTIALITYEachPartyagreestoholdanyinformationordatadisclosedbytheotherPartyunderthisAgreementinstrictconfidenceprovidedthatsuchinformationisclearlymarkedasConfidentialorProprietary,and,ifdisclosedorallyorvisually,summarizedinwrittenformatwithinthirty(30)daysofsuchdisclosure(hereinafterreferredtoasConfidentialInformation).EachPartyshalltakereasonablestepstosafeguardtheotherParty’sConfidentialInformation,_________(COUNTRY)ingataminimumthesamedegreeofcareasisusedforitsownconfidentialinformation,andshallnotdisclosesuchConfidentialInformationtoanythirdpartyotherthanasexpresslypermittedbythisAgreement.AllinformationdisclosedbyBBBtoAAAasConfidentialInformationundertheAAA,Inc.MUTUALNONDISCLOSUREAGREEMENT[KS99012A]concludedon_________,_________,_________(M,D,Y),andAAA,Inc.AMENDMENTAGREEMENTTOMUTUALNONDISCLOSUREAGREEMENT[KS99089B]concludedon_________,_________,_________(M,D,Y)betweenthePartiesshallalsobetreatedasConfidentialInformationunderthisAgreementandshallbesubjecttoprovisionsherein.(1)TheobligationsofthisArticleshallnotapplytoanyinformationwhich:(i)isalreadyinthepublicdomainorbecomesavailabletothepublicthroughnobreachofthisAgreementbythereceivingParty;(ii)wasinthereceivingparty’spossessionpriortoreceiptfromthedisclosingPartyasprovenbyitswrittenrecords;(iii)isreceivedbythereceivingPartyindependentlyfromathirdpartyfreetodisclosesuchinformation;(iv)issubsequentlyindependentlydevelopedbythereceivingPartyasprovenbyitswrittenrecords;or(v)isdisclosedwhensuchdisclosureiscompelledpursuanttolegal,judicial,oradministrativeproceeding,orotherwiserequiredbylaw,subjecttothereceivingPartygivingallreasonablepriornoticetothedisclosingPartytoallowthedisclosingPartytoseekprotectiveorothercourtorders.(2)EachPartyshallnotduringandafterthetermoftheAgreementusetheotherParty’sConfidentialInformationforanypurposewhatsoeverotherthanthatagreedinthisAgreement.7.2MEDIARELEASESEachPartyshallnotmakeanypressrelease,advertisementorpublicstatementconcerningtheexistenceofthisAgreementoritscontentswithouttheexpresswrittenconsentoftheotherParty.8.TERMThetermofthisAgreementshallcommenceontheEffectiveDateandwillcontinueuntiltheendof_________,_________,_________(M,D,Y)orthedateuponwhichthisAgreementisterminatedinaccordancewithArticle9,whichevercomesearlier.9.TERMINATION9.1TERMINATIONFORCAuseIntheeventthateitherPartyheretodefaultsintheperformanceofanyoritsdutiesorobligationshereunder,whichdefaultshallnotbecuredwithinthirty(30)daysafterwrittennoticefromthenondefaultingPartyspecifyingthedefault,thenthenondefaultingParty,bygivingwrittennoticethereoftothedefaultingParty,terminatethisAgreementasofadatespecifiedinsuchnoticeoftermination.ThedefaultingpartyshallindemnifythenondefaultingPartyforthelossesanddamagess_________(COUNTRY)tainedbysuchtermination.9.2TERMINATIONFORINSOLVENCYEitherPartymayterminatethisAgreementwithoutgivingpriornoticeintheeventofoneormoreofthefollowings:(1)aPartyentersintovoluntaryorinvoluntarybankruptcyorinsolvency,orceasetomakepaymentstoitscreditors;(2)aPartyliquidatesitsbusinessormakesorcausestobemadeanassignmentofitsassetsorb_________(COUNTRY)iness,eitherinwholeorinpart,forthebenefitofitscreditors;(3)areceiverortr_________(COUNTRY)teeisappointedtotakeover,oradminister,orconductallorasubstantialpartofthebusinessorpropertyofaParty;(4)asubstantialchangeintheownershiporcontrolofonePartywithoutthepriorwrittenconsentoftheotherParty;and5.dissolutionorliquidationofaParty’sassets.IfonePartyisinvolvedinanyoftheeventsenumeratedinparagraphs1.through5.above,suchPartyshallnotifytheotherPartyimmediately,bycableorfacsimile,oftheoccurrenceofsuchevent.9.3RIGHTSUPONTERMINATIONIfthisAgreementisterminatedforanyreason,alllicensesgrantedtoAAAhereundershallbeterminated,andAAAshallimmediatelyreturnBBBallitemsdeliveredbyBBBhereunderandallcopiesthereof.9.4SURVIVALTheprovisionsofArticles4,5,6,7,9,10and11hereofshallsurviveanyterminationofthisAgreement.10.SETTLEMENTOFDISPUTES10.1ARBITRATIONAnyandalldisputes,controversies,ordifferenceswhichmayarisebetweentheParties,outoforinrelationtoorinconnectionwiththisAgreement,orforthebreachthereof,andwhichcannotbesettledamicably,shallbefinallysettledbyarbitrationpursuanttotheRulesofConciliationandArbitrationoftheInternationalChamberofCommerce.ThearbitrationshallbeheldinTokyo,_________(COUNTRY).Allarbitrationproceedingsshallbeconductedin_________(COUNTRY)language.10.2ATTORNEY’SFEESIfeitherPartyemploysattorneystoenforceanyrightsarisingoutoforrelatingtothisArticle10,theprevailingPartyinsuchdisputesshallbeentitled,inadditiontoitsotherrightshereunder,torecoverreasonablefeesofattorneys,accountantsandotherprofessionalsincludingcostsandfeesonappeal.11.MISCELLANEO_________(COUNTRY)11.1NOTICEAnyrequirednoticeorothercommunicationhereundershallbegiveninwritingandshallbedeemedeffectivewhenactuallyreceivedattheaddressofeachPartyorsuchaddressaseachPartymaysubstitutebywrittennoticetotheotherinmannercontemplatedherein.Inregardtotechnicalissues,however,electronictransmissionssuchasemail,facsimileandtelephonearealsoavailableandacceptable.11.2ASSIGNMENTThisAgreementandanyrightandobligationhereundershallnotbeassignedortransferredtoanythirdpartyinwholeorinpartbyeitherPartywithoutthepriorwrittenconsentoftheotherPartywhichconsentshallnotbeunreasonablywithheld,providedthateitherPartymayassignthisAgreementoranyrightorobligationhereunderwithpriorwrittennoticetotheotherPartyifthePartytransfersthembyoperationoflaw,including,butnotlimitedto,consolidationormerger,levy,executionoflegalprocess,bankruptcy,insolvency.IfthisAgreementoranyrightorobligationhereunderwouldotherwisepassthroughsuchassignmentortransferbyoperationoflawfromthePartytoanythirdpartywithoutpriorwrittenconsentoftheotherParty,thensuchotherPartymay,inadditiontoanyotherremediesitmighthave,forthwithterminatethisAgreementbywrittennoticeofsuchterminationtotheassignmentParty.11.3GOVERNINGLAWThisAgreementshallbegovernedinallrespects,includingissuesofvalidity,interpretation,performance,proceedingsandenforcement,bythelawsof_________(COUNTRY).11.4LANGUAGETheworkinglanguagetobeusedforallaspectsofactivitiesrelatedtothisAgreementincludingallformsofdocumentationandothercommunicationexchangedbetweentheParties,shallbea_________(COUNTRY)language.11.5SEVERABILITYIntheeventthatanyprovisionsofthisAgreementisheldbyacourtofcompetentjurisdictiontobelegallyineffectiveorunenforceable,suchprovisionshallbereformedonlytotheextentnecessarytomakeitenforceableandthevalidityoftheremainingprovisionsshallnotbeaffected.11.6WAIVERThewaiverbyeitherPartyofabreachoforadefaultunderanyprovisionofthisAgreementbytheotherPartyshallnotbeconstruedasawaiverofanysubsequ
