＿＿＿＿＿＿＿＿＿＿依据《中华人民共和国合同法》、《中华人民共和国著作权法》及其他有关法律法规的规定，甲乙双方在平等、自愿、公平、诚实信用的基础上，就动漫电视节目著作权许可使用的有关事宜达成协议如下：Inaccordancewith “ContractLawofthePeople ’sRepublicofChina ”,“CopyrightLawofthePeople’sRepublicofChina ”,andotherrelevantlawsandregulations,thePartieshave,basedontheprinciplesofequality,willingness,fairness,honestandcredit,enteredintotheContractconcerningissuesrelatedtoanimationandcartoonprogramcopyrightlicensingandagreedasfollows:第一条 许可使用的节目Article1LicensedProgram节目名称及时长：《＿＿＿＿＿》，共＿＿集，每集＿＿分钟，总计＿＿分钟。Nameandlengthoftheprogram: “＿＿＿“ with ＿＿＿＿＿＿＿＿＿＿4．许可性质：□专有使用权□非专有使用权4.Propertyoflicense:□Exclusiveuseright□Non-exclusiveuseright5．其他：＿＿＿＿＿＿＿＿＿＿5.Others:＿＿＿＿＿＿＿＿＿＿第三条节目原版母带提供Article3ProvisionofOriginalMasterTapeofProgram1．乙方提供母带数量：＿＿＿＿＿＿＿＿＿＿1.NumberofthemastercopiesprovidedbyPartyB:＿＿＿＿＿＿＿＿＿＿2．乙方提供的该节目原版带型号为 IMX数字带或BETA带。ThemodeloforiginaleditionoftheprogramprovidedbyPartyBshallbeIMXdigitalcopyorBETAcopy.3．乙方保证该节目原版带符合播出质量要求，如存在质量问题，乙方负责在 5日内无偿更换，甲方使用期限相应顺延。PartyBshallensuretheoriginaleditionoftheprogramcomplieswithqualityrequirements;incaseofanyqualityproblem,PartyBshallreplacethesamewithin5daysfreeofcharge,andthetermofuseshallextendcorrespondingly.4．乙方提供的该节目原版带时长须统一，各集时长误差不得超过正负 30秒。ThelengthofeachepisodeoftheprogramoforiginaleditionprovidedbyPartyBshallbeunified,andthelengthdifferenceofeachepisodeshallnotexceed30seconds.5．乙方提供的该节目原版带须在每集首尾分别标明动画片发行许可证号和广播电视节目制作经营许可证号。ThecartoonprogramissuecertificatenumberandradioandtelevisionprogramproductionandoperationpermitnumbershallbemarkedintheopeningandendofeachepisodeoftheoriginaleditionprovidedbyPartyB.6．乙方提供的该节目原版带内容如有不符合播出要求，从而导致整集无法播出的，乙方应在甲方规定的时间内按甲方要求进行修改或重新制作。IncaseanycontentcontainedintheoriginaleditionoftheprogramprovidedbyPartyBdoesnotcomplywithbroadcastingrequirements,andfurtherthatthewholeepisodecouldnotbebroadcast,PartyBshallmodifyorreproducetheprograminaccordancewithPartyA ’srequirementswithinthetimestipulatedbyPartyA.7．乙方提供的该节目原版带带有字幕的，字幕不应出现错别字，如甲方检查出错别字，乙方须按＿＿标准向甲方支付修改赔偿金。IfthecaptioniscontainedintheoriginaleditionofprogramprovidedbyPartyB,thereshallnotbeanyerrorofcaption;otherwisePartyBshallpaythedamagestoPartyAasper ＿＿＿.第四条 甲方权利和义务Article4RightsandObligationsofPartyA1．甲方有权对该节目内容进行审查，对违法法律法规的地方提出修改意见。PartyAshallbeentitledtocheckandexaminecontentsoftheprogram,andproposemodificationsuggestionstothosewhichviolateagainstlawsandregulations.2．要求乙方按照合同约定时间和质量交付母带。PartyAshallbeentitledtorequestPartyBtodeliverthemastercopyinthetimeasstipulatedbytheContractandinaccordancewithqualityrequirementstherein.3．按合同约定的期限、地域范围、方式等行使该作品著作权。PartyAshallbeentitledtoexertthecopyrightoftheprogramintheterm,territoryandmannerasstipulatedbytheContract.4．按合同约定向乙方支付费用。PartyAshallpaytoPartyBinaccordancewithstipulationscontainedherein.5．其他：＿＿＿＿＿＿＿＿＿＿Others:＿＿＿＿＿＿＿＿＿＿第五条 乙方权利和义务Article5RightsandObligationsofPartyB1．要求甲方按合同约定支付费用。PartyBshallbeentitledtorequestPartyAtopayfortheprograminaccordancewithstipulationscontainedherein.2．监督甲方对著作权的行使。PartyBshallbeentitledtosupervisetheexerciseofcopyrightbyPartyA.3．按合同约定向甲方交付母带。PartyBshalldeliverthemastercopytoPartyAinaccordancewithstipulationscontainedherein.4、保证拥有该节目完整、无瑕疵的著作权，该节目著作权上不存在任何第三方的抵押、质押、查封、冻结等限制甲方对该节目著作权使用的权利限制，其有权许可甲方按照本合同约定使用该节目，并应在本合同订立时发给甲方播映授权书。PartyBshallensurethecompletenessandflawlessnessofthecopyrightwithoutanymortgage,pledge,sealing-up,andfreezingetc.byanythirdpartythatlimitsPartyA ’suseofcopyrightoftheprogram,andshallbeentitledtolicensePartyAtousetheprograminaccordancewithstipulationscontainedherein,andissuebroadcastinglicensetoPartyAwhensigningtheContract.5、乙方须在本合同订立的同时向甲方出示该节目的相关材料原件并提供复印件，包括《广播电视节目制作经营许可证》、《动画片发行许可证》、《著作权登记证书》（或节目版权方出具的著作权证明）、版权方授予该节目提供商的发行授权书，以及各集时长、故事梗概、分集梗概、片头片尾字幕、主题歌歌词、节目剧照、宣传资料等文字材料及其电子版，并在上述复印件上加盖乙方单位印章。乙方保证上述材料的真实性、合法性。5.Whensigningthecontract,PartyBshalldisplayoriginalandcounterpartsofrelevantmaterialsfortheprogram,including “RadioandTelevisionProgramProductionandOperationPermit ”, “CartoonProgramIssueCertificate ”, “CopyrightRegistrationCertificate ”(orcopyrightcertificationissuedbycopyrightholderoftheprogram),issueauthorizationcertificateissuedbythecopyrightholdertotheprogramprovider,andpapermaterialsandelectronicversionsoflengthsofeachepisode,storyintroduction,episodeintroduction,captionsintheopeningandend,lyricofthethemesong,programstills,andpublicizingmaterials.ThecounterpartsshallbesealedbyPartyBwhoshallensurethetruenessandlegitimacyoftheabovematerials.6．遵守本合同第二条的各项规定。PartyBshallconformtostipulationsofArticle2.7．其他：＿＿＿＿＿＿＿＿＿＿Others:＿＿＿＿＿＿＿＿＿＿第六条 ＿＿/minuteorRMB＿＿/episode.Thelengthoftheprogramistotally ＿＿minutes/ ＿＿episodes,andthusthelicensefeeshallbeRMB＿＿intotal.支付方式：＿＿＿＿＿＿＿＿＿＿Paymentmethod: ＿＿＿＿＿＿＿支付期限：＿＿＿＿＿＿＿＿＿＿Termofpayment: ＿＿＿＿＿＿＿第七条 违约责任Article7DefaultLiabilities1．任何一方违法合同约定的，对方有权要求违约方对该违约事项采取补救措施，并继续履行本合同；如违约方在书面通知后＿＿日（或经双方书面同意的更长时间）内仍未采取补救措施的，对方有权解除本合同，违约方应当向对方支付违约金人民币＿＿元。Anypartyviolatingagainststipulationscontainedthereinmayberequestedbytheotherpartytomakeremediestosuchdefaultingact,andshallcontinuetoperformtheContract;incasethedefaultingpartydoesnotmakeanyremedieswithin＿＿daysafterreceivingthenoticeinwriting(orsometimelaterasagreedbythePartiesinwriting),theotherpartyshallbeentitledtoterminatetheContract,andthedefaultingpartyshallpaytheliquidateddamagesofRMB＿＿totheotherparty.2．任何一方逾期履行的，应按＿＿＿＿标准向对方支付违约金。AnypartyconductingoverdueperformanceoftheContractshallpaytheliquidateddamagestotheotherpartyasper ＿＿＿＿.3．如乙方提供的原版带不符合合同约定，但乙方未按照甲方要求予以更换，或者经乙方更换两次后仍不符合本合同约定的，甲方有权解除合同并追加乙方违约责任。IncasetheoriginaleditionoftheprogramprovidedbyPartyBdoesnotaccordwithstipulationsoftheContract,andPartyBfailstoreplacethesameinaccordancewithPartyA’srequirements,oritstilldoesnotaccordwiththestipulationshereinafterbeingreplacedtwice,PartyAshallbeentitledtoterminatetheContractandclaimfordefaultingliabilitiesofPartyB.4．如果该节目因为著作权的纠纷，被第三人诉求权利的，应有乙方负责解决，承担责任。因此造成甲方损失的，乙方应负赔偿责任。AnydisputeregardingcopyrightoftheprogramwithclaimfromthethirdpartyshallbesolvedbyPartyBwithcertainliabilities,andPartyBshallcompensatePartyAforanylossincurredtoPartyA(ifany).第八条 保密条款：＿＿＿＿＿＿＿＿＿＿Article8ConfidentialityConditions : ＿＿＿＿＿＿＿＿＿＿第九条 不可抗力Article9ForceMajeure因发生自然灾害、重大疫情等不可抗力或突发事件的，经核实可全部或部分免除责任，但应及时通知对方，并在合理期限内提供有效证明。Incaseofanyforcemajeureoremergencysuchasnaturaldisastersandkeyepidemicsituations,liabilitiesmay,uponverification,beexemptedwhollyorpartly;however,itshallbenotifiedtotheotherpartyintimeandeffectivecertificatesshallbeprovidedwithinareasonabletime.第十条 争议解决Article10SettlementofDisputes本合同项下发生的争议，由双方当事人协商解决；也可由当地工商行政管理部门调解；协商或调解不成的，按下列第＿＿种方式解决。AnydisputearisingfromorinconnectionwiththeContractshallbesettledbythePartiesthroughconsultation,ormaybemediatedbylocaladministrationforindustryandcommerce;failingthesame,
