,则视乙方自动退租并构成违约,甲方有权收回该物业 ,没收保证金并追究相关损失。PartyBshallpaytherentalonorbeforethedayofeachcalendarmonth.IftheRenthasnotbeenpaidwithin15daysofitsduedate,PartyBshallberequiredtopayalatepenaltyfeeequaltooftherentalperdayforeachdayofdelay.Iftherentalhasnotbeenpaidmorethan30daysaftertheduedate,PartybwillbedeemedtohaveautomaticallyterminatedtheleasingresultinginabreachoftheContract,PartyAwillbeentitledtotakebackthePremises,retaindepositandseekrelatedlosses.3.4 甲方在收到租金后五天内应提供给乙方正式发票 ,若甲方在月底前仍未提供乙方发票,则乙方有权延迟支付下月租金直至收到正式发票。甲方有责任根据税务局和 /或房管局的规定、要求和有关程序支付相应的有关租赁房屋的税款。PartyAwillissueanofficialinvoicewithin5daysafterreceivingtherental.IfPartyAhasnotissueanofficialinvoicebytheendofthemonth,PartyBhastherighttodelaythepaymentofthefollowingmonth'srentaluntiltheinvoiceofthesaidmonthisreceived.PartyAisresponsibleforcomplyingwithregulations,requirementsandproceduresoriginatingfromtheTaxBureauand/orHousingBureaurelatedtothetaxesoftherentofthePremises.3.5 甲方的银行帐户资料 :户名:账号:银行:PartyA'sbankaccountinformation:Name:A/CNo.:  Bank:收取租金时,房东的银行所收的手续费由房东支付。TheremittancefeechargedbytheLandlord'sbankforreceivingshouldbepaidbytheLandlord.四、出租人的责任 Landlord'sResponsibilities4.1甲方须按时将出租物业及家具电器 (见附件一)以良好的状态交付给乙方使用。PartyAshoulddeliveronscheduletheleasedpropertyandthefurnitureandappliances(refertoAppendixI)ingoodconditiontoPartyB.4.2 甲方应确保或责成物业管理公司对物业及其公共设施进行定期 维修保养,包括4.3 但不限于物业内的空调、上下水管、电线电缆、煤气管道、通讯及有线电视等设施,使之处于正常的使用状态。PartyAshouldguaranteeororderthepropertymanagementcompanytocarryoutmaintenanceandrepairofthesaidpremisesandthefacilitiesingoodandproperoperationregularly,includingbutnotrestrictedtoair-conditions,waterpipelines,wiresandcables,gaspipelines,communicationandcableTVetc.4.3房屋基本设施和结构损坏时 (不包括乙方损坏的家具和器具 ),甲方必须在小时内提供维修服务或给予乙方答复,并承担相关的费用。Incaseofthebasicfacilitiesandstructureofthepremisesbeingdamaged(notincludingfurnitureandappliancesdamagedbyPartyB),PartyAshallrepairorrespondtoPartyB'scomplaintswithin24hours,andbearallcostsrelatedthereto.4.4甲方在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋给乙方。就本合同及出租此房屋于乙方之事 ,甲方已取得所有有关机构的批准 ,包括政府批准及抵押权人的同意。甲方于本合同所做出的声明与保证 ,如有错误或违反者 ,甲方须就因此而对乙方引起的任何损失、损害、支出及费用对乙方做出全额补偿。PartyAherebyrepresentsandwarrantsthatPartyAisthelegalowneroftheleasedpropertyandhasthenecessarycapacitytoleasethepropertytoPartyPartyAhasalsoobtainedallthenecessaryauthorizationsfromallrelevantauthoritiesinrespectofthisContractandtheleasingofthepropertytoPartyB,includinggovernmentapprovaland/ormortgageconsent.PartyAshallbeliabletokeepPartyBfullyindemnIfiedagainstanycosts,expenses,lossesanddamagesincurredandsufferedbyPartyBasaresultofanybreachofPartyA'srepresentationsorwarrantiesherein.4.5 如在租赁期内,租赁房屋发生所有权全部或部分转移 ,和其它影响乙方权益的事情时,甲方应保证所有权人或其它影响乙方权益的第三人 ,能继续遵守本合同所有条款。如乙方于本合同下的权益受此等所有权人或第三者影响或损害 ,甲方应负责赔偿乙方的所有损失、损害、支出及费用。Ifduringthetermofthetenancy,allorpartoftheleasedpropertyistransferredorPartyB'srighttouseleasedpropertyisaffected,PartyAshallensurethatsuchtransfereeorthirdpartyhavinganeffectonPartyB'srighttousetheleasedpropertywillcontinuetoabidebythetermsofthisContract.PartyAshallalsobeliabletokeepPartyBfullyindemnIfiedagainstanycosts,expenses,lossesanddamageswhenanyofPartyB'sinterestshereinareaffectedorprejudicedbysuchtransfereeorthirdparty.4.6甲方应负责根据中国法律法规所定因本楼宇租赁而产生的一切税务(包括但不限于房产税,所得税和营业税)和法定费用(包括但不限于土地使用费),并必须将该些税务和法定费用直接向有关税局缴付。TheLandlordshallberesponsibleforandpaydirectlytotherelevanttaxauthoritiesallapplicabletaxes(includingbutnotlimitedtAlterealEstateTax,IncomeTaxandBusinessTax)andothergovernmentcharges(includingbutnotlimitedtoLandUseFee)requiredbyChineselaworanyrelevantregulationsarisingfromtheleasingofthePremises.4.7在乙方遵守本合同的条款及交付租金的前提下 ,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。ProvidedthatPartyBpayingtherentalandperformingandobservingpartyB'stermsandconditionshereincontainshallpeaceablyholdandenjoythePremisesthroughoutthetermofthisContractwithoutanyinterruptionbyPartyAorotherpersons.4.8租期为一年,如若任何一方提前解约 ,支付违约金为一年的租金 (人民币78000.00元)。LeasingTermisoneyear.Ifanysideterminatestheagreementaheadoftime,mustpaythepenaltyisoneyearrent(RMB78000.00yuan).五、承租人的责任 Tenant'sResponsibilities5.1乙方应按时支付合同中规定的保证金、租金及水、电、煤气、电话费 ,宽带费等公用事业费。PartyBshouldpromptlypaythedeposit,rentalandwater,broadband,electricity,gas,telephonechargeetc.5.2 未经甲方书面同意 ,乙方不得将该物业转租或分租给第三方。PartyBshallnottransferorsub-leasethesaidpremisestoanythirdpartywithoutPartyA'swrittenconsent.5.3 乙方应爱护使用租赁的房屋 ,如因乙方的过失或过错致使房屋及设施受到损坏(正常损耗除外),乙方应负赔偿责任。PartyBshalltreattheleasedpropertywithcare.If,asaresultofPartyB'snegligenceormisconduct,theleasedpropertyandtherelatedfacilitiessufferanydamage(fairwearandtearexcepted),PartyBshallberesponsibleforcompensatingPartyAforsuchdamages.5.4 除在物业内已有的装饰和设施外 ,乙方如要增加设备或装修 ,须征得甲方的同意 ,甲方不得无理拒绝或延误;租赁期满必须恢复原状(正常损耗、磨损除外),并承担其费用,经甲方验收认可后归还甲方。甲方同意期满前两个月通知乙方其所需拆除的在物业内的任何改变及改进的设施。InAdditiontothedecorationandequipmentalreadyintheproperty,IfPartyBwishestomakeanyAlterationsorimprovementstotheproperty,PartyBmustgetPartyA'sconsent.Anysuchconsentshallnotbeunreasonablywithheldordelayed.Onexpiryofthetenancy,PartyBmusthandoverthepropertytoPartyAinitsoriginalcondition(fairwearandtearexcepted).AllfeesarisingfromsuchworktodosoaretobebornebyPartyB.PartyAagreestoprovidePartyBwithtwomonths'noticepriortotheexpiryofthecontract,intheeventPartyArequiresdemolitionofanyAlterationorimprovementcarriedouttothepropertybyPartyB.5.5若乙方、乙方雇员或任何其他经乙方许可的人员进入该物业 ,对甲方或其他住户造成损失,不论故意或过失,乙方皆应对造成的所有损失予以赔偿。IncaseofPartyB,employeesofPartyBoranyotherpersonpermittedbyPartyBtoenterthepropertycausingdamagestoPartyAorothertenants,whetherintentionallyornegligently,PartyBshallcompensateforallthelossescausedbysuchdamages.5.6乙方不得携带任何违禁危险物品进入该物业 ,严禁从事任何违反中华人民共和国法律法规的活动;如因此发生损害,乙方应承担全部责任。PartyBshallnotbringanythingdangerousorforbiddenintheleasedproperty,andnotbehaveagainstthelawsorregulationsofthePeople'sRepublicofChina,andshallbefullyresponsibleforanydamagesorlossesasaresultthereof.5.7在本合同期满前一个月内 ,乙方应允许甲方或其指定的代理人经与乙方预约后 ,在合理的时间内陪同其他有兴趣租住该楼宇的人士参观TheTenantshallpermittheLandlordoritsdesignatedagenttoenterthePremiseswithotherpotentialtenantstoseethePremises,atreasonabletimeanduponpriorappointmentwiththeTenantwithinonemonthbeforetheexpirationofthisContract.5.8租期为一年,如若任何一方提前解约 ,支付违约金为一年的租金 (即人民币 元)。LeasingTermisoneyear.Ifanysideterminatestheagreementahead oftime,mustpaythepenaltyisoneyearrent(RMB yuan).六、违约处理 BreachofContract6.1甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任,双方同意违约方应赔偿受害方之直接损失(间接和结果性损失除外)。甲方若有违约并在七日内未予补救 ,乙方则有权延付租金和管理费或做相应的扣除。IfeitherPartyAorPartyBfailstoperformitsobligationshereunder,itshallconstituteabreachofthisContractandthedefaultingpartyshallundertaketheliabilitiesforsuchbreach.Thepartiesagreethatthepartyinbreachshallpaytheotherpartythedirectlossesanddamage(excludingindirectandconsequentiallossanddamages).IfPartyAisinbreachofthisContractanddoesnotrectIfywithin7days,thenPartyBisentitledtowithholdordeducttherentalaswellasmanagementfee.6.2甲方有下列行为之一的 ,乙方有权中止本合同 ,甲方除应退还乙方保证金和已支付但未居住的租金外 ,还应支付乙方两个月的租金的金额作为赔偿。PartyBshallhavetherighttoterminatetheContractandhaverecoursetoarefundofthetwomonth'ssecuritydepositandrentalalreadypaidtogetherwithacompensationsumequivalenttotwomonthsrentalIfpartyAcommitsoneofthefollowing:未经乙方同意,在租赁期间收回该物业。Duringtheleaseterm,takepossessionofthePremiseswithoutParty'sBconsent.本合同开始三十天后,仍未向乙方移交该物业。FailtohandoverthePremisestoPartyBwithinthirtydaysafterthecommencingdateoftheContract.6.3乙方有下列行为之一的 ,甲方有权中止本合同 ,收回该房屋并且保证金不予退还。PartyAshallhavetherighttoterminatethisContract,re-possesstheleasedpropertyandforfeitthesecuritydepositIfPartyBcommitsoneofthefollowings.将承租的房屋擅自转租,但转租给乙方本公司人员除外。SubletstheleasedpropertytoanotherpersonwithoutPartyA'sconsent,butassociatedpersonofPartyBexcepted.未得甲方同意,将承租的房屋擅自拆改结构或改变用途的。Altersthestructureofthepremiseswithoutauthorizationorusesthepremisesotherthanthepurposestatedherein.无故拖欠租金超过三十天。Failtopayrentalwithoutanyreasonformorethan30daysaftertheduedate.七、不可抗力

ForceMajeure若由于不可抗拒的自然灾害

(包括但不限于火灾、洪水、地震、

施工、战争、暴动、敌队等行为等)或其它非双方过错所造成的对本物业的损毁致使其无法居住或使用本物业,双方有权中止本合同,甲方必须退还乙方所有保证金和已支付但未居住的租金。届时合同双方将不再承担进一步的任何责任。Iftheleasedpropertyisdestroyed,damagedandrendereduninhabitableandunusableduetoforcemajeure(includingbutnotlimitedtofires,flood,earthquake,accidents,strikes,wars,insurrections,publicenemyetc.)oractionsthatarenottheresultofPartyAorPartyB'sfault,eitherpartyhastherighttoterminatetheContractandproratedbalanceofalrentalprepaid,aswellasthedeposit,shallbereturnedtoPartyB.Thereafter,thebothpartiesshallnothaveanyresponsibilitiestoeachother.八、争议的解决 DisputeResolution凡因本合同条款、翻译、任何合同相关事宜所引起的一切争议 ,双方应友好协商解决 ;协商不成,应提交上海市仲裁委员会 ,按其仲裁原则和中华人民共和国仲裁法在上海进行仲裁,仲裁裁决是终局的 ,对双方都有约束力。
