建筑材料供应合同（中英文对照）目录TABLEOFCONTENTS第一条项目名称Article1.NameofProject第二条卖方供货范围Article2.ScopeofSupplyfromSeller第三条合同价格Article3.ContractPrice第四条付款条件及方式Article4.PaymentTerms第五条设计、制造进度及期限Article5.ProgressandTimeLimitonDesignandManufacture第六条装运和清点Article6.Packing,ShippingandInventory第七条产品检验Article7.InspectionofGoods第八条卖方声明和保证Article8.Seller’sRepresentationsandWarranties第九条技术资料和单据Article9.TechnicalInformationandReceipts第十条不可抗力Article10.ForceMajeure第十一条仲裁Article11.Arbitration第十二条其他条款Article12.OtherProvisions买方Buyer卖方Seller本合同经买、卖双方友好协商后在年月日签订。根据本合同签订的条款，买方同意向卖方购买、卖方同意向买方提供下列轻钢结构系统建筑材料一套（以下简称“钢结构”）：ThisContractismadebyandbetweentheBuyerandSelleron______afterfriendlynegotiations.TheBuyerherebyagreestopurchasefromtheSeller,andtheSellerherebyagreestoselltotheBuyer,thefollowingsetofmetalbuildingsystem(hereinafter,the“MetalBuildingSystem”)onthetermsandconditionssetforthinthisContract:第一条项目名称Article1.NameofProject1.1本项目名称为：Thenameofthisprojectis:1.2本项目位于_____（以下简称“工地现场”）。Thisprojectislocatedat_____(hereinafter,“theSite”).第二条卖方供货范围Article2.ScopeofSupplyfromSeller2.1在提供钢结构时，卖方应负责：InsupplyingtheMetalBuildingSystem,theSellershallberesponsiblefor:2.1.1设计并制造供应本项目地面以上的全部钢结构（详见附件一）；及thedesignandmanufactureofthisproject’sentireabove-groundstructure(seeAttachment1fordetails);and2.1.2所提供钢结构部件及材料的□必要包装□运输□运输的保险。thenecessarypacking□shipping□shippinginsurance□ofandforthepartsandmaterialsoftheMetalBuildingSystembeingsupplied.第三条合同价格Article3.ContractPrice3.1本合同总价为人民币整（以下简称合同总价）。ThepriceofthisContractisRmb(hereinafter,the“ContractPrice”).3.2合同总价不包含有关之□关税□增值税。TheContractPriceexcludestherelatedcustomsduty□valueaddedtaxes□.第四条付款条件及方式Article4.PaymentTerms4.1本合同签订后五个工作日内，买方应付予卖方合同总价之20%作为定金，即人民币：元。Within5workingdaysofthesigningofthisContract,theBuyershallpaytotheSelleradepositequalto20%oftheContractPrice,i.e.Rmb.4.2买方收到卖方的钢结构设计图并确认后三个工作日内，应付予卖方合同总价之20%作为预付款，即人民币元。Within3workingdaysofitsreceiptandapprovalofthedesigndrawingsfortheMetalBuildingSystem,theBuyershallpaytotheSelleraprepaymentamountequalto20%oftheContractPrice,i.e.Rmb.4.3钢结构制造完成后，并经买方验收后五个工作日内，买方应付予卖方合同总价之60%，即人民币元。Within5workingdaysafterthemanufactureoftheMetalBuildingSystemhasbeencompletedandtheBuyerhasacceptedtheMetalBuildingSystem,theBuyershallpaytotheSeller60%oftheContractPrice,i.e.Rmb.4.4买方支付卖方的所有款项均以银行汇票或电汇方式汇至卖方指定银行账户。所有付款日期均以卖方收款之银行收款凭证日期为准。如买方逾期五天付款，须从第六天起按日支付该笔逾期款项0.1%的滞纳金。若买方之逾期付款超过应付款日三十天后，卖方有权单方面取消整个合同，并没收买方已支付之定金、预付款和其他款项作为赔偿。若该笔款项不足弥补卖方之损失，则买方还需就不足部分支付赔偿金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedbankaccount.Thedateofpaymentforallamountsshallbetheofficialdateofreceiptbytheseller’sreceivingbank.IftheBuyer’spaymentislateforfivedays,itshallpayapenaltyonthelatesumfromthesixthdayatarateof0.1%perday.IftheBuyer’spaymentislateformorethan30days,theSellerhasarighttounilaterallyterminatethisContractandforfeitthedeposit,prepaymentandanyothersumsascompensation.IfsuchsumsarenotsufficienttocompensatetheSeller’slosses,theBuyershallpaytheSellertheamountofsuchdeficiency.第五条设计、制造进度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1卖方收到定金后四周内，应向买方提供设计所需的反力图及地脚螺栓布置图。买方应尽快将以上资料提交负责设计地基和基础的设计院。有关设计院的所有费用（包括图签费用）均由买方承担。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.5.2收到预付款后周，卖方应完成钢结构制造并通知买方派员到卖方工厂进行交货发运前检验。Withinweeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.5.3买方验收后已付卖方第4.3条货款后一周内，卖方应将产品运至工地现场。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.5.4买方若要求变更钢结构规格或设计，应以书面方式通知卖方，卖方在可能的情况下尽量满足买方要求，但卖方可视增加之工时和材料调整本合同价格及期限，经买卖双方同意后才生效。所有钢结构规格或设计之变更，若因买方未能于两天内签置卖方所提供的有关确认文件，均视为买方取消变更要求，回复原本规格或设计。如因此而造成钢结构设计或制造之延误，则买方须承担一切责任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.5.5除天灾人祸等不可抗力因素及因买方未尽本合同责任之情形以外，如卖方逾期完成以上任何一项义务，须从逾期第四天起按日支付该笔逾期款项0.1%的罚款，但该罚款不应超过本合同总价之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.5.6第5.2及5.3条所提到的交货时限是以买方在收到钢结构设计图后七天内把确认图还给卖方和买方在收到验收通知后七天内派员到卖方工厂进行货物检验为根据。买方每逾期一天确认设计图或到卖方工厂验货，无论什么原因，卖方的交货时限会延迟两天，如该逾期超过七天，卖方有权根据其当时的业务要求重新安排交货时间。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.5.7买方应赔偿或补偿卖方因买方造成的交货延误所受到的所有损失，包括（但不限于）货物贮存的费用，该费用以每天每吨人民币83元计算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.第六条装运和清点Article6.Packing,ShippingandInventory6.1钢结构制造完毕、经买方验收后方能装运到工地现场。卖方应提前一周前通知买方其发运日期以便买方为卖方提供工作条件上的方便，例如提供现场物资存放的道路、场地及水电供应等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.6.2货物到达工地现场后，买方应即时清点及验查货物质量并签收。如有损坏，买方应即时通知卖方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.6.3工地现场的卸货由买方负责，如有延误，所有费用由买方负责。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.第七条产品检验Article7.InspectionofGoods7.1如在验收过程中，买方发现货物的质量、规格、性能与合同不符合，卖方可按买方的要求退换或修复，达到合同要求。如有争议，买方可申请上海进出口商品检验局就产品质量、规格及性能进行检验，所有费用由买方承担。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.第八条卖方声明和保证Article8.Seller’sRepresentationsandWarranties8.1卖方对产品质量作出下列声明及保证：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:8.2钢结构设计以美国MetalbuildingMembersAssociation(MBMA)建筑规范（1986年版）及相关技术文本为标准。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.8.3卖方对产品的质量保证期为一年，在产品送达工地现场一年内，如产品在正常操作情况下出现质量问题，卖方会免费提供维修服务。此产品质量保证不包括因买方不当处置产品引致之问题或原材料引致之间接损失或随之发生的损害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.第九条技术资料和单据Article9.TechnicalInformationandReceipts9.1卖方应在产品送达工地现场一周前，把下列技术资料交给买方：WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1由制造厂发出产品说明书一份；和Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2施工图一式三份。Threecopiesoftheconstructiondrawings.9.2卖方应于卖方在产品运出后，把下列单据交给买方：Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1税务发票，内容注明本合同编号、项目名称等；Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.2.2交货清单一式四份；Fourcopiesoftheinventorylistofthegoodsdelivered;9.2.3制造厂签发的质量证明书；和Thequalityandquantitycertificateissuedbythemanufacturer;and第十条不可抗力Article10.ForceMajeure10.1买卖双方中任何一方，由于人力不可抗力事故而影响合同执行时，则延迟履行合同的期限，延迟的时间相当于事故所影响的时间，受事故影响一方应于事故发生后三天内将所发生的不可抗力事故的情况用传真方式通知对方，并在十天内递交有关证明交件给另一方确认。当不可抗力事故终止后，受事故影响的一方应于事故终止后三天内用以传真方式通知对方，并以信件证实。任何不可抗力事故影响合同执行超过12周以上的，双方应应合同执行的有关问题进行协商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidenceofsucheventwithin10daysoftheoccurrenceofsuchevent.Aftertheforcemajeureeventhasterminated,theaffectedpartyshallnotifytheotherpartybyfaxwithin3dayaftertheterminationofsucheventfollowedbyalattertoevidencesuchtermination.ThepartiesshalldiscusstheproblemsofthisContractifanyforcemajeureeventshallaffectsuchperformanceformorethan12weeks.10.2不可抗力事故包括任何预料之外事件，如战争、叛乱、暴动、骚动、火灾、罢工、自然灾害、禁运及任何其他卖方控制范围以外之事件。Forpurposeshereof,forcemajeuremeansanyunforeseeableevent,suchaswar,insurrection,mobaction,civilcommotion,fire,strike,naturaldisaster,embargoandanyothereventoutsidethecontroloftheSeller.第十一条仲裁Article11.Arbitration11.1凡因执行本合同所产生的或与本合同有关的一切争议，双方应通过友好协商解
