喀麦隆共和国锡精矿出口合同（中英文对照）Article8–Destinations条款8－目的港8.1Thedateofthebillofladingshallbeconsideredthedateofshipment.提单日视为装船日8.2Thetermsandconditionsofthecharterpartyagreementbetweenbuyerandtheseafreightlinermustcomplywiththetermsandconditionscontainedinthiscontract.IfanyofthetermsandconditionsdetailedinTheCharterPartyAgreementconflictswiththoseinthiscontract,thetermsandconditionsinthiscontractwillprevail.租船协议必须按照该合同条款来执行。如果租船协议与该合同条款冲突，应按照该合同条款来执行。8.2AlltaxesanddutiesorimportfeesimposedorleviedincountryoffinaldestinationshallbefortheaccountofBuyer.AlltaxesanddutiesorexportfeesimposedorleviedinsideofcountryofloadingportshallbefortheaccountoftheSeller买方由于进口产生的所有税费和进口费用由买方来承担。卖方由于出口产生的所有税费和出口费用由卖方来承担。8.3Bysigningthisdocument,buyerguaranteesithasauthoritytoimportthecommodity.签订合同时，买方承诺可以进口该商品8.4Destinationport:Shanghai-China目的港口：上海－中国Article9–Payment条款9－付款9.1ThebuyershallopenirrevocableLetterofCreditofgoodsvalueof25DMT（+/-10%）infavorofsellerwithin7workingdaysafterexecutionofthiscontractpayableatsightagainstdocumentsasspecifiedinArticle10买方签订合同后7个工作日内根据条款10的付款方式开具收益人为卖方的50DMT的货物的不可撤销即期信用证9.2Firstpayment90%ofthesignedcommercialinvoice,basedontheloadedquantity/quality.首付为按照装运港的数量/质量做成的商业发票的90%金额9.3Remainingpaymentof10%afterSGScertificateissuedinChina.余款10%按照在中国根据SGS(中国)报告进行支付9.4Inthecalculationofinvoicevalue,twodigitsafterdecimalpointshallbetakenandwiththethirddigitroundedupforinvoiceamount,weightandchemicalcontents.根据重量和理化指标，发票金额四舍五入，精确到小数点后两位数字。CommercialInvoice商业发票:9.5.TheSeller’sProvisionalcommercialinvoiceshallbemadeoutforinitial90%ofthevaluebasedonthepriceassetforthinArticle7.3andcalculatedonthebasisofqualityandweightinAfricaaspercertificatesofqualityandweightissuedbySGS.按照的SGS公司出具的质量和磅码单卖方开具的暂结90%的商业发票9.6.TheSeller’sFinalcommercialinvoiceforthebalancesettlementshallbebasedonthepriceassetforthinArticle7.3andcalculatedbasisCertificateofQualityandWeightissuedbyAHK/ASA/CCIC/CIQatdischargeport.Theseller’sfinalcommercialinvoiceshouldbeissuedbasedonthecertificateresultbySGS.卖方的最终发票根据条款7.3按照目的港口SGS的质量和磅码单进行开具，最终发票金额需建立在SGS报告上。9.7Allbankingchargesatbuyer’sbankaretotheaccountofbuyer；Allbankingchargesatseller’sBankaretotheaccountofseller.买方银行产生的所有费用由买方银行承担，卖方银行产生的所有费用由卖方银行承担Article10ShippingDocumentstobepresentedforpayment条款10—单据A.Documentsrequiredforinitial90%paymentunderL/C:L/C下90%的付款款项所需单据a)Thesellersignedandstampedprovisionalcommercialinvoicesintriplicateshowingthe90%provisionalamountand100%goodsvalue.卖方签字和盖章的暂结100%货物金额开具的90%金额的暂结商业发票一式三份。b)3/3originalcleanonboardbillsofladingmarked“freightprepaid”consigneeorCombinedB/Ltoorderandnotifyingbuyer’sdesigneeattheportofdestinationandthebuyerwithblankendorsed.3/3原始清洁提单表明运费已付或者并装提单。c)Originalpackinglistintriplicate正本装箱单一式三份d)Theinspectioncertificationofquality/weightintriplicateissuedbySGSinAfrica由SGS在非洲出具的质量和磅码单一式三份e)Insurancepolicy/certificateinduplicatefor110%oftheinvoicevaluecoveringallrisks,WarrisksandSRCC.按照发票金额110%保险的险单一式两份f)non-radiationreportissuedbySGS(Africa)由非洲SGS出具的无辐射报告g)OriginCertificateissuedbyChamberofcommerce由商赞处出具的原产地证书B．BalancepaymentwillbepaidoutsideL/CbyT/T,therequireddocumentsareincluding:余款由T/T支付，所需单据如下a)Seller’sfinalinvoicesaccordingtotheresultofSGS(China)intriplicate卖方根据目的港SGS(中国)报告开具的最终发票b)ThecertificateofqualityissuedbySGS(中国)indischargingport（Faxcopies）.目的港开具的SGS(中国)的传真件article11:insurance条款11:保险11.1.thesellershallarrangetheinsurance.卖方应安排保险article12:weighing条款12磅码A.WEIGHINGATLOADINGPORT装运港磅码Attheloadingport,theSellerattheSeller'sexpenses,appointSGStodeterminetheweightofshipmentbyscaleweighing.SellershallusethisweightasbasisoftheProvisionalinvoice.SellershalladviseBuyerbyfax/emailwithin5workingdaysaftersailingofthevesselfromloadingportofthecontentsofsuchweightandtheamountoftheprovisionalinvoice.在装运港口由卖方付费指SGS进行货物的磅码。卖方使用这个磅码结果在船开出后5个工作日用传真/邮件的方式告知买方重量和暂结发票金额。Buyermayatbuyer’sexpenseshaveitsrepresentativeatthetimeofsuchdeterminationattheloadingport.买方可以自付费用在装运港进行监磅B.WEIGHINGATDISCHARGINGPORT目的港磅码Atthedischargingport,thebuyeratthebuyer'sexpensesshallapplySGS(China)toinspectanddeterminetheweightofshipmentbyscaleweighing,TheSGS(China)weightinspectionresultsatdischargingportwillberegardedasfinal.目的港买方付费指派SGS(中国)进行磅码，其结果作为货物的最终结算依据Sellermayatseller’sexpensehaveitsrepresentativepresentatthetimeofsuchdetermination.卖方可以自付费用在目的港进行监磅Article13–Sampling&Analysis条款13－取样和化验13.1Atthetimeofloadingofeachshipment,SGS(Africa)appointedbySellerandapprovedbyBuyer,shalltakerepresentativesamplesinaccordancewiththesubjecttoanyadditionand/oramendmentstobemutuallyagreeduponbySellerandBuyerbeforetheshipmentcommences.TherepresentativesamplesshallbesubdividedintofourportionsinaccordancewiththestandardandoneoftheportionsshallbeanalyzedtodeterminedthepercentagesofTin,(Sn)physicalcompositionandthefreemoisturecontentat105CelsiusdegreesassetforthinArticle2.Theanalysisshall,inprinciple,beconductedinaccordancewiththestandard.ThreeportionswillbekeptbySGS(Africa).ThecostofsuchsamplingandanalysisshallbeforSeller'saccount.Ifthebuyerisnotsatisfiedwiththeresult,thenthebuyerhastonominateotherauthorizedentitytoinspectatbuyer’s13.2Onceatdestination,buyerwillhaveSGS(China)toanalysetheshipmentinordertoconfirmtheSGS(Africa)analysistakenatleavingport.Iftherearesignificantdifferencesbetweenbothcertifications,BuyerandsellerwillsettlethesituationbyhavingAHK/ASAclearingthediscrepanciesout.每一批装运由卖方经买方同意指派SGS进行取样和化验Sn,粒度和水份。按照标准进行化验，样品一式四份，三份由SGS保留。卖方支付装运港口取样和化验费用。目的港口买方指派SGS进行取样和化验，买方支付取样和化验费。如果双方化验结果无重大差距，买卖双方根据目的港报告进行结算Article14:titleandrisk条款14：所有权和风险thetitlewithrespecttoeachshipmentshallpassfromsellertothebuyerwhensellerreceivesreimbursementoftheproceedsfromtheopeningbankthroughthenegotiatingbankagainstthepresentationofrelativeshippingdocumentsassetforthinclause9卖方呈交条款9所要求的单据并通过议付行收到从开证行交付的货款，这表明所有权进行了转移。Article15:lossofcargo条款15：货物遗失Intheeventofatotalpartiallossofcargoaftercompletionofloadingonboardthevesselandbeforecompletionofdischargeatthedischargingport(s),BuyershallmakepaymenttoSelleronthebasisoftotalvalueoftheBill(s)ofLading.在货物离开装船港到达目的港之前，如果货物没有整个或者部分遗失，买方应按照提单等单据支付货款Article16–ForceMajeure条款16－不可抗力16.1TheForceMajeureClauseoftheICCStandardshallapplytothisContract.ICC的不可抗力条款适合本合同16.2SellershallnotbeliableforthefailuretoperformtheobligationsunderthisContractwheresuchForce-MajeureCircumstancesareoccurred.当不可抗力发生，卖方不承担不履行该合同的后果16.3SellershallnotifyBuyerimmediatelybytelex,Faxore-mailwithin15daysfromtheoccurrenceofForceMajeureCircumstanceswithaCertificateoftheoccurrenceissuedbytheLocalGovernmentAuthoritiesorChamber
