ThePartiesagreetotheTermsandConditionsasfollows:在此：双方同意以下的合同条款1.SCOPEOFTHECONTRACT:合同适用范围：a)

TheSeller,underfullauthorityandresponsibility,declaresthathehasthecapabilityandunrestrictedrighttoselltheGoldandguaranteesthatheiscapabletolegallyexporttheGoldDust.卖方在完全权利和责任下，声明其有能力和自由权利去销售黄金及保证是合法出售。Sellermustpay

thefulloflocaltaxes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforigintobuyerdesignatedairport.卖方必须全额支付当地税费，关税，保险，检验，政府费用，从当地到机场运费，机场到最终买方目的地机场运费。Afterthegoldisdeliveredtobuyerdesignatedairport,

SellerRepresentativeorShippingAgentmustallowthebuyerto

seeandinspectthewholequantityoftheproductinperson.

SellerRepresentativeorShippingAgentisnotallowedtoask

forrandomsamplefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100%atagobyswifttransferaftersatisfactoryfinalassayreportforthewholequantityinbuyerselectedrefinery.当黄金运送到达买方目的地机场，卖方代表人或运输代理必须同意让买方亲自看和检测全部的数量。卖方代表人或运输代理不能收取随机抽样费或者外交费或者安全保管费或者仓库发放费等等，100%的货款必须在买方的精炼厂对全部数量做出最终的满意报告后进行电汇。b)

TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilitytopurchasetheun-refinedgoldandsuchpurchasewillbeincreasedwithoptionsofannualextensions.买方在完全法人权利和责任下声明其和其合作伙伴完全由能力去采购未提炼的黄金及今后将会增加年度采购量。AnyexcuseofdelayedorpartialpaymentisnotacceptedafterfinalassayandthevalueacceptedbybothBuyerandSeller.当双方接受最终的检验报告和接受其价值后，任何的延迟或部分付款理由都不再接受。c)Shouldanyirregularitiesduringthecourseofthisexerciseisexecuteddetailsshallbenotifiedtotherelevantauthoritieswhichwillbefollowedupbyaruthlesspursuitforbreachofcontract.如果在履行条款的过程当中，发生任何不法行为的将会报告给监管当局进行违约合同的无情控诉2.COMMODITYSPECIFICATIONS:物品描述3.QUANTITY:数量SelleragreestosellanddelivertotheBuyerundertheTermsofthisAgreementaspotquantityof500KG.The100KGcanbedeliveredontranchesof100KG.Ifrequestedbytherefinerybaseddailycapacity.AndtrancheswillbedeterminedbyorBuyer.卖方同意按照本协议的现货500KG销售和交货，100KG可以作为一部分交货，如果基于精炼厂每日产能，数量可由买方决定。4.PRICE:价格：USD/KGCIF价a)ThepricepayablebytheBuyertotheSellerisfixedatpriceUS$XXXXXUSDperkgofgolddustCIF.这个价格是买方向卖方应付的固定价格USDXXXXXKG，CIF

b)TheSellerwillpayalltaxes,duties,insurance,etc,inthecountryoforigin.卖方将在原产国支付全部的税费，关税，保险等TheSellerwillbeartheshippingcostfromthedeparturepoint(Accra,Ghana)totheBuyer’sdesignateddestinationairport().卖方将要承担从出发站阿克拉到买方目的地机场运费

TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyer’sdesignatedairport()undertheSeller’snamebutattheBuyer’sCosttotheBuyer’sdesignatedrefinery.买方将在进口港通过海关进行黄金的清关

e)TheBuyerwillbephysicallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywascompletedtotherefinery.BuyerwillnotifytheSellerofsuccessfulcompletionofeventsinwrittenform.买方将要在进口海关确保整个流程是按照实际的完整交货到精炼厂，买方要以书面形式通知卖方事情已成功办理完成了。f)

LegalOwnershipofGoldDustisretainedbytheSelleruntilthepaymentinfullisreceivedbySeller’sbankfromtheBuyer.黄金的法定所有权保留在卖方手里直到收到买方的所有货款。6.PAYMENTTERMS:付款方式：FinalpaymentfortheGoldshallbemadebyWireTransfertotheSeller'sdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNoticewillserveaspartofthecontractandhasthesamelegaleffect.在收到精炼厂的检验报告的48小时内，最终的货款将通过转账到卖方指定的银行账户，付款通知将视为合同的一部分及拥有相等的法律效力7.PROCEDURE:

BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.买方签了这个协议并通过邮件发给卖方签名。2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAssayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.买方要通知其银行发出MT799的电文做资金支付能力证明以便验货认可后能电汇给卖方银行的对双方的保证。3.UponreceiptofconfirmationslipofthebankMT799bySeller’snominatedbankSellercommencepackagingofthesaidquantityanddelivertothechoiceofRefineryoftheBuyerforfinalAssaytonecessitateout-rightfullpayment一旦卖方指定银行收到MT799电文的确认书，将会着手包装所说的数量和交货到买方选择的精炼厂做最后的检验以便全款的顺利支付4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyer’sdestination().在接到银行MT799的确认电文10天内，卖方将动身去买方的目的地5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.买方必须亲自进行整批货数量的检验和确认6.

AssaywillbeconductedatBuyers’accountatthepresenceofbothbuyerandSellerinBuyer’schoiceofrefineryin当买方和卖方现场在买方指定的精炼厂时，检验费将由买方账号扣除7.

PaymentwillbefacilitatedbyanAuthorityInvoicefromtheSeller.付款将按照由卖方出具的一份权威发票进行。8.

PaymentbytheBuyershallbemadetotheSeller'sdesignatedBankwithin5daysafterreceiptoffinalassayreportfromtherefineryanditsvaluewillbeacceptedbybothBuyerandSeller.在接收到由买方指定的精炼厂发出的双方都接受的最后检验报告的5天内买方要付款给卖方指定的银行。8.DOCUMENTS:文件：Theshipmentanddeliveryshallbeidentifiedwithallassignedcontractreferencecodesandnumbers.SellertoprovidethefollowingdocumentstoBuyerpriortoarrivalofthegold:发货和交货应该等同于所签合同参考的编号和数字，卖方提前提供以下文件给买方TwooriginalsofCommercialInvoicesinfavouroftheBuyer2份买方赞同的正式的商业发票CertificateOfOrigin原产地证CertificateOfOwnership

所有者证明ExportPermit出口许可证PackingList装箱单OriginalCopyoftheAirwayBill空运单的复印件CustomsDeclarationForm(s)(suppliedbyBuyer,ifapplicable)报关单（如果可能的话，买方提供）Declarationthatthegoldisfreeandclearandofnon-criminalorigin,unencumberedandfreeofanyliens,andistransferableandexportable声明这个黄金没有牵连和没有犯罪来源，没有阻碍和没有扣押权，是可转让和出口的。9.TITLEOFGOODS货物所有权:TheTitletothegoldshalltransferfromtheSellertotheBuyerimmediatelyuponclearingCustomsandwillbeplacedintotheaccountoftheBuyerattherefinerywiththenecessarydocuments.Provided,however,Buyerwillnottakelegalownershipuntiltheagreedpriceofthegoldispaidasperthiscontractafterfinalassayfromtherefinery.通关于手续一旦办理完，黄金的所有权由卖方转移给买方，并同必要的文件一同置于买方的提炼厂。但是，如果在提炼厂做出最后化验后，买方没有根据本合同约定好的黄金价格与预付款，则买方没有法律所有权。10．CLEARTITLE明确所有权:SellerconfirmsandwarrantsthattheTitleofthegoldtobesoldhereinwillbefreeandclearofanyandallLiensandencumbrancesandSellerstatesthatthegoldisnotofterroristand/orcriminalorigin.卖方确认并保证，在这里出售的黄金所有权无任何留置权和产权负担。卖方申明，黄金不是来自罪犯和、或恐怖主义分子。11.WARRANTIES特约条款:TheSellershallpayalltherequireddutiesandchargesincountryofexport.卖方应支付所有出口所需的费用。Sellerwarrantsthatthecommoditycanbeshippedtoanywhereintheworldwithoutrestrictions.卖方保证商品不受任何限制的运送到世界的任何一个地方。TheSelleragreestoacceptthefinalassayreportfromtheBuyer'sdesignatedrefinery,acceptingpaymentofeachshipmentafterfinalassayofthegold.卖方同意接受买方指定的提炼厂的最终化验报告，接受黄金化验后的每批货物的付款。AdditionalchargesduetotheexcessiveimpuritycontentofthegoldwillbedeductedfromtheamountpayabletotheSeller.由于黄金杂质含量过高，附加费将扣除后支付给卖方。12.FORCEMAJEURE不可抗力:Thepartiesheretoshallnotbeheldliableforanyfailuretoperformunderthe"ForceMajeure"clauseasregulatedbytheInternationalChamberofCommerce,Paris-Francewhichclausesaredeemedtobeincorporatedherein.法国巴黎国际商会规定的“不可抗力”条款纳入本合同。双方应执行不可抗力条款。13.ETHICS:(NON-CIRCUMVENTIONandNON-DISCLOSURE)诚信：（非规避和保密）BuyerandSellerandCarrieracknowledgethattheharmtotheotherpartywouldbesubstantialandthereforetheSellerandBuyeragreetoabidebytheCustomaryInternationalrulesofnon-circumventionandnon-disclosureasestablishedbytheInternationalChamberofCommerceinParis,Franceforaperiodoffive(5)yearsfromthedatehereof.SaidNon-circumventionandnon-disclosureshallinclude,butnotbelimitedtocommunicatingwitheachother'sbanks,refiners,representativesofBuyerdealingwithCustoms,brokersorSeller'smandate.TheunderstandingandaccordofthissubparagraphwillsurvivetheterminationofthisAgreement.买方，卖方和承运人承认对方的伤害将是巨大的，因此，卖方和买方同意在本合同生效起五年之内，遵守法国巴黎国际商会制定的国际惯例的非规避和保密规则。非规避和保密规则应当包括但不限于：与对方的银行，提炼厂，处理通关的买方代表，经纪人或卖方的委托人的交流。本条款将在本协议终止之日失效。14.TOTALAGREEMENT整个合同:ThisAgreementsupersedesanyandallprioragreementsandrepresentstheentireAgreementbetweentheparties.Nochanges,alterationsorsubstitutionsshallbepermittedunlessthesameshallbenotifiedinwritingandsignedbybothparties.本协议取代任何及所有先前的协议，代表双方之间的全部协议。除非有经双方签字的书面通知，否则禁止改动或替换。15.EXECUTIONOFTHISAGREEMENT本合同的执行:ThetermsofthisAgreementshallbeConfirmedandsignedbytheBuyerandtheSellerandcarrierviafacsimileorEmail.SaidexecutedfacsimileoremailshallbebindingandinitiatesandconcludesthelegalliabilitiesbetweenBuyerandSellerofthisAgreement.Bysigningbelow,allpartiesabidebytheircorporateandlegalresponsibility,andexecutethisAgreementunderfullpenaltyofperjury.AnydisputeordisagreementofanykindbetweenthesignatoriestothisagreementshallberesolvedbybindingarbitrationinaccordancewiththelawsofGhanaandthearbitrationtribunalshallconsistofthree(3)arbitratorschosenbythepartiesfromaslateofeight(8)proposedarbitratorsprovided...本合同条款由买方，卖方和承运人通过传真或电子邮件确认并签署。传真或电子邮件对买方和卖方之间就此合同的法律责任具有约束力。在签署本合同之后，各方遵守他们的法律责任，若违反此合同，将处与罚款。任何争议或签署合同出现的分歧应在加纳法律下通过有约束力的仲裁解决，仲裁庭由买卖双方在备选的八名仲裁员中挑选三名组成。Ifthepartiesareunabletoagreeonallthreearbitratorswithinseven(7)daysafterreceiptoftheslateprovided,anappointmentshallbemadebytheArbitrationbody.Thedecisionofthetribunalshallbefinalandbindingandnoappealshalllietherefrom.Thetribunalshallhavethepowertoorderonepartytocontributetothereasonablecostsandexpensesoftheotherparty,ortopayalloranyportionofthecostsofthearb
