1.PurposeoftheContract

2.TermsandConditions

2.1ScopeofWork

2.2Delivery

PartyAshalldelivertheGoods/ServicestoPartyBinaccordancewiththeagreedscheduleasspecifiedinExhibitA.AnydelayindeliveryshallbepromptlycommunicatedbyPartyAtoPartyB,alongwiththereasonsforthedelay.

2.3Payment

PartyBagreestomakepaymenttoPartyAfortheGoods/ServicesasspecifiedinExhibitA.Thepaymentterms,includingtheamount,currency,andduedates,areoutlinedinExhibitA.

2.4IntellectualPropertyRights

AnyintellectualpropertyrightsarisingfromtheprovisionoftheGoods/ServicesshallbeownedbyPartyA,unlessotherwiseagreeduponinwritingbybothparties.

2.5Confidentiality

BothpartiesagreetokeepconfidentialanyinformationreceivedfromtheotherpartyduringtheperformanceofthisContractthatismarkedasconfidentialorshouldbereasonablyunderstoodtobeconfidential.

3.TermandTermination

3.1Term

ThisContractshallcommenceonthedatefirstwrittenaboveandshallremainineffectuntilthecompletionoftheprovisionoftheGoods/Services,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.2TerminationforConvenience

EitherpartymayterminatethisContractbyprovidingwrittennoticetotheotherpartywithanoticeperiodof[NumberofDays]days.

3.3TerminationforBreach

EitherpartymayterminatethisContractintheeventofamaterialbreachbytheotherparty.Thenon-breachingpartyshallprovidewrittennoticetothebreachingpartyspecifyingthenatureofthebreach.Ifthebreachingpartyfailstoremedythebreachwithin[NumberofDays]daysofreceivingthenotice,thenon-breachingpartymayterminatethisContract.

4.GoverningLawandDisputeResolution

4.1GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

4.2DisputeResolution

AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifthedisputecannotberesolvedamicably,itshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].

5.EntireAgreement

ThisContract,includingallattachedexhibits,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten.

6.Amendments

AnyamendmentsormodificationstothisContractshallbemadeinwritingandsignedbybothparties.
