SOFTWAREEVALUATIONLICENSEAGREEMENTFORPROCESS,POWER&MARINESOFTWAREPRODUCTS

ThisSoftwareEvaluationLicenseAgreement(“Agreement”)isalegalagreementbetweentheEvaluator(eitheranindividualorasingleentity)andIntergraphCorporation, ngbusinessasProcess,Power&Marine(hereinafterreferredtoas“PP&M”).Evaluatorshouldcarefullyreadthefollowingtermsandconditionsbeforeloading,installing,oroperatingtheon-linecopyoftheproprietarysoftwareproductandrelated“on-line”orelectronication(hereinafterthe“Software”or“Product”).

TheProductcanonlybeloaded,installed,andoperatedinaccordancewiththetermsandconditionsofthisAgreement.Exceptasmayotherwisebeprohibited,installing,loading,oroperatingtheProductindicatesEvaluator’sacceptanceofthisAgreement,andEvaluator’sagreementtousetheProductinaccordancewiththefollowingtermsandconditions.

IfEvaluatordoesnotagreetocomplywiththetermsandconditionsofthisAgreement,Evaluatorshouldselectthe“NO”ButtonlocatedatofthisAgreementtoexitwithoutinstallingtheProductandpromptlyreturnthemediapackageunopened.Selectingthe“YES”ButtonlocatedatofthisAgreementandinstallingtheProductwillbedeemedacceptanceofthetermsofthisAgreement.

PP&MhereinofferstopermitEvaluatortoengageintrialuseoftheProductforacertainperiodtopermitEvaluatortoevaluatetheProduct.EvaluatorwishestoreceivetheProductforthepurposeofconductingthistrialuse.Accordingly,thepartiesagreeasfollows:

PP&MherebygrantstoEvaluatoranon-exclusive,non-transferablelimitedlicensetousetheProductforalimitedtimeforthesolepurposeofevaluationsubjecttothetermsandconditionsofthisAgreement.EvaluatorisnotauthorizedtousetheProductfordevelopmentorproductionpurposes.

EvaluatorshallhavenoownershiintheProductbyreasonofthisAgreement.Evaluatormaynot pile,disassembleorotherwisereverseengineertheProduct.TitleandsofownershipinandtotheIn lectualPropertyRightsandtheProduct,includingalltechnology,associated ation,dataandinformation,areandshallremainvestedinPP&MoraHexagonGroup .HexagonGroupmeansa controlleddirectlyorindirectlybyHexagonAB,aSwedishcorporation.Evaluatorshallnotuse,distribute,copy,perform,amend,alter,modify,exploit,sublicense,orassigntheProduct,oranyofPP&M’s,aHexagonGroup ’s,orrelevantthirdparty’sIn lectualPropertyRights(orpermitsuchtooccur)excepta presslypermittedbythisAgreement.

TheEvaluatorshallprovideinterviewsandreportsasrequestedbyPP&MconcerningitsopinionandevaluationoftheProduct.EvaluatorshallregularlyconsultwithrepresentativesofPP&MconcerningtheperformanceoftheProduct.PP&Mshallhavetherighttouseanyofthereports,information,andevaluationsfurnishedtoitbyEvaluatorinanymannerwhatsoeverandwithoutanylimitations.

ThePP&MProductisdesignedtoautomaticallyterminatewithoutnoticeontheexpirationdatedeliveredwiththeevaluationkey.

PP&MshallhavetherighttoterminatethelicenseanytimeatthesolediscretionofPP&M.

TherewillbenochargebyPP&MforEvaluator’slimiteduseoftheProduct.

EvaluatoracknowledgesthattheProductandProductinformation,dataandtechnologyisinnature,isaproprietaryproductofPP&M,aHexagonGroup,andrelevantthirdparties,andisprotectedbycopyrightlawandinternationaltreaty.Therefore,Evaluatorshallnotdisclose,directlyorindirectly,ortakeanyactionthatwouldresultinthedisclosureofanyorproprietarydatawhatsoever,including,butnotlimitedto,reproductionofdata,software,orinformationfurnishedtoEvaluator.EvaluatoracknowledgesthatEvaluatorholdsnoright,title,privilegeorinterestintheProduct,information,orsoftwarefurnishedpursuanttothisAgreement.EvaluatorshallnotdiscussordisclosetoanypartyotherthanPP&MthetermsofthisAgreement,productinformation,northeresultsofanyevaluation,exceptwiththepriorwrittenconsentofPP&M.

EvaluatoragreestotaketheappropriatemeasurestoprotecttheandproprietarynatureoftheProduct,butinnocasewillthemeasuresbelesseffectivethanthosemeasuresusedtoprotectEvaluator’sownproprietarydataand/orsoftware.

PP&MMAKESNOREPRESENTATIONSORWARRANTIESWITHRESPECTTOTHEPRODUCT,WHETHEREXPRESSORIMPLIED,REGARDINGITSUSEORPERFORMANCEANDMAKESNOREPRESENTATIONSORWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.EVALUATORACCEPTSTHEPRODUCTINAN“ASIS”CONDITIONWITHOUTWARRANTIESOFANYKIND.

INNOEVENTSHALLPP&MORAHEXAGONGROUPBELIABLEFORANYDAMAGESARISINGOUTOF,ORINCONNECTIONWITH,THEUSEOFTHEPRODUCT,INCLUDINGBUTNOTLIMITEDTOANYDIRECT,INDIRECT,IAL,SPECIAL,PUNITIVE,ORCONSEQUENTIALDAMAGES,ORCORRUPTIONORLOSSOFDATA.

Uponexpirationorterminationofthelicensehereingranted,EvaluatorshallreturntoPP&MallcopiesoftheProductandanyotherdatafurnishedbyPP&Minconnectionherewith.Inaddition,EvaluatorshallreturntoPP&MordestroyallreportsorevaluationsoftheProduct.

Uponexpirationofthetermofthelicensehereingranted,includinganyextensionsthereof,EvaluatorshallhavetherighttolicensetheProductfromPP&MatthestandardpricesandtermspublishedbyPP&M.HoweverEvaluatorwillbeundernoobligationtopurchase,lease,orlicensetheProductbyreasonofthisAgreement.

ThisAgreementandthelicensecontainedhereinshallnotbeassignablebyEvaluatorwithouttheexpresswrittenconsentofPP&M.

Evaluator’sobligationtomaintainity,alldi ersofwarranties,andlimitationsofliabilitysetforthinthisAgreementshallsurvivetheterminationofthisAgreement.

ThisAgreementsupersedesallprioragreements,whetherwrittenororal,concerningthesubjectmatterherein,andmaynotbeamendedormodifiedexceptbywrittenconsentofbothparties.

ShouldyouhaveanyquestionsconcerningthisAgreement,youmaycontactyourlocalPP&MofficeorwriteProcess,Power&Marine,300IntergraphWay,Madison,Alabama35758.

DisputeResolution:ForanycontroversyorclaimthatmayariseoutoforinrelationtothisAgreementorwithrespecttobreachthereof,thepartiesagreetoinitiallyseektosolvethematteramicablythroughdiscussionsbetweentheparties’pointsofconta listedherein.Shouldthepartiesfailtoresolvesuchcontroversyorbreachbyamicablearrangementand/orcompromisewithinthirty(30)daysofthenoticeofdispute,suchdisputeshouldbeescalatedtoparties’uppermanagement.Shouldthepartiesfailtoresolvesuchcontroversy,claim,orbreachbyamicable

arrangementand/orcompromisewithinthirty(30)daysofthedisputebeingbroughttotheattentionofparties’uppermanagement,thenthepartiesmay,attheirsolediscretion,seekresolutionthroughnon-bindingmediation.Ifeitherpartyisnotsatisfiedwiththeresultofthenon-bindingmediation,suchpartymayseeklegalrecoursethroughthecourtsinthejurisdictionchosenherein.NopartymaycommencelitigationinrelationtoanydisputearisingoutofthisAgreementuntilithasattemptedtosettlethedisputebynegotiationandmediation,andthemediationhasterminated,ortheotherpartyrefusedtoparticipateinthemediation.AnytimeperiodstatedinthisSectionmaybereducedforthesolepurposeofavoidingtheexpirationoftheStatuteofLimitationsfortheeventmadethebasisofthecontroversy.

ThisAgreementshallforallpurposesbeconstruedandendunderandinaccordancewiththeLawsoftheStateofAlabamaandshallhavebeendeemedtohavebeenexecutedinHuntsville,Alabama.ThepartiesagreethatanylegalactionorproceedingrelatingtothisAgreementshallbeinstitutedintheCircuitCourtforMadisonCounty,AlabamaortheUnitedStatesDistrictCourtfortheNorthernDistrict,NortheasternDivision,ofAlabama,USA.Thepartiesagreetosubmittothejurisdictionof,andagreethatvenueisproperinthesecourtsinanysuchlegalactionorproceeding.ForjurisdictionsoutsidetheUnitedStates,thefollowinglanguageshallalsoapply:ThepartieswaivetheapplicationoftheUnitedNationsCommissiononInternationalTradeLawandUnitedNationsConventiononContractsfortheInternationalSaleofGoodsastotheinterpretationorenmentofthisAgreement.

IntergraphCorporation’ssoftwareproduct(s)andanysoftwareproductsobtainedfromIntergraphCorporation,itssubsidiaries,ordistributors(includinganyationortechnicaldatarelatedtotheseproducts)aresubjecttotheexportcontrollawsandregulationsoftheUnitedStates.DiversioncontrarytoU.S.lawisprohibited.TheseIntergraphCorporationsoftwareproductsandanysoftwareproductsobtainedfromIntergraphCorporation,itssubsidiaries,ordistributors,andthedirectproductthereof,mustnotbeexportedorre-exported,directlyorindirectly(includingviaremoteaccess)underthefollowingcircumstances:

ToCuba,Iran,NorthKorea,Sudan,orSyria,oranynationalofthesecountries.

ToanyorentitylistedonanyUnitedStatesernmentdeniallist,including,butnotlimitedto,theUnitedStatesDepartmentofCommerceDenied s,Entities,andUnverifiedLists,theUnitedStatesDepartmentofTreasurySpeciallyDesignatedNationalsList,andtheUnitedStatesDepartmentofStateDebarredList

(main023148.asp).

ToanyentitywhenEvaluatorknows,orhasreasontoknow, useoftheIntergraphCorporationsoftwareproduct(s)oranysoftwareproductsobtainedfromIntergraphCorporation,itssubsidiaries,ordistributors,isrelatedtothedesign,development,production,oruseofmissiles,chemical,biological,ornuclearweapons,orotherun-safeguardedorsensitivenuclearuses.

ToanyentitywhenEvaluatorknows,orhasreasontoknow,thatanillegalreshipmentwilltakece.

Anyquestionsregardingexportorre-exportoftheIntergraphCorporationsoftwareproductsorsoftwareproductsobtainedfromIntergraphCorporation,itssubsidiariesordistributorsshouldbeaddressedtoProcess,Power&Marine,ExportComplianceDepartment,305IntergraphWay,Madison,Alabama35758,USA.

EvaluatorshallholdharmlessandindemnifyPP&MforanycostsandordamagesresultingtoPP&MfromabreachofthisArticlebyEvaluator.

NeitherpartywillusethenameoftheotherpartyinconnectionwithanyadvertisingorinanypublicationconcerningthesubjectmatteroftheAgreementwithoutpriorwrittenpermission.

Wheneverpossible,eachprovisionofthisAgreementandeachrelatedshallbeinterpretedinsuchamannerastobeeffectiveandvalidunderapplicablelaw.However,ifanyprovisionofthisAgreementoranyrelatedshallbeprohibitedbyorinvalidunderapplicablelaw,suchprovisionshallbeineffectiveonlytotheextentofsuchprohibitionorinvaliditywithoutinvalidatingtheremainderofsuchprovisionortheremainingprovisionsofthisAgreementorsuchrelated.

THEFOLLOWINGADDITIONALLANGUAGEISAPPLICABLEWHENLICENSINGCERTAININTERGRAPHCADWORX& YSISSOLUTIONS,INC.(“ICAS”)PRODUCTS:

LimitedRunLicense.rtainProductsownedbyICASandsodesignatedineLicense,alimitedrunlicensemaybeavailable.Alimitedrunlicenseexpiresafspecifiednumberofyticalcalculationshavebeenexecuted.Forexample,inCAESARII,anysisisdefinedasanindividualstaticordynamicpipestressysiscalculation.Limitedrunlicensesaresoldinmultiplesoffifty(50)calculations.

CAESARII,PVElite,CADWorxDesignReview,CADWorxDesignViewer,andCodeCalcProducts.CAESARII,PVElite,CADWorxDesignReview,CADWorxDesignViewer,andCodeCalcUsersareherebynotifiedthatTechSoft3D,L.L.C.,931AshbyAve.,Berkeley,CA94710("TechSoft3D")isathird-partybeneficiarytothisAgreementtotheextentthatthisAgreementcontainsprovisionswhichrelatetoCAESARII,PVElite,CADWorxDesignReview,CADWorxDesignViewer,and/orCodeCalcUsers’useoftheProduct.SuchprovisionsaremadeexpresslyforthebenefitofTechSoft3DandareenablebyTechSoft3DinadditiontoPP&M.

Smart n ectricalDetailedandthesigraphProductscontainProgressSoftware.ThisthirdpartysoftwareislicensedtoPP&MandEvaluatorsubjecttothetermsofathirdpartylicense.PP&Mwill,atEvaluator’srequest,provideacopyofthislicense.Progress/ObjectStoresoftwareembeddedinSmart n ectricalDetailedandthesigraphProductsmayonlybeusedwithoraspartofSmart n ectricalDetailedandthesigraphProducts.

ANYOPENSOURCESOFTWAREISPROVIDED"ASIS",WITHOUTWARRANTYOFANYKIND,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOTHEWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSEANDNONINFRINGEMENT.INNOEVENTSHALLPP&M,THEAUTHORSORCOPYRIGHTHOLDERSOFTHEOPENSOURCESOFTWAREBELIABLEFORANYCLAIM,DAMAGESOROTHERLIABILITY,WHETHERINANACTIONOFCONTRACT,TORTOROTHERWISE,ARISINGFROM,OUTOFORINCONNECTIONWITHTHEOPENSOURCESOFTWAREORTHEUSEOROTHERDEALINGSINTHEOPENSOURCESOFTWARE.THEENTIRERISKASTOTHEQUALITYANDPERFORMANCEOFTHEOPENSOURCESOFTWAREPROGRAMISWITHEVALUATOR.SHOULDTHEOPENSOURCESOFTWAREPROVEDEFECTIVE,EVALUATORASSUMESTHECOSTOFALLNECESSARYSERVICING,REPAIRORCORRECTION.

NOTWITHSTANDINGTHELIMITATIONOFLIABILITYSTATEDABOVEFORPP&MPRODUCTS,INNOEVENTWILLPP&M,ANYCOPYRIGHTHOLDER,ORANYOTHERPARTYWHOMODIFIESAND/ORCONVEYSTHEOPENSOURCESOFTWAREASPERMITTED,BELIABLETOEVALUATORFORDAMAGES,INCLUDINGANYGENERAL,SPECIAL,ALORCONSEQUENTIALDAMAGESARISINGOUTOFTHEUSEORINABILITYTOUSETHEOPENSOURCESOFTWARE(INCLUDINGBUTNOTLIMITEDTOLOSSOFDATAORDATABEINGRENDEREDINACCURATEORLOSSESSUSTAINEDBYEVALUATORORTHIRDPARTIESORAFAILUREOFTHEOPENSOURCESOFTWARETOOPERATEWITHANYOTHERPROGRAMS),EVENIFPP&M,SUCHHOLDEROROTHERPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

Ifthedi erofwarrantyandlimitationofliabilityprovidedabovefortheOpenSourceSoftwarecannotbegivenlocallegaleffectaccordingtotheirterms,reviewingcourtsshallapplylocallawthatmostcloselyapproximatesanabsolutewaiverofallcivilliabilityinconnectionwiththeOpenSourceSoftware,unlessawarrantyorassumptionofliability paniesacopyoftheOpenSourceSoftwareinreturnforafee.

THEFOLLOWINGADDITIONALLANGUAGEISAPPLICABLEWHENLICENSINGSMARTNTCONSTRUCTIONSOFTWAREPRODUCTS:

SmartntConstructionSoftwareProductscontainBusinessObjectsSoftware.ThisthirdpartysoftwareislicensedtoPP&MandLicenseesubjecttothetermsofathirdpartylicense.PP&Mwill,atLicensee’srequest,provideacopyofthislicense.BusinessObjects/CrystalReportsRuntimeProductsoftwareembeddedinSmar
