EPC合同在国际工程履行中的风险研究摘要EPC合同是一种常见的国际工程履约方式，期望将工程设计、采购和施工等核心业务整合在一个合同中，从而降低项目成本和时间，并简化项目管理。本文探讨了EPC合同在国际工程履行中的风险，包括设计、采购、施工、质量、合规和付款等方面的风险，并分析了如何减少这些风险，包括提高监管和风险管理能力、了解本地法律和文化和加强合同条款等方面。关键词：EPC合同，国际工程，风险研究，项目管理，风险管理。IntroductionEPC(engineering,procurement,andconstruction)contractisaprevalentapproachtointernationalengineeringcontracts,whichaimstointegratecorebusinesses,includingengineeringdesign,procurement,andconstructionintoasinglecontracttoreduceprojectcostsandtime,andsimplifyprojectmanagement(Ghoshetal.,2019).AsEPCcontractsinvolvemultipleparties,awiderangeofriskscanthreatenthesuccessoftheproject,e.g.,technical,financial,legal,andculturalrisks.ThispaperaimstoexplorerisksinEPCcontractsininternationalengineeringactivitiesandprovideeffectivewaystomitigatetheserisks.RisksinEPCcontractsinInternationalEngineeringActivitiesDesignRisksTheriskofuncleardesignrequirementsisthemostcommondesignriskfacedinEPCcontractprojects,whichincludeserrorsindesign,incomplete,andambiguousspecification(Dolgopolovaetal.,2019).Inpractice,designchangesandmodificationscausedelaysandbudgetoverruns,leadingtopossibledisputesbetweentheparties.Moreover,inadequateengineeringexpertise,absenceofregulatorycomprehension,andinabilityofEPCcontractorstomaintaintechnicalstandardsfurtherexacerbatesdesignrisks.ProcurementRisksProcurementrisksprimarilyoriginatefromproductqualityandbusinessrelationswithsuppliers.Theseareknownassupplychainrisks.Lackofcontroloverthesupplier'ssidecanresultindelaysinprocurement,resultinginadelayofthewholeproject.ConstructionRisksConstructionrisksarerisksthatoccurattheconstructionsite,leadingtohighconstructioncostsandprojectdelays.RobustcoordinationofEPCcontractors,client,consultants,andanyotherintermediarypartnersisessentialforpreventinginjurieson-site.Also,theabsenceofpropersafetyandhealthstandardscanleadtoseverelegalactions.QualityRisksQualityrisksincludebothtechnicalqualityrisksresultingfromincorrectexecution,poorequipmentspecifications,andsubstandardrawmaterialsandmarketqualityriskscausedbylackoftesting,inspection,andregulatorycompliance.Qualityrisksoccurfrequentlyinprojectswherequalityassurancedemandsarelow.ComplianceRisksCompliancerisksorregulatoryriskscanstemfromtheEPCcontractor'slackofknowledgeofregulationsandlegalobligationsinthecountriestheyareoperatingin.Failingtocomplywithregulatoryandlegalobligationscangiverisetocostlyprosecutionforclients.PaymentRisksPaymentrisksareoneofthesignificantrisksforclientsinEPCcontractswhenpaymentconditionsarenotagreedupon;itcanresultinprojecttermination.Clientsmaysufferlossesorhavetopayadditionalexpensesiftheyhavenotcheckedthecontractor'sfinancialsituation.MitigatingRisksinEPCcontractsininternationalengineeringactivitiesImprovingRiskManagementandSupervisionCapabilitiesTominimizeprojectrisksunderEPCcontracts,clientsmustformulatecomprehensiveriskmanagementplansandmaintainstringentsupervision.Clientscanensurenecessaryprecautionsbyestablishingariskassessmentandmitigationplan,monitoringperformance,andcreatinganearly-warningsystemforriskincidents.UnderstandingLocalLawsandCulturesTominimizecompliancerisksandsuccessfullythrive,EPCcontractorsmustthoroughlyunderstandthecommonlaws,regulatoryagencies;culturalbeliefswhereprojectsareunderway.Thiscanhelpthemworkinharmonywithlocals,sortoutlegalcompliance,andreducetheriskofnon-compliancefines.StrengtheningContractTermsClientsshouldformulateworkablecontractualtermsandoutlinebeforehandtheclient'sobligations,contractors'obligations,compensationmechanism,forcemajeure,breachofcontract,andterminationterms.Thiscanhelpavoiddisputesduringprojectexecutionwhileminimizingrisksofsubsequentlosses.ConclusionEPCcontractsininternationalengineeringactivitiesadoptarobustmethodofcontracting,asitensurestheclientonlyhastoworkwithonecontractorwhoassumesresponsibilityfortheproject.However,thepossibilityofmultiplerisksaccompaniesthecontract.Wehaveexaminedsomeoftherisksandsuggestedapproachestoalleviatethem.Actioningtheserecommendationsbyclientsandcontractorscanenhancerelationships,minimizepotentialfinanciallosses,andleadtosuccessfulprojectexecution.ReferenceDolgopolova,I.,Zharikov,A.,Rubtsova,N.,&Dashkova,V.(2019).Evaluationofengineeringprocurementconstruction(EPC)contractrisks.JournalofPhysics:Confer
