工程项目管理服务协议AGREEMENTOFCONSTRUCTIONMANAGEMENTSERVICE当事方信息略）第一条甲方同意接受由乙方提供的工程项目管理服务，乙方将担任使用面积约为平方米，楼高约为—层及地下约为_层的钢筋混凝土建筑（以下简称"该项目”）的精装修工程及配套机电工程的管理及监理。关于服务范围参照甲乙双方在日签署的意向书。Article1.PartyAagreestoreceiveconstructionmanagementservicesprovidedbyPartyBastheConstructionManagerandSupervisor(CM)ofthecaptionedProjectwithutilizationareaofapproximately,squaremeterswhichisareinforcedconCretebuildingwithapproximately_floorsabove-groundandwithapproximately_floorsunderground,hereinafterreferredtoasthe“Project,”aspertoscopeofservicesstatedintheLetterofIntentbetweenPartyAandPartyBdated_.第二条双方同意在本协议项下作为工程项目管理的服务范围应当涵盖如下相关工作：Article2.UnderthisAgreementthepartiesagreethatthescopesofservicesrenderedfortheConstructionManagement(CM)hereundercoverstherelevantworks,asfollows:项目前期服务Pre-executionServices承包商资格预审Prequalificationofcontractors搜集资格预审的所需的资料。Obtainprequalificationinformationfrompotentialtenderers.配合甲方对各投标单位进行实地考察，并提交综合的资格预审报告。AssistPartyAinthesitevisittoeachpotentialtendererandsubmittheprequalificationreport.招投标Tendering拟定招标文件,并编制招投标文件及标底。Preparationoftenderdocumentsandpre-tenderestimate.根据图纸及项目情况拟定本项目所有相关专业的招标文件。甲方就可能对该招标事宜造成更多困难性及复杂性或者在施工过程中承包商是否能按时完成甲方要求的关键项目等工作类别进行评估，以确定是否对其进行拆分或合并。乙方应充分支持上述甲方的决定，并拟定甲方对拆分或合并的项目的招标文件，协助甲方选定合理的分包单位，以确保该项工程的顺利实施。Preparetenderdocumentsforalltheworkpackagesonthebasisofthedrawingsandprojectrequirements.PartyAwillassessthekeyworkcategorieswhichmaycausemoredifficultyandcomplexitytotheprocurementprocessorforwhichuncertaintyremainsonthecontractor'stimelycompletionofwork,inordertodecidewhethertoseparateorcombineworkcategories.Inthisregard,PartyBshallfullysupporttheaforementionedPartyA'sdecisionandpreparethetenderdocumentsfortheworkpackagesseparatedorcombined.PartyBshallassistPartyAintheselectionofsubcontractorstoensuresmoothexecutionoftheProject.招标方案Tenderingplan以适当的方式建议并评估其各部门的招标方案。Tosuggestandassessthetenderingplanofeachsection/departmentinanappropriatemanner.招标答疑Answeringtenderqueries根据招投标情况，组织各投标单位及相关单位对招标文件和图纸答疑ArrangeforthetenderingQ&A.评标Tenderassessment协助甲方与有关单位进行合同谈判，根据甲方批准的内容编制合同文件；AssistPartyAinthenegotiationswithrelatedparties,preparecontractdocumentsbasedontheconfirmationgivenbyPartyA.根据需要提供同类建筑设备材料价格的市场行情，供甲方参考；Provide(asrequired)marketpriceinformationonsimilarequipmentandmaterialsforPartyA'sconsideration;组织参加评标会议，针对投标单位的报价，进行技术标及商务标的评定及建议；并给出一份整体的评标报告书面给甲方，供甲方参考。Arrangeandparticipateintenderassessmentmeetings.Basedontheproposals,carryoutassessmentandgiverecommendationontechnicalproposalsandcommercialproposals;provideacompletewrittentenderassessmentreporttoPartyAforitsconsideration.招投标程序Tenderingprocedures需严格按照招投标程序进行操作，并对各阶段的评比情况及最后的总结书面汇报给甲方。Tenderingshallbecarriedoutinstrictaccordancewiththetenderingprocedures.TheassessmentresultsshallbesummarizedinawrittenreportsubmittedtoPartyA.2.1.3其它服务Otherservices提供其他工程所必需的造价咨询服务，包括但不限于：ProvideothercostconsultingservicesnecessaryfortheProject,includebutnotlimitedto:九协助甲方进行施工合同的管理工作；AssistPartyAincontractadministration;九为甲方提供工程成本控制的建议，运用技术、合同等手段有效控制成本；ProvideadvicetoPartyAonhowtocontrolcostbyusingtechnicalandcontractualprovisions;九对已决定的工程变更及设计变更进行估算并及时调整总投资控制目标;Carryoutevaluationonvariationsthathasbeenconfirmedandaccordinglyadjusttheinvestmentcontroltarget;九审核所有与本工程相关的付款申请，按相应要求和格式向甲方提供工程的付款审核证明及建议;ReviewallpaymentapplicationsrelatedtotheProjectandprovidetoPartyAinaccordancewithrelevantrequirementsandformatthepaymentcertificationorrecommendation;九对考虑中的工程变更进行造价估算，对工程变更及设计变更及时提交变更分析报告，供甲方决策;CarryoutevaluationonvariationsthatisunderconsiderationandprovidevariationanalysisreportforPartyA'sdecision;九协助甲方进行竣工结算的编制工作；AssistPartyAinpreparingtheaccountsettlementoncompletion;九对施工单位提出的竣工结算进行全面审核计算，最终确认总工程量造价。并向甲方提交每一分项工程结算审计报告及全部工程结算总价、合同管理及执行情况的专题总结报告。Reviewthestatementatcompletionproposedbythecontractortoeventuallydeterminethetotalcost.ProvidetoPartyAtheauditreportsforeverysubdivisionalwork,theclosedcontractprice,andreportsoncontractadministrationandexecution.九协助甲方整理本工程项目合同文件及有关资料，收集有关工程费用方面的签证资料，核价单据并及时归档；AssistPartyAinfilingcontractdocumentsandrelateddocumentfortheProject,collectpaymentcertificationdocuments,costverificationsheetsandarchivetheminatimelymanner;九协助甲方进行竣工验收工作；AssistPartyAinthecompletionacceptance;帮助甲方编制竣工决算表；AssistPartyAinpreparingthefinalaccount.项目协调服务Projectcoordinationservices为工程顺利进展所必需的与政府部门、MixC及物业等相关方面的协调。CoordinationnecessaryfortheProjectprogresswithstatutoryauthorities,MixCandthepropertymanagementcompany.项目前期各专业进场前的所有协调工作(与项目相关协调：如MixC市场部、MixC总包及监理、MixC工程部及其物业、MixC分包和其他的商铺；与政府之间的协调：如消防局等)。Allcoordinationworkbeforeeachtradecontractorenteringthesite(relatedcoordination:suchaswithMixCMarketingDepartment,MixCgeneralcontractorandsupervisioncompany,MixCEngineeringDepartmentandPropertyManagement,MixCsubcontractorsandotherstores;coordinationwithgovernmentauthorities,suchasFireBureau).设计协调服务Designcoordinationservice各专业施工图之间的设计协调及装饰施工图纸与其它各专业间的设计协调工作，及设计公司之间的协调工作。Designcoordinationworksbetweendifferenttradesandinteriordecorationconstruction,andcoordinationworksbetweenPartyAanddesigncompany.提供关于工程目标的咨询建议TorenderadvisesinsettingtheProjecttargets;提供关于工程项目管理体系的咨询建议Torenderadvisesinprojectmanagementsystems;许可证申请服务Obtainingapprovalsandpermits负责协调有关各方面人员以确保顺利获取本工程所需要的许可证（如消防内装修建审意见等），以确保工程顺利开工。Tocoordinatewithallrelevantpartiesinapplicationforpermits(mentsonfireprotectionforinteriordecoration)necessaryfortheProject,toensuretimelycommencementofwork.风险评估服务Riskassessmentservices根据其对本工程获取的各方面的信息，针对工程的前期工作进行风险评估，并给出咨询和建议，以书面形式汇报给甲方。BasedontheinformationontheProjectthatisavailable,providetoPartyAawrittenriskassessmentreportandadvicesonthepre-constructionstageoftheProject.项目实施阶段ExecutionStage2.2.1、人员配备Staffing提供各专业及项目经理等管理人员的名单，并附其各自的简历。ProvidethelistofstaffandtheirCVs.乙方需配备如下管理人员：PartyBshallprovidethefollowingstaff:项目经理ProjectManager暖通工程师HVACengineer机电工程师M&Eengineer内装工程师Interiordecorationengineer资料工程师Documentcontrolengineer设计协调专员Designcoordinator工料测量师Quantitysurveyor一旦乙方提供的管理人员经甲方面试认可后，乙方不得以任何理由更换管理人员；除非经甲方书面同意。若甲方发现乙方未经甲方同意而进行更换管理人员的，每发现一次，罚款10000元，且乙方将承担由此造成的一切后果。OncethestaffproposedbyPartyBisacceptedbyPartyAafterinterview,PartyBshallnotreplacesuchstaffforwhateverreason,unlesswithPartyA'swrittenconsent.IfPartyAfindsthatPartyBreplacestaffwithoutPartyA'sconsent,PartyBshallbepenalizedwithRMB10,000foreachoccurrenceandPartyBshallbearallconsequencescausedbysuchreplacement.2.2.2、项目管理体系Projectmanagementsystem方便、快速、准确确定并制定该项目的管理体系，例如，职责、文件管理体系、人员架构文件、操作质量监控体系、通信系统、工作审批制度及其他与此相关的工作。Toconveniently,fast,andcorrectlydetermineandplanmanagementsystemsfortheProject,forexample,dutiesandresponsibilities,documentcontrolsystem,personnelchartdocuments,operationalqualitycontrolsystem,communicationssystem,workexaminationformapprovalsystem,andotherrelatedworks.2.2.3、进度计划Programme准备详细的工程进度计划表及时间节点作为甲方与承包方之间委托合同的附加文件，其包括对承包方所做工作的检查及其在每一个时间节点完成情况的质量测评。TopreparedetailsplansandmilestonesforconstructionoperationsassupportingdocumentsoftheContractbetweenPartyAandtheContractors,includingissuingtheworkcheckingandqualifyingcertificateofeverymilestoneoftheContractors.对工程进度计划的监督与管理。Monitoringandcontrolofprogramme乙方需对制定的进度计划及工期关键点负责；监督并管理现场的施工进度，对现场实际进度与进度计划进行比较分析，找出偏差，并及时修正偏差，以确保整体工程进度不受影响。PartyBshallberesponsiblefortheprogrammepreparedbyitandthemilestonestherein;PartyBshallmonitorandcontroltheprogressonthesite,compareactualprogresswiththeprogramme,identifyandcorrectthedeviationtoensuretheoverallprogrammeisnotaffected.乙方应在充分理解甲方可能发生频繁变更的情况下，合理的组织或督促相关施工单位加快施工进度，以确保工程能够顺利完工。PartyBshall,byfullyunderstandingthatPartyAmayfrequentlyinstructchanges,reasonablycausethecontractorstoexpediteprogresstoensuresmoothcompletionoftheProject.需对承包商在施工过程中提交的月、旬、周等分段进度计划进行分析、审核PartyBshallanalyzeandreviewthemonthly,ten-dayandweeklyprogrammesubmittedbythecontractor.2.2.4、质量管理Qualitymanagement按照国家相关规范对现场工程质量进行监督管理，确保整体工程质量合格。SupervisethequalityonsiteinaccordancewithrelevantnationalcodestoensurethequalityoftheProjectisuptostandard.针对工程中出现的难点或施工工序等问题，乙方需根据自己的专业知识给出建议或协调，并监督各单位的对认可方案的实施。PartyBshall,basedonitsexpertise,adviceorcoordinateonthedifficultissuesandsequenceofworkintheProjectandsupervisetheimplementationofagreedactionsbyvariousprojectparticipants.乙方对其管理监督的工程负有责任。其责任不能免除由于质量事故导致的相关部门的调查。若因乙方监督管理不到位或乱指挥导致的问题，乙方应负相应的责任。PartyBisresponsiblefortheworksmanaged/supervisedbyit.SuchresponsibilitycannotrelievePartyBfromreceivinginvestigationbyrelevantauthoritiesresultingfromqualityfailures.PartyBshallbeliablefortheproblemsduetoitsunderperformanceoritsgivingofinstructioninanunprofessionalmannerinmanagingtheProject.在工程质保期范围内，乙方应对工程缺陷的部分给予合理的、专业的建议或方案，以减少甚至避免此工程缺陷对商场正常营业的影响。Duringthequalitywarrantyperiod,PartyBshallrenderreasonable,professionaladviceorproposalondefectiveworktoreduceorevenavoidtheimpactbydefectiveworkontheoperationofthestore.2.2.5、安全文明施工Safetyandorderlyconduct制定贯穿整个项目由安保工程师及安保团队严格监管执行的安保方案。Formulatehealth&safetyplanforstrictimplementationbytheSafetyEngineerandsafetyteamthroughouttheProject.按照安全文明施工的要求，监督管理相关单位。Supervise/managetheworkofprojectparticipantsinaccordancewiththerequirementsonorderlyconduct.制定安全管理办法，监督相关单位按照管理办法进行现场实施，确保项目及工作人员的人身安全。Formulateprecautionarysafetymeasuresandensurethatprojectparticipantsfollowthemtosafeguardpersonalsafetyofstaff.2.2.6、文件管理Documentcontrol准备项目运作配套文件（如：每周或每月的进展报告、会议备忘录、现金流估测报告、进度偏差分析报告、设计变更汇总分析报告等），并交给甲方做参考。Prepareprojectmanagementdeliverables(suchasweeklyormonthlyprogressreport,meetingminutes,cashflowestimatereport,programmedeviationanalysisreport,designvariationanalysisreport,etc.)andsubmitthemtoPartyAforreference.负责本项目所有文件的接受、发送等文件的管理，工程结束后，将工程相关资料移交给甲方。ToberesponsibleforthefilingofallincomingandoutgoingdocumentsduringtheprojectperiodandhandoverrelatedprojectinformationtoPartyAaftertheProjectisclosed.对每次会议做好会议记录并总结重要事项，于会议结束后3天内提交给甲方。MinuteeveryprojectmeetingandsubmitthemeetingminutestoPartyAwithin3daysafterthemeeting.2.2.7、其它具体服务项目，包括但不限于以下内容：Otherservicesincludebutnotlimitedto:检查和监控工程的质量、造价和施工安全性。Toinspectandcontrolqualities,prices,andsafetyoftheconstruction.在承包方购买用材及配件之前检查和批准每项工程的图纸、用材、配件；此外，其采购物件还需符合设计者的标准。Toinspectandapproveeveryitemofconstructiondrawings,materials,andaccessoriesbeforetheContractorspurchasingmaterials;inaddition,theitemspurchasedshallconformtothedesigner'srequirements.检查和批准承包方的操作指南、安全体系计划和工作政策。Toinspectandapproveoperationalguidelines,safetysystemplans,andworkingpoliciesoftheContractors.参加工作学习、检查和测试不同工作部分的完成情况。Toparticipateinworkstudy,inspection,andtestinginvariousworksections.协调与设计师决策和解决关于设计图纸可能在实际运行中出现的差异问题。Tocoordinatewiththedesignersindecision-makingandsolveproblemsofdrawingsdifferfromtheactualconditionsonsite.为避免延误对并非必须与设计师之间的咨询及时做出决策。Tomakedecisionincasethatconsultationwiththedesignersisnotrequiredinordertopreventdelay.在实际施工前准备该设计关键部分的模型。Topreparemock-upofthecriticalpartsofthedesignpriortophysicalconstruction.共同参与检查工程的质量、数量及工作范围以确保工程情况与款项支出相符。Tojointlyinspectqualities,quantitiesandscopesofworkfordisbursementofinstallments,etc.根据设计计划和项目安排、考量、检查及测试相关用材及系统配件，并在甲方使用该等材料及配件前准备相应模型。Toconsider,examineandtestthematerialsandaccessoriesofsystemspursuanttotheplannedpatternsanditemsandpreparemock-uppriortousebyPartA.0须每月就工程变更及付款情况编制并提交甲方一份单独的费用分析报表及清单，详细说明此前甲方决定实施的工程变更以及此当前报告期实际发生的费用明细。ToprepareandsubmittoPartyAaseparatecostanalysiseverymonth,detailingthevariationsconfirmedbyPartyAandthebreakdownofcostsincurredinthemonthforwhichtheanalysisisdone.1举办周度、月度会议以推进、跟进及检查相关工作的进展；包括解决可能出现的任何延迟问题，以防因此而给该工程带来的相关损害。Toholdweeklyandmonthlymeetingstoaccelerate,followupandchecktheworkprogress,includingtosolveanydelayproblemwhichmayarise,inordertopreventanydamagetotheProject.2在施工过程中提供相关技术咨询(如需)。Torendertechnicalconsultationsduringtheconstruction(ifrequired).3如果发生相关问题，在甲方的要求下，参加该等协调会议。ToattendcoordinationmeetingsifproblemoccurredandattherequestofPartyA.4准备额外的图纸和细节内容，包括施工期间对相关问题的应对解决方案。Toprepareadditionaldrawingsanddetails,includingtosolvetheproblemsduringconstruction.5召开协调会议以跟进相关工作进展；对有关该工程出现的紧急问题进行沟通协调并进行解决；不论设计师、主要承包方,分包方、材料、配件供应商或其他相关第三方。Toholdcoordinationmeetinginordertofollowuptheworks,togivecoordination,andtosolvetheimmediateproblemsinrelationtotheconstruction,irrespectiveofdesigners,maincontractor,sub-contractors,materialandaccessoryprovider,orotherrelevantparties.6根据工程的预算、工期、质量等要求考量及检查承包方在每一个阶段中工作完成情况。ToconsiderandinspecttheworksdonebytheContractorsateverystageinaccordancewiththebudgets,periodsoftimeandqualitiesofthepatternsanditems.7管理、监控并安排相关人员为人身健康的污染事宜负责、并确保环境影响符合相关环境标准；包括协调进行自此等事件发生之日至取得补偿期间的保险通知及索赔事宜。Tomanage,controlandarrangepersonnelresponsibleforsafetyfrompollutionsagainsthealth,andforenvironmentalimpactsinlinewiththestandards,includingcoordinationoninsurancenotificationandinsuranceclaimasfromeventoccurrenceuptobeingcompensated.8提供相关法律建议、要求及规定，包括与建筑工程相关的各种技术要求。Torenderrecommendationsonlaws,requirementsandregulations,inclusiveofavarietyoftechniquesinrelationtotheconstruction.9在施工过程中，先于事件发生之前对可能产生的问题给出建议并解释，包括找出应对解决对策并解决这类问题。Tosuggestandexplainpossibleproblemspriortoeventoccurringduringconstruction,includingfindingoutsolutionandsolvesuchproblems.0安排与租户沟通协调的工作团队，如有必要该团队可进入该租户的租赁经营地点以对其租赁地点内的工程进行相关改进、建设及安装工作。Toprepareworkingteamtocoordinatewithrentalvendorsifitisnecessarytoentertherentalvendors'businessoperationsiteforworkimprovement,construction,andinstallationoftherentalvendors'businessoperationsite.1初步检查审核每个租户的系统设计图纸以使其遵循甲方的标准；同时为租户装修施工提供指导和监督。ToinitiallyexaminethesystemdrawingsofeveryrentalvendortoensurethattheysatisfythestandardsofPartyA;toprovideguidelineforandsupervisiononanyvendor'scontractor'sfitting-outwork.2对承包方的工厂及日常工作进行实地勘查检验，以确保其资质符合该工程规划标准，并对考察的情况写成报告提交给甲方，供甲方参考。ToinspecttheContractors'factoriesandchecktheirworktoensurecontractors'qualificationssatisfytheplanningstandardoftheProject,andtoprepareaninspectionreportandsubmittoPartyAforitsreference.3检查租户装修工作进展情况，以确保其符合甲方及设计者的相关规则规定。TocheckrentalvendorswhichoperatethedecorationstoensurecompliancewiththerulesandregulationsofPartyAandthedesigners.4为相关设计模式之准备而向室内设计师及其他每一类别的设计师提供相关建议；TorenderadvisestoInteriorDesignerandotherdesignersofeverycategoryinpreparationofrelateddesigningworkpatterns.5参加所有必要的会议，并协调甲方、室内设计师和其他每一类别的设计师，以与每一工作小组共同总结相应工作要求。ToattendallnecessarymeetingsandcoordinatewithPartyA,InteriorDesigner,andotherdesignersofeverycategorytosummarizerequirementfromeveryworkingteam.6共同参与为甲方、合作伙伴、政府部门及其他必要的与工程项目竣工相关的第三方而进行的工程细节详述及报告。ToparticipateindetailedworkexplanationandpresentationtoPartyA,partners,governmentagencies,andotherpartiesasnecessaryforthecompletionofconstruction.7对设计工作方面关于工程及工期的可行性进行研究，提供关于工程设计的建议以帮助该工程节约施工成本及时间，包括介绍适用于该工程的工具、机械、施工方法、材料；同时，研究相关施工技术并将此推荐给甲方。Tostudythedesignworksintheaspectoffeasibilityinconstructionandperiodoftime,torenderadvisesindesigningtoassisttheProjectinsavingconstructioncostsandtimes,includingtointroducetoolsandmachinery,constructionmethods,andmaterialsasappropriatefortheconstructionwork,andtostudytheconstructiontechniquesandrecommendtoPartyA.8评估按照该施工方案进行的施工对项目及相邻块土地周边环境造成的影响，并在该项目对环境破坏损害发生之前给设计者及甲方发出相应警告。ToassesstheconstructionimpactsonenvironmentsandadjacentplotsoflandasaresultoftheconstructionunderthepatternsanditemsandtogivewarningstothedesignersandPartyApriortothedamageoccurrenceagainsttheProject.9检查、审查和协调设计工作以使设计方案及协议更完整，为了避免该设计方案在实际操作过程中在如工程质量、职责界定、增加或减少协议项下的工作等方面的不确定性。Toexamine,inspectandcoordinateonthedesignworkstoenablethepatternsandtheAgreementtobemorecompleteinordernottocausethedesignworkstoresultinunclearoperationalperiodoftime,Projectqualitiesandresponsibilities,andincrease/decreaseintheworkhereunder.0促使施工管理体系和项目管理体系在与甲方、承包方和其他第三方沟通协调时为简洁、灵活及具高水准的。ToorganizetheConstructionManagementSystemandtheProjectManagementSystemtobeconcise,beflexible,andhavequalitiesincoordinatingwithPartyA,theContractorsandotherparties.1向甲方提供建议以使其获得该施工作业所需求的咨询服务调查、咨询及其他相关所需信息。TorenderadvicetoPartyAtoprocureconsultancyservicessurvey,consultationandotherrelatinginformationrequiredfortheconstructionoperations.2.3项目后续阶段Post-constructionStage2.3.1工程移交Hand-overoftheProject按照甲方对工期、质量的要求，顺利将工程移交给甲方。配合甲方及其内的小商铺按时开业。InaccordancewiththerequirementsofPartyAonprogrammeandquality,handovertheProjecttoPartyA.GiveassistancetoPartyAandrentalvendorstoensureon-timeopening.在甲方开业前，负责完成所有与甲方开业所必需的证照(如消防验收意见书、开业前消防安全检查等)Toberesponsibleforobtainingalllicensesorapprovalsnecessaryforstoreopening(suchasCommentsonFireProtectionAcceptance,firesafetyinspection,etc.)priortoinauguration.2.3.2资料移交Hand-overofprojectdocuments提交所有与工程相关的工程资料，包括但不限于以下内容：FurnishalldocumentsrelatedtotheProject,includingbutnotlimitedto:九不一致报告Non-ConformaneeReport(NCR)九实际完成情况报告PracticalCompletionReport九遗留问题清单PunehList九缺陷报告及建议Defectreportandrecommendation九竣工证书CertificateofCompletion九竣工图纸、CD文件和图纸组合As-BuiltDrawing,CDFiles,andDrawingCombination九施工项目手册OperationandMaintenanceManual九周报、月报Weeklyreportsandmonthlyreports九会议纪要Meetingminutes九变更核实报告Variationverificationreport九竣工测试报告ReportonTestsonCompletion九进度偏差分析报告Analysisreportonprogrammedeviation九各种设备操作手册、培训手册Operationmanual,trainingmanualsforvariousequipment2.4后期维护WarrantyPeriod工程验收完毕后1年内若出现质量或其它方面的工程缺陷，乙方应负责提供完整的工程解决方案的咨询和建议，并对此次出现的问题给出分析报告提交给甲方。If,withinoneyearaftertheProjectpassesthecompletionacceptance,thereisqualitydefectsorotherdefects,PartyBshallberesponsibleforprovidingcompleteconsultingadvicetosolvetheproblem,andsubmitananalysisreportonthedefecttoPartyA.第三条本协议项下的工程项目管理服务费用为总计［人民币元］，此金额包含营业税，此合同款项分期如下：Article3.TheConstructionManagementServiceFeeRatehereunderisintotalamountof[RMB],inclusiveofbusinesstax,andthepaymentsininstallmentsareasfollows:合同总金额10%的首付款于合同签署起14工作日内支付；10%asfirstpaymentuponcontractawarding(within14workingdays);合同总金额20%于施工开始时支付；20%uponconstructionkick-off;合同总金额20%于隐蔽工程验收通过后支付；20%uponpassingofconcealedworkinspection;合同总金额25%于交付验收(非官方)完成后支付；25%uponfinishofhand-overinspection(non-governmental);合同总金额15%于官方验收完成后或准备开业时支付；15%uponfinishofgovernmentinspection/readyforopen;剩余支付金额将视乙方于本项目的服务质量酌情于工程验收完毕一年后(14天内)支付，支付金额的百分比按照乙方的服务质量得分确定。TherestofthepaymentwillbepaidatPartyA'sdiscretionbyconsideringthequalityofPartyB'sservicewithin14daysaftertheProjecthaspassedthecompletionacceptanceforoneyear,thepercentageofpaymenttobepaidshalldependonthescoreofPartyB'sservice.乙方的服务质量(满意=10分)支付的额度(%)ScoreofPartyB'sservice(satisfied=10)Percentageofpayment此等管理费用包括本协议项下的工作安排费用、最初准备费用、与承包方配合沟通费用、运营费用、利润、工资、福利、员工的奖金，工具和设备、电脑、打印机、复印机、文具、电话、其他相关的消耗品，由于题述工程所需而发生的上海沈阳之间的差旅费用、保险费、其他费用(距沈阳200公里以外的装修材料供应商考察费用除外)，印花税根据本协议约定执行，所有其他的费用（根据运行情况需要额外增加的项目除外）以及其他相关税费。wherebysuchmanagementfeeincludesarrangementfeeforworkundertheAgreement,initialarrangementexpenses,feeforcoordinationwiththeContractors,operatingfees,profits,salaries,welfares,employeebonuses,toolsandequipments,PC,printer,copymachine,stationery,telephone,otherrelatedconsumableitems,domestictravelingexpensesbetweenShanghaiandShenyangasperproject'srequirement,insurancepremiums,otherfees(Excludethecostofvisitformaterialsupplier200kilometersawayfromShenyang),stampdutiesinexecutionoftheAgreement,allofotherexpenses(exceptfortheitemsadditionallyindicatedintheoperationalconditions)andotherrelevanttaxes.关于分期付款的收讫事项，乙方应首先提交给甲方付款通知函，甲方应在收到后7日内确认通知函，乙方根据该确认函提交相应额度的正规发票，并在确认后30天支付此等款项；其履行程序及相应规则需符合甲方的总体公司标准，甲方有权根据乙方雇员的实际工作量支付服务费用。Withregardtocollectionofinstallments,PartyBshallsubmitinvoicetoPartyA,wherebyPartyAshallgiveofficialconfirmationwithin7daysuponreceipt,uponreceivingtheconfirmationPartyBshallsubmitofficialofthesamevalue,andanother30daystomakethepaymentininstallmentstoPartyB;byhavingproceduresandpracticalrulesinaccordancewithgeneralcompanystandardsofPartyA,PartyAreservesitsrighttopaytheservicefeesbasedupontheactualquantitiesofworkperformedbyPartyB'spersonnel.此外，乙方同意由其单独承担本协议项下的印花税。如果在工程进展期间并非由于乙方违反本协议项下的条款而导致工程停止，则乙方同意按其实际完成的工作量向甲方请求支付此等服务费用。Inaddition,PartyBagreestosolelypaystampdutieshereunder.Inthecaseofceasingoperationduringoperations,onwhichthebreachoftheAgreementisnotcausedbyPartyB,PartyBagreestochargetheservicefeesbaseduponactualquantitiesofcompletedworkhereunder.第四条乙方应当按照如下开始管理并监控本协议项下的工程工作：Article4.PartyBshallcommencetomanageandcontroltheconstructionworkshereunder,asfollows:双方同意按下述开始并在规定时间节点内完成本协议项下约定的相关工作：Bothpartiesagreetocommenceoperationsandtohavecompletedtheworkshereunderwithintheperiodsoftime,asfollows:上述时间节点可经甲方双方共同书面确认进行合理变更。ProvidedthattheaforementionedperiodsoftimemaybechangedasappropriateasmutuallyandinwritingdeterminedbyPartyAandPartyB.只有当上述时间描述发生较大偏差时，变更才会被签发，乙方的根据经认可的费率计算的额外费用申请才会被补偿。这里的较大偏差是指不小于2个月。延期超过2个月，则甲方按照下述方式给予乙方服务费用的补偿，总服务费万元/个月=元/月。按月在每个月的月末支付。若不满一个月但超过15天，按一个月计。若不满15天，按半个月计。(例如：延期2个月10天，甲方应额外支付半个月的费率给乙方作为补偿)。如果此延误是由乙方造成的，则乙方在本合同期以后的任何补偿工作不收取额外费用。Onlyincaseofbigdeviationwiththeabove-mentionedtimescale,variationorderwillbeissuedandPartyB'sextra-paymentbasedonmonthratecanbereimbursed.Bigdeviationreferstonotlessthan2months.MonthrateequalsRMBpermonth(RMB/months).Itwillbepaidmonthlyattheendofeachmonth.Morethanhalfmonthwillbetreatedas1month,lessthanhalfmonthwillbetreatedashalfmonth.(forexample,halfofmonthratewillbepaidtoPartyBincaseof2monthsand10daysdelay).Iftheso-calleddelayiscausedbyPartyB,noextrapaymentwillbechargedbyPartyBforanynecessaryremedyworkafterthetermoftheContract.双方同意本协议项下的工作期间或工作小时约定如下：Bothpartiesagreethattheworkingperiod/hoursundertheAgreementareasfollows:正常工作期间为[8:30]到[12:00]及[13:30]到[18:00]，期间即自[星期一]至[星期五](乙方可根据工程需求并在符合当地相关法律法规的前提下，于节假日或双休日弹性安排工作小时。)Normalworkingperiodsare[8:30]to[12:00]and[13:30]to[18:00]asfrom[Monday]to[Friday](PartyBmighttakeflexibilitytoarrangeworkingtimeduringholidayandweekendbasedonconstructionrequirementwithoutinconsistencywiththelocalrelevantlaw),乙方应当自收到甲乙双方签署的意向书起开始着手工作，其包括召开协商沟通会以为双方之进一步沟通。wherebyPartyBshallhavecommencedtoworkincludingtoholdmeetingsforcoordinationasfromthedateofreceiptoftheLetterofIntentbetweenPartyAandPartyBforfurthercoordination.第五条乙方不得未经甲方书面许可而将本协议项下工程全部或部分分包给任意第三方。另外，即使在分包情形下，乙方仍需对分包部分的工作全面承担责任。Article5.PartyBshallnotsubcontractalloranyofpartsofthisAgreementtootherpersonswithoutpriorwrittenapprovalfromPartyA.However,inthecaseofsubcontract,PartyBshallfurtherberesponsibleforthesubcontractedworksinallrespects.第六条无论在何情况下，如若甲方发现乙方现场管理人员开展的工作可能会对该建筑项目产生损害，则甲方有权要求乙方更换部分或全部该工程的管理人员，同时乙方应当迅速遵从甲方的意愿。关于更换人员事宜，乙方应当将可供备选的人员名单提供给甲方以获得其预先书面批准；可供备选的人员应当为与被更换的人员具有同等或更高知识及能力水准的人选。Article6.InanycasewherePartyAnoticesthattheoperationsbythebuildingsitemanagementpersonnelofPartyBmaycausedamagetotheconstructioninanycasewhatsoever,PartyAhasitsrighttodemandPartyBtoreplacesomeorallsitepersonnelandPartyBshallcomplywiththeintentionofPartyAinaswiftmanner.Uponpersonnelreplacement,PartyBshallproposetheNameListofthereplacingpersonneltoPartyAforpriorwrittenapproval,wherebythereplacingpersonnelshallbethepersonspossessingknowledgeandcapabilitiesequivalenttoorsuperiortothereplacedpersons.第七条乙方应当遵守相关法律，并且应当承担本协议项下因乙方经营而产生的一切税赋。Article7.PartyBshallabidebytherelevantlaws,andshallpayalltaxesimposedupontheoperationsbyPartyBundertheconditionscontainedherein.第八条如在本协议执行期间，营业税税率经调整较签约现行税率增高时，因此产生的营业税差额部分将由乙方单独承担。Article8.Inthecasewheretherateofbusinesstaxisadjustedtobemorethantheexistingrateduringthetermsthereof,thedifferenceofthebusinesstaxamountshallbesolelybornebyPartyB.第九条关于本协议项下的工程监控事项，乙方应当如下：Article9.Regardingthebuildingconstructioncontrolhereunder,PartyBshalldoasfollows:乙方不得忽略或不履行其工程监控的职责，不得不诚实地履行其职责，也不得对该工程项目工作的运行造成任何损害、不便或迟延等。PartyBshallnotneglecttooperatenordesertthedutiesofbuildingconstructioncontrolnordishonestlyperformitsowndutiesnorcausedamageorinconvenience,delay,totheoperationsofthebuildingconstructionworks;乙方不得与本协议项下的承包商有任何利益联系，也不得与承包商串通损害甲方利益。若乙方违反或作出任何与本协议项下条款不符的事宜，乙方将被视为违反本协议，则甲方有权要求终止本协议，同时停止支付自此违约情况发生之月及以后的相关服务费用。PartyBshallnothaveanyinterestwhatsoeverwiththeContractorshereunderorshallnotcollaboratewiththeContractorstoactoromittoactanythingwhichmaycausedamagetoPartyA.PartyBshallbedeemedtobreachtheAgreementifPartyBavoidsordoesanyactcontrarytoanyArticlehereofandPartyAisentitledtoterminatethisAgreementandceaseservicefeepaymentasfromsuchmonth,andthereafter.第十条如发生本协议项下项目建筑或结构的损坏，若甲方能证明此等损坏是由乙方原因导致，不论乙方是否为玩忽职守，或未能适当利用其技能监控该工程，或未能监控承包方完成承揽工作，或乙方违反本协议项下任何条款；则乙方应当毫无迟疑地采取合理补救措施，该等行为不可向甲方请求支付费用。此外，若乙方在甲方书面指定的合理期间内拒绝采取任何补救措施，则乙方应被视为不遵守本协议或违反本工程项目管理服务协议，甲方有权要求终止本协议；同时，甲方仍有权要求更换乙方为任意第三方，乙方需承担此等附加费用，包括甲方因此而实际遭受到的损害。Article10.IntheeventofdamageagainstthebuildingorstructuresoftheProjecthereunder,wherebyPartyAcanadducethatitisthefaultofPartyB,irrespectiveofwhetherthePartyBneglectstoperformitsdutiesorPartyBfailstoutilizeitsknowledgeasappropriatefortheconstructionworkcontrolorfailstocontroltheContractorstohavecompletedtheoperationsorPartyBbreachesanyArticlehereof,PartyBshall,withoutdelay,takecorrectiveactionwithoutanyremunerationchargedagainstPartyA.Furthermore,ifPartyBavoidsorevadesnottotakethecorrectiveactionwithinspecifiedtheperiodasinwrittennotifiedbyPartyA,PartyBshallbedeemednottoobservetheAgreementortobeinviolationoftheConstructionManagementServicesAgreement(CM)andPartyAisentitledtoterminatetheAgreement;moreover,PartyAhasitsrighttoreplacethePartyBwithanotherperson,wherebyPartyBshallberesponsibleforadditionalexpenses,inclusiveofactualdamagesincurredassufferedbyPartyAinanabsolutemanner.第十一条违约责任：若甲乙双方之间的工程项目管理服务协议无论因何情形而被终止或中断，甲方均有以下权利：Article11.IncaseofbreachoftheAgreement:inthecasewheretheConstructionManagementServicesAgreement(CM)betweenPartyAandPartyBisterminatedorinterruptedbyanygroundwhatsoever,PartyAshallhaveitsright,asfollows:11.1有以下两种情形Thereare2circumstancesasfollows:1)当本工程项目管理服务协议被终止时，甲方应当支付给乙方截至此终止之日而发生的未付款项。IncasewheretheConstructionManagementServicesAgreement(CM)isterminated,PartyAshallmakeanypaymentto
