工程合同中对工程师的一般义务的约定中英文对照版工程合同中对工程师的一般义务的约定（中英文对照）ENGINEER’SGENERALOBLIGATIONS工程师：指监理单位委派的总监理工程师及发包人指定的咨询单位的驻工地代表，其具体身份和职权由发包人承包人在专用条款中予以约定。为便于区分时，总监理工程师及其授权代表在本合同中单称为“监理工程师”，的驻工地代表及其授权代表在本合同中单称为“工程师”，两者合称为工程师。TheEngineers:ThegeneralsupervisionengineerappointedbytheSupervisorandtheon-siterepresentative(whichisthedesignatedconsultantoftheEmployer).TheiridentityandauthoritywillbespecifiedbytheEmployerandtheContractorintheParticularTermsoftheContract.Fortheconvenienceofdistinction,thegeneralsupervisionengineerandhisauthorizedrepresentativeswillindividuallybenamedastheSupervisionEngineerinthisContract,whiletheon-siterepresentativeandhisauthorizedrepresentativewillindividuallybenamedastheTKSEngineerintheContract,collectivelyastheEngineers.雇主代表应当是具备本条要求的经验与能力的一名合格的工程师或其他适宜的专业人员，或雇主代表应雇用此类合格的工程师和其他专业人员，让他们为完成合同随时听候使用。TheEmployer’sRepresentativeshallbeasuitablyqualifiedengineerorotherEmployer’sappropriateprofessional,havingtheexperienceandcapabilitynecessaryforRepresentativecompliancewiththisClause,orshallemploysuchsuitablyqualifiedengineersandotherprofessionalsandmakethemavailablefortheContrac.工程师的任务和权力Engineer’sDutiesandAuthorityTheEmployershallappointtheEngineerwhoshallcarryoutthedutiesassignedtohimintheContract.TheEngineer’sstaffshallincludesuitablyqualifiedengineersandotherprofessionalswhoarecompetenttocarryouttheseduties.雇主应任命工程师，工程师应履行合同中指派给他的任务。工程师的职员应包括具有适当资质的工程师和能承担这些任务的其他专业人员。TheEngineershallhavenoauthoritytoamendtheContracttheEngineermayexercisetheauthorityattributabletotheEngineerasspecifiedinornecessarilytobeimpliedfromtheContract.IftheEngineerisrequiredtoobtaintheApprovaloftheEmployerbeforeexercisingaspecifiedauthority,therequirementsshallbeasstatedintheParticularConditions.TheEmployerundertakesnottoimposefurtherconstraintsontheEngineer’sauthority,exceptasagreedwiththeContractor.工程师无权修改合同。工程师可行使合同中的规定、或必然隐含的应属于他的权力。如果要求工程师在行使规定权力前须取得雇主的批准，这些要求应在专用条款中写明。除得到承包商同意外，雇主承诺不对工程师的权力加以进一步的限制。However,whenevertheEngineerexercisesaspecifiedauthorityforwhichtheEmployer’sapprovalisrequired,then(forthepurposesoftheContract)theEmployershallbedeemedtohavegivenapproval.但是，每当工程师行使须由雇主批准的规定权力时，则（为合同的目的）应视为雇主已批准。(a)Whenevercarryingoutdutiesorexercisingauthority,specifiedinorimpliedbytheContract,theEngineershallbedeemedtoactfortheEmployer;每当工程师履行或行使合同中明确规定或隐含的任务或权力时，应视为代表雇主执行；(b)TheEngineerhasnoauthoritytorelieveeitherPartyofanyduties,obligationsorresponsibilitiesundertheContract;and工程师无权解除任一方根据合同规定的任何任务、义务或职责；(c)Anyapproval,check,certificate,consent,examination,inspection,Instruction,Notice,proposal,request,test,orsimilaractbytheEngineer(includingabsenceOfdisapprovalshallnotrelievetheContractorfromanyresponsibilityhehasUndertheContract,includingresponsibilityforerrors,omissions,discrepanciesandnon-compliances.工程师的任何批准、校核、证明、同意、检查、检验、指示、通知、建议、要求、试验或类似行动（包括未表示不批准），不应解除承包商根据合同应承担的任何职责，包括对其错误、误差和未遵办的职责。TheEngineermayfromtimetotimeassigndutiesanddelegateauthoritytoassistants,andmayalsorevokesuchassignmentordelegation.TheseassistantsmayIncludeaResidentengineer,and/orindependentinspectorsappointedtoinspectand/ortestitemsofPlantand/orMaterials.Theassignment,delegationorrevocationshallbeinwritingandshallnottakeeffectuntilcopieshavebeenreceivedbybothParties.However,unlessotherwiseagreedbybothParties,theEngineershallnotdelegatetheauthoritytodetermineanymatterinaccordancewithSub-Clause3.5[Determinations].工程师有时可向其助手指派任务或付托，也可以撤销这种指派或付托。这些助手可包括驻地工程师、和（或）任命为检验和（或）试验各项生产设备和（或）材料的独立检验人员。以上指派、付托或撤销应用书面形式，在双方收到抄件后才生效。但是，除非双方另有协议，工程师不应将按照第3.5款［确定］的规定确定任何事项的权利付托他人。WhereavariationoftheSubcontractWorks,whichalsoconstitutesavariationundertheMainContract,ismeasuredbytheEngineerthereunder,thenprovidedthattheratesandpricesintheSubcontractpermitsuchvariationtobevaluedbyreferencetomeasurementtheContractorshallpermittheSubcontractortoattendanymeasurementmadeonbehalfoftheEngineer.SuchmeasurementsmadeundertheMainContractshallalsoconstitutethemeasurementofthevariationforthepurposesoftheSubcontractandsuchvariationshallbevaluedaccordingly.如果构成主合同变更的分包工程的一项变更由工程师根据主合同测量，那么，倘若分包合同中的费率和价格适合根据测量对此类变更估价，则承包商应允许分包商参加任何以工程师名义进行的测量。按照主合同所进行的此类测量亦应构成为分包合同之目的对变更进行的测量，且应对此变更作相应估价。TheEngineersshallexercisethemrightswithinthescopeasagreedundertheParticularTermsoftheContract;TheContractorconfirms:iftheEmployerrequires,accordingtotheagreementsoftheContractorduringtheperformanceoftheContract,thattheEmployer’swrittenapprovalshallbeobtainedbeforetheEngineersexercisecertainrights,theEngineersshallobtaintheEmployer’sapprovalandthoseactswithouttheapprovaloftheEmployershallnotbebindingontheEmployer.工程师应在专用条款约定的权限范围内行使职权；承包人确认：如发包人根据本合同之约定或在本合同履行过程中要求工程师在行使某些职权前需要征得发包人书面批准的，工程师应征得发包人批准，未经发包人批准的行为对发包人无约束力。工程师应以书面形式发出指示，若工程师认为由于某种原因有必要以口头形式发出任何此类指示，承包商应遵守该指示。工程师可在该指示执行之前或之后，用书面形式对其口头指示加以确认，在这种情况下应认为此类指示是符合本款规定的。若承包商在七天内以书面形式加以否认，则此项指示应视为是工程师的指示。10.1InstructionsgivenbytheEngineershallbeinwriting,providedthatifforanyreasontheEngineerconsideritnecessarytogiveanysuchinstructionorally,theContractorshallcomplywithsuchinstruction.ConfirmationinwritingofsuchoralinstructiongivenbytheEngineer
