TRANS-PACIFICPARTNERSHIP

PREAMBLE

ThePartiestothisAgreement,resolvingto:

REAFFIRMthemattersembodiedinthepreambletotheTrans-PacificPartnershipAgreement,doneatAucklandon4February2016(hereinafterreferredtoas“the

TPP”):

REALISEexpeditiouslythebenefitsoftheTPPthroughthisAgreementandtheir

strategicandeconomicsignificance;

CONTRIBUTEtomaintainingopenmarkets,increasingworldtrade,andcreating

neweconomicopportunitiesforpeopleofallincomesandeconomicbackgrounds;

PROMOTEfurtherregionaleconomicintegrationandcooperationbetweenthem;

ENHANCEopportunitiesfortheaccelerationofregionaltradeliberalisationandinvestment;

REAFFIRMtheimportanceofpromotingcorporatesocialresponsibility,culturalidentityanddiversity,environmentalprotectionandconservation,genderequality,indigenousrights,labourrights,inclusivetrade,sustainabledevelopmentandtraditionalknowledge,aswellastheimportanceofpreservingtheirrighttoregulate

inthepublicinterest;and

WELCOMEtheaccessionofotherStatesorseparatecustomsterritoriestothis

Agreement,

HAVEAGREEDasfollows:

Article1:IncorporationoftheTrans-PacificPartnershipAgreement

1.ThePartiesherebyagreethat,underthetermsofthisAgreement,theprovisionsoftheTrans-PacificPartnershipAgreement,doneatAucklandon4February2016("theTPP")areincorporated,byreference,intoandmadepartofthisAgreementmutatismutandis,exceptforArticle30.4(Accession),Article30.5(EntryintoForce),Article30.6(Withdrawal)and

Article30.8(AuthenticTexts).'

2.ForthepurposesofthisAgreement,referencestothedateofsignatureintheTPP

shallmeanthedateofsignatureofthisAgreement.

3.IntheeventofanyinconsistencybetweenthisAgreementandtheTPP,whenthe

latterisinforce,thisAgreementshallprevailtotheextentoftheinconsistency.

Article2:SuspensionoftheApplicationofCertainProvisions

UponthedateofentryintoforceofthisAgreement,thePartiesshallsuspendtheapplicationoftheprovisionssetoutintheAnnextothisAgreement,untilthePartiesagreeto

endsuspensionofoneormoreoftheseprovisions.?

'Forgreatercertainty,nothinginthisAgreementshallprovideanyrightstoanynon-PartytothisAgreement.

2Forgreatercertainty,anyagreementbythePartiestoendasuspensionshallonlyapplytoaPartyuponthecompletionofthatParty'sapplicablelegalprocedures.

Article3:EntryintoForce

1.ThisAgreementshallenterintoforce60daysafterthedateonwhichatleastsixoratleast50percentofthenumberofsignatoriestothisAgreement,whicheverissmaller,have

notifiedtheDepositaryinwritingofthecompletionoftheirapplicablelegalprocedures.

2.ForanysignatorytothisAgreementforwhichthisAgreementhasnotenteredintoforceunderparagraph1,thisAgreementshallenterintoforce60daysafterthedateonwhichthatsignatoryhasnotifiedtheDepositaryinwritingofthecompletionofitsapplicablelegal

procedures

Article4:Withdrawal

1.AnyPartymaywithdrawfromthisAgreementbyprovidingwrittennoticeof

withdrawaltotheDepositary.AwithdrawingPartyshallsimultaneouslynotifytheotherPartiesofitswithdrawalthroughtheoverallcontactpointsdesignatedunderArticle27.5

(ContactPoints)oftheTPP.

2.AwithdrawalshalltakeeffectsixmonthsafteraPartyprovideswrittennoticetotheDepositaryunderparagraph1,unlessthePartiesagreeonadifferentperiod.IfaParty

withdraws,thisAgreementshallremaininforcefortheremainingParties.

Article5:Accession

AfterthedateofentryintoforceofthisAgreement,anyStateorseparatecustomsterritorymayaccedetothisAgreement,subjecttosuchtermsandconditionsasmaybe

agreedbetweenthePartiesandthatStateorseparatecustomsterritory.

Article6:ReviewoftheComprehensiveandProgressiveAgreementforTrans-PacificPartnership

FurthertoArticle27.2(FunctionsoftheCommission)oftheTPP,iftheentryintoforceoftheTPPisimminentoriftheTPPisunlikelytoenterintoforce,thePartiesshall,onrequestofaParty,reviewtheoperationofthisAgreementsoastoconsideranyamendment

tothisAgreementandanyrelatedmatters.

Article7:AuthenticTexts

TheEnglish,SpanishandFrenchtextsofthisAgreementareequallyauthentic.Inthe

eventofanydivergencebetweenthosetexts,theEnglishtextshallprevail.

Inwitnesswhereoftheundersigned,beingdulyauthorisedbytheirrespectiveGovernments,

havesignedthisAgreement.

6Asaresultofthesuspension,thePartiesagreethatthephrase"aftersignatureofthisAgreement"shallrefertoaftertheentryintoforceofthisAgreementforMalaysia.Therefore,thePartiesunderstandthatthereferencesintheScopeto:

(a)“thefirstyear”shallbethefirstoneyearperiod;

(b)“thesecondandthirdyears”shallbethesecondandthirdoneyearperiods;

(c)“thefourthyear”shallbethefourthoneyearperiod;

(d)“thefifthyear”shallbethefifthoneyearperiod;and

(e)“thesixthyear”shallbethesixthoneyearperiod,

countedfromthedateofentryintoforceofthisAgreementforMalaysia.

PREAMBLE

ThePartiestothisAgreement,resolvingto:

ESTABLISHacomprehensiveregionalagreementthatpromoteseconomicintegrationtoliberalisetradeandinvestment,bringeconomicgrowthandsocialbenefits,createnewopportunitiesforworkersandbusinesses,contributetoraisinglivingstandards,benefitconsumers,reducepovertyandpromotesustainablegrowth;

STRENGTHENthebondsoffriendshipandcooperationbetweenthemandtheirpeoples;

BUILDontheirrespectiverightsandobligationsundertheMarrakesh

AgreementEstablishingtheWorldTradeOrganization;

RECOGNISEthedifferencesintheirlevelsofdevelopmentanddiversityofeconomies:

STRENGTHENthecompetitivenessoftheirbusinessesinglobalmarketsandenhancethecompetitivenessoftheireconomiesbypromotingopportunitiesforbusinesses,includingpromotingthedevelopmentandstrengtheningofregionalsupplychains;

SUPPORTthegrowthanddevelopmentofmicro,smallandmedium-sizedenterprisesbyenhancingtheirabilitytoparticipateinandbenefitfromtheopportunitiescreatedbythisAgreement;

ESTABLISHapredictablelegalandcommercialframeworkfortradeandinvestmentthroughmutuallyadvantageousrules;

FACILITATEregionaltradebypromotingefficientandtransparentcustomsproceduresthatreducecostsandensurepredictabilityfortheirimportersandexporters;

RECOGNISEtheirinherentrighttoregulateandresolvetopreservetheflexibilityofthePartiestosetlegislativeandregulatorypriorities,safeguardpublicwelfare,andprotectlegitimatepublicwelfareobjectives,suchaspublichealth,safety,theenvironment,theconservationoflivingornon-livingexhaustiblenaturalresources,theintegrityandstabilityofthefinancialsystemandpublicmorals;

RECOGNISEfurthertheirinherentrighttoadopt,maintainormodifyhealthcaresystems;

AFFIRMthatstate-ownedenterprisescanplayalegitimateroleinthediverseeconomiesoftheParties,whilerecognisingthattheprovisionofunfairadvantagestostate-ownedenterprisesunderminesfairandopentradeandinvestment,andresolvetoestablishrulesforstate-ownedenterprisesthatpromotealevelplayingfieldwithprivatelyownedbusinesses,transparencyandsoundbusinesspractices;

PROMOTEhighlevelsofenvironmentalprotection,includingthrougheffectiveenforcementofenvironmentallaws,andfurthertheaimsofsustainabledevelopment,includingthroughmutuallysupportivetradeandenvironmentalpoliciesandpractices;

PROTECTandenforcelabourrights,improveworkingconditionsandlivingstandards,strengthencooperationandtheParties'capacityonlabourissues;

PROMOTEtransparency,goodgovernanceandtheruleoflaw,andeliminatebriberyandcorruptionintradeandinvestment;

RECOGNISEtheimportantworkthattheirrelevantauthoritiesaredoingtostrengthenmacroeconomiccooperation,includingonexchangerateissues,inappropriatefora;

RECOGNISEtheimportanceofculturalidentityanddiversityamongandwithintheParties,andthattradeandinvestmentcanexpandopportunitiestoenrichculturalidentityanddiversityathomeandabroad;

CONTRIBUTEtotheharmoniousdevelopmentandexpansionofworldtradeandprovideacatalysttobroaderregionalandinternationalcooperation;

ESTABLISHanAgreementtoaddressfuturetradeandinvestmentchallengesandopportunities,andcontributetoadvancingtheirrespectiveprioritiesovertime;and

EXPANDtheirpartnershipbyencouragingtheaccessionofotherStatesorseparatecustomsterritoriesinordertofurtherenhanceregionaleconomicintegrationandcreatethefoundationofaFreeTradeAreaoftheAsiaPacific,

CHAPTER1

INITIALPROVISIONSANDGENERALDEFINITIONS

SectionA:InitialProvisions

Article1.1:EstablishmentofaFreeTradeArea

TheParties,consistentwithArticleXXIVofGATT1994andArticleVofGATS,herebyestablishafreetradeareainaccordancewiththeprovisionsofthisAgreement.

Article1.2:RelationtoOtherAgreements

1.RecognisingtheParties'intentionforthisAgreementtocoexistwiththeirexistinginternationalagreements,eachPartyaffirms:

(a)inrelationtoexistinginternationalagreementstowhichallPartiesareparty,includingtheWTOAgreement,itsexistingrightsandobligationswithrespecttotheotherParties;and

(b)inrelationtoexistinginternationalagreementstowhichthatPartyandatleastoneotherPartyareparty,itsexistingrightsandobligationswithrespecttothatotherPartyorParties,asthecasemaybe

2.IfaPartyconsidersthataprovisionofthisAgreementisinconsistentwithaprovisionofanotheragreementtowhichitandatleastoneotherPartyareparty,onrequest,therelevantPartiestotheotheragreementshallconsultwithaviewtoreachingamutuallysatisfactorysolution.ThisparagraphiswithoutprejudicetoaParty'srightsandobligationsunderChapter28(DisputeSettlement).

'ForthepurposesofapplicationofthisAgreement,thePartiesagreethatthefactthatan

agreementprovidesmorefavourabletreatmentofgoods,services,investmentsorpersonsthanthatprovidedforunderthisAgreementdoesnotmeanthatthereisaninconsistencywithinthemeaningofparagraph2.

Article1.3:GeneralDefinitions

ForthepurposesofthisAgreement,unlessotherwiseprovidedinthisAgreement:

ADAgreementmeanstheAgreementonImplementationofArticleVIoftheGeneralAgreementonTariffsandTrade1994,setoutinAnnex1AtotheWTO

Agreement;

AgreementmeanstheTrans-PacificPartnershipAgreement;

APECmeansAsia-PacificEconomicCooperation;

centrallevelofgovernmenthasforeachPartythemeaningsetoutinAnnex1-A(Party-SpecificDefinitions);

CommissionmeanstheTrans-PacificPartnershipCommissionestablishedunderArticle27.1(EstablishmentoftheTrans-PacificPartnershipCommission);

coveredinvestmentmeans,withrespecttoaParty,aninvestmentinitsterritoryofaninvestorofanotherPartyinexistenceasofthedateofentryintoforceofthisAgreementforthosePartiesorestablished,acquired,orexpandedthereafter;

customsadministrationmeansthecompetentauthoritythatisresponsibleunderthelawsofaPartyfortheadministrationofcustomslaws,regulationsand,whereapplicable,policies,andhasforeachPartythemeaningsetoutinAnnex1-A(Party-SpecificDefinitions);

customsdutyincludesanydutyorchargeofanykindimposedonorinconnectionwiththeimportationofagood,andanysurtaxorsurchargeimposedinconnectionwithsuchimportation,butdoesnotincludeany:

(a)chargeequivalenttoaninternaltaximposedconsistentlywithArticleII:2ofGATT1994;

(b)feeorotherchargeinconnectionwiththeimportation

commensuratewiththecostofservicesrendered;or

(c)antidumpingorcountervailingduty;

CustomsValuationAgreementmeanstheAgreementonImplementationof

ArticleVIIoftheGeneralAgreementonTariffsandTrade1994,setoutinAnnex

1AtotheWTOAgreement;

daysmeanscalendardays;

enterprisemeansanyentityconstitutedororganisedunderapplicablelaw,whetherornotforprofit,andwhetherprivatelyorgovernmentallyownedorcontrolled,includinganycorporation,trust,partnership,soleproprietorship,jointventure,associationorsimilarorganisation;

existingmeansineffectonthedateofentryintoforceofthisAgreement;

GATSmeanstheGeneralAgreementonTradeinServices,setoutinAnnex1B

governmentprocurementmeanstheprocessbywhichagovernmentobtainstheuseoforacquiresgoodsorservices,oranycombinationthereof,forgovernmentalpurposesandnotwithaviewtocommercialsaleorresaleoruseintheproductionorsupplyofgoodsorservicesforcommercialsaleorresale;

HarmonizedSystem(HS)meanstheHarmonizedCommodityDescriptionandCodingSystem,includingitsGeneralRulesofInterpretation,SectionNotes,ChapterNotesandSubheadingNotesasadoptedandimplementedbythePartiesintheirrespectivelaws;

headingmeansthefirstfourdigitsinthetariffclassificationnumberundertheHarmonizedSystem;

measureincludesanylaw,regulation,procedure,requirementorpractice;

nationalmeansa“naturalpersonwhohasthenationalityofaParty”accordingtoAnnex1-A(Party-SpecificDefinitions)orapermanentresidentofaParty;

originatingmeansqualifyingasoriginatingundertherulesoforiginsetoutinChapter3(RulesofOriginandOriginProcedures)orChapter4(TextileandApparelGoods);

PartymeansanyStateorseparatecustomsterritoryforwhichthisAgreementisinforce;
