ThisTENANCYAGREEMENTismadethis___dayof____,2007betweentheLandlord____________(hereinafterreferredtoasthe“Landlord”or"PartyA")andtheTenant________________(hereinafterreferredtoasthe“Tenant”or"PartyB");
WHEREAStheLandlordagreestoletandtheTenantagreestotaketheleaseofUnit____,__thflooroftheofficebuildinglocatedon________________(hereinafterreferredtoasthe“Premise”)inaccordancewiththetermsandconditionscontainedinthisAgreement;and

TENANCY
PartyAownstheofficebuildinglocatedanderectedon_______(hereinafterreferredtoasthe“OfficeBuilding”)andthereforehasthefullrighttodisposetheofficesinthatOfficeBuilding.AcopyoftheRealEstateOwnershipCertificate(AttachmentI)issuedbythelocalRealEstateandLandAdministrationauthorityshowingthatPartyAisthelegalowneroftheOfficeBuildingshallbeattachedtoandasapartofthisAgreement.
BothPartiesagreethatthePremiseshallincludeallequipmentandfixturesintheUnit____,___thflooroftheOfficeBuilding.Alistofalltheequipmentandfixtures(AttachmentII)shallbeattachedtoandasapartofthisAgreement.
ThePartiesagreetocount,checkandagreeonallitemsofthePremisecontainedinAttachmentIIuponsigningofthisAgreement.
PartyArepresentsandguaranteesthat
ThePremiseshallbeclean,tenantableandfreefromanyandallencumbrancesinanymannerwhenitisleasedtoPartyB;
PartyAshallhavenooutstandingbillsforutilitiescharges,suchastelephone,electricity,etc.inthePremiseatthecommencementdateofthisAgreement;
PartyAshallprovidePartyBwithacompleterightofcontinuousandnon-interruptionoccupancyofthePremiseduringthelifetimeofthisAgreement;and
1.4 PartyAfurtherrepresentsandguaranteesthatincasethereisanyclaimarisenoutoforrelatedtothePremiseand/ortheOfficeBuildingatthedateofcommencementofthisAgreementPartyAshallfullycompensatePartyBforanyandallcostsandexpensesincurredbyPartyBtherein.
TERM,EXPIRATIONANDTERMINATIONOFTENANCY
Term
ThePartiesagreethatthePremiseisherebyleasedforatermof__yearscommencingon_____,2005andexpiringon____,200_.
IncasePartyBwishestoextendtheleaseuponexpiration,PartyBshallhavetherightoffirstrefusal,thatis,PartyBshallbeentitledtorenewtheleaseuponequaltermsandconditionsofanythirdparty,providedPartyBgivesatwo-monthpriorwrittennoticetoPartyA.ThePartiesshallnegotiateandenterintoanewagreementbasedonthisAgreement.
Expiration
UponexpirationofthisAgreement,PartyAshallbeentitledtotakebackthePremiseinfull,andPartyBshalldeliverthePremiseinfullonthedateofexpiration.
Termination
PartyBisallowedtoterminatethisAgreementbygivingapriortwo-month’swrittennoticetoPartyAorpayinganamountequivalenttotwo-month’srentalinlieuofnotice.
RENTALANDPAYMENTTERMS
TherentalforthePremiseis__________onlypermonth.
Thisrentalamountincludesallpropertyfees,relatedtaxesandcharges,butisexclusiveofchargesonutilities(water,electricity,etc.)andoftelephonefee,whichshallbebornbyPartyB.
Therentalshallbepaidinadvanceonaquarterlybasis.PartyBshallmakeitsrentalpaymentbeforethefirstcalendardayofeachandeverythree-monthpayabletothefollowing:

PartyAshalldeliveranofficiallyvalidreceipttoPartyBforeachandeverypaymentmadebyPartyBwithin7daysafterreceivingeachandeveryrentalpayment.
Anyandallotherfees,chargesand/ortaxesarisenoutofandrelatedtothisAgreementincludingbutnotlimitedtothepropertytaxandrentaltax,whichPartyAisrequiredtopayinaccordancewiththerelevantlawsandregulationsshallbepaidsolelybyPartyA.
PartyAagreestoindemnifyPartyBandtoholdPartyBharmlessagainstanyclaimmadeormightbemadewithrespecttofees,charges,and/ortaxesbyanythirdpartyinrelationtotherentunderthisAgreement.
TherentalcannotbeincreasedduringthetermofthisTenancyAgreement.
DEPOSIT
PartyBagreestopayadepositof_______________(hereinafterreferredtoasthe“Deposit”)toPartyAwithin__daysuponsigningofthisTenancyAgreement.TheDepositshallbepayableintotheaccountdesignatedbyPartyA.UponexpirationorterminationofthisAgreementandnorenewalhappens,PartyAshallpaybacktheDepositinfullwiththeinteresttoPartyBwithin15daysbeforetheexpirationorterminationofthisAgreement.
RESPONSIBILITIESOFPARTYB
5.1 PartyBshallpaytheRental,DepositandutilitieschargesassetoutinthisAgreementontime.Failuretomakerentalpaymentand/ortherelatedchargesshallconstituteabreachofthisAgreement.
5.2 DuringthetermofthisTenancyAgreement,PartyBshalltakeagoodcareofandberesponsibleformaintainingthePremiseinagoodcondition.
5.3UponexpirationorterminationofthisAgreement,PartyBshalldeliverthePremisebacktoPartyAinfull,togetherwiththefixturesandfittingstherein,exceptforfairwearandtearduringthetermofthisAgreement.
5.4 DuringthetermofthisAgreement,PartyBshallonlybeallowedtousethePremiseforofficepurposeexceptPartyBobtainsawrittenconsentfromPartyAforanotherusageofthePremise.
5.5 DuringthetermofthisAgreement,PartyBshallnotsub-letthePremisewithoutfirstobtainingthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld,deniedordelayed.
5.6 DuringthetermofthisAgreement,PartyBshallnoterect,installorremoveanyfixturesorpartitioning,ormakeanystructuraladditionsand/oralternationswithoutthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld.
5.7PartyBshallberesponsibleforallcosts/expensesofrepairondamagesonwalls,ceilings,floors,windowsanddoorsinthePremiseduetoPartyB’snegligenceorwillfulmisconduct,exceptforfairwearandtear.
PartyBshallallowPartyAand/oritsauthorizedrepresentative(s)underreasonablecircumstancestoenterandviewthePremiseatamutuallyagreeabletime,toenterandcarryoutthestructuralworkandtorepairelectricalcircuits,waterpipesanddrains,whicharenecessarytobedone,providedPartyBreceivesapriororalorwrittennoticefromPartyA.
RESPONSIBILITIESOFPARTYA
6.1 PartyAshallpayanyandalldeedandotherrelatedtaxes/fees,includingbutnotlimitingtoGroundRent(ifany),stampduty,theunimprovedsitevaluetaxtogetherwithallincreasesinsitevaluetaxandlandrent/fee,rates,taxes,charges,outgoings,impositionsandassessments,whichnowormayhereinafterimposedorassessedbytherespectiveauthoritiesinrespectoforarisinginconnectionwiththisAgreementafterthecommencementofthisAgreement.
PartyAguaranteesthatthePremiseshallbemadefullyavailableforoccupationatthecommencementdateofthisAgreement.PartyAassuresthatthePremiseandtheOfficeBuildingshallbecleanandtenantablewithallservicesandsuppliedappliancesingoodworkingorderandtokeepthestructureroofandtheoutsideofthePremiseinagoodconditionwithwellrepairedandpaintedwherenecessary.
PartyAshallnotvisit,interruptorotherwiseenterintothePremiseduringthetermofthisAgreementunlessPartyAunderreasonableandnecessarycircumstancessendsanoticetoandreceivesconsentfromPartyB,inorderforPartyBtopossessandenjoyquietandpeacefulPremiseandOfficeBuilding.
PartyAshallberesponsibleformaintainingallkindsofequipmentsandfixturesinthePremiseandthecarriageways,carparkingareas,pathssurroundingtheOfficeBuilding,exceptwhenthedamagesaremadeduetoPartyB’snegligenceorwillfulmisconducts.
PartyAensuresthatatthecommencementdateofthisAgreementalladequatesecurityandfirepreventionandotherrelatedservicesshallbesufficientlyprovidedandthatallelectricity,water,telecommunications,sewagesystemandotherpublicutilitiesandserviceshavebeenproperlyinstalledinthePremiseandOfficeBuildingsoastoservePartyB'sintendeduseofthePremiseinamannernecessary,sufficientandconvenient.PartyAshallatitsexpensesarrangefortheprovisiontoPartyBtheaboveutilitiesservicesonacontinuousanduninterruptedbasis.
PartyAshallberesponsibleforrepairinaccordancewiththisAgreementreasonablewearandtearandthosefacilitieswhicharetheresponsibilityofPartyA.
PartyAisnotpermittedtotakebackthePremiseduringthetermofthisAgreementwithoutreason.
ASSIGNMENTORSUBLETTING
DuringthetermofthisAgreement,neitherPartymayassign,transferorsellanyofitsrightsand/orobligationsunderthisAgreementwithoutfirstobtainingthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld,deniedordelayed.
8. BREACHOFAGREEMENT
SubjecttoArticle9ofthisAgreementandunlessotherwiseprovidedinthisAgreement,ifonePartyfailstoperformanyofitsobligationsunderthisAgreement,itisinbreachofagreementandthebreachingpartyshalltakeanyandallresponsibilityofcompensationtotheinnocentparty.
IncasePartyBdelaystopaytheRentalforupto30days,PartyAshallgiveawarningnoticetoPartyBforagraceperiodof30days.IncasePartyBpaystheRentalwithinthe30days,PartyAshallcontinuetokeepthisAgreementvalid.IncasePartyBstillfailstopaytheRentalduewithinthese30days,PartyAisentitledtoterminatethisAgreementandclaimforcompensationofthedamagesduetoPartyB’sbreachofthisAgreement.
9. FORCEMAJEURE
IfthePremiseissubstantiallydestroyedordamagedbyfire,badweather,war,forcemajor,orothercausesbeyondthecontrolofPartyAandnotattributabledirectlyorindirectlytothenegligenceormaliceofPartyBorareotherwiserenderedunfitforuseoroccupation,therentshallceasetobepayablefromthedatethePremisebecomesunfitforuseoroccupationuntilthePremiseshallagainberenderedaccessibleandfitforuse,however,thatthePartyAshallbeundernoobligationtorepairthePremise,wheninPartyA’sopinion,itisnotreasonablyoreconomicallyorpracticallytodoso.Ifsuchaneventoccurs,PartyAshallgiveawrittennoticetoPartyB,andthedepositpaidandrentprepaidbyPartyBshallbereturnedinfullwithin10daysofsaidnotice.
10. INSURANCE
PartyAshallberesponsibleforpurchasingpolicyonpropertyinsuranceandotherrelevantinsurancesinanamountwhichshallequalnolessthanthefullreplacementvalueoftheOfficeBuildingagainstlossordamagebyfireandotherhazardswithinthecoverageofastandardformoffireandextendedcoveragepolicyfortheOfficeBuilding.
PartyBshallberesponsibleforpurchasingpolicytoinsureallobjectsownedbyPartyBinthePremise.
11. REPRESENTATION
ThePartiesagreethatforthepurposeofthisAgreement,eitherPartyisentitledtoappointoneormoreauthorizedrepresentativestoperformhis/itsobligationsunderthisAgreement.EachPartyshallissueasignedletterofauthorizationtoeachandeveryrepresentativeandtherepresentativesshallpresenttheletterofauthorizationtotheotherPartywhenperformingobligationsunderthisAgreement.
12. DISPUTERESOLUTION
PartyAandPartyBshallsettlealldisputesarisingfromtheinterpretation,performance,dissolutionorterminationofthisAgreementorinconnectionwiththisAgreementthroughfriendlyconsultation.
Incasenosettlementcanbereached,eitherpartyshallhavetherighttosubmitthedisputeto____________ArbitrationCenterforarbitrationinaccordancewiththeCenter’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.Inthecourseofsettlingdisputes,theAgreementshallbecontinuouslyexecutedbybothPartiesexceptforthepart,whichisunderarbitration.
13. MISCELLANEOUS
13.1 ThisAgreementshallcomeintoeffectonthesigningdatebytheauthorizedrepresentativesofthePartiesandshallremaininforceandbindingonthePartiesuntilitsexpirationorearlytermination.
13.2 ThisAgreementshallbewritteninEnglishversionswith2originalsandeachPartyshallkeeponeoriginalcopy.
13.3 AnyamendmentsandmodificationstothisAgreementshallbesubjecttoagreementbythePartiesinwrittenform.
13.4 ThisAgreementtogetherwithitsAttachmentsshallconstitutetheentireagreementbetweenthePartieswithrespecttothesubjectmatterofthisAgreement,andsupersedesallpriordiscussions,negotiations,agreementsa
