《餐饮加入合伙人协议书》甲方（现有合伙人）：_____________________PartyA(ExistingPartner):_____________________乙方（新加入合伙人）：_____________________PartyB(NewJoiningPartner):_____________________一、合作宗旨1.PurposesofCooperation双方将共同致力于打造具有市场竞争力的餐饮品牌，提供优质的餐饮服务，实现商业成功和长期合作。Bothpartieswilljointlycommittocreatingacateringbrandwithmarketcompetitiveness,providinghigh-qualitycateringservices,andachievingbusinesssuccessandlong-termcooperation.二、合伙人权益与责任2.Partner'sRightsandResponsibilities1.甲方享有现有餐饮业务的管理权，并负责日常运营。PartyAenjoysthemanagementrightoftheexistingcateringbusinessandisresponsiblefordailyoperations.2.乙方将提供资金、资源或专业知识，协助业务发展。PartyBwillprovidefunds,resources,orprofessionalknowledgetoassistinbusinessdevelopment.三、出资方式与金额3.MethodofCapitalContributionandAmount1.乙方应在[具体时间]内，以[出资方式]向合伙企业出资[具体金额]。PartyBshallcontribute[specificamount]tothepartnershipenterpriseby[themethodofcontribution]within[specifictime].2.出资将用于餐厅的扩张、设备更新等业务发展。Thecontributionwillbeusedfortheexpansionoftherestaurant,equipmentupdates,andotherbusinessdevelopment.四、利润分配与亏损承担4.ProfitDistributionandLossSharing1.利润将根据双方约定的比例进行分配。Profitswillbedistributedaccordingtotheproportionagreeduponbybothparties.2.亏损将按照出资比例共同承担。Losseswillbesharedjointlyaccordingtothecontributionproportion.五、经营管理5.BusinessManagement1.重大决策需经双方协商一致。Majordecisionsrequiretheconsensusthroughconsultationofbothparties.2.每月举行经营会议，讨论业务进展。Monthlybusinessmeetingswillbeheldtodiscussbusinessprogress.六、合伙期限6.PartnershipPeriod合伙期限为[具体时间]，期满后可协商续期。Thepartnershipperiodis[specifictime],anditcanbenegotiatedforrenewalaftertheexpiration.七、退出机制7.WithdrawalMechanism1.合伙人可在符合条件的情况下申请退出。Partnerscanapplytowithdrawundertheconditionsthatmeettherequirements.2.退出时应按照约定进行资产清算。Uponwithdrawal,theassetliquidationshouldbecarriedoutaccordingtotheagreement.八、保密条款8.ConfidentialityClause双方应对合作涉及的商业秘密严格保密。Bothpartiesshallkeepthebusinesssecretsinvolvedinthecooperationstrictlyconfidential.九、违约责任9.LiabilityforBreachofContract任何一方违反本协议将承担相应的法律责任和经济赔偿。Anypartythatviolatesthisagreementwillundertakethecorrespondinglegalliabilityandeconomiccompensation.十、争议解决10.DisputeResolution如发生争议，双方应友好协商解决；协商不成的，可提交仲裁机构仲裁。Intheeventofadispute,bothpartiesshallresolveitthroughfriendlynegotiation;ifthenegotiationfails,itcanbesubmittedtothearbitrationinstitutionforarbitration.十一、其他条款11.OtherClauses1.本协议一式两份，双方各执一份。Thisagreementisinduplicate,andeachpartyholdsonecopy.2.本协议自双方签字盖章之日起生效。Thisagreementcomesintoeffectfromthedateofthesignatureandstampofbothparties.甲方（签字/盖章）：_____________________Pa
