[Client'sContactInformation](the"Client").(Hereinaftercollectivelyreferredtoasthe"Parties")RECITALS:WHEREAS,theContractorisengagedinthebusinessofproviding__________(descriptionofservicesorproducts);WHEREAS,theClientdesirestoengagetheContractortoprovidecertainservicesorproductsasdescribedinthisAgreement;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thePartiesagreeasfollows:1.Services/Products1.1TheContractoragreestoprovidetheClientwith__________(descriptionofservicesorproducts)inaccordancewiththetermsandconditionssetforthinthisAgreement.1.2TheContractorshallperformtheservicesorprovidetheproductswithreasonablecare,skill,anddiligenceinaccordancewiththeprofessionalstandardsapplicabletotheindustry.2.ScopeofWork2.1TheContractorshallperformtheservicesorprovidetheproductsinaccordancewiththespecifications,drawings,designs,andotherrequirementsprovidedtheClient.3.PaymentTerms3.1TheClientshallpaytheContractorthetotalconsiderationfortheservicesorproductsprovidedunderthisAgreement,assetforthintheattachedScheduleA(the"PaymentTerms").[Insertdetailedcalculationofpayment,includinganydiscounts,fees,orothercharges]3.3TheClientshallmakepaymentstotheContractorinaccordancewiththePaymentTerms,andanylatepaymentsshallbesubjecttointerestattherateof__________percent(____%)perannum,calculatedfromtheduedateuntilthedateofpayment.4.Confidentiality4.1ThePartiesagreetomaintainstrictconfidentialitywithrespecttoallconfidentialinformationexchangedbetweentheminconnectionwiththisAgreement(the"ConfidentialInformation").4.2TheContractorshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofitsobligationsunderthisAgreement,andshallnotdisclosetheConfidentialInformationtoanythirdpartywithouttheClient'spriorwrittenconsent.5.WarrantiesandRepresentations5.1TheContractorrepresentsandwarrantsthatithastherighttoenterintothisAgreementandtoperformitsobligationsunderthisAgreement.5.2TheContractorfurtherrepresentsandwarrantsthattheservicesorproductsprovidedunderthisAgreementwillmeettheClient'sspecificationsandwillbefreefromdefectsinmaterialsandworkmanship.6.Indemnification6.1TheContractorshallindemnifyandholdharmlesstheClientagainstanyclaims,damages,losses,orexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheperformanceoftheContractor'sobligationsunderthisAgreement,excepttotheextentcausedtheClient'sfaultornegligence.7.TermandTermination7.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementthatisnotcuredwithin__________(numberofdays)afterreceiptofwrittennoticethereof.7.3ThisAgreementmayalsobeterminatedmutualwrittenagreementoftheParties.8.GoverningLawandDisputeResolution8.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe__________(jurisdiction,e.g.,StateofNewYork,UnitedKingdom,etc.).8.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe__________(arbitrationinstitution,e.g.,InternationalChamberofCommerce,LondonCourtofInternationalArbitration,etc.).9.EntireAgreement9.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhere一、附件列表：1.附件A：服务/产品规格书

5.附件E：仲裁条款二、违约行为及认定：1.违约行为：未能按照约定时间完成服务或交付产品。

认定：若Contractor未能在约定的时间内完成服务或交付产品，且未提前通知Client并取得延期同意，将被视为违约。2.违约行为：提供的服务或产品不符合约定规格或存在缺陷。

认定：若Contractor提供的服务或产品不符合约定规格，或存在明显的质量问题、缺陷，将被视为违约。3.违约行为：未履行保密义务。

认定：若Contractor未按照约定保密条款，泄露了Client的ConfidentialInformation，将被视为违约。4.违约行为：未按照约定支付款项。

认定：若Client未按照PaymentTerms约定的时间及方式支付款项，将被视为违约。三、法律名词及解释：1.合同方（Parties）：指本合同中的Contractor和Client。

2.有效日期（EffectiveDate）：本合同正式生效的日期。

3.服务/产品（Services/Products）：指Contractor根据本合同约定向Client提供的一系列服务或产品。

4.付款时间表（PaymentTerms）：指Client支付Contractor提供服务或产品的款项的计算方式和时间安排。

5.保密信息（ConfidentialInformation）：指本合同执行过程中，Client和Contractor之间交换的，需保密的信息。四、执行中遇到的问题及解决办法：1.问题：Contractor未能按照约定时间完成服务或交付产品。

解决办法：Client可与Contractor协商，要求其在约定时间内完成服务或交付产品；若协商无果，Client可依据本合同第7.2条终止合同，并追究Contractor的违约责任。2.问题：提供的服务或产品不符合约定规格或存在缺陷。

解决办法：Client可要求Contractor在约定时间内重新提供符合规格的服务或产品，或退还已支付的款项；若Contractor未能在约定时间内纠正违约行为，Client可依据本合同第7.2条终止合同，并追究Contractor的违约责任。3.问题：Contractor未履行保密义务。
