蔬菜种植基地与酒店合作合同合同编号：__________vegetableplantingbaseandhotelcooperationcontractArticle1:ObjectofCooperation1.1Theplantingbaseshallprovidefreshandhighqualityvegetablestothehotelonaregularbasis,andthehotelshallpurchasevegetablesfromtheplantingbaseinaccordancewiththeagreedspecificationsandquantities.1.2Thehotelshallprovidetheplantingbasewithreasonableandtimelyfeedbackonthequalityofthevegetablespurchased,andtheplantingbaseshalltakenecessarymeasurestoimprovethequalityofthevegetables.Article2:CooperationTerms2.1Theplantingbaseguaranteesthatthevegetablessuppliedtothehotelshallmeetthefollowingrequirements:(1)Freshness:Thevegetablesshallbeharvestedwithin24hoursbeforedelivery,andshallbekeptcoolduringtransportation.(2)Quality:Thevegetablesshallmeettherelevantnationalstandardsandspecifications,andshallbefreefrompests,diseasesandchemicalpollution.(3)Quantity:Theplantingbaseshalldeliverthevegetablesinaccordancewiththeagreedspecificationsandquantities,andshallnotdeliverlessthantheagreedquantitywithouttheconsentofthehotel.2.2Thehotelshallpayforthevegetablespurchasedfromtheplantingbaseinaccordancewiththeagreedpricesandpaymentterms.2.3Theplantingbaseandthehotelshallworktogethertopromotetheimageofthehotel,andshallnotengageinanyactivitiesthataredetrimentaltothereputationofthehotel.Article3:DeliveryandInspection3.1Theplantingbaseshalldeliverthevegetablestothedesignatedplaceofthehotelwithintheagreedtime,andthehotelshallinspectthevegetablesuponreceipt.3.2Ifthehotelfindsanyqualityproblemswiththevegetables,itshallnotifytheplantingbaseinwritingwithin24hoursafterreceipt,andtheplantingbaseshalltakenecessarymeasurestodealwiththeproblemswithin48hours.3.3Theplantingbaseshallberesponsibleforthetransportationcostsofdeliveringthevegetablestothehotel,andthehotelshallberesponsibleforthetransportationcostsofreturningthevegetables.Article4:Confidentiality4.1Bothpartiesshallkeepthetermsofthiscontractconfidential,andshallnotdiscloseorpublishanyinformationrelatedtothiscontracttoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.4.2Theaboveconfidentialityobligationshallexpiresixmonthsaftertheexpirationorterminationofthiscontract.Article5:TermandTermination5.1Thiscontractshallbeeffectivefor____yearsfromtheeffectivedatehereof,andshallautomaticallyrenewforanadditional____yearsunlesseitherpartygiveswrittennoticeofterminationatleast____monthsbeforetheexpirationofthecurrentterm.5.2Eitherpartymayterminatethiscontractgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftime.5.3Thiscontractmayalsobeterminatedmutualagreementofbothparties.Article6:DisputeResolution6.1Anydisputesarisingoutoforinconnectionwiththiscontractshallbefirstsettledthroughfriendlynegotiation.6.2Ifthenegotiationfailstosettlethedisputes,eitherpartymaysubmitthedisputestothe__________people'scourtforresolution.Article7:Miscellaneous7.1Thiscontractconstitutestheentireagreementbetweentheplantingbaseandthehotelwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal.7.2Thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.3Thiscontractshallbeeffectiveuponthesigningofbothparties.Plantingbase:________________________Representative:________________________Date:________________________Hotel:________________________Representative:________________________Date:________________________一、附件列表：1.蔬菜质量标准2.运输时间表3.付款通知书4.质量问题反馈表5.保密协议6.终止合同通知二、违约行为及认定：1.蔬菜供应不符合约定的新鲜度、质量或数量。2.未在约定时间内完成蔬菜交付。3.未经对方同意，泄露合同保密信息。4.未按照约定价格支付蔬菜款项。5.未履行合作推广酒店形象的义务。6.任何一方未能履行合同中的其他实质性条款。三、法律名词及解释：1.蔬菜种植基地：指根据合同约定提供蔬菜的实体。2.酒店：指根据合同约定购买蔬菜的实体。3.合同履行：指合同双方按照约定完成各自义务的行为。4.违约：指合同一方或双方未能履行合同约定的义务。5.保密信息：指合同双方未公开的、对双方有利的商业信息。四、执行中遇到的问题及解决办法：1.蔬菜质量问题：发现质量问题应及时书面通知种植基地，种植基地应在规定时间内处理并答复。2.交付延误：如遇交付延误，酒店有权要求种植基地说明原因并采取补救措施。
